2. Citizens for Responsibility and Ethics in Washington is a non-profit

organization dedicated to ensuring accountability in public officials and compliance with

federal laws.

Respondents

3. GSP Consulting Corporation ("GSP") is a lobbying firm located in

Pittsburgh, .

4. GSP Consulting Corp. PAC ("GSP-PAC") is separate segregated fund of

GSP and a political committee as defined by FECA. 2 U.S.C. § 431(4). Houston

Harbaugh Legislative Services Political Action Committee ("HHLS-PAC") was a

1 political committee as defined by FECA during the period at issue in this complaint,

since having been disbanded.

5. Joseph Kuklis is an owner of GSP.

6. John Dick is an owner of GSP and Treasurer of GSP-PAC.

7. Charles Haramel is the President of Pitt Ohio, a client of GSP.

10. GSP formed GSP-PAC in 2002. GSP-PAC, FEC Form I (attached as

Exhibit 2).

11. Houston Harbaugh Legislative Services ("HHLS") was formed in 2002 as

a joint venture of GSP and the law firm Houston Harbaugh, P.C.. Patty Tascarella, GSP

Consulting buvs Houston Harbaueh's lobbying arm. Pittsburgh Business Times, August

15, 2005 (attached as Exhibit 3) and HHLS LLC filing (attached as Exhibit 4). HHLS

formed HHLS-PAC in 2004. HHLS-PAC, FEC Form 1 (attached as Exhibit 5).

12. Despite the fact that HHLS was partially owned by GSP, neither GSP-

PAC nor HHLS-PAC reported their affiliation in any FEC filing from 2004 to the

present. See Exhibits 2 and 5.

13. GSP reportedly acquired HHLS in August 2005. See Exhibit 3. The

Pennsylvania Secretary of State's Corporations Bureau has no record of this transaction.

HHLS LLC filings (attached as Exhibit 6). 14. In 2005, GSP-PAC received excessive contributions from the following

individuals:

17. For the 2006 elections, GSP-PAC has made a total of $4,000 in

contributions to Santorum 2006. GSP-PAC Form 3x, July 29,2005, at 10 (attached as

Exhibit 9), GSP-PAC Form 3x, April 12,2004, at 12 (attached as Exhibit 10), and GSP-

PAC Form 3x, July 14,2003, at 10 (attached as Exhibit 11).

18. The contributions of GSP-PAC and HHLS-PAC to Santorum 2006 total

$5,600. Two of GSP-PAC's contributions totaling $2,100 were designated for the

general election. Id. All other contributions made by GSP-PAC and HHLS-PAC apply

to the primary election, either by designation or because the primary was the next

election Sen. Santorum faced. See Exhibits 9-11. By designating the contributions in

this manner, the affiliated committees did not violate the combined contribution limit. 2

U.S.C. § 441a(a)(l)(C) and 11 C.F.R. § 110.1(d). 19. GSP provided lobbying services for Precision Technologies, Pittsburgh Airport Area Chamber of Commerce, and YMCA of Pittsburgh in 2004. See 2004 GSP

Lobbying Reports for Precision Technologies, Pittsburgh Airport Area Chamber of

Commerce, and YMCA of Pittsburgh (attached as Exhibit 12). The following

contributions were earmarked to federal candidates through GSP-PAC in 2004:

August 4,2004, but listed his occupation as "self employed," rather than CEO of

Precision Technologies in the disclosure report. Santorum 2006 FEC Form 3, October 15,2004, at 91 (attached as Exhibit 14).

21. Although GSP reportedly acquired HHLS in August 2005, GSP

maintained both GSP-PAC and HHLS-PAC without notifying the Commission of the

acquisition or the affiliation between the two political committees. See Exhibit 3.

22. On August 12,2005, HHLS-PAC made a $ 100 contribution to GSP-PAC. HHLS-PAC Form 3x, March 2,2006, at 6 (attached as Exhibit 15). It is unknown whether the contribution was made prior to GSP's acquisition of HHLS because the acquisition has never been filed with the Pennsylvania Department of State's Corporation

Bureau, as required by state law. Sec Exhibits 4,6 and 15.

23. HHLS-PAC filed late year-end reporting for 2005 and gave the FEC

notice of termination on March 2,2006. Exhibit 15 at 1. COUNTI

24. In 2005, the maximum legal contribution from an individual to a federally

registered political committee like GSP-PAC was $5,000. 2 U.S.C. § 441a(a)(l)(C); 11

C.F.R. § 110.1(d). A contribution to a political committee that exceeds $5,000

°* constitutes an illegal contribution. See 2 U.S.C. § 441 a(f). OQ ^ 25. In 2005, Charles Hammel contributed $15,000 to GSP-PAC. This Nl rsi $ 10,000 excessive contribution in violation of 2 U.S.C. § 441 a(f), which prohibits political committees from accepting contributions from individuals over the limits

proscribed in FECA. See Exhibit 7.

27. In 2005, John Dick contributed $14,000 to GSP-PAC. This $9,000

excessive contribution violated 2 U.S.C. § 441a(a)(lXC); 11 C.F.R. § 110.1(d). 28. Because GSP-PAC accepted $14,000 from John Dick, it accepted a $9,000

excessive contribution in violation of 2 U.S.C. § 441 a(f), which prohibits political committees from accepting contributions from individuals over the limits proscribed in FECA. See Exhibit 7.

29. In 2005, Joseph Kuklis contributed $11,800 to GSP-PAC. This $6,800

excessive contribution violated 2 U.S.C. § 441a(a)(lXC); 11 C.F.R. § 110.1(d).

30. Because GSP-PAC accepted $11,800 from John Dick, it accepted a $6,800

excessive contribution in violation of 2 U.S.C. § 441a(f), which prohibits political committees from accepting contributions from individuals over the limits proscribed in

FECA. See Exhibit 7. COUNT II

31. Political committees that are separate segregated funds of corporate

entities may only solicit contributions from stockholders, executives of the corporation,

® the families of stockholders, and the families of corporate executives (the corporation's CP *j "restricted class**). See 11 C.F.R. § 114.S(g)(l). Soliciting outside of the restricted class KI rsi was not a stockholder of GSP, nor an executive of GSP. Mr. Hammel was not a family

member of any GSP stockholder or executive of GSP. He was, therefore, not a member of GSP's restricted class. See 11 C.F.R. § 114.S(g)(l).

33. To the extent that Charles Hammers $ 15,000 contribution was solicited

by GSP-PAC, this would violate the prohibition on solicitations outside of a corporate segregated fund's restricted class. See 11 C.F.R. § 114.5(g)(l).

COUNT III

34. HHLS was a joint venture of GSP and Houston Harbaugh, P.C. Since

GSP had an ownership interest in HHLS, GSP-PAC and HHLS-PAC were required by law to report their affiliation to the Commission upon filing of HHLS-PAC's statement of organization on December 15,2004. HHLS-PAC and GSP-PAC failed to disclose their

affiliation, in violation of 2 U.S.C. § 441a(a)(5) and 11 C.F.R. § 102.2(b).

35. GSP acquired HHLS in August 2004, according to GSP principal Joeseph

Kuklis. as reported in the Pittsburgh Business Times. See Exhibit 3. From the time GSP acquired HHLS until HHLS-PAC's termination in March 2005, GSP directly operated

two federally registered political committees, but failed to report the affiliation to the

Commission. By failing to disclose this affiliation, GSP violated 2 U.S.C. § 441a(a)(5)

andllC.F.R. §102.2(b).

36. GSP-PAC and HHLS-PAC failed to report their combined contributions

,H under a single contribution limit, in violation of 11 C.F.R. § 110.3(a). CD & 37. In the alternative, if the Commission finds that GSP-PAC and HHLS-PAC *T Ufe ^ were not affiliated, to the extent HHLS-PAC solicited contributions outside its restricted *T

Kuklis were family members of any HHLS stockholder or executive. Therefore, they are

not members of HHLS's restricted class. See 11 C.F.R. § 114.5(g)(l).

39. To the extent that John Dick's $ 1,500 contribution was solicited by

HHLS-PAC, this would violate the prohibition on solicitations outside of a corporate

segregated fund's restricted class. 11 C.F.R. § 114.5(gXl).

40. To the extent that Joseph Kuldis's $ 1,500 contribution was solicited by

HHLS-PAC, this would violate the prohibition on solicitations outside of a corporate

segregated fund's restricted class. 11 C.F.R. § 114.5(g)(l).

COUNT IV

41. In 2004, the maximum legal contribution from an individual to a federally

candidate committee was $2,000. 2 U.S.C. §441a(aXlXC); 11 C.F.R. § 110.1(d). 42. On July 7,2004, Sean McDonald earmarked $2,000 through GSP-PAC to

Santorum 2006. See Exhibit 13 at 9. Mr. McDonald did not designate the contribution,

therefore it is applied to the next election for Sen. Santorum, his primary. On August 4,

2004, Mr. McDonald made a $2,000 direct contribution to Santorum 2006 that was

specifically designated for the primary. See Exhibit 14 at 91. The August 4,2004

£J transaction was a $2,000 excessive contribution, in violation of 2 U.S.C. § 441 a(aXl )(C) ^ andllC.F.R. §110.1(d). Nl rvi COUNTY ^T Q 43. In 2004, GSP-PAC received earmarked contributions to federal candidates CD (N from Sean McDonald, Pittsburgh Airport Area Chamber of Commerce and James

Cimino. See Exhibit 13.

44. GSP served as the lobbyist for Mr. McDonald's company, Precision

Therapeutics, the Pittsburgh Airport Area Chamber of Commerce, and Mr. Cimino's

organization, YMCA of Pittsburgh. Sec Exhibit 12.

45. John Dick stated in a newspaper interview that he suggests GSP clients

should contribute money to federal candidates. Carrie Budoff, From staff to lobbyist:

The ties that bind. The Philadelphia Inquirer, April 17,2006 (attached as Exhibit 16).

Mr. Dick, when asked if he suggests to his clients that they make contributions to federal

candidates, was quoted to say, "Sure, it is an unfortunately big part of it.... It is definitely

in our interest to support candidates that care about our projects and issues." Id.

46. Using corporate resources to facilitate contributions to federal candidates,

is a violation of 11 C.F.R. § 114.2(f). Soliciting contributions that are earmarked for a candidate through the corporation's separate segregated fund is a violation of 1 1 C.F.R. §

47. To the extent that GSP illegally facilitated the making of earmarked

contributions to federal candidates through GSP-PAC, GSP violated 1 1 C.F.R. § 1 14.2(f).

48. The Commission has previously found violations of 1 1 C.F.R. § 1 14.2(1)

Rick Santorum (R-Pa.) who are working at a lobbying firm with close ties to the & lawmaker appear to have used their political action committee in ways that repeatedly broke federal election oo> rules in recent months. *T hO The firm, Pittsburgh-based GSP Consulting, already refunded in March more than $25,000 in excessive rsi contributions to its PAC. <=! sy However, when Roll Call brought other apparent infringements to the firm's attention Monday, GSP Q co-founder John Dick said he was moving to correct the situation. CD The apparent violations — which Dick said he had been unaware of — include accepting PAC contributions from people outside the firm, failing to notify the Federal Election Commission of an affiliation with another PAC and breaking spending limits for affiliated PACs with contributions to Santorum. He said the firm has requested that Santorum's re-election campaign return $600 in excessive contributions; was refunding a client's contribution to its PAC; and is seeking guidance on whether it broke FEC rules by failing to report its association with another campaign fund. Firm officials described the mistakes as the unintentional result of relatively inexperienced consultants wrangling with complex federal regulations. "We're young, and our PAC is pretty young as well, and we're trying to manage it all," said Amy Ross, a GSP principal who manages the fund. "It was just an honest mistake.* FEC spokesman George Smaragdis declined to comment on the situation, citing agency policy not to discuss possible or pending actions. He noted that the firm responded promptly earlier this year when notified of the excessive contributions to its PAC. Dick said he is hopeful the FEC will continue to be forgiving of his outfit's mistakes, given the difficulty of complying with federal rules. But Brett Kappel, a campaign finance lawyer with Vorys, Sater, Seymour and Pease, said the firm's professed innocence may not keep federal campaign regulators at bay. "This PAC appears to have committed several egregious violations of the Federal Election Campaign Act,* Kappel said. "Having multiple violations on their record is more iikely to lead to an FEC audit or an enforcement action seeking civil penalties." The lobbying shop, which focuses on appropriations work for Keystone State clients, was launched in 2001 by Joseph Kuklis and Dick, who together logged several years on Santorum's staff. Dick, who served as Santorum's director of business coalitions and deputy campaign manager, and Kuklis, the Senator's one-time deputy state director, began small. They opened their operation in the same Pittsburgh building where the Senator has his office, and they recruited a small stable of clients. They launched the PAC shortly after opening their doors. While the fund has remained relatively small — it has pulled in $36,000 this cycle — GSP lobbyists have maximized its impact by targeting donations to just a handful of lawmakers from the western Pennsylvania region.

This aggressive political activity has helped the firm nearly quadruple Its lobbying revenue in just the past few years, from $320,000 for the first half of 2003 to $1.2 million for the first half of 2005, according to figures from PoliticalMoneyUne.com.

One of the more egregious breaches involved a $15,000 donation accepted late last year from a client, Charles Hammel, president of a Pennsylvania trucking company called Pitt Ohio Express, for whom GSP is seeking federal funding and lobbying on tax issues.

That move represents an apparent violation of federal rules restricting PAC contributions to company employees, as well as being a violation of contribution limits. The firm returned $10,000 of that money after the FEC caught the second problem but not the first.

Now, firm officials said, they will return to Hammel the remaining $5,000 they had accepted in violation of federal rules.

0) Beyond the Hammel check, GSP officials appear to have stepped outside the law by failing to tell the FEC QQ when they created a second "affiliated" campaign fund under the rubric of a joint venture with Houston ^ Harbaugh, a Pittsburgh law firm. ^ When firms already operating PACs set up other campaign funds, federal regulators require notification, ^ since FEC rules dictate that dollars doled out by the secondary funds be counted against caps on the ^ originals. T O GSP appears to have violated those limits, contributing $4,100 to Santorum's re-election campaign from the CD original PAC plus another $1,500 from the fund of the side project, called Houston Harbaugh Legislative rsi Services. The total $5,600 in donations to the Senator's re-election effort exceeds the $5,000 per-electton limit on PAC contributions, prompting the firm to request a $600 reimbursement after being notified of the breach Monday. "The Santorum campaign follows all laws and rules as set forth by the FEC," Santorum campaign spokeswoman Virginia Davis said in a statement. "When contribution limits are exceeded, the campaign returns that contribution or portion of It in a timely manner." GSP Consulting has seen Its business soar since its launch by tapping into a growing trend in the lobbying business. With more federal dollars available for pet projects and a greater recognition of the fact by private-sector groups, lobbying firms specializing in clients from one geographic area have been able to trade on close ties to a single Congressional delegation. By focusing on Pennsylvania lawmakers, GSP officials have secured $35 million in federal help for their clients since the firm's founding, according to a recent report. They now have about 50 federal clients, for whom they boast returns of 19 times the client's outlay. And the firm now has a staff of 16, including three more staffers who worked for Santorum. "Growth," the firm's Web site, www.gspconsulting.com, announces. "GSP Consulting lives, eats, and breathes it. We are addicted to it." Dick said that GSP principals consider their ethical standards to be a strength, adding he regrets that the nature of the business requires the firm to play in the political money game. "It plays an unfortunately significant role in all of it," he said. "It's definitely a necessary evil."

Rick Santorum's office, they picked the profession of many former staffers. They became lobbyists. *j They moved into the same building where Santorum has his Pittsburgh office, hired a staff with ties to Democratic and Republican p. officeholders, started a political action committee, and landed $35 million in appropriations, often for firms that had never VJ received federal money before. «5T It's the way Washington works, but the practice is under scrutiny after a string of corruption scandals that highlighted the tfl explosion in congressional pet projects and the Industry that has built up around them.

    Seven GSP associates out of 16 have worked as congressional staffers, Including three with Santorum and one each with Murtha and Doyle. Expertise and work ethic mattered most in their hiring, Dick said, but so did connections. "I wish It weren't that way." he said, "but the feet Is, it saves you a lot of time developing credibility with people." Asked whether Dick suggests to his clients that they contribute money, he said: "Sure, It is an unfortunately big part of it.... It Is definitely in our interest to support candidates that care about our projects and issues." Since 2002, GSR's PAC has contributed $27,500 to members of Congress, divided evenly between the parties, but concentrated in Western Pennsylvania, the home of lawmakers often lobbied by GSP. In 2004, GSP noted on its PAC finance reports its contributions to members of Congress on behalf of individuals, some of whom wanted -- or had already received — its help. The committee passed $2,000 to Santorum and $250 to Doyle in July 2004 — designating the source as Sean McDonald, the CEO I* of Precision Therapeutics, who also gave $1,500 directly to Murtha several months earlier, records show. In that time, he helped land at least $13 million for nonprofits and defense contractors, including Air Products, of Lehigh County, and JLG, of Fulton County. He teamed with other lobbyists to get $46 million for Philadelphia's mass transit system and $22 million for Drexel University. In news releases, Santorum and Specter claimed credit for a majority of these projects. Another Specter chief of staff. Craig Snyder, took a similar path, becoming a partner at Ikon Public Affairs. The firm also employs Peter Grollman, who advised Specter on grants and appropriations. Together, they have obtained at least $11.8 million for clients since 2001 and contributed $70,000 to lawmakers, records show. Snyder's connection convinced William Hinchey, a Lehkjh Valley marketing executive who decided to leave his job in 2001 and start a nonprofit that targeted alcohol abuse. He also wanted federal money. "I thought, here is a guy who used to work for Arlen Specter as his chief of staff," Hinchey said. "He probably knew how to do this stuff." Snyder guided Hinchey toward $75,000 for his Start Smart Foundation, which got an additional $225,000 on Its own the next year. The group put 120 families through an abuse-prevention program. Discouraged by federal red tape and unwilling to continue Investing his money, Hinchey closed the foundation last year. Reynolds, Specter's current chief of staff, said the program was a "good-faith attempt to help a problem." No end for earmarks Immersed in a tough re-election fight, Santorum put himself at the center of the Senate's effort to change lobbying rules. But the Senate passed a bill last month that left the earmarking process largely intact, It would require senators to identify the project's source and purpose, but Ashdown, of Taxpayers for Common Sense, said loopholes would allow many to remain hidden. The House has yet to take up the bill. Santorum's leading Democratic opponent, Bob Casey Jr., has criticized the senator for his role In an "out of control" system. If elected, Casey said, he would seek earmarks, but more disclosure could reduce waste.
