Dear Shareholders, 2014 was a very busy and exciting year for Morgans Hotel Group. We successfully completed several key initiatives and made significant progress on a number of critical projects, which together, have improved our Company and created a stronger foundation from which to grow. The Board and management team have been focused on executing a significant turnaround, while also keeping a keen eye on the quality of our offerings to ensure that our guests continue to have great experiences at our unique properties. We are pleased with the progress we have made to date to address the legacy issues impacting the Company and to position us to succeed in the future. Highlights include: refinancing the debt secured by Hudson and Delano South Beach on favorable terms and repaying maturing debt which strengthened our balance sheet, reducing corporate and hotel operating costs, settling costly litigation, and terminating several unfavorable management contracts. As a result, Morgans has been able to further sharpen its asset-light, brand focused strategy. During the year we strategically added three attractive hotels: Mondrian London, Delano Las Vegas, and 10 Karaköy. Mondrian London opened in September and is the first Mondrian property outside of the U.S., underscoring the popularity and evolution of that brand; Delano Las Vegas, which also opened in September, is a licensed hotel operated by MGM Resorts; and 10 Karaköy, a Morgans Original franchised hotel located in one of Istanbul’s most lively and flourishing districts, opened in November. Each of these hotels has unique designs with distinctive food, beverage and entertainment offerings, and embodies the creative spirit and energy that defines our Company. -

In the entryway, a series of rusted, steel- slanted walls are asymmetrically placed to create a sculptural house of cards aesthetic. Upon arrival, guests are met with a dramatic, angular entrance that is juxtaposed with the sleek, clean, modern design of the entry lobby immediately outside. -

ANNUAL REPORT 2013 Dear Fellow Shareholders, 2013 was a year of meaningful change for Morgans Hotel Group as your new Board of Directors and management took significant, decisive actions to position the Company for the future. In a year after shareholders voted in favor of replacing the previous Board of Directors, your new Board fully immersed itself in all aspects of the Company and its business. This thorough review confirmed what we always knew – that the potential for value creation of our one-of-a-kind properties and powerful brands is significant. In order to recognize that value for our shareholders, your new Board first needed to address a number of legacy issues related to our balance sheet, corporate overhead levels and organizational structure. We have also spent significant time with our existing partners to ensure the success of new projects soon to open while assessing potential new projects for the continued growth of property management income. Since the 2013 annual meeting, we have made significant progress on a number of critical initiatives that have strengthened our company and laid the groundwork for value creation going forward. These efforts could not have been completed without the full participation of every member of the Board, and we have drawn on their considerable industry, operational and capital markets expertise in order to affect successful outcomes for our investors. We significantly strengthened our balance sheet, which has resulted in increased liquidity and flexibility. In February 2014, we refinanced our $180 million mortgage loan secured by Hudson New York and our $100 million revolving credit facility secured by Delano South Beach, replacing these obligations with nonrecourse mortgage and mezzanine loans at attractive rates. -
