ANNOUNCEMENT – RESULTS OF TENDER AND SWITCH OFFERS

The Government of the of acting through the Sharjah Finance Department

The Government of the Emirate of Sharjah (the "Government") announces today the aggregate nominal amount of the Existing Certificates (details of which are set out in the table below) accepted for purchase by the Government (the "Maximum Aggregate Nominal Purchase Amount") pursuant to its previously announced invitation to submit offers to sell the Existing Certificates for cash (the "Invitation"), subject to the terms and conditions contained in the launch announcement published by the Government on 21 March 2019 (the "Launch Notice"). The Invitation expired at approximately 11.30 a.m. (London time) today, 26 March 2019. Settlement of the Invitation is expected to occur on 28 March 2019 (the "Accepted Certificates Settlement Date"). On 26 March 2019, the Government conducted an offering of its U.S.$1,000,000,000 trust certificates due 2026 (the "New Certificates"). The New Certificates are planned to be issued by the Government on 3 April 2019 and the acceptance amounts below are contingent on the pricing of these New Certificates.

The Maximum Aggregate Nominal Purchase Amount is U.S.$181,676,000.

The Purchase Price of the Existing Certificates is U.S.$1,013.00 per U.S.$1,000 Principal Amount plus an Accrued Periodic Distribution Amount of U.S.$6.50 per U.S.$1,000 Principal Amount, representing accrued and unpaid periodic distribution amounts from, and including, the last applicable periodic distribution date up to, but excluding, the Accepted Certificates Settlement Date.

The total amount of Offers in respect of Existing Certificates that have been accepted are shown in the table below. All Preferred Offers and Non-Preferred Offers have been accepted with no pro-ration on any valid submissions.
