AN ACT To dissolve Certain Corporations. Be it enacted hy the Senate and House of Representatives in General Court assembled, and hy the authority of the same, as follows: 1 Section 1. Such of the following named corporations 2 as are not already legally dissolved, are hereby dissolved, 3 subject to the provisions of sections fifty-two and fifty- -4 three of chapter four hundred and thirty-seven of the 5 acts of the year nineteen hundred arid three and 6 amendments thereto:

1 Section 2. Nothing in this act shall be construed to 2 affect any suit now pending by or against any corpora- -3 tion mentioned in the first section hereof, or any suit now 4 pending or hereafter brought for any liability now existing 5 against the stockholders or officers of any such corpora- -6 tion, or to revive any charter previously annulled or cor- -7 poration previously dissolved, or to make valid any de- -8 fective organization of any of the supposed corporations 9 mentioned in said first section.

1 Section 3. Suits upon choses in actions arising out of 2 contracts sold or assigned by any corporation dissolved 3 by this act may be brought or prosecuted in the name of 4 the purchaser or assignee. The fact of sale or assignment 5 and of purchase by the plaintiff shall be set forth in the 6 writ or other process; and the defendant may avail him- -7 self of any matter of defense of which he might have 8 availed himself in a suit upon the claim by such corpora- -9 tion, had it not been dissolved by this act.
