The board (the “Board”) of directors (the “Directors”) of Company Limited (the “Company”) hereby announces that in view of the requirements of the Articles of Association of the Company (the “Articles of Association”), the Board and the supervisory (the “Supervisors”) committee of the Company (the “Supervisory Committee”) proposed to carry out the re-election and appointment of their members. On August 29, 2017, the 31st meeting of the fourth session of the Board approved the resolution regarding the proposed nomination of Mr. Gao Yunlong, Mr. Ge Haijiao, Mr. Xue Feng, Mr. Ju Hao, Mr. Yin Lianchen, Mr. Chan Ming Kin, Mr. Xu Jingchang, Mr. Xiong Yan, Mr. Li Zheping and Mr. Au Sing Kun as the candidates for the Directors of the fifth session of the Board for election at the 2017 fourth extraordinary general meeting (the “EGM”). On August 29, 2017, the 17th meeting of the fourth session of the Supervisory Committee approved the resolution regarding the proposed nomination of Mr. Liu Jiping, Mr. Zhang Jingcai, Mr. Wang Hongyang, Mr. Zhu Wuxiang and Mr. Zhang Limin as the candidates for the Supervisors of the fifth session of the Supervisory Committee for election at the EGM.

I. Nomination of Candidates for the Directors of the Fifth Session of the Board

Pursuant to the consideration and approval by the remuneration, nomination and credentials committee of the Company and the consideration and approval at the 31st meeting of the fourth session of the Board held on August 29, 2017, the candidates for the Directors of the fifth session of the Board proposed and nominated by the Board are as follows:

The above candidates for the Directors of the fifth session of the Board will be considered and approved at the EGM to form the fifth session of the Board. The biographies of the above candidates for the Directors of the fifth session of the Board and other information related to their appointments are set out in the Appendix I to this announcement.

The Articles of Association provides that the Board shall comprise 13 members. After being considered and approved by the EGM, the aforesaid candidates for Directors shall form the fifth session of the Board and the three other candidates for Directors remain to be nominated in accordance with the relevant procedures. Following the expiry of the term of the current session of the Board on September 15, 2017, the relevant Directors shall continue to perform their duties before the candidates for the Directors being elected at the EGM and having obtained the relevant qualifications for their positions.

Except for Mr. Ju Hao, the aforementioned candidates for the Directors have obtained the qualifications for their positions in accordance with the Administrative Measures for Qualifications of Directors, Supervisors and Senior Management of Securities Companies (《證券公司董事、監事和高級管理人員任職資格監管辦法》 ). The qualification of the position of Mr. Ju Hao is subject to approval.

If appointed, the aforementioned proposed Directors will enter into Director’s service agreements with the Company, with their term of office commencing on the date when the resolutions on their respective appointments as Directors are approved at the EGM and ending on the expiry of the term of the fifth session of the Board, and they shall be eligible for re-election and re-appointment upon the expiry of the term. The remuneration of the executive Directors is determined by the remuneration system of the Company, and the remuneration, nomination and credentials committee of the Company is responsible for considering the annual performance-based compensation distribution plan of the management and submitting the same to the Board for final approval. The non-executive Directors do not receive remuneration from the Company. The annual remuneration of the independent non-executive Directors is expected to be RMB100,000 (tax exclusive).

2 To the best knowledge of the Directors and save as disclosed in this announcement, the aforementioned proposed Directors did not hold any directorship in the last three years in any other public companies, the securities of which are listed on any securities market in Hong Kong or overseas; and they do not have any relationship with any Director, Supervisor, senior management or substantial or controlling shareholder of the Company and their respective subsidiaries nor do they hold any position with the Company or any of its subsidiaries. Save as disclosed in this announcement, the aforementioned proposed Directors have confirmed that there is no information that is required to be disclosed pursuant to the requirements set out in Rules 13.51(2) (h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”), nor is there any matter that needs to be brought to the attention of the shareholders of the Company. They have also confirmed that they have not been subject to any penalty by the China Securities Regulatory Commission (“CSRC”) or other related departments or punishment by any stock exchanges.

Mr. Xu Jingchang, Mr. Xiong Yan, Mr. Li Zheping and Mr. Au Sing Kun as candidates for independent non-executive Directors have confirmed their independence to the Company in accordance with Rule 3.13 of the Listing Rules. The Board is also of the view that each of them meets the independence guidelines set out in Rule 3.13 of the Listing Rules and is independent pursuant to the terms thereof.

II. Nomination of Candidates for the Supervisors of the Fifth Session of the Supervisory Committee

The Company convened the 17th meeting of the fourth session of the Supervisory Committee on August 29, 2017 at which the resolution regarding the election of members of the fifth session of the Supervisory Committee of the Company was considered and approved. Mr. Liu Jiping, Mr. Zhang Jingcai, Mr. Wang Hongyang, Mr. Zhu Wuxiang and Mr. Zhang Limin were nominated as candidates for the Supervisors of the fifth session of the Supervisory Committee and list of these candidates will be proposed to the EGM for consideration and approval.

The above candidates for the Supervisors for the fifth session of the Supervisory Committee will be considered and approved at the EGM. The biographies of the above candidates for the Supervisors for the fifth session of the Supervisory Committee and other information related to their appointments are set out in the Appendix II to this announcement.

The aforementioned candidates for the Supervisors have obtained the qualifications for their positions in accordance with the Administrative Measures for Qualifications of Directors, Supervisors and Senior Management of Securities Companies (《證券公司董事、監事和高級 管理人員任職資格監管辦法》).

(“Everbright Bank”) (a company listed on Shanghai Stock Exchange (“SSE’) and the Stock Exchanges respectively, stock codes: 601818 and 6818) since December 2014, a non-executive director and vice chairman of China Everbright Holdings Co., Ltd. since November 2016, a director of Sun Life Everbright Life Insurance Co., Ltd. since October 2014, and a master supervisor of the PBC School of Finance of Tsinghua University since April 2014. Mr. Gao served as the deputy mayor of Baise City of the Guangxi Zhuang Autonomous Region from October 2002 to May 2007, the vice chairman and chairman of the Guangxi Zhuang Autonomous Region’s regional committee of the China Democratic National Construction Association from September 2004 to December 2007. He served as the vice governor of Qinghai Province from December 2007 to November 2013, the chairman of the Qinghai provincial committee of the China Democratic National Construction Association from April 2009 to December 2014 and the chairman of the Beijing China National Democratic Construction Association since June 2017. He served as the chairman of China Everbright Industrial (Group) Co., Ltd. from January 2014 to January 2015. Mr. Gao was a member of the 11th and 12th Chinese People’s Political Consultative Conferences.

Mr. Gao graduated from the chemical technology department of East China Institute of Chemical Technology (currently known as East China University of Science and Technology) majoring in engineering in July 1982. He received a master’s degree in engineering from East China Institute of Chemical Technology in June 1985 and a doctorate in engineering from Tsinghua University in December 1989.

Mr. Ge Haijiao, born in 1971, holds the qualification of senior economist. He has been a non- executive Director since March 2017. Mr. Ge has served as a member of the party committee of Everbright Group since October 2016, a deputy general manager of Everbright Group since December 2016, a director and the chairman of China Everbright Industrial (Group) Co., Ltd. since January 2017 and head of Everbright Group Shanghai headquarter since June 2017. Mr. Ge was a clerk, secretary of office, assistant to the general manager, deputy general manager and the general manager of the international business department of Liaoning branch of Agricultural Bank of China Limited (the “Agricultural Bank of China”) and the secretary of the party committee and the governor of Liaoyang branch of Agricultural Bank of China from July 1993 to July 2005, a member of the party committee and a vice governor of Dalian branch of Agricultural Bank of China from July 2005 to April 2009, the general manager of Singapore branch of Agricultural Bank of China from April 2009 to October 2011, a deputy general manager (at the level of departmental general manager) of the international business department of the Agricultural Bank of China from October 2011 to March 2014, the deputy secretary of the party committee (in charge of works) of Heilongjiang branch of Agriculture Bank of China and an overseas senior management of Sydney branch of Agricultural Bank of China from March 2014 to May 2014, and the governor of Heilongjiang branch of Agricultural Bank of China and an overseas senior management of Sydney branch of Agricultural Bank of China from May 2014 to October 2016.

5 Mr. Ge received a bachelor’s degree in economics and a bachelor’s degree in law from Liaoning University in July 1993, a master’s degree in economics from Jilin University in June 1999, a master’s degree in management from Nanjing Agricultural University in November 2000 and a doctorate in management from Nanjing Agriculture University in December 2008.

Mr. Xue Feng, born in 1967, has been the president of the Company since January 2014 and the chairman of the Company since November 2016, and the deputy director of the Shanghai Headquarters of Everbright Group since June 2017. Mr. Xue is the member of remuneration, nomination and credentials committee and strategies and development committee of the Company. Mr. Xue has been the chairman of Everbright Securities Financial Holdings Limited since June 2014, the chairman of Everbright Easecreate Network Technology Co., Ltd. since August 2015, the chairman of Sun Hung Kai Financial Limited since July 2015, a director of China Securities Credit Investment Co., Ltd. since May 2015. Mr. Xue held various positions from April 1990 to October 2003, including deputy office supervisor of the Dalian branch of the People’s Bank of China, chief liaison for the Financial Times with the Dalian Journalist Station, deputy branch director of the Dalian Development Zone branch and vice director of Dalian Development Zone branch of the State Administration of Foreign Exchange of the PRC. He served as the director of general office and deputy director of the Dalian office of China Banking Regulatory Commission from October 2003 to June 2009 and deputy director of the general office of Everbright Group from June 2009 to November 2011. He also served as vice mayor of Jingmen City, Hubei Province from June 2010 to June 2011. Mr. Xue served as a vice president of the Company from June 2012 to January 2014, a vice chairman of the Company from September 2014 to November 2016. Mr. Ju Hao, born in 1959, holds the qualification of economist. Mr. Ju has been working with Central Huijin Investment Ltd. since July 2015. He has been a director of Everbright Group since June 2015 and a director of China Everbright Industry (Group) Co., Ltd. since September 2015. Mr. Ju successively served as a deputy director of corporate finance asset accounting regulatory management department (企業財務資產會計法規處) and general affairs department, and the director of the second division of the department of treaty and law of the Ministry of Finance from August 1989 to December 1995. Mr. Ju has successively served as a deputy director (director level), director of research division and assistant counsel of the economic department of the Liaison Office of the Central People’s Government in the Hong Kong Special Administrative Region from December 1995 to July 2002. He served as an assistant counsel of the department of treaty and law, deputy counsel of the education, science and culture division and counsel of the social security division of the Ministry of Finance from July 2002 to July 2015.

6 Mr. Yin Lianchen, born in 1966, has been a non-executive Director since September 2014. Mr. Yin is a member of risk management committee of the Company. Mr. Yin has been the chief investment officer and a member of the management decision committee of (“Everbright Limited”) (a company listed on the Stock Exchange, stock code: 165) since April 2012, an executive director and a member of the executive committee and the strategy committee of Everbright Limited since June 2017, and a supervisor of Everbright Bank since December 2014. Mr. Yin previously served as general manager of the human resources and general administrative department, director of the corporate planning and communications department, general manager of the insurance agency department and general manager of the corporate planning and communications department of Everbright Limited from April 2002 to May 2006. Mr. Yin worked as chief representative of America Moody KMV Company (China) from June 2006 to November 2007, vice president of Beijing Yangde Investment Co., Ltd. from November 2007 to April 2009, director of the general division of the general office of Everbright Group from April 2009 to March 2011 and assistant general manager and member of the management committee of Everbright Limited from March 2011 to March 2012.

Mr. Chan Ming Kin, born in 1969, has been a non-executive Director of the Company since November 2014. Mr. Chan is the member of audit committee and strategies and development committee of the Company. Mr. Chan joined Everbright Limited since December 2007 and now serves as its chief legal counsel and company secretary and is a member of its investment decision committee. Mr. Chan joined the Company in July 2008 and served as a Supervisor of the Company from July 2008 to October 2014. Mr. Xiong served as director, president and chairman of Beijing Property Rights Exchange Co., Ltd. from February 2004 to December 2013, chairman of Beijing Environment Exchange from August 2008 to January 2011, an independent director of Cachet Pharmaceutical Co., Ltd. Mr. Liu Jiping, born in 1964, has been a chief Supervisor since June 2005. Mr. Liu served as a Director of the Company from September 2002 to June 2005. Mr. Liu served as a director of Everbright Group from June 2002 to December 2014, deputy director and director of the audit department of Everbright Group from February 2002 to May 2014. He also served as a supervisor of China Everbright Investment and Assets Management Co., Ltd. from December 2003 to July 2014, chief supervisor of Shanghai Everbright Convention & Exhibition Center Co., Ltd. from December 2004 to October 2006 and a director of Everbright Financial Holding Asset Management Co., Ltd. from September 2011 to July 2014. Mr. Liu has also served as deputy director and director of the investment and audit division of the National Audit Office of the PRC from February 1997 to September 2000.

Mr. Liu received a bachelor’s degree in engineering from Huainan Mining Institute (currently known as Anhui University of Science and Technology) in July 1986, a master’s degree in economics from Nankai University in January 1997 and a master’s degree in science from the University of Strathclyde in the United Kingdom in November 2001. He successively served as an associate, assistant manager, manager, senior manager and partner of KPMG Huazhen LLP from August 2001 to October 2016.

Mr. Wang received a bachelor’s degree in literature from Beijing Foreign Studies University. Mr. Wang is currently a non-practising member of the Chinese Institute of Certified Public Accountants.

9 Mr. Zhu Wuxiang, born in 1965, has been an external Supervisor since September 2014. He served as the chairman of the board of supervisors of Unisplendour Corporation Limited (a company listed on SZSE, stock code: 000938) from May 2002 to May 2015 and as a supervisor since May 2015. He has also served as a professor and doctoral supervisor of the department of finance of the School of Economics and Management of Tsinghua University since December 2002, an independent non-executive director of Beijing Properties (Holdings) Limited (a company listed on the Stock Exchange, stock code: 0925) since January 2011, an independent non-executive director of ZTE Corporation (a company listed on the SZSE and the Stock Exchange, respectively, stock codes: 000063 and 763) since March 2016, an independent director of China Fortune Land Development Co., Ltd. (a company listed on SSE, stock code: 600340) since December 2013, an independent non-executive director of Dong Xing Securities Co., Ltd. (a company listed on SSE, stock code: 601198) since May 2014, an independent non-executive director of China Cinda Asset Management Co., Ltd. (a company listed on the Stock Exchange, stock code: 01359) since October 2016. He served as an independent director of Rongxin Power Electronic Co., Ltd. Mr. Zhu received a bachelor’s and a master’s degree in engineering and a doctorate in economics from Tsinghua University in Beijing in July 1987, December 1989 and January 2003, respectively.

Mr. Zhang Limin, born in 1955, has been an external Supervisor since September 2014. He has been an accounting professor at Beijing Jiaotong University since February 2009 and a member of the disciplinary committee of the Chinese Institute of Certified Public Accountants since December 2010. Mr. Zhang has been an independent director of Shenzhen Centralcon Investment Holdings Co., Ltd. (a company listed on SZSE, stock code: 000042) since October 2013, an independent director of Golden (Group) Co., Ltd. (a company listed on SSE, stock code: 600383) since April 2014 and an executive member of the China Audit Society since December 2014. Mr. Zhang was a professor at the Management School of Sun Yat-sen University from September 2001 to February 2009, vice chairman of the China Audit Society from January 2005 to December 2014, an independent director of Shenzhen Expressway Company Limited (a company listed on SSE and the Stock Exchange respectively, stock codes: 600548 and 548) from January 2009 to December 2014, an independent director of Tianjin Benefo Tejing Electric Co., Ltd. (a company listed on SSE, stock code: 600468) from April 2009 to March 2015 and an independent director of Guangzhou Hangxin Aviation Technology Co., Ltd. (a company listed on SZSE, stock code: 300424) from April 2015 to January 2016.
