ULTIMATE TEAMMATES CONTEST OFFICIAL CONTEST RULES and REGULATIONS (“Official Rules”) ULTIMATE TEAMMATES CONTEST OFFICIAL CONTEST RULES AND REGULATIONS (“Official Rules”) NO PURCHASE NECESSARY. THIS CONTEST IS SUBJECT TO ALL APPLICABLE CANADIAN FEDERAL, PROVINCIAL AND MUNICIPAL LAWS AND REGULATIONS AND IS VOID WHERE PROHIBITED BY LAW. PARTICIPATION IN THIS CONTEST CONSTITUTES FULL AND UNCONDITIONAL AGREEMENT WITH AND ACCEPTANCE OF THESE OFFICIAL RULES. (1) CONTEST PERIOD: The Ultimate Teammates Contest (the “Contest”) begins at 9:00 a.m. Eastern Time (“ET”) on Wednesday, February 27, 2019 and ends at 11:59 p.m. ET on Sunday, March 10, 2019 (the “Contest Period”). (2) ELIGIBILITY: The Contest is only open to legal residents of Ontario who are nineteen (19) years of age or older and living within Ontario (the “Territory”) at the time of entry (each an “Entrant”). Employees and the immediate families (including those with whom they are domiciled) of Maple Leaf Sports & Entertainment Partnership (“MLSE”), Smucker Foods of Canada Corp. (“Smucker”) (together with MLSE, the “Contest Sponsors”), the Toronto Raptors, the National Basketball Association and its member teams (“NBA”), NBA Properties Inc., NBA Media Ventures LLC (together, the “NBA Parties”), and each of their respective parent companies, subsidiaries, affiliates, directors, officers, governors, agents, their advertising and promotional agencies (together with Contest Sponsors, the “Released Parties”) are not eligible to enter the Contest. For purposes of this Contest, “immediate family members” shall include the mother, father, brothers, sisters, daughters, sons, partner or spouse of an individual (regardless of where any such “immediate family member” resides). Determinations of eligibility shall be made in the sole discretion of the Contest Sponsors. (3) HOW TO ENTER: NO PURCHASE NECESSARY. During the Contest Period, each Entrant must complete the following steps to obtain an entry (each, an “Entry”) into the Contest: • Visit www.raptors.com/ultimateteammatesFollow the links to the Contest entry page; Deleted: ;¶ • Fill in required information, including but not limited to, name, address, phone number, email address, age, etc.; and • Click ‘SUBMIT’. There is a limit of one (1) Entry per person during the Contest Period. If it is discovered by the Contest Sponsors that any person has used or attempted to use multiple names, identities, email addresses or any automated, macro, script, robotic or other system(s) or program(s) to enter the Contest more than once or to otherwise participate in or disrupt this Contest or to tamper with the website, they may be disqualified from the Contest. The Contest Sponsors reserve the right, in their sole discretion, to require proof of identity or eligibility in a form acceptable to the Contest Sponsors: (i) for the purposes of verifying an Entrant’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of an Entry entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Contest Sponsors deem necessary, in their sole discretion, for the purposes of administering this Contest in accordance with these Official Rules. Failure to provide such proof to the satisfaction of the Contest Sponsors in a timely manner may result in disqualification of the Entrant in the sole discretion of the Contest Sponsors. By entering the Contest, each Entrant agrees to be bound by the Official Rules and the decisions of Contest Sponsors, which are final with respect to all matters relating to the Contest. All Entries must be submitted from a valid e-mail account. The potential winner of the Prize (the “Selected Entrant”) may also be requested to provide the Contest Sponsors with reasonable proof that the Selected Entrant is the Authorized Account Holder of the account associated with the selected Entry. In the event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be submitted by the Authorized Account Holder in whose name the account is registered, provided that person meets all other eligibility criteria of this Contest. "Authorized Account Holder" shall mean the natural person assigned to an email address and/or telephone number by an Internet access provider, online service provider, telephone service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. (4) PRIZE: There is one (1) prize (the “Prize”) available to be won during this Contest. The Prize consists of the following: • Two (2) tickets to the Toronto Raptors regular season home game at the Scotiabank Arena, located at 40 Bay Street, Toronto, Ontario on March 13, 2019 (specific seat location to be determined by Contest Sponsors); • One (1) one-hundred and fifty-dollar ($150) gift card to Real Sports Bar & Grill Restaurant, located at 15 York Street, Toronto, Ontario, redeemable on March 13, 2019 (for food and non- alcoholic beverages only); • One (1) Pascal Siakam jersey and one (1) Fred Vanvleet jersey (specific sizes and styles to be determined by Contest Sponsors); and • One (1) 500 mL jar of Smucker’s Pure Strawberry Jam and one (1) 1 kg jar of Jif Creamy Peanut Butter, each with custom labels autographed by Fred VanVleet and Pascal Siakam. The approximate retail value of the Prize is CAD $1,038.00. The Prize Winner is not entitled to any difference between the actual retail value of the Prize and the approximate retail value of the Prize as stated herein. The Winner must follow all directions of the Contest Sponsors with respect to the Prize or any aspect thereof. Failure to do so may result in termination of participation, or continued participation, in the Prize or any aspect thereof. The Prize outlined above must be accepted as awarded, without substitution, and is not transferrable, refundable, for resale or, where applicable, convertible to cash. The Contest Sponsors reserve the right, in the event that a Prize, or any component of a Prize, cannot be awarded as described herein for any reason, to substitute the same for another prize or component of equal or greater value, without notice or liability. In the event that a substitute prize is awarded, such prize must be accepted as awarded and cannot be exchanged for cash (where applicable) or otherwise. The odds of winning a Prize will depend on the number of eligible entries received during the Contest Period. (5) WINNER SELECTION: On Monday, March 11, 2019 at approximately 10:00 a.m. ET, a random draw from amongst all eligible Entries received during the Contest Period will be conducted at the offices of MLSE (50 Bay Street, Suite 500, ON, Canada M5J 2L2). The Selected Entrant will be contacted by a Contest Sponsor following the draw via email at the email address used by the Selected Entrant to enter the Contest. If a Selected Entrant cannot be contacted or does not respond to the Contest Sponsor’s email message within twenty-four (24) hours of the first point of contact (or attempt) by the Contest Sponsor, he/she will be considered to have forfeited his/her Prize and will be disqualified and another Entrant may be selected from the remaining eligible Entries until such time as contact is made with a Selected Entrant, there are no more eligible Entries, or there is insufficient time to award the Prize, whichever comes first. In the event that an alternate Entrant is required to be selected, this same Winner Selection process will apply to such alternate Entrant. The Contest Sponsors will not be responsible for failed attempts to contact a Selected Entrant. (6) CLAIMING YOUR PRIZE Upon successful contact with the Selected Entrant via email, the Selected Entrant will be required to correctly answer a mathematical skill-testing question, without aid or assistance, and completes, sign and return a Declaration, Release and Waiver Form (the “Release Form”) confirming compliance with the Official Rules, acceptance of the Prize as awarded, without substitution, and releasing the Released Parties from any liability in connection with the Prize or the Contest before being granted the Prize. If the Selected Entrant does not meet all of the Contest requirements, fails to correctly answer the skill- testing question, or does not sign and return the Release Form to the Contest Sponsor within the time frame specified therein, that Selected Entrant will forfeit his/her Prize and the Contest Sponsor shall be entitled (but not obligated) to select another Entrant from the remaining eligible Entries until such time as contact is made with an Entrant, there are no more eligible Entries, or there is insufficient time to award the Prize, whichever comes first. In the event that an alternate Selected Entrant is required to be selected, the same above-noted process will apply. The Contest Sponsors are not responsible, whether as a result of human error or otherwise, for any failure to contact any Selected Entrant. (7) SUPREMACY OF RULES In the event of a conflict between the Official Rules and any instructions or interpretations of these Official Rules given by an employee of a Contest Sponsor regarding the Contest, these Official Rules shall prevail. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Contest-related materials, the terms and conditions of these Official Rules shall prevail, govern and control. (8) INDEMNIFICATION By submitting an Entry into this Contest, each Entrant confirms
