A  To understand first the approved process of the complete flow of steps for conducting the event for any major mineral block (Pre-auction events, then e-Tender with IPO, then online ToE by TC members for evaluation and lastly forward auction for technically qualified bidders after evaluation).  To conduct the forensic audit towards complete event of Bunder Diamond Block electronic transaction in MSTC e- auction ecosystem.  Collection of logs from various ingress and egress points required for investigation like Server logs, Network logs etc. which are relevant for the investigation  Submission of report is to be placed within 14 days from the date of issue of Work Order by MSTC.

3 | P a g e ANNEXURE –I I Pre-qualification Criteria/Eligibility Criteria

 The bidder shall be a firm /Company/partnership / proprietorship concern registered under relevant Indian laws & who have its registered office in India.

 The bidder (proprietor/firm) should have experience of at least 5 years as on 30.06.2020 in the field of forensic audit work.

 The bidder (proprietor/firm) should be approved by Quality Council of India / CERT-In or any other international bodies in IT security / forensic audit/ event and incident management.

 The bidder shall have experience of providing at least three (3) completed Forensic Auditing services/IT security including event incident investigation to Central Govt./ State Govt./ PSUs/ Govt. bodies in India in the last five years.

 The bidder should have at least two (2) qualified digital forensic Specialists with minimum 5 years of experience preferably handling the cases relating to ecommerce portal.

 At the time of bidding, bidder should not have been Blacklisted by any Central Govt./ State Govt. / PSU / Govt. Bodies. Any wrong/false information/declaration in this regard shall make the bid liable to be cancelled at the sole discretion of MSTC LIMITED. The bidder shall also be liable to compensate any loss suffered for such cancellation decision by MSTC LIMITED.,

Bidders who do not comply with the conditions with documentary proof (wherever required) will not qualify in the Tender for opening of price bid.

1. Process of E-tender: A) Registration: The process involves vendor’s registration with MSTC e- procurement portal which is free of cost. Only after registration, the vendor(s) can submit his/their bids electronically. This submission of bids shall be done over the internet. The Vendor should possess a valid Class III signing and encryption type digital signature certificate. Vendors are to make their own arrangement for bidding from a computer connected with Internet. d. Please follow the guides for ‘Uploading encryption public key’ and ‘Bidding’ under ‘Download Guides’ available in the Dashboard before proceeding to submit bid.

e. The bidders may upload the bidding related documents in the link ‘My Documents’. The documents uploaded here shall be available for attaching with this event in the Bid Floor.

f. In order to submit bid, a vendor has to go to ‘Events’ from the menu and select ‘Bid Floor’. The vendor has to select the buyer ‘MSTC Limited’ from the buyer

6 | P a g e list in order to view the live events list. The correct event has to be selected from the event list for participation. A vendor has to submit ‘Event wise bid details’ that may consist of ‘Common Terms’ and/ or ‘Document Attach’. A vendor has to save the Common Terms and/ or attach documents by clicking the respective buttons. Once the event specific bids are saved, the status is updated in ‘Event specific bid status’ and the ‘Item specific bid’ button appears on the bid floor. Thereafter vendor has to click button under ‘Technical Cover’ in order to save the technical bid for specific lots. Once the technical bid is saved, the ‘Price Cover’ button appears on the screen for respective lots. Once price bid is saved, the vendor has to click on ‘Final Submit’. On final submission of bid, the status of the bid submission shall display ‘Bid submitted’ under ‘Item specific bid status’. A vendor shall receive system generated mail.

NOTE: - The bid cannot be revised once the Final Submit button has been clicked by the bidder. However, if the bidder wishes to change his bids then he may delete the bid and re- submit the same. g. In all cases, bidder should use their own ID and Password along with Digital Signature at the time of submission of their bid.

h. During the entire e-tender process, the bidders will remain completely anonymous to one another and also to everybody else.

i. The e-tender floor shall remain open from the pre-announced date & time and for the duration mentioned above.

j. All electronic bids submitted during the e-tender process shall be legally binding on the bidder. Any bid will be considered as the valid bid offered by that bidder and acceptance of the same by Buyer will form a binding contract between Buyer and the Bidder.

k. It is mandatory that all the bids are submitted with digital signature certificate otherwise the same will not be accepted by the system.

l. Buyer reserves the right to cancel or reject or accept or withdraw or extend the tender in full or part as the case may be without assigning any reason thereof.

The bidder shall also be liable to compensate any loss suffered for this indiscretion to MSTC LIMITED. 8 Evaluation Criteria: AGREE (i) After opening of bids, Techno Commercial Bids of the bidders shall be evaluated. Price Bids of only such bidders shall be opened who are found to be technically qualified in all respects. (ii) Bidder quoting the lowest overall composite price (Sum of items A in price bid formats) shall be declared as L1 bidder subject to the provisions of MSME clause as per annexure VII and other relevant clauses. (iii)In case of a tie of evaluated cost between two or more bidders, discount may be taken from all the lowest bidders. In case there is still a tie the bidder with the maximum turnover calculated on the basis of annual turnover of the last three preceding year may be ordered the full quantity/declared winner. (CA Certificate or Audited balance sheets along with Bank solvency certificate to be uploaded for last three Years.) 9 PAYMENT TERMS: 100% payment would be released on AGREE successful submission of audit report & bill with document(s) proof as per the stipulated time-frame. The payment is also subject to submission of Non-disclosure Agreement (NDA) & signing of integrity pact as per the ANNEXURE – I requirement. 10 The bidder must submit a certificate of no conflict through AGREE authorized signatory confirming that there would be no conflict of interest with MSTC LIMITED. Bids of any bidder may be rejected if a conflict of interest between the bidder and MSTC is detected at any stage. (A certificate of no conflict through authorized signatory shall be uploaded by the bidder on its letter head) 11 No cognizance shall be taken for references by the bidder AGREE to various clauses of Contract/ tenders awarded earlier by MSTC. 12 MSTC takes no responsibility for delay, loss or non-receipt AGREE of documents sent by post/ courier at any time. No financial obligation shall accrue to MSTC LIMITED in such an event. 13 MSTC may at its sole discretion amend the Bidding AGREE Documents at any time prior to the deadline for submission of bids. However, in case of such amendment, the bid

10 | P a g e submission date may be extended at the discretion of MSTC. Any amendment/corrigendum, as and when required, will be uploaded only on the website of the company www.mstcindia.co.in and related Government of India e-procurement websites where the e-tender is floated. It shall be duty of the bidders to be observant to such developments. 14 Any additional cost not mentioned in the offer has to be AGREE borne by the bidder; MSTC LIMITED will not pay anything extra other than as agreed between the parties at the time of finalizing the contract. 15 INTEGRITY PACT: This tender will be governed by the AGREE Integrity Pact as available in MSTC’s website www.mstcindia.co.in, it is suggested that the bidder downloads and go through the documents before bidding. All contracts/order and transactions arising out of this tender shall be governed by the said Integrity Pact. The integrity pact has to be signed and submitted if the order is awarded to the bidder. 16 VALIDITY OF THE OFFER: Offer should be valid for 90 days AGREE from the date of close of tender. 17 Taxes & Duties: Price should be inclusive of all AGREE charges/taxes but exclusive of GST which will be payable extra as applicable. 18 Delivery Period: Submission of audit report is to be placed AGREE within 14 days from the date of issue of Work Order by MSTC.

19 NDA on awarding of the order by MSTC: NDA (Non- AGREE Disclosure Agreement) is required to be executed forthwith by the successful bidder with MSTC Ltd. to the satisfaction of MSTC Ltd. for the entire duration of the stipulated contract period. 20 Prices are to be quoted in Indian Rupee and as per the AGREE agreed price format only. 21 The bidder must have all the necessary AGREE license/certificates/tax clearance certificates from concerned authorities for carrying forensic audits/ execution of similar projects and shall be liable to furnish them on demand by MSTC LIMITED or by the authorities concerned.

11 | P a g e 22 CONFIDENTIALITY: The selected bidder shall not directly or AGREE indirectly divulge/ disclose/circulate /deliver/copy in any manner whatsoever to any person/s, any information/documents/papers/or in any other form which may come to the bidder relating to, during or after the performance of this contract, in any way or be communicated to the bidder or made available or accessible to the bidder by their men, agents, principals and the bidder are required to maintain utmost confidentiality with others in performance of obligations under this contract or if the said information is considered by MSTC to be confidential, secret or proprietary including, but not limited to information concerning know-how, pricing, technology etc. 23 LIQUIDATED DAMAGES: If the bidder fails to execute the AGREE contract in time or to the satisfaction of MSTC in any manner, MSTC may impose any or all of the following: For any delay in completion of the task beyond the time period specified in the order, MSTC shall, without prejudice to its other remedies under the contract, deduct by way of liquidated damages from the contract value, a sum equivalent to ½%(half percent) of the contract value for every week of delay, up to a maximum of 10(ten) % of the contract value. The value will be deducted at the time of releasing of the payment on submission of bill by the bidder. 24 FORCE MAJEURE: Neither MSTC nor the selected bidder AGREE shall be liable to meet contractual obligations under this Agreement for delays due to operation of any force majeure condition or event. Force Majeure shall mean unforeseeable circumstances beyond the reasonable control of a party such as Act of God, Strike, War or war like conditions, mobilizations, riots, sabotage, terrorism, quarantine restrictions,Lockdown,epidemic,acquisition or embargo or restriction by Government or any authority or actions, omissions, or interventions of public authorities (including but not limited to changes in laws /regulations or import/export security restrictions).The party affected by Force Majeure shall immediately inform the other part of the occurrence of the Force Majeure within seven days In

12 | P a g e case of Force Majeure an equitable adjustment in the time schedule shall be done accordingly by the parties hereto. 25 TERMINATION MSTC reserves right to cancel the AGREE agreement / contract with seven (7) days notice in case of unsatisfactory performance in their services or otherwise. In this regard MSTC's decision shall be final and binding. 26 NON – LIABILITY OF THE GOVERNMENT OF INDIA It is AGREE clearly understood and accepted by the parties hereto that Government of India is not a party to this Agreement in any way and no liability whatsoever attaches to the government in any manner arising out of any execution, performance, non-performance or otherwise of this Agreement by the parties hereto. 27 ARBITRATION: Any dispute or differences whatsoever AGREE arising out between the parties or relating to the construction, meaning, scope, operation of effect of this NIT or the resulting contract or the validity or the breach thereof shall be settled by arbitration of a Sole Arbitrator to be appointed mutually by the parties. If the parties fail to appoint sole arbitrator within 30 days of the invocation of the arbitration by any party, the same will be appointed as per the provisions of the Arbitration & Conciliation Act, 1996 (as amended). The Arbitration shall be governed by the provisions of the Arbitration & Conciliation Act, 1996(as amended) and Rules framed there under and the Award made in pursuance thereof shall be final & binding on the parties. The language of the Arbitration proceeding shall be English. The venue of the Arbitration shall be Kolkata. The cost of the Arbitration proceeding shall be borne equally by the parties to the Arbitration. 28 JURISDICTION: Subject to the above Arbitration AGREE agreement, both the parties viz MSTC Ltd and vendor(s) submit to the exclusive jurisdiction of the courts in Kolkata only as regards to any claims or matters arising under or in relation to the terms and conditions herein. The relevant Indian laws shall govern the Tender. 29 TRANSFERABLITY / SUB-CONTRACTING The bidder shall AGREE not assign, transfer, pledge or sub-contract the

13 | P a g e performance or services to any other party. /agency without the written permission of MSTC Ltd. 30 AMENDMENT TO NIT: If MSTC Ltd deems it appropriate to AGREE revise any part of this NIT or frame subsequent clauses to clarify an interpretation of the provisions of this NIT, it may issue supplements/amendments to this NIT at any time prior to the deadline for submission of the Bid. Such supplemental information, including but not limited to, any additional conditions, clarifications, minutes of meeting, official communication over email / post, etc. will be published in the website of MSTC Ltd. Any such supplement/ amendment shall be deemed to be incorporated by reference into this NIT. In order to allow bidders a reasonable time to take the amendment(s) into account in preparing their bids, MSTC Ltd., at its discretion, may extend the deadline for submission of the Bids. 31 SEVERABILITY: If any provision of this NIT is found to be AGREE illegal, invalid or otherwise not enforceable by any court of law, such finding shall not affect the remaining provisions hereto and they shall remain binding on the parties hereto 32 CONFIDENTIALITY OF PROCESS: Information relating to the AGREE examination, clarification, evaluation and comparison of bids, and recommendations for the award of the Work Order / Contract shall not be disclosed to Bidder (s) or any other persons not officially concerned with such process until the award to the successful Bidder(s). Mstc Ltd,. A central public sector Enterprise is included as Public Authority under the Right to Information Act, 2005 and as such disclosure of information may be made by MSTC Ltd., in appropriate cases. 33 MSTC Ltd reserves the right to reject any offer or all offers AGREE if the quotes are not submitted strictly as per the tender terms and cancel the tender without assigning any specific reasons whatsoever. 34 EMD Details (scan copy to be uploaded). CONCESSIONS TO MSME UNITS - As per the guidelines, issued by the Ministry of Micro, Small & Medium Enterprise (MSME), Government of India regarding concessions for Micro & Small Enterprise Units registered with District Industries Centres or Khadi & Village Industries Commission or Khadi & Village Industries Board or Coir Board or National Small Industries Corporation(NSIC) or Directorate of Handicrafts & Handloom or any other body specified by Ministry of Micro, Small & Medium Enterprise, have been considered by MSTC Ltd. for the following concessions.

(a) Supply of Tender Documents

The tender documents shall be issued to MSME bidders free of cost provided the tendered item is listed in the Registration Certificate of MSME. The MSE units registered with bodies as detailed above shall be given exemption from payment of Bid Security deposit provided the tendered item is listed in the Registration Certificate of MSME. (b) Exemption from payment of Bid Security /Earnest Money Deposit

The MSE units registered with bodies as detailed above shall be given exemption from payment of Bid Security deposit provided the tendered item is listed in the Registration Certificate of MSME. i) A proof regarding current registration with bodies as detailed above for the tendered items will have to be attached along with the bid. ii) The enlistment certificate issued by bodies as detailed above should be current & valid on the date of opening of bid.

(c) Reservation of Quantity

(i) 20 % of the Estimated Quantity /requirement in the tender shall be earmarked to be procured from MSEs provided their quoted price is within the band of LI+15%. Out of this quantity, a sub target of 4% is earmarked to be procured from SC/ST owned eligible MSMEs. In case of non- availability of SC/ST owned MSEs, this 4% quantity shall be offered to other MSMEs.

(ii) (ii)The participating MSEs in a tender, quoting price within the band of Ll+15% are also be allowed to supply a portion of the requirement by bringing down their price to the LI price arrived after tender evaluation. Such MSEs shall be ordered to supply up to 20 % of the total tendered value. In case of more than one such eligible MSE, the supply will be shared equally.

17 | P a g e (iii) However, the contract proposed to be awarded pursuant to this tender, being of indivisible nature, the same cannot be split up due to operational constraints towards performance of works. Accordingly, MSTC Ltd reserves the rights, in appropriate cases, to award the contract in whole to MSE unit, who may otherwise qualify in the tender by fulfilling the prescribed eligibility requirement as per paras hereinbefore stated / tender document, in preference to the other bidders.

Note: a) The Micro, Small & Medium Enterprises (MSME) must meet the Tender / auction terms. b) MSE Bidders are exempted from deposit of the EMD, if any.
