Approval Process The Company’s Vice President of Public Policy reviews and approves each political contribution and expenditure made with Company funds or resources to, or in support of, any political candidate, political campaign, political party, political committee, or public official in any country, or to any other organization for use in making political expenditures, to ensure that it is lawful and consistent with the Company’s business objectives and public policy priorities. The Company’s Senior Vice President for Global Corporate Affairs and the Senior Vice President and General Counsel review all political expenditures. In addition, the Audit Committee of the Board of Directors annually reviews this political contribution and expenditure policy and statement and a report on all of the Company’s political contributions and expenditures, including any contributions made to trade associations or 501(c)(4) social welfare organizations.

    News April 22, 2021 Quarterly Cannabis Report The 117th Congress is shaping up to be the year for cannabis reform. As of April 2021, 47 states, four U.S. territories and the District of Columbia have legalized medical cannabis, recreational cannabis or both. Many of these efforts can be contributed to Steve Fox, a true pioneer of the legalization movement. Fox, managing partner of VS Strategies, and godfather of the industry, paved the path for nationwide legalization efforts and was instrumental in cannabis reform throughout the country for decades. He was one of the first to politically advocate on behalf of medical and recreational cannabis legalization, advance decriminalization measures and promote reform and social justice. As an educator and leader, Fox will be remembered for his wisdom, knowledge and kindness, and his voice, perspective and presence will be dearly missed. VS Strategies welcome the celebration of Fox’s life through the sharing of thoughts and memories, and asks for respect and privacy for his family, friends and co-workers who are still reeling from this loss. FEDERAL CANNABIS PROPOSALS The SAFE Banking Act: On March 18, Rep. Ed Perlmutter (D-CO) reintroduced the Secure and Fair Enforcement (SAFE) Banking Act. H.R.1996 that creates a safe harbor for financial institutions to provide traditional banking services to cannabis and cannabis-related businesses in states that have legalized the drug and allows cannabis and cannabis- related businesses to access traditional banking services like lines of credit, loans and wealth management.

It followed one of the most unique and unpredict- Table legislative years in Tennessee history. Fifth-year Lieutenant Governor, Randy McNally and second-year House Speak- er Cameron Sexton were forced to make a number of difficult decisions about how they would welcome lawmakers back to Nashville in 2021 while balancing pandemic related precautions and the critical need to allow stakeholder interaction. When lawmakers reconvened on January 11th, strict COVID-19 precautions were being taken inside the Cordell Hull Legislative Office building and in the Tennessee State Capitol building. Senate hearing rooms were closed to the public and meetings with Senate members required an appointment and administrative clearance. The House began the session by allowing limited seating in committee rooms and outside the House chamber. Masks were required of guests and staff throughout the legislative session. Restrictions eased as the session progressed to a nearly normal level. The 2021 session followed 2020 elections which ushered in a total of 12 new lawmakers state wide; ten House members and two Senators. In the November elections, Senate Democrats experienced a net gain of one seat with the general election victory of former Nashville Metro Councilwoman, Heidi Campbell in Davidson County. In the House, Republicans held onto strong super majorities by maintaining 73 House seats.

    ALABAMA Lt. Governor Will Ainsworth Lieutenant Governor Will Ainsworth is a father, husband, and small business owner from Marshall County. Prior to entering public service, he worked as a youth pastor at Albertville’s Grace Fellowship Church and was a co-founder of Dream Ranch, one of the most recognized hunting and fishing lodges in the United States. He currently operates the annual Tennessee Valley Hunting and Fishing Expo, which draws more than 20,000 attendees each year. In 2014, Lt. Gov. Ainsworth felt the call to serve his community through elected office and won a seat in the Alabama House of Representatives, where he was a champion of public education, farming, and family values issues. Keeping a self-imposed legislative term limit promise, Ainsworth declared his candidacy for lieutenant governor in 2018 and received the most votes of any candidate for constitutional office on the general election ballot. Ainsworth, who is committed to providing quality public education to Alabama’s schoolchildren, is a strong supporter of the state’s nationally-recognized “First Class” prekindergarten program, which provides young learners with the skills and foundational knowledge necessary to excel in their K – 12 education. Focusing his efforts as lieutenant governor on improving workforce development so that Alabamians may fill and retain long-lasting, well-paying, 21st Century jobs, he also works to promote policies that allow both new and existing industries to expand in Alabama. Ainsworth was elected as national chairman of the Aerospace States Association and is a member of the Alabama Workforce Council. He also heads the Lieutenant Governor’s Small Business Commission and the Lieutenant Governor’s Commission on a 21st Century Workforce.
