St. Joe Community Foundation - Bay High School - Allied Health Program

The St. Joe Community Foundation has generously provided a grant to fund an Anatomage Virtual Dissection Table and two SimMan 3G Medical Simulators with training, accessories and warranties for Bay High’s Allied Health Program in the Bay High’s new STEM facililty.

The amount of the award is $309,208.00

Project AWARE: BRIDGES (Building Resiliency In Diverse Groups of Empowered Stakeholders) This five-year competitive grant, submitted by FLDOE, is a three-county collaborative effort including Bay, Jackson, and Gulf counties. This grant seeks to impact school climate and culture at participating schools through the implementation of systemic socio-emotional learning, direct services of a licensed mental health professional providing individual/group interventions, and stakeholder-included problem-solving. Competitive sub-award possible: $774,390.00 per year

School Improvement Grant Targeting Recidivism Funds to support activities at Cedar Grove and Waller Elementary to prevent them from returning to Comprehensive Support and Improvement status. The amount of the award is $52,050

Instructional Continuity Plans (Cares Act funding) Funds to support the development of the Instructional Continuity Plan. The amount of the award is $86,532

1. This section is to report the issuance of purchase orders made in accordance with School Board Policy 6.110.(15). This policy allows purchases in excess of $50,000 to be made and reported to the Board at its next regular meeting provided the purchase meets certain requirements.

TITLE 1 - DELL CHROMEBOOKS: This is to report the issuance of purchase orders to Dell Computers for 2,353 additional student Chromebooks for use at the Title 1 schools pursuant to Florida State Contract pricing. This request was initiated by Mrs. Genia Robinson, and Media Services and supported by Mrs. Denise Kelly, Deputy Superintendent of Teaching and Learning Services and will service 19 Title 1 sites. MIS department requested quotes from Dell Computers under contract pricing. This purchase includes GoGuardian, Google Chrome Education Software and warranties. We issued 19 purchase orders for 2,353 Dell Chromebooks at $694,158.53 ($295.01/each) and GoGuardian for Administrators for $29,200.73 ($12.41/each) and Google Chrome OS – Education license for $59,460.31 ($25.27/each). Total cost is $782,819.57. The funding source for these is FY 2021 Title 1 Roll Forward funds project 420.5100.644.9100.6998.RLFD.

2. RFP 21-02R WAN ACCESS TYNDALL ACADEMY: This RFP was issued in accordance with District policy and Universal Service Administrative Company (USAC) requirements for E-Rate reimbursement funding. USAC reimburses school districts up to 80% for technological improvements for education. The intent of this RFP is to increase Wide Area Network (WAN) bandwidth access to Tyndall Academy upgrade the 50MbPS current service to higher speed with potential of expansion in subsequent years. Three respondents met the terms of the RFP and were evaluated by a committee of MIS personnel. Evaluation was based on price, warranty, repair, statement of work and administrative abilities to perform service. The term of this Performance Service agreement shall be three (3) years, July 1, 2021 to June 30, 2024. Committee recommendation is to negotiate contract terms with the top ranked respondent AT&T.

3. RFP 21-05 E-Rate Internal Connections Switches Upgrade: Request approval to award RFP 21-05 contract to PC Solutions. This request was initiated by Mr. Jim Scantlin, Director of MIS. The purpose for RFP 21-05 is the replace/upgrade the core network switches in all the Elementary schools. This will bring the schools up to the same standard as the High and Middle schools which have been updated already. The new core switches will have better performance and reliability plus additional features that will meet the needs of future technologies in networking management and control.

Two respondents met the terms of the RFP and Lowest Corresponding Price (LCP) in accordance with USAC requirements. These were evaluated by a committee of MIS personnel on price, warranty, repair, statement of work and administrative abilities to perform service. Committee recommendation is to award contract terms with the top ranked respondent. Project will begin in July 2021 but requires awarding in March for USAC reimbursement. Funding will be provided in FY 2022 LCI funds. Total cost of $451,489.60.

This Addendum, which modifies the parties' Gift Agreement dated June 17, 2020 ("Gift Agreement"), is entered into between Gary Walsingham ("Walsingham"), the School Board of Bay County, Florida ("School Board"), and the Bay Education Foundation, Inc.("Foundation").

WHEREAS, the parties entered into the Gift Agreement relating to Walsingham's $1,000,000 donation to the Foundation on June 17, 2020 for use in the construction and outfitting of a new school under construction on Chip Seal Parkway in Panama City Beach, known as A. Gary Walsingham Academy ("School");

WHEREAS,the Gift Agreement dictates exclusive uses of Walsingham's donation;

WHEREAS, the School Board has identified additional uses for the donation that would enhance the School, and Walsingham wishes to allow the School Board greater flexibility in using the donated funds to enhance the School; and

WHEREAS,the parties wish to amend the Gift Agreement to allow the donated funds to be used for additional purposes.

NOW THEREFORE,the parties agree to amend the Gift Agreement as follows:

While the Walsingham donation shall only be used to enhance the School, it need not be exclusively used for the purchase of state-of-the-art science and technology equipment. At the discretion of the School Board, the Walsingham donation may also be used in any way that enhances the School.

All other terms and conditions of the Gift Agreement remain in full force and affect.

February 23, 2021 107 PROHIBITED ACTIONS ON SCHOOL PROPERTY 2.114

In order to ensure compliance with the Florida Clean Indoor Air Act, to set a positive example for students, and to promote good health for students and employees, no smoking or the use of tobacco products or electronic cigarettes shall be allowed in any facilities or on any real or personal property owned by or under the control of the Bay County School Board. No person shall be permitted to use tobacco products while at a school-sponsored event or on a school trip.

No person shall be permitted to use, to be in the possession of, or to be under the influence of an intoxicating liquor or controlled substance while on school property, at a school-sponsored event, or while on a school trip. Failure to comply with this rule by persons under the jurisdiction of the Bay County School Board shall result in disciplinary action. Failure to comply with this rule by persons not under the jurisdiction of the Bay County School Board shall be reported to the proper law enforcement authority.

In accordance with Florida law, no person, with the exception of law enforcement officers, School Guardians appointed by the Superintendent in accordance with §§ 30.15, 1006.12(3), Fla. Stat., and those authorized in support of school-sanctioned activities:

(a) shall possess any firearm, electric weapon or device, destructive device, or other weapon as defined in School Board Policy 7.203, including a razor blade or box cutter, at a school- sponsored event or on the property of any school, school bus, or school bus stop, except in a case to a firearms program, class or function which has been approved in advance by the principal or chief administrative officer of the school as a program or class to which firearms could be carried or in a case to a career center having a firearms training range. Firearms, electric weapons or devices, destructive devices, or other weapons as defined in School Board Policy 7.203, including razor blades or box cutters, are not permitted in vehicles on the property of any school. This policy is an express waiver of the rights contained in section 790.25(5), Florida Statutes, for the purposes of student and campus parking privileges and is adopted in accordance with section 790.251(7)(a), Florida Statutes.

(b) shall exhibit any sword, sword cane, firearm, electric weapon or device, destructive device, or other weapon as defined in School Board Policy 7.203, including a razor blade, box cutter, or common pocketknife, in the presence of one or more persons in a rude, careless, angry, or threatening manner and not in lawful self-defense at a school-sponsored event or on the property of any school, school bus, or school bus stop or within 1,000 feet of the real property that comprises a public or private elementary school, middle school, or secondary school, during school hours or during the time of a sanctioned school activity. This subsection does not apply to the exhibition of a firearm or weapon on private real property within 1,000 feet of a school by the owner of such property or by a person whose presence on such property has been authorized, licensed, or invited by the owner.

For the purposes of this section, “school” means any preschool, elementary school, middle school, junior high school, secondary school, career center, or postsecondary school.

For the purposes of this section, “firearm” is defined as any weapon (including a starter gun) which will, is designed to, or may readily be converted to expel a projectile by the action of an explosive; the frame or receiver of any such weapon; any firearm muffler or firearm silencer; any destructive device; or any machine gun.

Any person in violation of this policy shall be referred to law enforcement for possible criminal prosecution. Students shall be subject to the provisions of School Board Policy 7.203. This policy shall be interpreted in

February 23, 2021 108 a manner consistent with Florida law and any portions hereof in conflict with Florida law shall be severable and unenforceable.

CONTRACTS FOR ARCHITECTURAL, ENGINEERING, ARCHITECTURAL LANDSCAPING, AND LAND SURVEYING AND MAPPING SERVICES 6.102

In order to fully comply with the requirements of § 287.055, Fla. Stat., the following procedures shall be followed in selecting firms to provide professional architectural, engineering, architectural landscaping, and land surveying and mapping services, and in negotiating contracts for such professional services. Design professionals that are contracted for work with Bay District Schools must provide certificates of professional liability insurance for a minimum coverage of $1,000,000 per occurrence and $2,000,000 for annual aggregate.

A. Definitions. 1. "Professional services" means those services within the scope of practice of architecture, professional engineering, landscape architecture, or registered surveying and mapping, as defined by laws of the State of Florida or those performed by any architect, landscape architect, professional engineer, or registered land surveyor, or in connection with this professional employment or practice. 2. "Firm" means any individual, firm or partnership, corporation, association or other legal entity permitted by law to practice architecture, engineering, landscape architecture, or land surveying and mapping in the State of Florida. 3. "Compensation" means the total amount paid by the School Board for professional services. 4. “Professional Services Selection Committee" means the committee composed of Executive Director of Operations, the Executive Director of Facilities, the Supervisor of Maintenance, the General Manager of Purchasing & Contracting or designated representativePurchasing Agent, and a member assigned by the chair personchairperson of the Board. The person assigned to the PSSC by the chairperson of the Board, shall be a member of the Citizens Oversight Committee if the project for which the services are being selected is to be funded with proceeds from the half-cent sales tax. For projects not funded with proceeds from the half-cent sales tax, the chairperson of the Board shall select any interested party. The School Board Member assigned to the Facilities Department by the chairperson of the Board will also participate in all competitive selection procedures but will not have a vote. 5. A "continuing contract" is a contract for professional services entered into in accordance with all the procedures of this act between an agency and a firm whereby the firm provides professional services to the agency for projects in which the estimated construction cost of each individual project under the contract does not exceed $24 million, for study activity if the fee for professional services for each individual study under the contract does not exceed $200500,000, or for work of a specified nature as outlined in the contract required by the agency, with the contract being for a fixed-term or with no time limitation except that the contract must provide a termination clause. Firms providing professional services under continuing contracts shall not be required to bid against one another. 6. A "design-build contract" means a single contract with a design-build firm for the design and construction of a public project. 7. "Negotiate" or any form of that word means to conduct legitimate, arms length discussions and conferences to reach an agreement on a term or price. For purposes of this section, the term does not include a flat fee schedule with no alternatives or discussion.

B. Public Announcement and Qualification Procedures. Commented [HKH1]: My additions are because we say this includes “qualification procedures,” but we really don’t 1. At such times when the School Board finds it necessary to procure professional services, address that piece. the Board shall publish a legal advertisement in a newspaper circulated in Bay County, describing the project or projects requiring professional services and defining procedures on how interested professional firms may apply for consideration by the Board. Such advertisement shall be published at least fourteen (14) days prior to the closing date for beginning the selection process. In addition, the Board shall respond to all firms who have submitted previous written requests to be considered for such professional services.

2. Pursuant to § 287.055, Fla. Stat., the procedures of this section shall apply in all cases except in cases declared to be valid public emergencies as certified by the Chairman of the Board, based on recommendations and data supplied by the Superintendent.The provisions of Competitive Selection Procedures and Competitive Negotiations aboveherein shall apply only to projects and planning activities that are in excess of the thressholds set forth in §§ 287.055(3)(a)1., 287.017, Fla. Stat. Provided, however, that said provisions shall not apply in cases declared to be valid public emergencies as certified by the Chairperson of the Board, based on recommendations and data supplied by the Superintendent.

3. Any firm or individual desiring to provide professional services to the Board should first be certified by the Board as qualified pursuant to law and the regulations of the Board. The Board shall make a finding that the firm or individual to be employed is fully qualified to render the required service. Among the factors to be considered in making this finding are the capabilities, adequacy of personnel, past record, and experience of the firm or individual.

4. The evaluation process for professional services shall include, but not be limited to, capabilities; adequacy of personnel; past record; experience; location; recent, current, and projected workloads of the firms; and the volume of work previously awarded to each firm by the Board.

C. Competitive Selection Procedures.

1. Those firms who desire to provide professional services for a specific project shall submit proposals that comply with the advertisement to the Executive Director of FacilitiesOperations. Any firm or individual desiring to provide professional services to the Board should first be certified by the Board as qualified pursuant to law and the regulations of the Board. For each proposed project, the Professional Services Selection Committee (PSSC) composed of the Executive Director of Operations, the Executive Director of Facilities, the Supervisor of Maintenance, the General Manager of Purchasing & Contracting or designated representativePurchasing Agent, and a member assigned by the chair personchairperson of the Board shall evaluate each proposal to determine if it complies with the advertisement and the firm is qualified to perform the services and, if so, whether the proposal complies with the advertisement. The person assigned to the PSSC by the chairperson of the Board, shall be a member of the Citizens Oversight Committee if the project for which the services are being selected is to be funded with proceeds from the half-cent sales tax. For projects not funded with proceeds from the half-cent sales tax, the chairperson of the Board shall select any interested party. The School Board Member assigned to the Facilities Department by the chairperson of the Board will also participate in all competitive selection procedures but will not have a vote.

2. If more than three firms are deemed to meet the requirements of the advertisement and qualified to perform the services, the PSSC will short list to no less than three firms to make a public presentation regarding their qualifications, approach to the project, and ability to furnish the required services.

3. The PSSC shall select in order of preference no fewer than three firms deemed to be the most highly qualified to perform the required services. In determining whether a firm is qualified, the PSSC shall consider such factors as the ability of professional personnel; whether a firm is a certified minority business enterprise; past performance; willingness to meet time and budget requirements; location; recent, current, and projected workloads of the firms; and the volume of work previously awarded to each firm by the Board, with the object of effecting an equitable distribution of contracts among qualified firms, provided such distribution does not violate the principle of selection of the most highly qualified firms. The PSSC may request, accept, and consider proposals for the compensation to be paid under the contract only during competitive negotiations as described below.

D. Competitive Negotiations.

1. Upon selection of the three (3) most qualified firms by the PSSC, the PSSC shall negotiate a contract for professional services for a project with the firm which has been determined to be the most qualified. The PSSC shall concurrently provide a detailed analysis of the entire scope of the work to be done for the Board and shall also outline all professional services desired.

2. Should the PSSC be unable to negotiate a satisfactory contract with the firm considered to be the most qualified at a compensation that the PSSC determines to be fair, competitive, and reasonable, negotiations with that firm shall be formally terminated. The PSSC shall then initiate negotiations with the second most qualified firm. Failure to negotiate a contract with the second most qualified firm shall also terminate negotiations with said firm, and the PSSC shall then initiate negotiations with the third most qualified firm.

3. Should the PSSC be unable to negotiate a satisfactory contract with any of the selected firms, additional firms shall be selected and negotiations shall be continued until an agreement is reached as per procedure outlined in the Competitive Selection Procedures above.

4. The Committee shall recommend to the Board the firm or person to be retained and the fee to be paid. The Committee shall have no authority to contractually obligate the Board. The Board may (by majority vote) either accept or reject the Committee's recommendation. If the recommendation is rejected, the Board shall then proceed on its own with the competitive selection and negotiations under § 287.055, Fla. Stat.

E. Nonexclusion of Public.

The public shall not be excluded from any proceedings under this rule.

F. Truth in Negotiations.

For all lump sum or fixed fee professional negotiation contracts exceeding $150,000the threshold set forth Commented [HKH2]: Currently $195K in §§ 287.055(5)(a), 287.017, Fla. Stat., the Board shall require the firm receiving the contract to execute a Truth in Negotiations Certificate stating that wage rates and other factual unit costs supporting the compensation are accurate, complete and current at the time of the award of the contract. Any professional service contract under which such a certificate is required shall contain a provision that the original contract price and any additions thereto shall be adjusted to exclude any significant sums where the Board determines the contract price was increased due to inaccurate, incomplete or noncurrent wage rates and other factual unit costs. All such contract adjustments shall be made within one (1) year following the end of the contract.

G. Contingency Fees.

The firm to which the contract is awarded shall warrant and the contract shall provide that it has not employed or retained any company or person, other than a bona fide employee working solely for the firm, to solicit or secure this agreement and that it has not paid or agreed to pay any person, company, corporation, individual or firm, other than a bona fide employee working solely for the firm, any fee, commission, percentage, gift, or any other consideration contingent upon or resulting from the award of the contract for professional services.

The provisions of Competitive Selection Procedures and Competitive Negotiations above shall apply only to professional services contracts which will exceed the threshold amount provided in § 287.017(1)(c), Fla. Stat, or for such contracts on any project, the construction of which is estimated to exceed the threshold amount provided in § 287.017(1)(e), Fla. Stat.

H. Written Agreement.

Each purchase of professional or technical services as provided herein shall be evidenced by a written agreement embodying all provisions and conditions of the purchase and executed prior to the rendering of any service under the agreement except in cases of valid emergencies certified by the Board.

The written agreement shall include, but not be limited to, a provision that bills for fees or other compensation for services or expenses for professional or technical services shall be submitted in detail sufficient for proper pre-audit and post-audit thereof and that bills for any travel expenses shall be submitted and paid in accordance with the rates specified in § 112.06, Fla. Stat. and these rules governing payments by the Board for travel expenses.

We have audited the accompanying statement of fiduciary net position of Tom P. Haney Technical Center’s (Center) internal fund, as of June 30, 2020, and the related notes to financial statement, as listed in the table of contents.

Management’s Responsibility for the Financial Statement

Management is responsible for the preparation and fair presentation of this financial statement in accordance with accounting principles generally accepted in the United States of America; this includes the design, implementation, and maintenance of internal control relevant to the preparation and fair presentation of financial statement that is free from material misstatement, whether due to fraud or error.

Auditors’ Responsibility

Our responsibility is to express an opinion on this financial statement based on our audit. We conducted our audit in accordance with auditing standards generally accepted in the United States of America and the standards applicable to financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statement is free from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statement. The procedures selected depend on the auditors’ judgment, including the assessment of the risks of material misstatement of the financial statement, whether due to fraud or error. In making those risk assessments, the auditors consider internal control relevant to the entity’s preparation and fair presentation of the financial statement in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. As discussed in note 1, the accompanying financial statement includes only the fiduciary net position of the internal fund. It does not purport to, and does not present fairly the financial position of the Center or of the Bay County District School Board as of June 30, 2020, in accordance with accounting principles generally accepted in the United States of America. Our opinion is not modified with respect to this matter.

Other Information

Our audit was conducted for the purpose of forming an opinion on the financial statement as a whole. The accompanying schedule of receipts, disbursements and change in internal accounts payable for the year ended June 30, 2020 is presented for the purpose of additional analysis and is not a required part of the internal fund financial statement. This schedule is the responsibility of management and was derived from and relates directly to the underlying accounting and other records used to prepare the financial statement. Such information has not been subjected to the auditing procedures applied in the audit of the financial statement and, accordingly, we do not express an opinion or provide any assurance on it.

Other Reporting Required by Government Auditing Standards In accordance with Government Auditing Standards, we have also issued our report dated December 17, 2020, on our consideration of the Center’s internal control over financial reporting and on our tests of its compliance with certain provisions of laws, regulations, contracts, and grant agreements and other matters. The purpose of that report is solely to describe the scope of our testing of internal control over financial reporting and compliance and the results of that testing, and not to provide an opinion on the effectiveness of the Center’s internal control over financial reporting or on compliance. Note 1: SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Reporting Entity

Tom P. Haney Technical Center’s (Center) internal fund is a fiduciary fund of the Bay County District School Board (District). For financial statement and reporting purposes, the Center is under the control of the District. The financial statement includes only the balances of the internal fund of the Center. It is not intended to be a complete presentation of the financial position of the Center or the District in conformity with accounting principles generally accepted in the United States of America.

The Center’s financial statements are included as an agency fund of the District in its annual financial statements.

Measurement Focus, Basis of Accounting and Financial Statement Presentation

The accounting and financial reporting treatment is determined by the applicable measurement focus and basis of accounting. Measurement focus indicates the type of resources being measured such as current financial resources or economic resources. The basis of accounting indicates the timing of transactions or events for recognition in the financial statements.

The agency fund has no measurement focus but utilizes the accrual basis of accounting for reporting its assets and liabilities. The internal fund accounts for the fiduciary activity of the Tom P. Haney Technical Center.

Assets and Liabilities

Cash and cash equivalents

The Center considers cash on hand, demand deposits, and short-term highly liquid investments with original maturities of three months or less from the date of acquisition to be cash and cash equivalents. The Center’s cash consists of checking accounts and interest-bearing time deposits in local banks.

All Center depositories are banks designated by the State Treasurer as qualified public depositories under Florida law. All such deposits are insured by Federal depository insurance, up to specified limits, or collateralized with securities held in Florida’s multiple financial institution collateral pool required by Chapter 280, Florida Statutes.

Accounts receivable

All receivables are reported at their gross value and, where appropriate, are reduced by the estimated portion that is expected to be uncollectible.

Allowance for doubtful accounts

At June 30, 2020, the Center’s allowance for doubtful accounts was $13,754.

Inventory and prepaid expenses

Inventory is valued at cost using the first-in/first-out (FIFO) method or net realizable value, if lower, and consists of bookstore items available for sale. The cost of such inventory is recorded as disbursements when consumed rather than when purchased.

Certain payments to vendors reflect costs applicable to future accounting periods and are recorded as prepaid expense in the financial statement. The cost of prepaid expense is recorded as disbursements when consumed rather than when purchased.

Unearned revenue

Tuition and other fees collected in advance for the subsequent fiscal year are included in unearned revenue on the accompanying statement of fiduciary net position.

Undistributed scholarship and grant liability

Scholarships and grant funds received in advance that have not been distributed to recipients by year-end are included in undistributed scholarship and grant liability on the accompanying statement of fiduciary net position.

Use of Estimates

The preparation of financial statements in conformity with generally accepted accounting principles requires management to make various estimates. Actual results could differ from those estimates.

Subsequent Events

Management has evaluated subsequent events through December 17, 2020, the date that the financial statement was available to be issued. No subsequent events occurring after this date have been evaluated for inclusion in this financial statement.

Recently Issued and Implemented Accounting Pronouncements

The following accounting standards have been issued by the Governmental Accounting Standards Board (GASB) that may have an effect on the Center. Management has not yet determined the effect these statements will have on the Center’s financial statement.

Note 1: SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES (CONTINUED)

In January 2017, GASB issued Statement No. 84, Fiduciary Activities. This Statement seeks to improve guidance regarding the identification of fiduciary activities for accounting and financial reporting purposes and how those activities should be reported. GASB 84 was initially expected to be effective for the fiscal years beginning after December 15, 2018. However, during fiscal year 2020, the GASB issued Statement No. 95, Postponement of the Effective Dates of Certain Authoritative Guidance, which postponed the effective date of this statement to fiscal years beginning after December 15, 2019.

In June 2017, GASB issued Statement No. 87, Leases. The objective of this Statement is to better meet the information needs of financial statement users by improving accounting and financial reporting for leases by governments. This Statement increases the usefulness of governments' financial statements by requiring recognition of certain lease assets and liabilities for leases that previously were classified as operating leases and recognized as inflows of resources or outflows of resources based on payment provisions of the contract. It establishes a single model for lease accounting based on the foundational principle that leases are financings of the right to use an underlying asset. Under this Statement, a lessee is required to recognize a lease receivable and a deferred inflow of resources, thereby enhancing the relevance and consistency of information about governments' leasing activities. The requirements of this Statement were postponed by GASB Statement No. 95 to be effective for reporting periods beginning after June 15, 2021.

In May 2020, GASB issued Statement No. 96, Subscription-based Information Technology Arrangements (SBITA). The objectives of this Statement (1) defines a SBITA; (2) establishes that a SBITA results in a right-to-use subscription asset—an intangible asset—and a corresponding subscription liability; (3) provides the capitalization criteria for outlays other than subscription payments, including implementation costs of a SBITA; and (4) requires note disclosures regarding a SBITA. The requirements of this Statement are effective for reporting periods beginning after June 15, 2022.

Note 2: RISK AND UNCERTAINTIES

In March 2020, the World Health Organization made the assessment that the outbreak of a novel coronavirus (COVID‐19) can be characterized as a pandemic. As a result, uncertainties have arisen that may have a significant impact on the operations of the Company. The occurrence and extent of such an impact will depend on future developments, including (i) the duration and spread of the virus, (ii) government quarantine measures, (iii) voluntary and precautionary restrictions on travel or meetings, (iv) the effects on the financial markets, and (v) the effects on the economy overall, all of which are uncertain.

REPORT ON INTERNAL CONTROL OVER FINANCIAL REPORTING AND ON COMPLIANCE AND OTHER MATTERS BASED ON AN AUDIT OF FINANCIAL STATEMENTS PERFORMED IN ACCORDANCE WITH GOVERNMENT AUDITING STANDARDS

Honorable Superintendent and members of the Bay County District School Board Panama City, Florida

We have audited, in accordance with auditing standards generally accepted in the United States of America and the standards applicable to financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States, the statement of fiduciary net position of Tom P. Haney Technical Center (Center) as of June 30, 2020, and the related notes to financial statement, and have issued our report thereon dated December 17, 2020. Our report on the financial statement includes an emphasis of matter paragraph explaining that the financial statement includes only the fiduciary net position of the internal fund of the Center and does not include other financial activities of the Center or the Bay County District School Board, however, our report was not modified with respect to this matter.

Internal Control Over Financial Reporting

In planning and performing our audit of the financial statement, we considered Center’s internal control over financial reporting as a basis for designing audit procedures that are appropriate in the circumstances for the purpose of expressing our opinions on the financial statement, but not for the purpose of expressing an opinion on the effectiveness of Center’s internal control. Accordingly, we do not express an opinion on the effectiveness of Center’s internal control.

A deficiency in internal control exists when the design or operation of a control does not allow management or employees, in the normal course of performing their assigned functions, to prevent, or detect and correct, misstatements on a timely basis. A material weakness is a deficiency, or a combination of deficiencies, in internal control such that there is a reasonable possibility that a material misstatement of the entity's financial statement will not be prevented, or detected and corrected on a timely basis. A significant deficiency is a deficiency, or a combination of deficiencies, in internal control that is less severe than a material weakness, yet important enough to merit attention by those charged with governance.

Our consideration of internal control was for the limited purpose described in the first paragraph of this section and was not designed to identify all deficiencies in internal control that might be material weaknesses or significant deficiencies and therefore, material weaknesses or significant deficiencies may exist that have not been identified. Given these limitations, during our audit we did not identify any deficiencies in internal control that we consider to be material weaknesses. We did identify a deficiency in internal control, described in below, that we consider to be a significant deficiency.

2020-001 Lack of Supporting Documentation for Certain Journal Entries

Condition: The Center was unable to provide supporting documentation for certain journal entries made during the year.

Criteria: The Center should maintain proper supporting documentation for all transactions and journal entries.

Effect: Lack of, or improper, documentation makes it difficult, if not impossible, to provide support for transactions in the general ledger.

Cause: The Finance Officer was unable to find documentation associated with certain journal entries in the current year and indicated that her office suffered flooding during the year and she assumes the documentation was lost in the damage to her office.

Recommendation: We understand that events like flooding are outside of the Center’s control, but the lack of documentation of certain transactions could lead to a significant misstatement, an improper transaction, or a modified opinion on the financial statement if alternative procedures aren’t able to be completed. We recommend implementing additional procedures to limit the chances of losing documentation supporting financial transactions that cannot be recreated (e.g. scanning documentation into an electronic file with appropriate backups in place or retaining copies in a water proof/fire proof environment).

Views of Responsible Officials and Planned Corrective Action: The Center will consider implementing additional procedures and processes as suggested.

Compliance and Other Matters

As part of obtaining reasonable assurance about whether the Center’s financial statement is free from material misstatement, we performed tests of its compliance with certain provisions of laws, regulations, contracts, and grant agreements, noncompliance with which could have a direct and material effect on the financial statement. However, providing an opinion on compliance with those provisions was not an objective of our audit, and accordingly, we do not express such an opinion. The results of our tests did not disclose instances of noncompliance or other matters that are required to be reported under Government Auditing Standards.

Management’s Response to Finding

The views of responsible officials and planned corrective actions related to the finding identified in our audit are included above. The views of responsible officials and planned corrective actions were not subjected to the auditing procedures applied in the audit of the financial statement and, accordingly, we express no opinion on them.

Purpose of This Report

The purpose of this report is solely to describe the scope of our testing of internal control and compliance and the results of that testing, and not to provide an opinion on the effectiveness of the Center’s internal control or on compliance. This report is an integral part of an audit performed in accordance with Government Auditing Standards in considering the Center’s internal control and compliance. Accordingly, this communication is not suitable for any other purpose.
