Between a global pandemic that cost lives and livelihoods while stretching educational and communal resources to the extreme, heartbreaking acts of racism and violence, and the multitude of other personal and professional challenges we all faced, we have much to mourn. But with the unparalleled strength, dedication and resolve of all those who never stopped working to uphold the mission of Boys & Girls Clubs, we have even more to celebrate. Together, we equipped more than 4,700 local Clubs to adapt to rapidly changing circumstances and safely meet the unique needs of the communities they belong to and serve, especially communities of color and others disproportionately impacted by the pandemic and inequities. Club staff and volunteers worked tirelessly alongside officials and advocates throughout all levels of government and our nation’s education system — as well as leaders representing our military and Native communities — to strengthen the support systems that help kids and teens thrive during difficult times.

  • Flynn V. Exelon
IN THE UNITED STATES DISTRICT COURT NORTHERN DISTRICT OF ILLINOIS EASTERN DIVISION ) JOSHUA FLYNN, Individually and on ) Behalf of All Others Similarly Situated ) ) No. 19 C 8209 Plaintiff, ) ) Judge Virginia M. Kendall v. ) ) EXELON CORPORATION et al., ) ) Defendants. ) MEMORANDUM OPINION AND ORDER Plaintiff, representing himself and a class of similarly situated persons, brings claims detailing violations of federal securities laws against the following individuals and entities: Exelon Corporation (“Exelon”) and its controlled subsidiary the Commonwealth Edison Company (“ComEd”); Exelon’s Chief Executive Officer Christopher M. Crane; Exelon’s Chief Strategy Officer (“CSO”), William A. Von Hoene, Jr.; Exelon’s former CEO of Exelon Utilities, Anne R. Pramaggiore; and ComEd’s CEO, Joseph Dominguez. The putative class comprises all purchasers of Exelon common stock between February 8, 2019 and October 31, 2019 alleging Defendants made a series of false and misleading statements that concealed an eight-year bribery scheme. These false and misleading statements caused Exelon’s common stock to trade at artificially inflated prices and, when the bribery scheme was uncovered, Exelon’s stock price declined dramatically and investors suffered billions of dollars in market losses. All Defendants now move to dismiss. (Dkts. 73, 75). Because the Plaintiff has adequately pleaded a violation of federal securities law, the Motions to Dismiss are denied. 1 BACKGROUND On a motion to dismiss under Rule 12(b)(6), the Court accepts the complaint’s well- pleaded factual allegations, with all reasonable inferences drawn in the non-moving party’s favor, but not its legal conclusions. See Smoke Shop, LLC v. United States, 761 F.3d 779, 785 (7th Cir.

  • Comment Letter
To the SEC Commissioners and SEC Staff: I write with regard to the proposed "pay for performance" rule. The Investor Responsibility Research Center Institute (IRRCIi) is a not-for-profit research organization which originates, commissions and disseminates objective research of interest to investors about capital market, corporate governance and sustainability issues. We are fiercely non-advocacy. For that reason we take no position on the proposed rule. However, we have recently published research which we believe can help inform the Commission in its deliberations on the rule. "The Alignment Gap Between Creating Value, Performance Measurement, and Long Term Incentive Design" was authored by Organizational Capital Partners. It has received much attention in the field for its analysis of the relationship between economic value creation and executive compensation, as well as the findings. Among the issues analyzed by the report which would seem directly relevant to the proposed rule are: - Performance metrics, including total shareholder return, relative total shareholder return, economic profit, return on invested capital and others. - Performance measurement periods Among the questions the report may engender with relation to the proposed rule are - Is total shareholder return the appropriate metric and/or whether it should be supplemented with operating metric(s)? - Is the proposed measurement period -- one-year TSR over each of five years -- appropriate given that the delivered pay may have been triggered and calculated based a rolling three-year three year or longer performance period for most long-term incentive plans? A full copy of the report is enclosed. Both I and the authors of the study would welcome any questions and are available should SEC staff desire any further information.
