The Directors present financial statements for each financial year which fairly present the financial position of the Group and its financial performance and cash flows for that period. The Directors consider the financial statements of the Group have been prepared using accounting policies which have been consistently applied and supported by reasonable judgements and estimates, and that all relevant financial reporting and accounting standards have been followed. The Directors believe that proper accounting records have been kept which enable, with reasonable accuracy, the determination of the financial position of the Group and facilitate compliance of the financial statements with the Financial Reporting Act 2013. The Directors consider that they have taken adequate steps to safeguard the assets of the Group, and to prevent and detect fraud and other irregularities. The Directors hereby approve and authorise for issue the Annual Report for the year ended 31 July 2015. -

COMMERCE ACT 1986: BUSINESS ACQUISITION 17 November 2005 SECTION 66: NOTICE SEEKING CLEARANCE The Registrar Business Acquisitions and Authorisations Commerce Commission P0 Box 2351 Wellington Pursuant to section 66(1) of the Commerce Act 1986 notice is hereby given seeking clearance of a proposed business acquisition. EXECUTIVE SUMMARY A Fonterra Co-operative Group Limited (Fonterra or the Applicant) seeks clearance for the acquisition of Kapiti Fine Foods Limited (Kapiti) and United Milk Limited (UML) from Foodstuffs (Wellington) Co-operative Society Limited (Foodstuffs LNI). B The acquisition will result in minor aggregation of market share in the markets for the acquisition of raw milk, the wholesale supply of town milk, the wholesale supply of cheese, and the take home and novelty/scoop ice cream markets. C But, the impact of the acquisition on effective competition in those markets will be minimal. Each is characterised by low barriers to entry, a variety of competitors, and dynamic product innovation. With cheese and ice cream, aggregation will only occur in the specialty segments of those markets, where competition is more about new products than price. D Further, the transaction must be viewed in the unique context of New Zealand’s regulated dairy industry, and the international competition faced by Fonterra in global dairy markets. Froneri Acquires Tip Top at $380 Million
Froneri acquires Tip Top at $380 million 13 May 2019 | News New Zealand’s iconic ice cream company has a new owner, after global ice cream company Froneri purchased Tip Top from Fonterra for $380 million Fonterra has agreed to divest its New Zealand ice cream business Tip Top to Froneri in a deal worth NZD 380 million ($250.2 million). Fonterra CEO Miles Hurrell confirmed the sale, saying it was a bittersweet moment for Fonterra. “Since we took ownership of Tip Top in 2001, a lot of work has gone into ensuring it remained New Zealand’s leading ice cream company. Over that time, we’ve had strong support from New Zealanders, and I want to recognise and thank them for that. “One of the big attractions for Froneri is the fact that Tip Top and K?piti ice cream both use fresh milk and cream, from New Zealand grass-fed cows. We’ve signed an agreement with the new owners to supply milk which ensures that Fonterra farmers will continue to be part of the Tip Top story. “We will also retain full global ownership of the K?piti brand and will be licencing its use for ice cream to Froneri. This means our popular K?piti cheese isn’t going anywhere. Froneri is the third largest ice cream manufacturer in the world, selling a staple of well-known ice cream brands in 20 countries. Froneri brings leadership and global expertise in ice cream, reach into new ice cream markets, and new consumer products. Froneri CEO Ibrahim Najafi says the Tip Top name and its operations, including the Auckland based factory site at Mount Wellington will be maintained. -
