    For Immediate Release Tencent-Led Consortium and Vivendi Sign Agreement on UMG Investment Hong Kong, December 31, 2019 – Tencent Holdings Limited (00700.HK, “Tencent”) announced that a Tencent-led consortium (the “Consortium”) and Vivendi S.A. (VIV.PA, “Vivendi”) today signed a share purchase agreement for the Consortium to acquire a 10% equity stake in Universal Music Group (“UMG”) from Vivendi, at an enterprise value of EUR30 billion (the “Transaction”). The Tencent-led Consortium is joined by Tencent Music Entertainment Group (NYSE: TME, “Tencent Music”) and certain global financial investors. Until January 15, 2021, the Consortium has the option to acquire up to an additional 10% equity stake in UMG at the same enterprise value as in the Transaction. Prior to the closing of the Consortium-UMG Transaction, TME and UMG also intend to enter into a second agreement that grants TME an option to acquire a minority equity stake in UMG’s Greater China business. This transaction will be subject to the receipt of regulatory approvals and other customary closing conditions, and is expected to close by the end of the first half of 2020.     Vivendi to Sell its Stake in NBC Universal for US$5.8 Billion PARIS, FRANCE – December 3, 2009 – Following the GE – Comcast agreement regarding NBC Universal announced today, Vivendi and GE have simultaneously signed an agreement covering Vivendi’s full exit from NBC Universal and amending the NBC Universal initial agreements made in 2004. The main points of the new agreement are as follows: - Vivendi will sell its 20% stake in NBC Universal to GE and will not be a shareholder in the new entity resulting from the joint venture between NBC Universal and Comcast content assets. The 20% stake is valued at US$5.8 billion. - If the GE – Comcast transaction is not completed by September 2010, Vivendi will sell 7.66% of NBC Universal to GE for US$2 billion. - The remainder of the stake, or 12.34%, will be sold for US$3.8 billion to GE upon completion of the GE – Comcast transaction. - Vivendi will continue to receive quarterly dividends from NBC Universal between now and the completion of the GE – Comcast transaction. GE has agreed to make transaction payments to Vivendi to the extent that NBC Universal's 2010 dividend payments to Vivendi are less than $268 million. - If the GE – Comcast transaction were not completed, Vivendi would launch an accelerated initial public offering of its remaining 12.34% of NBC Universal.     Paris, August 28, 2014 GVT: Telecom Italia offer and new Telefonica offer Vivendi received this morning two binding offers for its wholly-owned subsidiary GVT in Brazil: one from Telecom Italia and another from Telefonica. The Telecom Italia offer represents a total enterprise value of €7 billion. It includes a part in cash (€1.7 billion), a part in Telecom Italia shares (16% of share capital and 21.7% of voting rights) and a part in TIM Brasil shares (15%). The offer expires on September 10, 2014. The GVT acquisition would be submitted to Telecom Italia’s Shareholders Meeting and Telecom Italia would have an exit clause in case of a loss of significant value of GVT. The Telefonica offer, following the offer received last August 4, represents a total enterprise value of €7.450 billion. It includes a part in cash (€4.663 billion) as well as a part in Telefonica Brasil shares (12%) of which about one third can be exchanged at Vivendi’s discretion for 5.7% of the share capital and 8.3% of the voting rights in Telecom Italia. This offer expires on August 29, 2014. The two financial offers also include proposals for content partnerships. The Vivendi Supervisory Board, which meets today, will examine the two offers in the best interests of Vivendi shareholders and GVT employees, and will decide what actions to take as a result.
