1.0 OVERVIEW

1.1 This scope of work covers the Piping Package for the Merck & Co., Inc. TA84A Caustic Tank project at the Merck Facility located in Elkton, Rockingham County, Virginia. The selected subcontractor will furnish and install all labor, equipment and materials required to complete the Piping Package as indicated by the Contract Documents.

1.2 The work descriptions included in this Scope are intended to provide general descriptions of condi- tions of the work to be performed, highlighting areas or items that need special attention or in- struction. The Work is described by the drawings and specifications. Refer to the other relevant sections of the Contract Documents for specific instructions and assignments of responsibilities not covered in the work descriptions.

1.3 The scope of this work (SOW) is identified on the attached plans. The Subcontractor shall provide installation crews as necessary at the Merck Facility in Elkton, Virginia, but will maximize the fabrication and installation in his facility.

1.4 Jacobs Field Services is the Construction Manager and is referred to as the Contractor throughout this document. Jacobs Field Services shall be responsible for managing all construction activities on this project.

1.5 Jacobs is the “Engineer of Record” for the project and is referred to as the Engineer throughout this document.

2.0 GENERAL REQUIREMENTS

2.1 Subcontractor shall furnish, under the coordination, scheduling, and inspection of the Contractor, all supervision, materials, labor, tools, equipment, appliances, incidentals, receiving, surveying, lay- out, transportation, rigging, services and provide management and supervision of safety and construction so as to execute the work in strict accordance with the Scope of Work, Drawings, Codes, Specifications, Data Sheets, Design Criteria and other project documentation referred to as the “Contract Documents”. The Subcontractor shall be responsible for fitting out their office space (if required) including furnishings and office equipment and providing all other required general conditions.

2.2 Subcontractor shall coordinate with the Contractor and all other trades performing work. Services not specifically mentioned or shown which may be necessary to complete or perform all parts of the Subcontract Work in a professional manner and in compliance with the requirements stated or reasonably inferred in the Contract Documents are the responsibility of the Subcontractor.

2.3 Building construction permits for the project shall be obtained by Others; however, Subcontractor shall be responsible for obtaining required trade permits and scheduling inspections required by state, county and local authorities having jurisdiction over the Work.

2.4 The Subcontractor is responsible for the means and methods of accomplishing the Work. The Sub- contractor shall fully comply with the laws and regulations of the authorities having jurisdiction over the Work, including obtaining and complying with all permits not obtained by Owner re- quired for the Work.

2.5 The Subcontractor shall utilize lay down space as provided by the Contractor and shall be responsi- ble for maintaining the organization and cleanliness of this lay down space.

Page 3 of 11 2.6 The Subcontractor is responsible for providing required supervision at their shop, off-site construc- tion facilities, for field safety and for control of access to their work, providing coordination with all on-site Subcontractors.

2.7 Subcontractor shall be responsible for paying all taxes on permanent material; no resale tax certifi- cate or exemption shall be provided. Tax forms shall be supplied in the subcontract document that must be completed by the Subcontractor and returned to the Jacobs Subcontracts Manager for Merck’s credit.

2.8 Subcontractor shall use dimensions where they are given. If the dimensions do not work the Sub- contractor shall coordinate with Contractor to provide all acceptable solutions. Any changes to duct, piping and conduit routing or equipment arrangements requested after the areas have been fully coordinated with the other trades, must be coordinated again by the Subcontractor with all other trades. Failure to coordinate work that results in rework by others shall result in back charges as applicable.

2.9 The project objective is to complete all construction and installation and testing of the Scope of Work, including all punch list items.

2.10 The Subcontractor is responsible for providing the specified quality of work and craftsmanship, design, installation, testing, and turnover of all Contract Document Requirements (CDRs), Con- struction Completion Records (CCRs) and “As-Built” documentation for the Scope described.

2.11 The Subcontractor shall provide support for the start up and testing of their installed systems. Additional support shall be required during the Owner’s commissioning and qualification work. This shall be provided on an as needed, reimbursable basis.

2.12 The Subcontractor shall proactively participate, on an on-going basis, in the project Safety program. Safety requirements include daily PPE, force reports, safe plans of action, safety observation report participation and jobsite safety audits.

2.13 The Subcontractor shall proactively participate, on an on-going basis, in the project Quality program.

2.14 The items listed herein are intended to provide a general description of the Work, supplement the Contract Documents, and shall not be construed as an itemized listing of each element of work required.

3.0 ITEMS FURNISHED BY OWNER

3.1 Contractor shall furnish the following free of charge to the Subcontractor at the Site:

 Sufficient surveyed monuments and benchmarks required for work layout. Contractor will mark at least one gridline in each direction and provide a benchmark for elevations on each floor.

 Toilet facilities.

 Designated smoking area.

 Craft Break facility for lunches and breaks.

Page 4 of 11 3.2 Contractor will provide badges to identify Subcontractor’s personnel who have completed site orientation and other required training and who are thereby authorized to enter the site. Subcontractor will escort personnel without badges at all times while they are present on site. The Subcontractor will notify Contractor prior to entrance to construction site of any “visitors” to the site and will receive authorization from the Contractor in advance.

4.0 SCOPE OF WORK

The Scope of Work Summary is intended to assist the Contractor in bid preparation. A breakdown is pro- vided in order to identify scope; details are shown in the documents. Should there be any discrepancies between the Scope of Work Document and the Drawings and Specifications, the Drawings and Specifi- cations will always govern. The general requirements identified in this document are in addition to the technical scope shown on the Drawings and Specifications.

4.1 Installation

4.1.1 Subcontractor is responsible for the installation of the piping system including all sup- ports, hangers, fittings,strucual supports, and appurtenances as described in the accom- panying drawings and specifications.

4.1.2 Provide cut sheets and vendor data for approval prior to purchase of piping components.

4.1.3 All piping will be per specifications.

4.1.4 Subcontractor shall be responsible for providing and installing all materials and equip- ment shown on the drawings.

4.1.5 Subcontractor will be required to provide and install one sump pump ,safety showers,fil- ters ,control valves ,manuel valve ,PI’S ,TI’S and all elements shown on the drawings. And detailed on the drawings.

4.1.6 Subcontractor shall be responsible for providing and installing new pumps as per the ac- companying drawings.

4.1.7 Subcontractor shall purchase and install all instruments shown on the P&ID’S per ac- companying drawings and specifications.

4.1.8 Subcontractor shall be responsible for piping and supports as depicted on the project drawings.

4.1.9 Subcontractor will include all piping insulation as shown on the contract documents.

4.1.10 Subcontractor is responsible for 3 rd. party testing.

4.1.11 All system testing as described in the piping index list.

4.1.12 Subcontractor will provide two men and a 60 foot JLG lift for two weeks to trace existing caustic lines and install owner provided labels.

4.1.13 Subcontractor is to route piping as shown on the contract documents and tie-into exist- ing systems. Tie-ins will require multiple outages to make connections to the existing piping systems.

4.1.14 Subcontractor will be required to attend a weekly progress/schedule meeting.

4.2 Equipment

Page 5 of 11 4.2.1 Subcontractor shall be responsible for receiving all equipment whether supplied by Subcontractor, Contractor, or Owner. As well as inspecting equipment, inventorying loose parts, offloading, moving into position, reassemble as required and anchoring using industry-standard rigging practices as approved by Contractor. Protect all equipment from damage during the entire construction process.

4.2.2 Support equipment according to the Contract Documents, including shimming and grouting. When equipment supports are not shown on the drawings, Subcontractor will refer to Specifications for guidance to properly set equipment.

4.2.3 Subcontractor will assists with and documenting on all pumps and equipment in this package.

4.2.4 Subcontractor will be responsible for the receipt and documentation of all Contractor and Owner purchased equipment. It shall be the responsibility of the Subcontractor to complete, maintain, and include in the Turn Over Package all required documentation. This shall include all pertaining forms listed in the accompanying Field Inspection and Test Manual.

4.3 Labeling and Tagging

4.3.1 Subcontractor shall be responsible for labeling and tagging all piping, valves and equipment, per the design specifications and drawings.

4.3.2 Subcontractor shall be responsible for verification of all valve and equipment tagging.

5.0 NOT IN SCOPE

5.1 The following work is excluded from this Scope of Work:

5.1.1 No civil or concrete work..

6.0 CHANGES TO CONTRACT

6.1 During the progress of the Work, new design drawings and/or documents may be issued which may result in additions and/or deletions to the Scope of Work of this subcontract. Subcontractor shall review these changes immediately upon receipt.

6.2 Subcontractor shall submit a detailed cost proposal for such additions and/or deletions to Contractor within three (3) calendar days for approval. Added work shall be lump sum priced and/or T&M structure submitted in the base proposal.

6.3 All changes shall be submitted with the following documentation:

 The pricing shall be broken down into cost of labor, material, equipment, taxes, and mark-up percentages.

 Provide a full description of the Scope of Work.

 Include a copy of all marked-up drawings (revisions) to support cost of Work.

 Provide quantity take-offs.

 Provide cost breakdown of unit prices incorporated into the Contract.

6.4 No work shall proceed until written approved authorization to proceed is issued by the Contractor. Any work that the Subcontractor proceeds with prior to obtaining written authorization is done at the Subcontractor’s own risk.

7.0 SAFETY

7.1 The safety goal of Jacobs and Merck on all projects is zero safety incidents and to send every worker home safely. The Subcontractor is an integral team member and their support of these goals is necessary in meeting this safety objective.

7.2 Subcontractor shall obtain from the Contractor written instruction to perform work outside of normal working hours.

7.3 Subcontractor shall maintain supervisory presence at the work site any time lower-tier subcontractors are on-site.

7.4 Subcontractor will provide temporary services required to complete the work; including without limit:

 Required task lighting

 Fire Watch

 Barricading/Signage

 Work access, including ladders, scaffolding, and boom lifts

 Garbage removal and disposal. Dedicated portable containers for concrete, steel and general debris will be required.

 All personnel, materials and equipment to safely work in a confined space as required to complete the work, including without limit: standby attendant, standby rescue service, air monitoring, self-contained breathing apparatus and breathing air supply, OSHA-approved retrieval units, OSHA-approved training for entrants and standby personnel.

7.5 Smoking is only allowed in designated areas.

7.6 All employees working for the Subcontractor will be required to attend 4 hours of site orientation and safety training sessions prior to starting work on the site. The cost of attendance for this safety training will be included in the Subcontractor’s price. The Contractor’s Safety Manager or one of his representatives will provide this training. It will be the responsibility of the Subcontractor’s Superintendent to coordinate the completion of the safety training of all new employees with the Contractor’s Safety Manager, prior to their starting work on the site.

7.7 It is anticipated that the Subcontractor will require a minimum of one safety professional.

7.8 Subcontractor will fully comply with Contractor’s and Owner’s Safety Programs and partner with Contractor to achieve “Zero Incidents” for the full work period. Subcontractor will attend safety meetings, attend training provided by Others, provide required training, provide all their personnel with personal protective equipment and other equipment required to be safe, plan all work to be safe, monitor safety compliance, maintain safety records and investigate safety incidents.

Page 7 of 11 7.9 Subcontractor will follow the safety procedures contained in Attachment A, Jacobs Health Safety and Environmental Requirements for US Contractors, of the contract documents.

7.10 Cranes and equipment operators shall be certified. All cranes, fork trucks, etc. shall have current yearly inspection certification. A lift plan must be submitted for review and approval prior to all lifts.

7.11 The Contractor’s 100% fall protection policy as stated in Attachment A applies to this work and is reiterated here for reinforcement. Anyone exposed to a fall greater than 6’ shall be protected.

7.12 Subcontractor’s personnel are responsible for all aspects of the safety program.

7.13 Subcontractor and its lower tier subcontractors shall forward to the Site / Project Manager a copy of their company’s HSE program within 10 days of request of Jacobs Field Services.

7.14 Ten days prior to mobilization, the Subcontractor shall submit a preliminary site specific HSE Plan, in which he will outline his plan for execution of the scope of work within the Safety guidelines, standards and requirements set forth by Federal, State, local, Merck and Jacobs Field Services. All revisions noted by Jacobs Field Services shall be resubmitted within five days after return of the subject document.

7.15 All Subcontractors and sub-tier subcontractors must attend the Contractor’s site safety orientation prior to starting work on the project.

7.16 Subcontractor will conduct weekly Toolbox safety meetings and signed copies of the meeting report including the agenda and list of attendees, will be submitted on a weekly basis to the Contractor.

7.17 Subcontractor shall conduct daily safety audits and “Take 5 for Safety” meetings with their crews daily, as defined in the Site Safety plan.

7.18 For every work activity, the Subcontractor shall develop and submit for approval a Safe Plan of Action (SPA) (equivalent to a Job Safety Analysis – JSA) analyzing and addressing the safety and health concerns relevant for that specific activity. The each SPA shall be reviewed with every member of the crew involved in that specific work activity. No work activity shall proceed without a SPA being developed, approved and reviewed by the crew.

8.0 QUALITY CONTROL / QUALITY ASSURANCE

8.1 Within two weeks after project award, Subcontractor shall submit for approval a Site Specific Quality Control Plan that identifies the procedures to control and ensure that work performed by Subcontractor or sub-tier subcontractor(s) is installed correctly per drawings and specifications. This Quality Control Plan shall meet the minimum requirements as outlined in the Contractor’s Quality Control Plan, Specifications and Contract Documents. The quality plan shall be specific to this project defining site organization, control of field documents and field modification control, measure and test equipment calibration and control procedure, training and qualification (documented evidence of training), etc. Additionally, the Site Specific Quality Control Plan will define the Subcontractor’s document control program / procedure that shall meet the minimum requirements as outlined in the specifications.

Page 8 of 11 8.2 Within two weeks after project award, Subcontractor shall submit for approval a Site Specific Inspection and Test Plan (ITP). The plan shall delineate planned activities requiring monitoring and verification. This ITP shall be prepared upon review of the contractual specifications to identify the specific quality control procedures that shall apply. The ITP is necessary as it denotes the quality assurance objectives and the interfaces between Merck, Contractor and the Subcontractor. The plan shall identify, as a minimum, the responsibilities for ‘Witness Points’, ‘Hold Points’ and ‘Review Points’ so as to ensure timely completion of the activities effecting quality.

8.3 Within two weeks after project award the Subcontractor shall submit evidence of receipt inspection procedures being in place, including a receipt verification report and over/short or damage report where applicable.

8.4 The Subcontractor shall maintain daily up-dates of drawings revising them to “As-built” status per the requirements of the Specifications.

8.5 The Subcontractor shall provide Contractor with a list of all inspections required by local authorities before start of any work. Subcontractor shall coordinate all inspections with local building authorities and / or 3rd party inspectors and turnover copies of reports to Contractor within 24 hours.

8.6 The Subcontractor shall assemble a Turnover Package during the course of the project. The Subcontractor shall submit a Turnover Package format for review and approval to the Contractor prior to developing the final turnover package and no later than 2 weeks after mobilization of the Subcontractor on the Site. The Turnover package format submission shall include an index of a typical hand over package for Contractor review and approval. As a minimum, the Subcontractor will provide the required documentation as defined in the specifications, contract documents and Contract Document Requirements Form, in the Turnover Package. This will include but not be limited to:

 Subcontractor product submittals

 Warranties

 As-built red lined drawings

 Inspection and test results (as required)

9.0 SCHEDULE

9.1 Subcontractor shall provide with his/her bid a Man-loaded Schedule and a Project Execution Plan for meeting the milestone dates stated in the attached project schedule, Attachment E-1, to complete his/her Scope of work. Completion of the scope of this subcontract is defined as all components fully installed in accordance with Contract Documents and with no outstanding punch list items.

9.2 The subcontractor shall provide a detailed level III schedule, within two (2) weeks of award, planning out the work described in their Project Execution Plan. Additionally, the Subcontractor shall provide a three week look-ahead man-loaded schedule to the Contractor, to reflect the Subcontractor’s plan for meeting schedule. Subcontractor will update the three-week look- ahead schedule weekly, for review with Contractor, at a weekly One-on-One meeting.

9.3 Subcontractor shall work as necessary to achieve the completion dates as indicated on the project schedule “Contract Document Requirements”. The completion dates include completion of punchlist and document turnover. The Subcontractor shall identify in his/her proposal any dates that they are unable to meet and submit an alternate date for that activity.

Page 9 of 11 9.4 Should the Subcontractor fall behind schedule, Subcontractor will prepare a recovery plan showing any required change of construction sequence, increased resources or expedited materials needed to recover the schedule. Subcontractor will prepare the recovery plan showing that the schedule will be fully recovered within no more than one week following the discovery of the schedule slippage. Subcontractor will submit the recovery plan to the Contractor within three days of discovery of the schedule slippage by either the Subcontractor or Contractor. Subcontractor will recover the schedule at no additional cost for slippage caused by the Subcontractor.

10.0 PROGRESS MEASUREMENT

10.1 The Subcontractor shall provide progress measurement reports weekly to the Contractor. The progress, in the form of percent complete, shall be the key input for determination of progress- based earned hours or cost.

10.1.1 Progress shall be determined by breaking the overall work scope into specific, physical installed deliverables.

10.1.2 Progress shall be calculated by multiplying the percent complete for each deliverable by the portion of the control budget that applies to that deliverable.

10.1.3 Total earned hours for each Schedule of Value line item shall then be determined by summing the deliverable-based earned hours or for all pertinent deliverables.

10.1.4 The progress measurement system shall be Contractor’s requirements for methods of measurement and the rules of credit (weighted milestone percentages).

10.2 Physical percent complete will be determined using either a) Rules of Credit (Weighted or Incremental Milestones) or, b) Duration or Cost Ratio Based.

10.3 In place quantities vs. targeted quantities will be used to calculate percent complete for each Schedule of Value line item.

11.0 MEETINGS & REPORTS

11.1 During the construction phase the Subcontractor is required to submit on a daily basis a force report indicating number of personnel working on site that day and also the “Safe Plan of Action’s” (SPAs) from the previous day.

11.2 Subcontractor is required to submit other reports regarding schedule, craft resources, submittals, materials, progress based on SOV (Schedule of Values), resource loaded schedule, etc., on a periodic basis as outlined in the attached project schedule, Attachment E-1.

11.3 Subcontractor shall be required to attend several regular weekly coordination and one-on-one meetings and occasional special meetings. Meetings will cover such topics as design safety, coordination, progress, quality and costs. Allow a minimum of 3 hours per week for meetings.

12.0 DOCUMENTATION

12.1 As noted in Section 8.0, Subcontractor shall complete all inspections required by the Local or State Authorities and shall turn over all of these records to Contractor with turnover packages.

12.2 At the one-on-one meetings the Subcontractor will be responsible to provide schedule and progress updates by Schedule of Values (SOV) item to progress and forecast the work.

Page 10 of 11 12.3 The Subcontractor shall provide to the Contractor all documentation required for the Turn-Over Package as listed in “Contract Document Requirements” (CDR).

12.4 All turnover documents submitted by Subcontractor shall be in accordance with Good Documentation Practices (GDP). GDP training will be provided by Contractor.

13.0 TEMPORARY SERVICES AND FACILITIES

13.1 Subcontractor is responsible for all task lighting required to perform their work. Subcontractor shall be responsible for the hook-up and providing Ground Fault Circuit Interrupter (GFCI) protection for all extension cords. All cords shall be strung overhead via non-conductive supports; cords are not allowed on the floor.

13.2 All personal vehicles are to be parked in the designated Contractor Parking lot. The Subcontractor will not be allowed to have any company trucks at the building site directly involved with the work without approval.

13.3 All gang boxes and material staging areas inside the building will be approved by Contractor. These areas are to remain in a clean and neat manner.

14.0 WASTE MANAGEMENT

14.1 A site waste management program shall be implemented by the Contractor/Owner. This waste management program shall address salvaging, recycling and disposing of non-hazardous construction waste.

14.2 For general site waste, the Contractor will furnish at the site, designated dumpsters. The Subcontractor shall sort, remove and dispose of trash, waste, temporary protection and all other refuse; wood cribbing, temporary supports, temporary straps and covers that are associated with this scope of work, in the appropriate designated containers provided by Contractor outside of the building. All other waste will be sorted, removed and disposed of by the Subcontractor as outlined in the Subcontractor’s waste management plan.

14.3 The Subcontractor shall develop a waste management plan to meet the minimum requirements of the site waste management plan. This plan shall define, as a minimum, waste identification, waste reduction plan, salvage / recycle goals for construction waste and waste reduction record keeping and their submittal to the Contractor. This plan shall be submitted to the Contractor within 2 weeks of project award. Subcontractor shall not mobilize at the site until this plan is in place and all crew members are trained to the essence of the plan.

14.4 The Subcontractor will leave the work area in a clean and neat condition on a daily basis. Cleanup in all cases must be complete and accepted by Contractor prior to the end of each workday. Daily cleanup not performed by the Subcontractor will be performed by others and charged to the Subcontractor. End of shift cleanup is mandatory.

15.0 SUBCONTRACTOR’S RESPONSIBILITIES

15.1 In addition to responsibilities stated in the General Conditions, Article 5 and elsewhere in this document, Subcontractor will:

15.1.1 Ensure compliance with all applicable regulations, including without limit any local, state, federal and OSHA regulations. All work will comply with the local codes having jurisdic- tion.

Page 11 of 11 15.1.2 Notify Contractor of any discrepancies or problems anticipated in the use of specified products.

15.1.3 Promptly inspect materials with Contractor, record shortages, damaged or defective items and repair or replace same promptly to avoid schedule delay.

16.0 SUBCONTRACTOR’S USE OF PREMISES

16.1 Subcontractor will limit his use of the premises for work and for storage to agreed designated areas.

16.2 Subcontractor will move any stored materials under his control that interfere with the operations of the Owner, the Contractor or other Subcontractors. Subcontractor will obtain and pay for the use of additional storage or work if needed for his operations.

17.0 TECHNICAL DOCUMENTS

17.1 Refer to Attachment B - Contract and Reference Documents for a list of all Technical Documents for this package.
