 Amount of guarantee this time and guarantee balance provided for it actually: amount of guarantee provided by the Company in 2015 is proposed to be CNY9.58 Billion, including: the Company provides guarantee of CNY9.1 Billion for its subsidiaries, the subsidiaries provide guarantee of CNY0.4 Billion for its subordinate units and the Company provides guarantee of CNY0.08 Billion for stock participating companies. Up to December 31, 2014, guarantee balance provided by the Company for stock participating companies or controlled companies is CNY15.261 Billion.

I. Guarantee overview

(I) Basic Conditions

In accordance with Articles of Association or investment agreement of Project

Company invested by the Company and its subsidiaries, shareholders are required to

provide guarantee for bank loan of Project Company on the basis of ratio of

contribution. According to fund demand of stock participating companies or

controlled companies in 2015, it is estimated that the Company and its subsidiaries

will provide the guarantee of CNY9.58 Billion for capital raising of stock

participating companies or controlled companies on the basis of ratio of contribution.

After the said amount of guarantee is reviewed and approved by the Shareholders’

Meeting of the Company, project companies invested by the Company and its

subsidiaries will execute loan contract with different banks in proper order based on

the demands of actual operation and the Company will determine actual amount of

guarantee based on it. Actual amount of guarantee shall not exceed total amounts of

However, such matters are yet to be submitted to Shareholders’ Meeting for reviewing. After the reviewing and approval by Shareholders Meeting, the Company is authorized to handle relevant formalities. When dealing with each guarantee within the total amounts of guarantee this year, the Company will not submit to the Board of Directors and Shareholders Meeting for reviewing and approval item by item. Main contents of guarantee agreement Guarantee method of guaranteed unit in the guarantee agreement is mainly joint liability guarantee and type of guarantee is mainly loan guarantee. Guarantor shall undertake corresponding guarantee responsibilities on the basis of ownership ratio. IV. Opinion of the Board of Directors The Board of Directors believes that the said guaranteed enterprises have good credit status and the said guarantee is in strict compliance with the Methods for Guarantee Management of GD Power Development Co., Ltd. and the provision of guarantee for it by the Company will not damage legitimate rights and interests of the Company. V. Accumulated number of guarantee and number of overdue guarantee Up to December 31, 2014, total guarantee amounts provided for stock participating company or controlled company by the Company and its subsidiaries are actually CNY15.261 Billion, accounting for 32.36% of net assets of listed companies that are audited in the latest period belong to parent company. The said guarantee is not overdue.
