Insr Insurance Group ASA Insr Insurance Group ASA Listing of 12,857,142 Consideration Shares Listing of 57,200,000 Private Placement Shares Repair Offering of up to 5,714,285 Offer Shares Subscription price: NOK 7.00 per Offer Share Subscription Period: from 4 December 2017 to 13 December 2017 at 12:00 CET The information in this prospectus (the "Prospectus") relates to (i) the contemplated listing of 57,200,000 shares with a par value of NOK 0.80 each (the "Private Placement Shares") to be issued by Insr Insurance Group ASA ("Insr" or the "Company", and together with its subsidiaries, the "Group"), and (ii) the contemplated listing of 12,857,142 shares with a par value of NOK 0.80 each (the "Consideration Shares") to be issued by Insr. The Private Placement Shares will be issued to investors having been conditionally allocated the Private Placement Shares in the private placement announced on 29 August 2017 (the “Private Placement”). The Private Placement Shares are expected to be issued on or about 29 November 2017. The Consideration Shares will be issued to Alpha Insurance A/S as part of the settlement for the Company's acquisition of 100% of the shares in Nemi Forsikring AS (the "Acquisition”). The Consideration shares will be issued on the closing date of the Acquisition expected to take place on or about 30 November 2017. The contemplated listing of the Private Placement Shares and the Consideration Shares is expected to take place on or about 29 November 2017 and on or about 30 November 2017 respectively. In addition, the Prospectus relates to the offering by the Company of up to 5,714,285 new shares with a par value of NOK 0.80 each (the "Offer Shares") at a subscription price of NOK 7.00 per Offer Share (the "Repair Offering") directed at shareholders of the Company as of 29 August 2017, as registered in the Norwegian Central Securities Depositary (the "VPS") on 31 August 2017 (the "Record Date") who have not been allocated shares in the Private Placement and who are not resident in a jurisdiction where such offering would be unlawful, or would (in jurisdictions other than Norway) require any prospectus filing, registration or similar action (the "Eligible Shareholders"). Each Eligible Shareholder will be granted one non-transferable allocation right (the “Allocation Rights”) for each 7.01 existing share registered as held by such Eligible Shareholder as of the Record Date. The number of Allocation Rights granted to each Eligible Shareholder will be rounded down to the nearest whole Allocation Right. Each Allocation Right gives the right to subscribe for, and be allocated, one Offer Share in the Repair Offering. Over-subscription will be permitted; however, there can be no assurance that Offer Shares will be allocated for such subscriptions. Offer Shares will not be allocated to subscribers without Allocation Rights. The subscription period (the "Subscription Period") for the Repair Offering will commence at 09:00 hours (CET) on 4 December 2017 and end at 12:00 hours (CET) on 13 December 2017. The Company's shares (the "Shares") are listed on Oslo Børs under the ticker code "INSR". Allocation Rights that are not used to subscribe for Offer Shares before the expiry of the Subscription Period will have no value and will lapse without compensation to the holder. Assuming duly payment of the Offer Shares subscribed for and allocated in the Repair Offering, delivery of the Offer Shares in the VPS is expected to take place on or about 21 December 2017, following and subject to the registration of the share capital increase pertaining to the Offer Shares in the Norwegian Register of Business Enterprises. Trading in the Offer Shares on the Oslo Børs is expected to commence on or about 22 December 2017, under the ticker code "INSR" Investing in the Offer Shares involves a high degree of risk.     Uppsala University Department of Economics Master Thesis Underpricing of Initial Public Offerings: Evidence from the Nordic Author: Anton Läck Nätter Supervisor: Mikael Bask July 4, 2019 Abstract This thesis is an empirical event study that examines the short-run perfor- mance of initial public offerings (IPO), known as underpricing and initial return. I argue that literature which only presents equal weights could po- tentially give the reader a skewed understanding of the width of the concept. By using a new data set of Nordic IPOs during the period 2009 − 2018, I pro- vide estimates using equal as well as market capitalization weights consistently to give a more nuanced and fair picture. The equally weighted first-day initial return is estimated to be 4:96% and the value weighted first-day initial return is estimated to be 5:32% during the examined time period. Further, the initial return is examined in relation to firm characteristics as well as quarterly index returns and issuance volume. No statistically significant characteristics that can identify additional levels of underpricing was found. Quarterly average initial returns and quarterly index returns are independent of each other. In line with previous literature the positive relationship of issuance volume and initial return is valid on a quarterly level, indicating that firms tend to go public in times of positive and higher initial returns to a greater extent.     PRESSMEDDELANDE - 22-05-2014 VARDIA – Q1 – All-time-high sales and strong growth in gross written premiums Vardia Insurance Group ASA experienced a first quarter with all-time-high sales and a strong growth in gross written premiums. Average new sales in the quarter was NOK 83.4 million per month. The gross written premiums of NOK 280.8 million is more than doubled compared to the same quarter last year. Earned premium for own account was NOK 45.9 million. The company’s considerable growth phase affects the cost ratio, and as expected, the Group reports a net loss of NOK 9.9 million for the first quarter of 2014. President & CEO in Vardia Insurance Group ASA, Ivar S. Williksen, says: "The new sales this quarter is very strong. Our portfolio is maturing and the renewals secures us a solid growth in the gross written premiums. Our focus for 2014 will be continued growth in the most profitable segments. Opportunities for growth in the Nordic market is still very good and our ambitions over the next years continues unchanged” The loss ratio in the first quarter (83.9%), is lower than first quarter 2013, and is on schedule for the Group. “The Company is still in an early stage, making significant investments in the organization in order to facilitate further growth. As the premium income grows and the investments decline, the cost ratio will fall to normal levels”, says Ivar S. Williksen.
