4 I. PURPOSE:

The intent and purpose of this Invitation For Sealed Bid is to establish a blanket purchase order for Custom Mixed Dairy Cattle feed Meal for Virginia Polytechnic Institute and State University (Virginia Tech), an agency of the Commonwealth of Virginia.

II. BACKGROUND:

Virginia Polytechnic Institute and State University (Virginia Tech) is located in Blacksburg, Virginia, approximately 40 miles southwest of Roanoke, Virginia, the major commercial hub of the area. In addition to the university’s main campus in Blacksburg, major off campus locations include twelve agriculture experiment research stations, the Marion duPont Scott Equine Medical Center and graduate centers in Roanoke and Fairfax, Virginia. Regularly scheduled air service is provided at the Roanoke Regional Airport. Dedicated to its motto, Ut Prosim (That I May Serve), Virginia Tech takes a hands-on, engaging approach to education, preparing scholars to be leaders in their fields and communities. As the Commonwealth’s most comprehensive university and its leading research institution, Virginia Tech offers 240 undergraduate degree programs to more than 31,000 students and manages a research portfolio of nearly $513 million. The university fulfills its land-grant mission of transforming knowledge to practice through technological leadership and by fueling economic growth and job creation locally, regionally, and across Virginia.

Virginia Tech’s College of Agricultural and Life Sciences has a fully functioning Dairy Farm located on the Kentland Farm on Whitethorne Road in Blacksburg. The custom mixed dairy cattle feed meal described in this solicitation will be used to support the nutritional requirements of the dairy cattle herd at this location.

III. EVA BUSINESS-TO-GOVERNMENT ELECTRONIC PROCUREMENT SYSTEM:

The eVA Internet electronic procurement solution streamlines and automates government purchasing activities within the Commonwealth of Virginia. Virginia Tech, and other state agencies and institutions, have been directed by the Governor to maximize the use of this system in the procurement of goods and services. We are, therefore, requesting that your firm register as a trading partner within the eVA system.

There are registration fees and transaction fees involved with the use of eVA. These fees must be considered in the provision of quotes, bids and price proposals offered to Virginia Tech. Failure to register within the eVA system may result in the quote, bid or proposal from your firm being rejected and the award made to another vendor who is registered in the eVA system.

Registration in the eVA system is accomplished on-line. Your firm must provide the necessary information. This process needs to be completed before Virginia Tech can issue your firm a Purchase Order or contract. 5 IV. SCOPE OF SERVICE:

A. General: The awarded vendor shall provide and deliver Custom Mixed Dairy Cattle Feed Meal as described in Section III in accordance with Attachment A – Terms and Conditions and Attachment B – Feed Mix Summary Report.

B. Contract Period: Awarded vendor shall provide and deliver feed, on an as needed bases, from the date of award through March 31, 2018.

C. Quantities: Virginia Tech estimates the total quantity delivered to be approximately 216 tons during the contract period. Quantities set forth in this solicitation are estimates only, and the awarded vendor shall supply at bid prices actual quantities as ordered, regardless of whether such total quantities are more or less than those shown.

D. Feed Specifications: Feed shall be in bulk, concentrate, single combined meal form as specified in Attachment B – Mix Summary Report. No ingredient substitutions can be accepted except where noted on Mix Summary Report.

E. Mill Certification Requirements: Successful bidder shall have current “Safe Feed, Safe Food / HACCAP” certification.

F. Delivery and Pricing:

1. Delivery shall be on an as needed basis in approximately 24 ton loads 2. Deliveries shall be made via auger truck with a boom that will reach a 28 foot tall, 30 ton capacity feed bin. 3. ALL delivery tickets shall reference the Virginia Tech blanket purchase order number associated with the award. 4. All cost associated with delivery shall be included in the per ton price provided in the Price Schedule (see section VIII) 5. The first delivery will be required no later than January 1, 2018 6. V. BID SUBMITTALS:

In addition to this fully completed form, bidders should provide a complete ingredient list for the feed being offered.

IV. METHOD OF PAYMENT:

Virginia Tech will authorize payment to the contractor net 30 days after each satisfactory delivery of feed meal and receipt of the contractor’s invoice.

Payment can be expedited through the use of the Wells One AP Control Payment System. Virginia Tech strongly encourages participation in this program. X. CONTROLLING VERSION OF SOLICITATION:

The posted version of the solicitation and any addenda issued by Virginia Tech Procurement Services is the mandatory controlling version of the document. Any modification of/or additions to the solicitation by the Bidder shall not modify the official version of the solicitation issued by Virginia Tech Procurement Services. Such modifications or additions to the solicitation by the Bidder may be cause for rejection of the bid; however, Virginia Tech reserves the right to decide, on a case by case basis, in its sole discretion, whether to reject such a bid.

ADDITIONAL TERMS AND CONDITIONS

A. ADDITIONAL GOODS AND SERVICES: The University may acquire other goods or services that the supplier provides other than those specifically solicited. The University reserves the right, subject to mutual agreement, for the Contractor to provide additional goods and/or services under the same pricing, terms and conditions and to make modifications or enhancements to the existing goods and services. Such additional goods and services may include other products, components, accessories, subsystems, or related services newly introduced during the term of the Agreement.

B. AUDIT: The Contractor hereby agrees to retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. Virginia Tech, its authorized agents, and/or the State auditors shall have full access and the right to examine any of said materials during said period.

C. AVAILABILITY OF FUNDS: It is understood and agreed between the parties herein that Virginia Tech shall be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement.

SPECIAL TERMS AND CONDITIONS:

1. AWARD: Virginia Tech will make the award on a per ton price basis to the lowest responsive and responsible bidder. The Virginia Tech Procurement Department also reserves the right to reject any or all bids, in whole or in part, to waive informalities and to delete items prior to making the award, whenever it is deemed in the sole opinion of Virginia Tech to be in its best interest

2. BID PRICES: Bid shall be in the form of a firm unit price for the duration of the contract period.

3. NEGOTIATION WITH THE LOWEST BIDDER: Unless all bids are cancelled or rejected, Virginia Tech reserves the right granted by Section 2.2-4318 of the Code of Virginia to negotiate with the lowest responsive, responsible bidder to obtain a contract price within the funds available to Virginia Tech whenever such low bid exceeds Virginia Tech's available funds. For the purpose of determining when such negotiations may take place, the term "available funds" shall mean those funds which were budgeted by Virginia Tech for this contract prior to the issuance of the written Invitation for Bids. Negotiations with the low bidder may include both modifications of the bid price and the Scope of Work/Specifications to be performed. Virginia Tech shall initiate such negotiations by written notice to the lowest responsive, responsible bidder that its bid exceeds the available funds and that Virginia Tech wishes to negotiate a lower contract price. The times, places, and manner of negotiating shall be agreed to by Virginia Tech and the lowest responsive, responsible bidder. 9 4. SAFETY: The contractor bears sole responsibility for the safety of its employees. The contractor shall take all steps necessary to establish, administer, and enforce safety rules that meet the regulatory requirements of the Virginia Department of Labor and Industry (VDLI) and the Occupational Safety and Health Administration (OSHA). The contractor shall take steps as necessary to protect the safety and health of university employees, students, and visitors during the performance of their work. In addition, the contractor must also provide the university with a written safety program that it intends to follow in pursuing work under this contract. By entering into a contract with Virginia Tech, the contractor and its subcontractors agree to abide by the requirements described in Safety Requirements for Contractors and Subcontractors located on Virginia Tech’s Environmental, Health and Safety Services (EHSS) web site at this URL http://www.ehss.vt.edu/programs/contractor_safety.php. A copy of the publication may also be obtained by contacting EHSS at 540/231- 5985. No work under this contract will be permitted until the university is assured that the contractor has an adequate safety program in effect.

5. SPECIAL OR PROMOTIONAL DISCOUNTS: The Contractor shall extend any special promotional sale prices or discounts immediately to Virginia Tech during the term of the contract. Such notice shall also advise the duration of the specific sale or discount price.

6. SUBCONTRACTS: No portion of the work shall be subcontracted without prior written consent of Virginia Tech. In the event that the contractor desires to subcontract some part of the work specified herein, the contractor shall furnish Virginia Tech the names, qualifications and experience of their proposed subcontractors. The contractor shall, however, remain fully liable and responsible for the work to be done by his subcontractor(s) and shall assure compliance with all requirements of the contract.

7. WORK SITE DAMAGES: Any damage to existing utilities, equipment or finished surfaces resulting from the performance of this contract shall be repaired to the Owner's satisfaction at the contractor's expense.
