NON-DISCLOSURE AND NON-CIRCUMVENT AGREEMENT THIS AGREEMENT made on the ______day of ______, 20____, by and between Name ______, Address ______City ______, State/Zip______, Fax: ______Work Phone: ______Home Phone: ______Mobile Phone: ______E-Mail: ______(hereinafter referred to as the “Buyer”) and Tannenbaum & Mehta (hereinafter referred to as the “Broker”) is intended to protect the corporation, partnership or entity that is offering the sale of its business and/or real estate through Broker (hereinafter referred to as the “Business”), the owner(s) of the Business (hereinafter referred to as the “Seller”), and the Broker, and shall be valid for the period of 36 months from the date of this Agreement or any extension, renewal or modification thereof. The Buyer hereby agrees and certifies that any and all information obtained from Broker or Seller with respect to any Business shall be used for the sole and exclusive purpose of considering such Business for purchase and such information will be kept confidential and will not be divulged to any other person/entity except to those whose knowledge of the information is required to evaluate the Business as potential acquisitions and who shall assume, in writing, the same obligations as set forth in this Agreement. The Buyer agrees not to use the information in any way to the detriment of the Seller should the Buyer not purchase Seller’s Business.

The Buyer understands that neither the Buyer nor any person, partnership, corporation, LLC or other entity affiliated with the Buyer shall make contact with, deal with or otherwise communicate with the Seller unless such contact, dealing or communication is through the Broker or is authorized by the Broker. The Buyer further understands that should the Buyer violate this provision and purchase or otherwise obtain an interest in any Business introduced to Buyer by the Broker, and Seller fails to pay the Broker all of the commission due to Broker in accordance with the Listing Agreement between Broker and Seller, Buyer agrees to pay the Broker commission to the extent not paid by the Seller. Further, the Broker shall be entitled to any and all costs incurred by Broker in collecting the commission, including, but not limited to, reasonable attorney’s fees and costs of suit. The parties agree that any dispute in regard to the provisions hereof shall be submitted for binding non-appealable arbitration at the American Arbitration Association.

It is understood that Broker makes no representation or warranty as to the completeness or accuracy of any information provided. The Buyer acknowledges Buyer’s responsibility to perform a due diligence review at Buyer’s own cost and expense prior to any acquisition of the Business.

1 of 3 Broker has a fiduciary duty to the seller which is not changed by providing mortgage or other services to the Buyer. Broker does not represent the Buyer in this transaction.

In the event that the Buyer violates the confidentiality and non-disclosure terms hereof, which violation causes any loss to the Business, Buyer shall be liable to the Seller for the full extent of the loss. Furthermore, upon an unaccompanied visit to the Seller’s place of business with authorization of the Broker, BUYER AGREES NOT TO SPEAK WITH THE SELLER OR ANY OF THE SELLER’S EMPLOYEES.

This Agreement constitutes the entire agreement between the parties hereto, and supersedes any prior oral or written agreements or understandings. Any modification of amendment to this Agreement must be in writing and signed by both parties. Each person signing this Agreement certifies that they have the authority as a principal, or as an authorized agent of the Buyer, to sign this Agreement on its behalf.

The Businesses covered by this Agreement are not limited to the Businesses listed below; any other Business presented to Buyer by Broker will also be covered by the provisions of this Agreement.

This Agreement shall be interpreted according to New Jersey law.
