3 EASY STEPS TO FOLLOW

STEP 1 RESERVE A NAME FOR YOUR COMPANY [CoR 9.1]

It is wise to reserve a name to minimise any future changes to one’s corporate documentation. In the event that you wish to trade under the registered name of the company, check that the proposed trading name is not in contravention with a similar existing trading name in the same business sector or that is already enjoying trade mark protection.

The form to be completed and submitted online to CIPC is CoR 9.1 APPLICATION TO RESERVE A NAME

STEP 2 SUPPLY CORPORATE INFORMATION ON THE NEW COMPANY [CoR 14.1]

This information is supplied on the Notice of Incorporation and contains information such as type of company, incorporation date, financial year end, registered business address, number of directors and company name.

The form to be completed and submitted to CIPC is CoR 14.1 and should include where applicable the following Annexures:

Annexure A INITIAL DIRECTORS OF THE COMPANY (CoR 14.1A)

Annexure B PROPOSED AND ALTERNATIVE NAMES OF THE COMPANY (CoR 14.1B) (Where name was not reserved or allocated)

Annexure C NOTICE OF RING-FENCING PROVISIONS (CoR 14.1C)

Annexure D NOTICE OF COMPANY APPOINTMENTS (CoR 14.1D) eg. Auditors, Company Secretary, Audit Committee

The form to be completed and submitted to CIPC is CoR14.1 NOTICE OF INCORPORATION, and must be submitted with the MEMORANDUM OF INCORPORATION www.onlinemoi.co.za | [email protected] STEP 3 SUPPLY THE COMPANY’S CONSTITUTIONAL DOCUMENT – MEMORANDUM OF INCORPORATION [CoR 15.1]

The Memorandum of Incorporation (MOI) defines the way a company does business, the authority levels and the respective roles of shareholders and directors.

Because of the unique nature of the company it is in the best interest of the company, that a unique customised and personalised MOI is prepared. This will include, inter alia, articles that deal with topics such as securities, finance, shareholder rights and meetings, the board, directors and directors meetings, and transparency, accountability and integrity of the company.

The MOI should include the following supporting documents

 Certified ID copies of all indicated initial directors and incorporators

 Certified ID copy of applicant if not the same as one of the indicated initial directors or incorporators

 If a name was reserved before filing of incorporation documents, a valid name reservation name document is necessary (CoR 9.1)
