Interim Principal Contract Linda D. Bayne

AGREEMENT made and entered into this 5th day of August, 2009, by and between the Board of School Trustees of the Center Grove Community School Corporation, hereinafter referred to as "Board," and Linda D. Bayne, who holds a license issued by the Indiana State Department of Education as a Principal, hereinafter referred to as the "Principal."

1. Employment The Board hereby employs the Principal as an independent contractor and the Principal hereby accepts employment as an independent contractor upon the terms and conditions hereinafter set forth. 2. Term The term of this Agreement shall be the period of time necessary to obtain the services of a permanent Principal for the West Grove Elementary School. This Agreement shall terminate upon the appointment of, and the assumption of duties by, a permanent Principal for the West Grove Elementary School, unless otherwise extended by mutual agreement for the sole purpose of transitioning to the permanent Principal or otherwise terminated as hereinafter provided or as provided by law. 3. Compensation For the services rendered by the Principal under this Agreement, the Board shall pay the Principal on a per diem basis in the amount of $450.00 per day, on the third Monday of each month through an Accounts Payable voucher. For the 2009-10 school year, the expected contract is for 185 days, more or less, as determined by the Superintendent 4. Duties The Principal shall act as the Principal of the West Grove Elementary School and will faithfully and dutifully perform all the duties of the Principal which are required by Indiana law, regulations, School Corporation policies, and direction of the Board. 5. Fringe Benefits The Principal is not entitled to any fringe benefits of any type. This provision applies to any benefits provided to regularly employed teachers and administrators in the Center Grove Community School Corporation. 6. Termination This Agreement may be terminated prior to the selection of a permanent Principal in any one of the following ways: a. Mutual consent of the Board and the Principal; and, b. By the Board for cause, including, but not limited to, incompetency, insubordination (which shall be deemed to mean a willful refusal to obey the school laws of the State of Indiana or reasonable rules prescribed by the Center Grove Community School Corporation), neglect of duty, immorality or for any other good and just cause, Revocation of the Principal's license by the State Department of Education for any statutory reason shall be deemed to constitute incompetency for the purpose of this paragraph. c. By the Board or the Principal, for any reason, upon 30 days written notice to the other party. 7. Indiana Law The terms and conditions of this Agreement shall be interpreted under and in accordance with Indiana law. 8. Continuing Duty to Defend and Indemnify the Principal The Board agrees to provide counsel for the Principal and to indemnify and hold the Principal harmless for all claims, demands, and judgments arising out of the performance of his duties to the fullest extent permitted by law. The parties agree that the obligation to defend and indemnify the Principal as to claims, demands, and judgments arising for the performance of the duties of Principal shall continue despite the cancellation of the other provisions of this Contract. 9. Waiver of Breach The waiver by the Board of any breach of this Agreement by the Principal shall not operate or be construed as a waiver of any subsequent breach by the Principal. 10. Entire Agreement This instrument constitutes the entire Agreement between the parties and it may not be amended, changed, or modified except upon written agreement executed by both parties.
