1) Tender documents can be obtained from the office of the Chief Engineer M.S.E.D.C.L, Vidyut Bhavan, Dr. Ambedkar Road, Aurangabad – 431 001 on non-refundable payment of Rs. 1000/-+ 4% VAT in cash or D.D. payable to Superintending Engineer (O&M), Rural Circle, MSEDCL, Aurangabad on working days from date 04.12.2007 to 14.12.2007 upto 11.00 to 14.00 hrs.

2) EMD should be submitted by Cash / D.D. or in the form of Bank Guarantee from nationalised / Schedule bank in favour of Superintending Engineer (O&M), Rural Circle, MSEDCL payable at Aurangabad.

3) Sealed tenders duly super scribed with tender Number, details of particulars & details of payment of EMD on the envelope will be accepted on 10.01.2008 upto 13.00 hrs & will be opened at 15.00 hrs on the same day if possible, in the presence of the representatives of the bidders.

4) Incomplete tenders will not be accepted.

5) MSEDCL will not send the blank tenders nor will accept the filled tenders by post or courier. Tender document will also be available on MSEDCL’s website: www.mahadiscom.in. * Bidders shall note that the rate of failure of distribution transformers in the previous 3 years in JALNA DIVISION I is enclosed in Annexure II. However, for the purpose of cost estimation it is assumed that due to preventive maintenance the rate of failure will be 5% in the 1st year and 3% in the 2nd year.

A. GENERAL TERMS AND CONDITIONS

Scope of Bid

1.1. The Maharashtra State Electricity Distribution Company Ltd. (MSEDCL), represented by the Chief Engineer of the Aurangabad Zone (hereinafter referred to as "the Employer"), wishes to receive bids for maintenance, repairs & replacement of Distribution Transformers (T/Fs) including, dismantling, transportation, erection, Testing, Loading & unloading and commissioning on Annual Maintenance Contract (AMC) basis for 2 years.

1.2. The Works are to be carried out at various sites in the area/jurisdiction of JALNA DIVISION I under Jalna Circle, Aurangabad Zone.

1.3. The detailed scope of work to be undertaken by the bidder is outlined at ANNEXURE I.

1.4. Initially about 50 Nos. of 11kV failed Distribution Transformers of various capacities will be handed over to the bidder. The same should be repaired and used for the purpose of replacement by the bidder. After the expiry of AMC period, the same quantity should be handed over back to MSEDCL in proper & working condition. Bidder should load the cost of repairs of these transformers in his offer.

Initially handed over 50 transformers shall be repaired within one (1) month & shall be kept ready for use at 4 different locations in division as directed by Executive Engineer.

Good repairable transformers only shall be handed over to successful bidder by Executive Engineer for repair. Transformers beyond repair shall not be given to bidder.

1.5. The details regarding the quantum of the existing T/F’s in the area along with their type and the data with regards to the failure rate in the past three years are provided at Annexure II. However, for the purpose of estimation, failure rate of 5% for the 1st year and 3% for 2nd year is considered.

1.6. The bidder would be responsible to maintain the newly added T/F’s in the area, if any, in addition to the existing transformers as outlined in Annexure II. It is estimated that apart from the existing T/Fs, approximately 5% additional T/Fs may be added across different capacities during the term of the contract and it shall also be covered under the AMC.

Terms and Conditions related to Performance / Scope of work

1.7. After awarding the contract for Annual Maintenance of distribution transformers, joint survey shall be carried out for petty repairs of the distribution transformers in service and they shall be repaired by the bidder as per survey report, the payment for which will be made at the rate quoted by the bidder.

1.8. The bidder is expected to adhere to the time frames prescribed in the Standards of Performance Regulations 2005 issued by the Maharashtra Electricity Regulatory Commission (MERC). Accordingly, in case of T/F failure, the same should be replaced

within a time frame of 24 Hrs. in Urban areas & within a time frame of 48 Hrs. in Rural area from the time of intimation to the bidder during the contract period failing which a penalty shall be levied / charged to the bidder. The penalty charged/levied shall be as prescribed by the MERC in the aforesaid mentioned regulations. The list of the Urban and Rural areas in the Division is as enclosed at Annexure III.

1.9. The bidder shall be notified by the employer about the failure of the transformers by telephone followed by a written intimation by mail or by fax (hereinafter the term "fax" is deemed to include electronic transmission such as email at the bidder’s address mentioned in the Service Agreement. The format for intimation shall be as enclosed at ANNEXURE XI. Non receipt of failure information will not be an excuse to meet Standard of Performance (SoP) of MERC.

1.10. Transformer oil

Fresh oil shall be used by the successful bidder and it should confirm to the IS Specification.

1.11. Engagement of Personnel by the Bidder

It is mandatory for the bidder to engage qualified and experienced staff in sufficient numbers with necessary licenses like electrical contractor’s license, supervisor’s license, etc. to carry out the said scope of work. The employer can initiate action in the form of penalty or termination of the contract against the bidder, in case, it is noticed that the bidder does not have the necessary personnel to carry out the said scope of work.

The bidder is expected to adhere to Minimum Wage Act & shall pay minimum wages to the labour / employee engaged for the Annual Maintenance Contract work as per the time to time issued circulars / wages declared by the labour department of Government of Maharashtra.

1.12. Maintenance / Repairs of T/F

Any additional T/F’s added during the contract period should also be maintained/ repaired & replaced in addition to the existing T/F listed in Annexure I. The new transformers which are under the manufacturers guarantee shall not be repaired by the bidder. However, such transformers shall be lifted and transported by the bidder to the divisional stores immediately on receiving the intimation from the employer. The repair work generally involves replacement / re-insulation of HV / LV coils, replacement of gaskets and other damaged / worn-out parts wherever necessary, reassemble, drying out etc. The replaced parts should be of original / genuine reputed standard makes and of best quality and workmanship. The distribution transformer shall be repaired by making only single coil windings.

On completion of repairs and test thereof and before delivery of the repaired transformers, the bidder shall affix, free of cost, just below the manufacture name plate on the transformer, a suitable metallic plate with following details punched on it:

The scrapped material like Copper, Aluminium, other hardware like nuts, bolts, etc. available from the repaired transformer shall be retained by the bidder.

1.13. Testing

The repaired transformers shall be subjected to routine test as per IS-2026/1977. If only full load losses are not within permissible limits, a penalty will be charged in accordance to the clause No. 2.11. (No load losses depend upon the core material which remains the same).

The testing arrangements will have to be made by the bidder. All the tests shall be carried out in the presence of the bidder and representatives of MSEDCL nominated by the Chief Engineer, Aurangabad Zone or the Superintending Engineer, ______Circle. The team of MSEDCL’s representatives should consist of any two officers from the following:

i. Executive Engineer (O&M) Division their representatives not below ii. Executive Engineer (Testing) Division OR the rank of Deputy Executive Engineer iii. Executive Engineer (Administration), O&M Circle

1.14. Certification

A Certificate for all tests carried out on the repaired transformers jointly, shall be submitted to concerned officer of the Circle/Division. The repaired transformers will have to be dispatched only after employer’s representative certifies the tests to be satisfactory. A copy of Report of the Joint Testing carried out before delivery shall also be submitted along with bill.

1.15. Guarantee

The guarantee period for repaired Distribution transformer shall be as follows:

1) Green Transformer- 2 Years from the date of commissioning after repairs (repaired);

2) Gray / other old T/f- 1 Year from the date of commissioning after repairs (repaired);

If the T/F’s are procured during FY2006-07, and the situation so arises that the transformer is repaired by the successful bidder instead of the original manufacturer, the guarantee period shall be 5 years from the date of commissioning of the repaired transformer by the bidder.

If any Transformer repaired by the bidder fails within guarantee period, the bidder shall repair it free of charge and cost of transportation also shall be borne by the bidder. If the bidder fails to repair such transformer failed within such guarantee period, within a time limit of 30 days, from the date of failure of the transformer and intimation of the same to the bidder, he shall be penalised at the rate of Rs. 1000/- per month limited to maximum of Rs.5000/- per transformer.

1.16. Losses

On completion of repairing, the transformer shall be inspected for full load loss by measurement of Resistance. The Permissible variations over and above the limits specified by MSEDCL are as follows:

[a] Green Transformer : +10% This will of course apply to

[b] Grey Transformers : +15% resistance.

2.11 Test

After repair of distribution transformer the following tests shall be carried out, which shall be witnessed by the representative of MSEDCL 1. Resistance Test 2. Short Circuit Test 3. Double Voltage Double Frequency (DVDT) 4. Magnetic Balance Test 5. Other Tests, if required

2.12 The distribution transformer shall be repaired by making only single coil winding.

While attending repairs of the transformers, the repairer shall ensure that the guaranteed technical particulars and performance of the same are maintained for repaired transformers. As far as possible the value of percentage impedance, losses and efficiency should be close to original values.

All the components/ parts and materials used for replacing defective one and repairing the transformer shall conform to relevant IS and shall be of standard / reputed make as approved by MSEDCL.

Instructions to Bidders & Tender Conditions

1.17. Title & Scope of Work

Tender for maintenance, repairs & replacement of Distribution Transformers (T/F) including dismantling, transportation, erection, testing, loading & unloading & commissioning on Annual Maintenance Contract basis and other works as mentioned in the Detail Scope of work – Annexure I.

1.18. Tender Confidential

The Bidders shall treat the contents of this tender as private and confidential. He shall also treat the prices quoted by him as strictly confidential until the tenders are opened.

1.19. Earnest Money Deposit (EMD)

EMD of the value equivalent to 1% of the estimated cost of the work shall be paid by way of Cash / Demand Draft (payable at Aurangabad in favour of Maharashtra State Electricity Distribution Company Ltd.) / Bank Guarantee. In case of Bank Guarantee, the same shall be issued by Nationalised / scheduled Bank in the prescribed format at Annexure – VIII. The Bank Guarantee will remain in force upto and including the date 30 days after the deadline for bid validity. The E.M.D. is liable for forfeiture in following cases: a. If the bidder withdraw / modifies his offer within the validity period after opening of the tender.

b. If the bidder furnishes false information or misrepresent the factual information in the bid.

c. If the successful bidder fails to sign the contract agreement within 21 days from the date of issue of letter of Intent / Award.

d. If the successful bidder fails or refuses to submit performance Bank Guarantee / Security Deposit within specified period.

Tenders not received with the requisite EMD shall be rejected summarily.

No interest shall be payable on the EMD. EMD of the unsuccessful bidder (s) will be refunded / returned after finalisation of the tender and award of contract to the successful bidder or upon discharge of the tender.

1.20. Indemnity Bond

Successful bidder will have to execute an indemnity bond on stamp paper of requisite value (which at present is Rs. 200/-) in the prescribed proforma at Annexure VII. The cost of stamp paper will have to be borne by the bidder.

1.21. Insurance

Successful bidder will have to submit an Insurance cover (at his cost) for Rs. 50 Lakhs against fire, loss due to transportation, commissioning of T/F, theft/riots/damages/burglary etc. to M.S.E.D.C.L’s property lying in contractor’s workshop. The insurance is to be made in favour of M.S.E.D.C.L. covering contract period or till the expiry of contract and has to be borne by the successful bidder.

1.22. Service Agreement

Successful bidder will have to execute a service agreement on a stamp paper of requisite value (at present Rs. 200/-) to be borne by the bidder in the form prescribed by the employer which is enclosed at Annexure V.

1.23. Workman’s Compensation

In case of occurrence of any accident during the contract period to the bidder’s staff or to the outsider, the total responsibility will be on the bidder and shall be liable to pay compensation as per Workman’s Compensation Act, 1923. MSEDCL will not be responsible for any compensation to the concerned employees/outsiders.

1.24. Statutory Requirements

The bidder shall ensure adherence to all Safety and Statutory requirements as stipulated in Maharashtra Factory Rules 1963, The Electricity Act 2003, MERC (Standards of Performance of Distribution Licensee) Regulations 2005 and all other regulations in existence/force during the term of contract.

1.25. Submission of bill The bill should be submitted in triplicate copy duly quoting the PAN No., MVAT Registration No., Service Tax registration No., etc to the concerned Executive Engineer (O&M) Div. for recording of MB and for passing/approval of the same.

1.26. Payment

All the payments due to the bidder shall be paid only by “Account Payee” cheque. The payments shall be made on monthly basis after submission of the bill. The payment for the

bill received by MSEDCL shall be paid within 45 days from the date of submission of the bill.

1.27. Taxes

The rates quoted by the bidder shall be inclusive of all taxes such as central Excise/MVAT, Service Tax, etc. and payment of any kind of any tax will not be shared by MSEDCL. The cost of Octroi / escort will be borne by the bidder.

1.28. MVAT

Work contract Tax under MVAT Act-2005 @2% if registered and 4% for unregistered bidder will be recovered from your bill and to that effect deduction certificate will be issued by paying Authority.

1.29. Income Tax

Income Tax will be deducted from your bill as per prevailing rate & to that effect deduction certificate will be issued by paying authority.

1.30. Deduction

Any amount(s) becoming due on account of damages or compensation for default or breach of contract by the bidder, in addition to the deduction towards security deposit, the said amount(s) may be retained from any payment(s) due to the contractor and the M.S.E.D.C.L shall have the right to recover such amount/amounts to be retained from any payments due to the bidder by the M.S.E.D.C.L, under a particular or any contract, may be deducted by the M.S.E.D.C.L from amount/amounts due or becoming due by him to the bidder under the same or any other contract.

1.31. Force Majeure

Force Majeure is herein defined as any cause which is beyond the control of the Bidder or MSEDCL as the case may be, which they could not foresee or with a reasonable amount of diligence could not have foreseen and which substantially affects the performance of the contract which includes the following:

 Natural Calamity including but not limited to flood, drought, earthquake, epidemics, volcanic activities, typhoon or cyclone, hurricane and nuclear disaster;

 Acts of god, strikes, lockouts or any other industrial disturbance, acts of war, riots, insurrections;

 The bidder or the MSEDCL shall not be liable for delay in performing their respective obligations resulting from any Force Majeure cause as referred to and/or defined above, the date/time of completion shall be extended by a reasonable time even though such cause may occur after the bidders performance of his obligations has been delayed for other causes.

3.16 Miscellaneous:

a. No modification of any kind such as rebates etc. in tender value will be accepted after due date and time of receipt of tender. No deviation from specifications will be allowed.

b. The decision of the Chief Engineer, Aurangabad Zone about the interpretation of any terms and conditions of this tender specification including Annexures, orders placed and or this tender shall be final and binding on the bidder/contractor. All disputes/differences arising under, out of or in connection with the contract so concluded shall be subject to the exclusive jurisdiction of Aurangabad Courts of Law.

Eligible Bidders

1.32. This Notice Inviting Tender (NIT) is open to manufacturers, contractors or Authorised Representatives of manufacturers, who manufacture/ erect/ undertake repair works of distribution transformers of the type specified, have adequate technical knowledge and repair experience, and meet the qualification criteria specified in Clause 5. Bidders (including all members of a joint venture and all sub-contractors of a bidder) shall be from India only.

1.33. Bidders shall provide such evidence of their eligibility satisfactory to the Employer, as the Employer shall reasonably request.

1.34. Bidders shall not be under a declaration of ineligibility for corrupt and fraudulent practices issued by the MSEDCL, any Bank or any State within India.

1.35. A Bidder shall not have any conflict of interest as provided in Clause 6.

Qualification of the Bidder

1.36. In order to be qualified for Award of Contract, the bidders will be required to satisfy the following minimum qualifying criteria, which take precedence over any qualification requirements that may be stated in the Specifications or elsewhere in the Tender Document:

(A) the bidder should have at least 2 years experience as a prime contractor in the transformer manufacturing / repair. Such works should include repair, testing, dismantling, transport, erection, testing and commissioning of distribution transformers of varying capacities; and

(B) the bidder should have a total turnover of atleast equal to contract value in any two financial years of the last three financial years (i.e. FY 2004-05, 2005-06 and 2006-07).

(C) the Bidder should possess a valid Electrical Contractor’s license issued under the Act; and

(D) the bidder should be Solvent to the amount of Rs. 100 Lakhs; and

(E) the bidder should have SERVICE TAX, VAT & INCOME TAX REGISTRATION.

(F) In the case of tenders submitted by a Joint Venture (JV) of two or more firms as partners, either of the partners shall comply with all qualifying requirements set forth under clause 5.1 (a) to (d) and shall be jointly and severally bound unto and responsible for successful performance of contract in the event of the bid is accepted by the Employer resulting in a contract. However, the lead partner in the Joint Venture shall have to comply with the condition mentioned at clause 5.1 (e).

(G) The JV agreement is provided at Annexure VI and has to be signed by the parties into contract and submitted along with the bid.

1.37. Conditions for Joint Venture Offer

In addition to the qualification as referred earlier, the offer by Joint Venture shall be inclusive of documents as under:

The bid shall include all the relevant documents needed for qualifying requirements listed in Sub- Clause 5.1 & 5.2 above for members of joint venture taken together.

The bid shall be signed so as to be legally binding upon all members. The evidence of this shall have to accompany the bid of the bidder with proper legal documentation. A Joint Deed or a Joint Venture Agreement should be submitted by the bidders in the format as given at Annexure VI.

One of the members shall be nominated, as being in-charge submitting a power of attorney signed by legally Authorised signatories of both members & the same shall be suitably witnessed by the representatives of both the members.

The bid shall include joint venture agreement in the Annexure VI to be executed by its members and which shall state inter-alia that all members shall be liable jointly and severally for the execution of the contract and that the Member-In charge shall be Authorised to incur liabilities and receive instructions for and on behalf of any and all members, and the entire execution of the Contract including payments shall be done exclusively with the Member- In charge.

No member of the joint venture is eligible for bidding in individual capacity nor would be eligible in associating in more than one joint ventures.

Notwithstanding any qualifying requirement as referred above, the employer reserves its exclusive right to relax any of the qualifying criteria in the interest of the company and / or in the interest of healthy and better competition.

1.38. Information submitted by the bidder with respect to its experience and qualifications shall be supported by mandate letters, completion certificates, WIP certificates, etc., from the respective clients.

1.39. Information provided on the bidder’s financial capacity shall be duly certified by a Chartered Accountant.

1.40. Documents submitted without the required Certification will not be considered for evaluation.

1.41. Bidders shall note that the qualification requirements described in the above Clauses shall strictly apply to the Bidder and all members of a Joint Venture and not its associated companies or group companies or companies taken over by them.

Cost of Tender

1.42. The bidder shall bear all costs associated with the preparation and submission of its bid and the Employer will in no case be responsible or liable for those costs.

Tenders Not Transferable

1.43. Tender Papers shall not be transferable. The Bidders shall submit their offer in the prescribed Tender Paper purchased by them.

B. TENDER DOCUMENTS

Content of Tender Documents

1.44. The bidder is expected to examine carefully the contents of the tender documents. Failure to comply with the requirements of bid submission will be at the bidder's own risk. Pursuant to Clause 28, bids which are not substantially responsive to the requirements of the tender documents will be rejected.

Clarification of Tender Documents

1.45. A prospective bidder requiring any clarification of the tender documents may notify the Employer in writing by mail or by fax (hereinafter the term "fax" is deemed to include electronic transmission such as facsimile, cable and telex) at the Employer's address indicated in the Tender Details. The Employer will respond to any request for clarification which it receives earlier than 5 (five) days prior to the deadline for submission of bids. Copies of the Employer's response, including a description of the enquiry, will be forwarded to all purchasers of the tender documents.

Amendment of Tender Document

1.46. At any time prior to the deadline for submission of bids, the Employer may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective bidder, modify the tender documents by issuing addenda.

1.47. Any addendum thus issued shall be part of the tender documents and shall be communicated in writing or by fax to all purchasers of the tender documents. Prospective bidders shall acknowledge receipt of each addendum by fax to the Employer.

1.48. In order to afford prospective bidders reasonable time in which to take an addendum into account in preparing their bids, or for any reason deemed appropriate by the Employer, the Employer may extend the deadline for submission of bids, in accordance with Clause 22.

C. PREPARATION OF BIDS

Language for Tendering/Contracting

1.49. The Tenders shall be acceptable only in ENGLISH language. Tenders submitted in any other language shall not be acceptable. All the correspondence pertaining to this Tender and the Contract emerging out of it, in case any, shall be in ENGLISH.

Preparation of Tender document

1.50. Tender should be filled in ink or typewritten. While quoting, the rates shall be mentioned both in figures and words. There should not be any overwriting and erasures. In case any changes are to be made, they should be done by crossing original writing and signed by the bidders. In case of difference between rates in figures and words, the rates most favourable to the M.S.E.D.C.L shall be considered to have been quoted.

Documents Comprising the Bid

1.51. The bid submitted by the bidder shall comprise two envelopes submitted simultaneously, one containing only the technical Bid and the other the price Bid. All bidding documents required to be submitted in accordance with the requirements of Sub-Clauses 14.2 shall be completely filled in and signed with seal on each page as a token of acceptance, as applicable, without deviating from the format and content.

1.52. The technical Bid submission shall be comprised of the following:

(i) EMD as outlined in the clause 3.4;

(ii) Supporting documents like completion certificates, experience certificates, etc. for completed works to demonstrate the necessary experience of having executed the works of manufacturing / repairs of distribution transformer as outlined under clause 5.1.

(iii) Financial capability statements certified by the Chartered Account for demonstrating the financial strength as outlined under clause 5.1 (b).

(iv) Valid Electrical Contractor Licenses copy duly attested.

(v) Solvency certificate of Rs. 100 Lakhs issued by Nationalized / Schedule Bank.

(vi) VAT registration copy duly attested.

(vii) Service Tax registration copies duly attested.

(viii) Income Tax returns for the last 3 years copies duly attested.

(ix) Declaration of Acceptance of all the terms and conditions specified in the tender document;

(x) Any other information / data / supporting documentation required to be submitted by bidders in accordance with these Instructions to Bidders.

Price Bid

1.53. Price Bid shall comprise of the price bid format as provided at Annexure IV.

Expression of Currency

1.54. The expression of the currency of transaction shall be in the Indian Rupees.

Offer Validity

1.55. The Bidders shall keep their offer open for acceptance for a period not less than 90 Days (Ninety Days) from the date of opening of the tenders.

1.56. In exceptional circumstances, the Employer may request the bidders to extend the period of validity for a specified additional period. The request and the bidders’ responses shall be made in writing or by cable. A bidder may refuse the request without forfeiting his EMD. A bidder agreeing to the request will not be required or permitted to modify his bid, but will be required to extend the validity of his EMD for the period of the extension, and in compliance with Clause 3.3 in all respects.

Bid Form and Price Schedules

1.57. The Bidder shall complete the Bid Forms and schedules furnished in the tender documents in the manner and detail indicated therein.

Bid Prices

1.58. Unless specified otherwise in Employer’s Requirements, Bidders shall quote for the entire facilities on a “single point responsibility" basis such that the total bid price covers all the Bidder's obligations mentioned in or to be reasonably inferred from the tender documents in respect to the scope of work. This includes all requirements under the Bidder's responsibilities for testing and commissioning of the facilities and, unless otherwise stipulated in the tender documents, the acquisition of all permits, approvals and licenses, etc., payment of inspection charges and other agency fees, and such other items and services as may be required for execution of the Works, all in accordance with the requirements of the Conditions of Contract.

1.59. Payment for the particular work carried out by the bidder and / or cost of the item provided by the bidder, shall be payable only once during contract period (AMC period) for each distribution transformers.

1.60. The price quoted by the bidder shall be all-inclusive (VAT, Service Taxes, duties, levies, etc).

1.61. The price quoted by the bidder shall be for undertaking maintenance, repairs & replacement of Distribution Transformer (T/F) including, dismantling, transportation, erection, Testing, Loading & unloading and commissioning on Annual Maintenance Contract (AMC) basis for 2 years for the existing transformers (Annexure II) in the area as defined in the tender data and also for the additional transformers that may be added into the area during the term of the contract as specified in clause 1.6, for which payment will be made considering total quantity of transformers in service at the end of the previous month.

1.62. The bidder shall quote Annual Maintenance Contract (AMC) rate per Transformer only.

1.63. The charge payable determined above is all inclusive.

Alternative Bids by Bidders

1.64. Bidders shall submit offers, which comply with the requirements of the tender document. Alternative Bids will not be considered. The attention of the bidders is drawn to the provisions of preliminary examination of technical Bid regarding the rejection of bids which are not substantially responsive to the requirements of the tender documents.

Format and Signing of Bid

1.65. The bidder shall prepare one original and one copy of the technical Bid and the price Bid, clearly marking each one as: "ORIGINAL-TECHNICAL BID", "ORIGINAL-PRICE BID", "COPY-TECHNICAL BID", "COPY-PRICE BID ", etc. as appropriate. In the event of discrepancy between the original and any copy, the original shall prevail.

1.66. The original and copy of the bid shall be typed or written in indelible ink (in the case of copies, Photostats are also acceptable) and shall be signed by a person or persons duly authorized to sign on behalf of the bidder, as the case may be. The bidder shall sign on all pages of the Technical Bid and Price Bid to confirm that he has read and accepted all the contents and conditions contained therein.

1.67. The bid shall contain no alterations, omissions or additions, except those to comply with instructions issued by the Employer, or as necessary to correct errors made by the bidder, in which case such corrections shall be initialled by the person or persons signing the bid.

D. SUBMISSION OF BIDS

Sealing and Marking of Bids

1.68. The bidder shall seal the original technical Bid, the original price Bid, the copy of the technical Bid, and the copy of the price Bid in separate envelopes clearly marking each one as: "ORIGINAL - TECHNICAL BID ", "ORIGINAL - PRICE BID", "COPY - TECHNICAL BID", "COPY - PRICE BID", etc. as appropriate.

1.69. The bidder shall put two envelopes containing the original bids into one envelope and mark it “ORIGINAL”. Similarly, the bidder shall put two envelopes containing the copies of bids into one envelope and mark it, “COPY”. These two envelopes shall be put into one final envelope for submission.

1.70. The inner and outer envelopes shall provide the name and address of the bidder, and shall be superscribed as follows:

a) “TENDER FOR MAINTENANCE, REPAIRS & REPLACEMENT OF DISTRIBUTION TRANSFORMER INCLUDING, DISMANTLING, TRANSPORTATION, ERECTION, TESTING & COMMISSIONING IN THE JURISDICTION OF ______DIVISION UNDER ______CIRCLE ON ANNUAL MAINTENANCE CONTRACT BASIS”

b) Do Not Open Before 15.00 hrs. on ______.

c) Name and address of firm: ______

d) Earnest money paid by D.D./Receipt No: ______

and date. : ______

1.71. If the outer envelopes are not sealed and marked as above, the Employer will assume no responsibility for the misplacement or premature opening of the bid.

Deadline for Submission of Bids

1.72. The Tender shall be closed at 13.00 Hours (IST) on 10.01.2008. Accordingly, bidders shall submit their tenders duly sealed and super scribed to reach the Office of the Chief Engineer, MSEDCL, Aurangabad Zone, Vidyut Bhavan, Dr. Ambedkar Road, Aurangabad – 431 001 not later than 13.00 Hours (IST) on 10.01.2008

1.73. The Employer may, at its discretion, extend the deadline for submission of bids by issuing an addendum in accordance with Clause 10, in which case all rights and obligations of the Employer and the bidders previously subject to the original deadline will thereafter be subject to the deadline as extended.

Omissions or Discrepancies

1.74. Should a Bidder find discrepancies or omissions in the Tender Papers or should he be in doubt as to their meaning, he shall at once notify the authority inviting the Tenders and obtain a written clarification in that behalf. In any case, no column should be left blank. It shall be understood that the successful Bidder shall take upon himself and provide for the risk of any error, which may subsequently be discovered and, shall make no subsequent claim on account thereof.

Submission of Wrong Information

1.75. If the Bidder(s) deliberately give(s) wrong information in his/their tender or create(s) circumstances for the acceptance of his/their tender, MSEDCL reserves right to reject such tender(s) at any stage.

Late Bids

1.76. Any bid received by the Employer after the deadline for submission of bids prescribed in above clause 22 will be rejected and returned unopened to the bidder.

E. OPENING AND EVALUATION OF TECHNICAL BIDS

Opening of Technical Bids

1.77. The Employer will open the technical Bids, including modifications if any, in the presence of bidders' representatives who choose to attend, at the address, date and time designated in the Tender Details. The bidders' representatives who are present shall sign a register evidencing their attendance.

1.78. The price Bids will remain unopened and will be held in the custody of the Employer until the time of opening of the price Bids. The time and date and location of the opening of the price Bids will be advised in writing or by fax by the Employer following approval of the evaluation of the technical Bids.

27. Preliminary Examination of Technical Bid

27.1 The Employer will examine the bids to determine whether they are complete, whether the documents have been properly signed, whether the required EMD is included, and whether the bids are generally in order. Any bids found to be non-responsive for any reason or not meeting the minimum levels of the performance or other criteria specified in the tender documents will be rejected by the Employer and not included for further consideration.

28. Evaluation and Comparison of Technical Bid

28.1 The Employer will carry out a detailed evaluation of the bids in order to determine whether the bidders satisfy the qualification criteria and whether the technical aspects are substantially responsive to the requirements set forth in the tender documents. In order to reach such a determination, the Employer will examine the information supplied by the Bidders and other requirements in the tender documents taking into account experience, technical and financial capabilities and past performance etc.

29. Invitation to Attend Opening of Price Bids

1.79. At the end of the evaluation of the technical Bids, the Employer will invite bidders who have submitted substantially responsive technical Bids and who have been determined as being qualified for award to attend the bid opening of the price Bids. Bidders shall be given reasonable notice of the price bid opening.

29.2. The Employer will notify Bidders that have been rejected on the grounds of being substantially non-responsive to the requirements of the tender documents in writing and return the unopened price Bids.

F. OPENING AND EVALUATION OF PRICE BIDS

30. Opening of Price Bids

1.80. The Employer will open the price Bids of all bidders who submitted substantially responsive technical Bids at the time and date at the location advised to the bidders. Price Bids shall be opened at the date and time as may be notified to the technically responsive bidders. The bidder's representatives who are present shall sign a register evidencing their attendance.

1.81. The bidder's names, the Bid Prices, the total amount of each bid, any discounts, and such other details as the Employer may consider appropriate, will be announced and recorded by the Employer at the opening. The bidder's representatives will be required to sign this record.

30 Clarification of Price Bids

1.82. To assist in the examination, evaluation and comparison of price Bids, the Employer may, at its discretion, ask any bidder for clarification of its bid. The request for clarification and the response shall be in writing or by cable, but no change in the price or substance of the bid shall be sought, offered or permitted except as required to confirm the correction of arithmetic errors discovered by the Employer in the evaluation of the bids in accordance with Correction of errors.

1.83. Any effort by the bidder to influence the Employer in the Employer’s evaluation of price Bids, bid comparison or contract award decisions may result in the rejection of the bidder’s bid and forfeiture of the bid security.

31 Preliminary Examination of Price Bids and Determination of Responsiveness

1.84. The Employer will examine the bids to determine whether they are complete, whether the documents have been properly signed, whether the bids are substantially responsive to the requirements of the tender documents, and whether the bids provide any clarification and/or substantiation that the Employer may require pursuant to Clause 34.

1.85. A substantially responsive bid is one which conforms to all the terms, conditions and requirements of the tender documents without material deviation or reservation.

1.86. If a price Bid is not substantially responsive, it will be rejected by the Employer, and may not subsequently be made responsive by correction or withdrawal of the nonconforming deviation or reservation.

32 Correction of Errors

1.87. Price Bids determined to be substantially responsive will be checked by the Employer for any arithmetic errors. Arithmetical errors will be rectified on the following basis.

(i) If there is a discrepancy between the total bid amount and the sum of the total costs, the sum of the total costs shall prevail and the total bid amount will be corrected.

(ii) If the bidder has offered a discount expressed as a percentage of the quoted price, such discount will be applied to the corrected bid price.

1.88. The amount stated in the Form of Bid for Price Bid will be adjusted by the Employer in accordance with the above procedure for the correction of errors and shall be considered as binding upon the bidder. If the bidder does not accept the corrected amount of bid, its bid will be rejected, and the EMD may be forfeited.

33 Evaluation and Comparison of Price Bids

1.89. The Employer will evaluate and compare only the bids determined to be substantially responsive and qualified for award of contract in accordance with complete evaluation of technical Bid.

1.90. The Employer reserves the right to accept or reject any variation or deviation. Variations, deviations, and other factors which are in excess of the requirements of the tender documents or otherwise result in the accrual of unsolicited benefits to the Employer shall not be taken into account in bid evaluation.

1.91. If the bid of the successful bidder is substantially below the Employer's estimate for the contract, or if the bid price is found by the Employer to be severely imbalanced with respect to the Employer’s estimate and/or to bids submitted by other bidders through front- end loading of the quoted prices, the Employer may require the bidder to produce detailed price analyses to demonstrate the internal consistency of those prices.

G. AWARD OF CONTRACT

34 Award

1.92. Subject to Clause 37, the Employer will award the Contract to the bidder whose bid has been determined to be substantially responsive to the tender documents and who has offered the Lowest Evaluated Bid Price, provided that such bidder has been determined to be (i) eligible in accordance with the provisions of Clause 4; and (ii) qualified in accordance with the provisions of Clause 5.

35 Employer’s Right to Accept any Bid and to Reject any or all Bids

1.93. Notwithstanding Clause 35, the Employer reserves the right to accept or reject any bid, and to annul the tender process and reject all bids, at any time prior to award of Contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for the Employer's action.

36 Notification of Award

1.94. Prior to expiration of the period of bid validity prescribed by the Employer, the Employer will notify the successful bidder by fax, confirmed by registered letter, that its bid has been accepted. This letter (hereinafter and in the Conditions of Contract called the "Letter of Acceptance") shall name the sum which the Employer will pay the Contractor in consideration of the annual maintenance contract by the Contractor as prescribed by the Contract (hereinafter and in the Conditions of Contract called "the Contract Price").

1.95. The notification of award will constitute the formation of the Contract.

1.96. Upon the furnishing by the successful bidder of a security deposit, the Employer will promptly notify the other bidders that their bids have been unsuccessful.

37 Signing of Contract Agreement

1.97. At the same time the Employer will notify the successful bidder that his bid has been accepted and will send the bidder the Form of Service Agreement provided in the tender documents, incorporating all agreements between the parties.

1.98. Within 21 (twenty one) days of receipt of the Form of Service Agreement, the successful bidder shall sign the Form and return it to the Employer.

38 Term of the Contract:

The term of the Contract will be two years from the date of signing of the Service Agreement and the rates accepted shall not be changed during the period of contract, on account of any reason.

39 Security Deposit

1.99. Within 14 (fourteen) days of receipt of the Letter of Acceptance from the Employer, the successful bidder shall furnish to the Employer a security deposit in form of bank guarantee equivalent to an amount of ten percent (10%) of the Contract Price in accordance with the Conditions of Contract, or in such other amount as the Employer may determined as being necessary to bring the security deposit to a level sufficient to protect the Employer against financial loss in the event of default of the successful bidder in accordance with the provisions of Sub-Clause 41. The security deposit shall be denominated solely in Indian Rupees, and shall be in the form of an unconditional and irrevocable Bank Guarantee issued by a Nationalized or Scheduled Bank located in Maharashtra and acceptable to the Employer. The issuing branch of such Bank shall be located in Maharashtra, and the bank guarantee shall, if invoked, be encashable when presented in the branch office of such Bank located in Maharashtra.

1.100. The Bank Guarantee submitted shall be valid for a period of 30 months from the date of issue of the order.

1.101. Failure of the successful bidder to comply with the requirements of Clauses 38 and 40 shall constitute sufficient grounds for the annulment of the award and forfeiture of the bid security.

40 Additional Security Deposit

1.102. Within 14 (fourteen) days of receipt of the Letter of Acceptance from the Employer, the successful bidder shall also furnish to the Employer an additional security deposit in form of bank guarantee equivalent to an amount of fifty percent (50%) of the cost of the transformers handed over to the bidder at the time of awarding the contract in accordance to the clause 1.4. The security deposit shall be denominated solely in Indian Rupees, and shall be in the form of an unconditional and irrevocable Bank Guarantee issued by a Nationalized or Scheduled Bank located in Maharashtra and acceptable to the Employer. The issuing branch of such Bank shall be located in Maharashtra, and the bank guarantee shall, if invoked, be encashable when presented in the branch office of such Bank located in Maharashtra.

41 Corrupt or Fraudulent Practices

1.103. The Maharashtra State Electricity Distribution Company Ltd. and the State require that bidders/ contractors observe the highest standard of ethics during the execution of such contracts. In pursuance of this policy, MSEDCL:

(a) defines for the purposes of this provision, the terms set forth below as follows:

(i) “corrupt practice” means behaviour on the part of officials in the public or private sectors by which they improperly and unlawfully enrich themselves and/or those close to them, or induce others to do so, by misusing the position in which they are placed, and it includes the offering, giving, receiving or

ANNEXURE I – Detailed Scope of Work

The essence of this contract is timely preventive maintenance to ensure that the Distribution Transformer does not fail.

The bidder shall undertake the replacement of failed Distribution Transformers as per Standard of Performance (SoP) of Maharashtra Electricity Regulation Committee.

The bidder shall undertake regular preventive maintenance of the transformers and corrective measures to avoid instances of failure. Further, the bidder shall also undertake breakdown maintenance in case of failures as may be deemed necessary.

The activities involved in addition to above in the maintenance/repair of transformers shall include, but not limited to, the following:

 Check overloading. Detect & remove hooks & unauthorized use.

 Maintenance of proper size of HT dropout fuses and LT fuses and other such critical items;

 Maintaining of appropriate oil level and testing/checking of oil for its dielectric strength;

 Checking of breathers and checking/replacement of silica gel/ breather if required;

 Arresting the oil leakages in transformers;

 Replacement of lightning arrestors (LA) / D.O. Fuses.

 Checking of HT/LT bushing rods and initiating corrective action, checking & tightening of HT/LT connections at bushing rods;

 Maintenance of Distribution box / LT Pillar including main switch;

 Checking of earthing and intimation of the problems, if any, to the concerned officers;

 Taking weekly distribution transformer’s meter reading of each Distribution Transformer, wherever provided.

NOTE : For the purpose of replacement of LA & HT / LT Bushing rods, Kit-Kats, Aluminum Lugs, Breather etc., as far as possible MSEDCL will provide the material from its available stock. If the material is not available in stock, the bidder shall have to provide the same for which he will be paid as per item rate schedule given below. Cost of such items provided by bidder shall be payable only once during contract period (AMC period) for each Distribution Transformer. In case the item provided by the successful bidder fails anytime during the contract period, the same shall be replaced by him free of cost.

It shall not be necessary or obligatory for the employer to proceed against member before proceeding against the member in-charge nor any extension of time or any relaxation by the employer to the member In charge shall prejudice any rights of employer under this deed of joint venture agreement against the member/member In- charge.

3. Without in any way affecting the generality and total responsibilities in terms of this deed, the member hereby agrees to depute their technical expert from time to time to the member / Member Incharge / Employer’s project site (s) as mutually considered necessary by the employer / Member Incharge and the member to ensure proper design, manufacture, erection, testing and successful performance of the equipment under the said contract in accordance with contract specifications and if necessary the member shall advise the member In charge suitable measures to discharge the obligations under contract.

4. The financial liability of the member to employer with respect to any and all claims arising out of the performance or non performance of the obligations set forth in this deed read in conjunction with relevant provisions of the contract, shall however, be limited to the extent of 115% value of the entire scope of work of the member as identified in the contract. This is, however, without prejudice to various financial liabilities and obligations of the member incharge in terms of the Contract and this deed.

5. The member incharge has been authorized to incur liabilities and receive instructions for and on behalf of the members. Payment shall be made exclusively to the member incharge.

6. This Deed shall be construed and interpreted in accordance with the laws of India and the Courts in ______city shall have exclusive jurisdiction in all matters arising under this agreement.

7. I, the Member and the Member Incharge agree that this agreement shall be irrevocable and shall be and integral part of the contract and further agree that this agreement shall continue to be enforceable till the successful completion of the contract and till the employer discharges it. It shall become operative from the starting date of the contract.

8. We, the Member and the Member Incharge will be fully responsible for the quality of all equipments / components manufactured / supplied and erected and if necessary, their repairs or replacement for successful completion/ performance of “The works” in terms of the contract.

1) We shall make good any loss, shortage damage to or destructions of the Distribution Transformers etc, during the handling of the same. 2) We shall make good the amount of loss within a period of one month from the date of report by the designated and consignee and further agree and authorize Company in case of our default to so make good the amount of a loss to recover the loss of the cost of Distribution Transformer etc, without any further notice to us from our pending bills with the Company or from any other payment due to us including the security deposit with the Company under the Terms and conditions of said contract. 3) We shall indemnity and save the Company harm less at all the times from any all loss. Consequences in respect of the Distribution Transformers etc. entrusted to use for handling and repairing etc. and agree that in case of any default or failure on our part to discharge the above mentioned obligation the Company shall in additions and without prejudice to its right of recovery provided herein or in our contract with the Company be entitled not only to terminate the contract at our cost but also be held us liable and may take legal action against us.
