Having visited the site and having a full understanding of the Bid Documents, the undersigned, upon written notice of award of Subcontract, agrees to provide all engineering and design services, labor, material, tools, construction equipment, supervision, plant, facilities, services, safety provisions, bonds and to pay all permit costs, taxes, fees and other costs necessary or required in the Subcontract Documents to accomplish in a safe, timely and workmanlike manner, the Work as described in the Subcontract Documents for the following Lump Sum Price: ______($______).

We acknowledge receipt of the following Supplements to the Request for Proposal and have included the costs associated therewith in our Lump Sum Price and in all other prices set forth in this Proposal. If none, state NONE below.

1. BASE BID BREAKDOWN:

The price breakdown of Bidder’s Lump Sum Price is submitted as Exhibit “A”, Attachment D-3 hereto, which shall be incorporated as the Schedule of Values in any Subcontract resulting from this Proposal.

2. Labor and Material Payment and Performance Bonds:

a. Should the Subcontractor be required to furnish a Labor and Material Payment and Performance Bond for the faithful performance of the Subcontract, the Subcontractor shall be reimbursed for these bonds at the following prices:  Cost for Bonds $  Name of Surety

a. Jacobs Field Services North America, Inc. and Merck, Sharp & Dohme Corp. want to encourage its primary Subcontractors to make good faith efforts to provide opportunities to diversity Subcontractors/Suppliers when executing any phase of an impending Subcontract Agreement. We are committed to being proactive in monitoring and enhancing our relationships with diversity Subcontractors/Suppliers. Minority participation is a consideration for contract award. Please note below and include as Exhibit “C” those companies that qualify as a diversity Subcontractor/Supplier. (Please see Section Ten C (10. c).

5. Extra or Changed Work:

a. Unit Prices -

Should the Subcontractor be required and receive approval to perform Extra or Changed Work on the basis of Unit Prices, the Lump Sum Price shall be adjusted in accordance with the rates shown in Exhibit “A”, Attachment D-3 to the Proposal Form attached hereto.

b. Cost plus Rates -

Should the Subcontractor be required and receive approval to perform Extra or Changed Work on a Cost Plus Basis, the Subcontractor will be reimbursed at the following rates:

1. Direct Labor furnished by the Subcontractor or subcontractor in accordance with the provisions of Exhibit “A”, Attachment D-1, attached hereto.

2. The net invoice cost of Materials purchased by the Subcontractor for the work plus 10% thereof, plus taxes and freight charges at cost.

Rev. 01/30/2013 – Merck Elkton Projects Page 2 of 4 3. The actual cost of Subcontractor’s subcontracts, including subcontractor’s labor, not to exceed the hourly rates established in Exhibit “A”, Attachment D-1, plus 5% for Subcontractor’s overhead and profit.

4. Rental rates for Subcontractor-owned equipment are to be in accordance with Subcontractor’s rental cost schedule attached hereto as Exhibit A, Attachment D-2, but not in excess of local prevailing rates.

5. Rental rates for third party leased or rented equipment are to be at net invoice cost but not in excess of local prevailing rates.

6. Schedule:

The Bidder has included all costs in its proposal necessary to perform the Work in accordance with the Milestone Schedule, Attachment E-1.

A CPM Schedule fully man-loaded by craft labeled as Exhibit “B”. c. Proposed Subcontractors/Suppliers List, Value of Subcontract and Diversity Classification if applicable, labeled as Exhibit “C”. d. Resumes of key project personnel labeled as Exhibit “D”. e. A Quality Control Manual labeled as Exhibit “E”. f. A Safety Manual labeled as Exhibit “F” g. A current Certificate of Insurance labeled as Exhibit “G”. h. A Project Organization Chart labeled as Exhibit “H”. i. A description of Field Test Procedures (if applicable) labeled as Exhibit “I”. j.
