Promissory Note

PROMISSORY NOTE

FOR VALUE RECEIVED, I, the undersigned, promise to pay to the order of JOHN LENDER, a resident of Newark, Delaware, the sum of Twelve Thousand Dollars ($12,000.00), plus interest at a rate of 8 percent per annum.

1. Payment Upon Demand. Debtor shall pay all amount due under this Note, plus interest as provided for above, upon the demand of Smith.

2. Governing Law. This Note shall be governed by, and construed and enforced in accordance with, the laws of the State of Delaware.

IN WITNESS WHEREOF the parties hereto have caused this Promissory Note to be executed on this 14th day of May 2003.

I. M. DEBTOR PROMISSORY NOTE

FOR VALUE RECEIVED, I, the undersigned, promise to pay to the order of VINCENT THOMAS ("Thomas") the sum of Twelve Thousand Dollars ($12,000.00), plus interest at a rate of 8 percent per annum.

3. Payment Upon Demand. Debtor shall pay all amount due under this Note, plus interest as provided for above, upon the demand of Thomas.

4. Governing Law. This Note shall be governed by, and construed and enforced in accordance with, the laws of the State of Delaware.

IN WITNESS WHEREOF the parties hereto have caused this Promissory Note to be executed on this 7th day of November 2001.
