ATTORNEY-CLIENT PRIVILEGED COMMUNICATION

June 24, 2004

Barbara Beamer 963 Michelle Avenue Desert Village, CA

Re: 1425 Main Street

Dear Ms. Beamer,

Thank you for meeting with me yesterday. I do appreciate the opportunity to talk with you. However, as you know, and as we discussed at the time, we will not be undertaking any litigation on your behalf. The dispute you described concerning the storefront at 1425 Main Street does not seem to me to be sufficiently promising to warrant a lawsuit. And, while I mentioned mediation, you expressed a strong preference for litigation.

I do encourage you to seek other legal opinions from other lawyers; others may have different views or see some other options that I do not.

Please note that the statute of limitations for the breach of contract issues you inquired about is four years from the breach of agreement. By my calculations, you must either file a lawsuit against the other parties by May 12, 2005 or you will forfeit your claims forever. Therefore, should you wish to seek other opinions, you should do so expeditiously to permit them adequate time to take action should they see fit.

It was my pleasure to meet with you. Please accept my best wishes for the future.

Very truly yours,

Terry Baylor
