between Hewlett-Packard Hewlett-Packard International Sarl Route du Nant-d'Avril 150 CH-1217 Meyrin/Geneva Switzerland VAT-No. 103760 and

(hereafter „Beneficiary“)

1. Object of Donation

HP gives to the Beneficiary as a donation the Products and Goods described as follows: ______

 21 HP Compaq Notebook/Tablet PCs ultra-light  21 HP Ultra-slim Expansion Base with DVD drive Docking Station for Tablet  21 AC SmartAdapter for Tablet PC +Laptops  21 HP USB Optical Travel Mouse  1 HP Executive carrying case  3 HP iPAQs  1 HP Designjet ((width 105 cm, height 22 cm, depth 53,5 cm, weight 23kg)  1 HP Designjet Printer Stand  1 HP Wireless Access Point  1 HP ProCurve Switch 408  1 digital projector (external vendor)  1 mobile cart Net Education Center for use+ storage as mobile solution with the HP

tablets (width 133,4 cm, height 120 cm, depth 66 cm, weight 163kg empty)

$20,000 (USD) in cash as a stipend for the Principal Investigator to work on the project. ______

The Beneficiary accepts the donation. Transfer of title of Products and Goods occurs at delivery.

3. Communicating With HP About Your Award

As the Principal Investigator (PI), you will be the contact point with HP for all aspects of this grant award. We will be using this e-mail address to communicate with you throughout the year. If the address that we have used for this message is not one that is accessible to you throughout the year, please reply to this message and provide us with a different address. Similarly, if your e-mail address changes, or if you have other reasons to communicate with us, please let us know.

3.1 Grant Recipient Commitments

As stated in the Request for Proposals, the grant includes the following recipient commitments: * Upon receipt of equipment, complete and return the “Attestation cerfa.pdf” document (attached) to:

* Complete the proposed grant project * Provide the proper IT infrastructure and support to ensure program success, including installation and proper maintenance * Provide HP with updates on the progress of the project after 6, 12 and 18 months

4. Delivery and Installation

The performance of the donation occurs at delivery of the Product and Goods by HP to the Beneficiary.

5. Software License

Standard Terms of SW Licensing do apply as documented in the HP product documentation. No specific right in the Product is deemed to be granted under the Agreement. HP’s intellectual rights do remain unaffected by the donation.

6. Liability

In no event shall either Party have liability for any loss of use, profit or revenue by the other Party or for any consequential, indirect, special, punitive or exemplary damages suffered by the other Party arising from or related to this Agreement.

7. Performance

No specific performance obligation is deemed to be granted under this Agreement. Standard commercial documentation does apply.

8. Export/Reexport

2 The Beneficiary acknowledges that the delivery of the Products and Goods are subject to United States Export Regulations and corresponding EU rules. The Beneficiary agrees that no further export may occur without him being obliged to ensure and to materially check the applicability of the adequate provisions of the said US export regulations and other rules applicable on the matter as set by competent EU authorities.

9. Various

9.1 This Agreement shall be governed by Swiss Law. The Courts of Geneva shall have exclusive jurisdiction.

9.2 Non-conflicting terms of the HP general terms of sale of the HP subsidiary where the goods are delivered may apply.
