International Right of Way Association Agency Membership Application for 2008

This agreement is between the ______henceforth referred to as The Agency and the International Right of Way Association, a not for profit professional association headquartered in Torrance, CA, henceforth referred to as IRWA. The purpose of the agreement is to provide IRWA membership benefits to The Agency under the provisions of the IRWA Agency Membership.

In accordance with the IRWA bylaws, The Agency is applying as an Agency Member of IRWA. The Agency wishes to designate twenty (20) (must be a minimum of 20 and increments of ten beyond the initial minimum) of its employees as its representatives to IRWA for the 2008 membership year which runs from January 1-December 31, 2008. The Agency employees designated will have all the rights of IRWA members, except to hold office or vote, unless they also belong to an official IRWA chapter. The Agency employees so designated who voluntarily decide to join an IRWA chapter will be extended the privilege of holding office and/or voting once approved by the IRWA chapter they apply to as members. The Agency employees designated who are currently IRWA Senior Members (SR/WA) must pay $15 per year to IRWA and belong to an IRWA chapter in order to maintain their good standing as an SR/WA. These provisions will be communicated by IRWA to all Agency employees designated in the letter described below.

To participate in the program, The Agency agrees to pay IRWA the amount of $4,000 for the 2008 year IRWA Agency Membership. IRWA membership runs from January 1- December 31.

The primary administrative contact will be responsible for providing IRWA with a roster of The Agency employees designated to the Agency Member Category. This roster must include the following information: Name, Title, Address, Telephone and Email. The administrative contact will be responsible for notifying The Agency employees designated that they will represent the Agency Membership for the 2007 membership year.

Once The Agency submits its roster to IRWA headquarters, The Agency may not substitute additional employees, even if the employee leaves the employ of the Agency. The Agency roster of assigned employees should be send directly to:

Upon receipt of the roster and payment agreed to above, IRWA will send a letter and information to all The Agency employees designated to represent the Agency Membership. The letter and information will explain the benefits of IRWA membership in general and the Agency Membership benefits and policies in particular. In October of the year covered by this agreement, IRWA will prepare an invoice for The Agency indicating the names of the current representatives as well as an invoice and renewal

2 agreement for the following membership year. This information will be mailed to the administrative contact named above. If The Agency renews for a subsequent year, an updated roster and new agreement will be entered into with IRWA.
