PREAMBLE

This Subcontract by and between the Board of Trustees of the University of Arkansas Acting for and on behalf of the University of Arkansas Cooperative Extension Service (hereinafter called UACES) and (hereinafter called "Subcontractor"), and constituting a portion of Subcontract No. TCE 622126 between UACES and which provides for " "

WITNESSETH THAT:

Whereas, the Subcontractor is specifically qualified and equipped to perform the work and/or services described in a manner contemplated herein;

IT IS AGREED:

S C H E D U L E

ARTICLE I. STATEMENT OF WORK

(A) The Subcontractor shall, as an independent contractor and not as an agent, employee, joint venturer or partner of UACES, provide the necessary personnel, supplies, equipment and facilities to perform the services specified in the attached Prime Agreement, Exhibit A, which by this reference is made a part hereof.

(B) The Subcontractor agrees to use its best effort to accomplish all the work outlined or referenced under Exhibit A. Subcontractor obligation will be deemed complete if the work is performed in accordance with high standards of scientific and professional skill and the approximate time has been substantially applied, except, however, all other requirements must be met including delivery of reports and materials as may be reasonably required under this Subcontract.

(C) The UACES Project Director for the project will advise the Subcontractor in the performance of the required services. The designated Project Director for UACES is .

ARTICLE II. KEY PERSONNEL

The Subcontractor will assign for the work to be performed under this Subcontract and shall not replace them without the prior written approval of the project director and an authorized official of UACES. 3 Subcontract No. UACES

ARTICLE III. DELIVERY OF PERFORMANCE SCHEDULE

The Subcontractor shall furnish and deliver the materials and/or perform the services required by Article I, Statement of Work.

The period of performance under this Subcontract is specified as to .

ARTICLE IV. ALLOWABLE COSTS AND PAYMENT

(A) The total cost to UACES for performance of this Subcontract is $ .

Upon termination or expiration of the total period of performance, the Subcontractor shall promptly refund to UACES any sums paid by UACES to the Subcontractor under this Subcontract in excess of the cumulative UACES share of allowable costs incurred in the performance of this Subcontract.

(B) Budget A budget which is agreed to by the parties to this Subcontract is included in Exhibit B and is hereby made a part of this Subcontract.

(C) Allowable Costs For the purpose of determining the amounts payable to the Subcontractor under this Subcontract, the allowability of costs shall be determined in accordance with (i) Subcontractor policies and procedures governing purchasing, accounting, and bookkeeping, and (ii) the terms of this Subcontract. The Subcontractor's normal policies governing salaries, wages, and fringe benefits shall apply to all Subcontractor employees paid from this Subcontract. The Subcontractor's published policy on travel and travel reimbursement shall apply to all costs for travel and transportation charged to this Subcontract.

ARTICLE V. DELIVERABLES

The Subcontractor shall furnish to UACES the services and reports as set forth in Exhibit A &/or as reasonably directed by UACES Project Director.

ARTICLE VI. SPECIAL PROVISIONS

(A) The books of account, documents, papers, files and other records of the Subcontractor which are applicable to this Subcontract shall at all reasonable times be available for inspection, review and audit by the Federal cognizant audit agency to determine the proper application and use of all funds paid to or for the account or for the benefit of the Subcontractor; in addition, the Subcontractor shall provide such special reports as requested by UACES to permit evaluation of progress of the project.

(B) This Subcontract may not be assigned in whole or in part without the prior consent of UACES.

(C) This Subcontract may be terminated by either party upon thirty (30) days written notice to the other party.

(D) If required under the Prime Grant, interim Patent and Invention Reports must be submitted to UACES annually.

(E) It is understood and agreed that the Subcontractor shall be acting as an independent contractor and not as an agent or employee of UACES.

(F) Subcontractor certifies that if it is subject to OMB Circular A-133 AAudits of Institutions of Higher Education and Other Nonprofit Organizations@ that an audit has been performed in accordance with the appropriate circular and that no material weaknesses were reported by the auditor. Subcontractor will immediately inform UACES if audits performed after execution of this Subcontract disclose material weaknesses in Subcontractor=s operations. Subcontractor further agrees to furnish upon request by UACES a copy of their A-133 compliance audit and the resolution of all audit findings for each fiscal year covered by this Subcontract. Further, if such audits are not furnished and/or the audit findings are not satisfactorily resolved, UACES will take appropriate action, which may include withholding of payments due or termination. Subcontractor assumes sole responsibility for reimbursement to UACES of a sum of money equivalent to the amount of any expenditures disallowed should UACES or an authorized agency rule, through audit exception or some other appropriate means, that expenditures from funds allocated to the Subcontractor for direct and/or indirect costs were not made in compliance with the regulations of the funding agency or the provisions of this Subcontract.

(G) No amendments or changes to this Subcontract shall be effective unless made in writing and signed by the authorized representative of both parties hereto. 5 Subcontract No. UACES

(H) In the event of any inconsistency in the Subcontract, the inconsistency shall be resolved by giving precedence in the following order: (a) Schedule (b) Prime Agreement.

ARTICLE VII. ASSURANCES

In addition to the conditions specified above, the Subcontractor does warrant that it is in compliance with the following provisions and will remain so for the duration of this Agreement.

1. PROTECTION OF HUMAN SUBJECTS:

Should human subjects be used in this project, Subcontractor shall comply with DHHS policies and regulations on the protection of human subject, (45CFR as amended).

2. CARE AND TREATMENT OF LABORATORY ANIMALS:

Should live, vertebrate animals be used in this project, Subcontractor shall comply with the current NIH Laboratory Animal Welfare guidelines, including submission to the University of Arkansas of the certification of Subcontractor Institutional Animal Care and Use Committee (IACUC) as set forth in NIH Guide for Grants and Contracts.

3. NONDISCRIMINATION:

The Subcontractor shall comply with Title VI of the Civil Rights Act of 1964 (P.L. 88-352) and Executive Order 11246, Title IX of the Education Amendments of 1972 (P.L.92-318, 20 USC 1681 et seq.) Section 504 of the Rehabilitations Act of 1973 (29 USC 794), and the Age Discrimination Act of 1975 (P.L. 94-135). The Subcontractor shall furnish the University of Arkansas with copies of its assurances of compliance for the above upon request.

4. DEBARRED OR SUSPENDED PARTIES:

The Subcontractor certifies by signing this Agreement that neither it nor its principals is presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any Federal department or Agency. Where the Subcontractor is unable to certify to any of the statement in the certification, an explanation shall be attached to this Agreement. If during the course of this Agreement the Subcontractor or its principals become debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any Federal department or Agency the Subcontractor will notify the University of Arkansas within 10 days of such action. 6 Subcontract No. UACES 5. DRUG-FREE WORKPLACE

The Subcontractor certifies by signing this Agreement that it has established a drug-free workplace to perform the activities described in the Statement of Work in accordance with the Drug-Free Workplace Act of 1988 (P.L. 100-690, Title V, Subtitle D).

6. NON-DELINQUENCY ON FEDERAL DEBT:

Subcontractor certifies by signing this Agreement that is not delinquent on the repayment of any Federal debt. If Subcontractor is unable to certify, an explanation shall be attached to this Agreement.

ARTICLE VIII. INCORPORATION OF APPLICABLE PROVISIONS OF PRIME GRANT

(A) All applicable provisions contained in the Prime Agreement shall be binding upon the Sub- contractor, and the Subcontractor hereby agrees to comply with same. A copy of the Prime Agreement is attached to this Subcontract as Exhibit A and made a part hereof by this refer- ence.
