Builders Association of Northwestern PA Board of Directors Meeting – Thursday March 18th, 2010 Minutes

Attendance: Kevin Raines EJ Chernicky Glenn Cessna Julie Zillman Mike Corsi Bob Tanner Lou Bruno Jason Hewitt Matt Krol Dan Francoeur

Meeting called to order at 4:32

Introduction of guest Julie Zillman of Robertson’s Kitchens was introduced my Glenn Cessna. Kevin made motion that Julie to serve on the board on a new three year term (replacing Jeff Mott’s term that ended 12/31/09), Lou made second, all were in favor with none opposed.

Secretary’s Report – E.J. Chernicky Judy made a motion to approve the minutes from the 02/18/10 Board Meeting as written, Kevin made second, all were in favor with none opposed.

Treasury’s Report – Judy Gerlach Judy reported that there is $1,000 in our dues account and $66,874 in our general account – These balances are reflective after all the days checks were signed. The group reviewed the receivables and payables. There are no payables at this time and the receivables are made up of the EPA class, Home Show, and dues. Judy brought up that our tax return is reviewed by Northwest Savings Bank because of the mortgage and they are questioning are nearly $90,000 loss. Jason explained this as our payout of nearly $20,000 in back taxes, and rest can be explained by a decrease in retained earnings. Judy is to call our accountant for further explanation and report back to the board as a whole.

President’s Report – Glenn Cessna Glenn reported that three complaints need reviewed 1) G.M. Nelson against Builders Association Glenn presented two pages that he received from Matt Krol faxed to him by Mary Nelson. The group reviewed in detail Mary’s written complaint and a post-it note from Jason on the ad printed from the Builders Association printer (“Mary, The resolution on our printer is not as good as the company who will print the final version. Kevin is working on your co-op. Let me know if you have any questions. Jason”). The complaint did not ask for any specific outcome. Bob made a motion that we send a letter saying we are sorry and offer 20% the price of the ad for the following year. Some discussion heard on the motion, Judy made second, all in favor with Kevin opposed. 2) Kevin Barkley against T.D. Laughlin Kevin Barkley provided Jason with our standardized complaint form – it contained contact information and 6 pictures however did not have a write-up description of the problem and the resolution he was looking for. Jason is to call him back and have him provide the missing information. Judy stated that she remembered the project from two years ago – the Awards of Excellence Judges were not permitted in the house by the owner, Jason pulled the binder from two years ago and that project was disqualified due to not being able to be viewed. 3) Dan Francoeur against Tom Montagna This was on a standardized complaint form provided by Dan. Dan stated that Tom has been calling sub-contractors of his who do not work for Tom and Tom is asking them if Dan pays them in a timely. Dan said that he can provide an affidavit from his sub-contractor that this is fact is what happened. Tom was absent for the meeting. Bob suggested that Glenn is to call Tom and have Jason, Glenn, Dan, and Tom meet at the association and hold discussion.

Executive Officer’s Report – Jason Hewitt Jason reported that 3 of the 5 EPA Classes are sold out – March 22nd, 23rd, April 13th (all sold out) – April 14th, 15th (still openings). Jason also reported that because of the speed at which these classes filled he added May 4th, 5th, and 6th. Jason estimated that the first 5 classes will make about $11,000 and next three $7,000 more. Jason asked that those coming to class bring needed items on attached sheet. Matt made suggestion that ABC as the sponsor supply these items so that they can showcase some of their latest products, Jason stated he will be in touch with them first thing Friday morning. Jason reported that Political Action Committee Solicit Letter is going out to all members asking each for $100 very soon. Jason reported that PBA Dues are scheduled to go up to $145 from $135 and asked for a vote on BANWPA dues remain at $500 or go to $510. Kevin made a motion that the dues remain at $500, Mike made second, all in favor with none opposed. 50th Annual Home Show – April 8th – 11th, 2010 - No Chairperson assigned Jason questioned if there is any intention of moving forward with “Online Home Show” as presented at last meeting. The board felt that we cannot incur the expense. Lou stated that we should look to expand our website. Jason responded that having issues with current graphic designer doing things in a timely fashion so he has asked David Hunter who was at our last meeting for a quote. Jason reported that there are a 110 exhibitors with returned contracts thus far and there was 136 total last year. He explained that he feels confident that there will be as many or more. Jason stated that Judy put him in touch with Allison Millet who has extensive marketing background. Jason stated he had spoke with Glenn and he gave the ok to have here in the office making cold calls at a rate of $10/hour, she is available three days in the next three weeks. The board reviewed the attached estimated Profit/Loss Statement as well as all exhibitors to date. Jason reported that he feels the show will make $50,000+ again this year. Exhibitor Packets emailed and mailed to all exhibitors already with a March 31st deadline for their return. Jason reported that need volunteers to lay floor on Monday April 5th at 9:00 a.m. Jason reported that there is still Lego Contest Space available. Jason stated that on the original home show budget which did not have a vote by the board to be approved (Vote has held to pay Vern Yip however) there was a mailing to 5000 attendees of last two years, this would be approximately $1500 – board in agreement to not do this.

Annual Golf Outing – Friday June 4th, 2010 - No Chairperson assigned Jason reported that has been in touch with

Annual Clay Shoot – Friday September 10th, 2010 EJ agreed to get in touch with Busted Flush. Jason reported that the raffle is losing money and would like to discontinue. Board member were in agreement.

Julie asked about fun family things for members to do if not a Golfer or in the Gun Shoot. Some general conversation heard. The board agreed to a Family Cookout on Friday June 25th here at the association. Jason stated he will coordinate the mailing of this RSVP.

Membership Committee – No Chairperson assigned - Membership Applications for approval 1) Schillings Carpet 4) JC Orengia Landscaping 7) JK Construction 2) Y&Q Homes 5) Everstone by DeJoy 3) Legion Supply 6) Waste Management Kevin made motion that all these membership applications be approved pending references are checked, Matt made second, all in favor with none opposed.

Old Business: - Allstate – Jason reported that per our last meeting Jack was to try to settle out of court and the board voted in agreement to that. Jason stated that he would like authority to go the District Magistrate himself. Kevin suggested that Jason call Judge Manzi and find out the amount limitations of filing and also talk to Atty Mehler about if this is too taxing of his time to possibly assigning a different attorney.
