The proposal award will be made by the Jefferson County Commission on behalf of the Association in accordance with the provision of the intergovernmental agreement between the Jefferson County Commission and the members of the Association. Each participating governmental entity of the Association will be responsible for issuing its own purchase orders, delivery instructions, invoicing, insurance requirements, and issue its own tax exemption certificate as required by vendors.

INVITATION TO BID

Bids will be accepted until 11:30 P.M. Central Time (standard or daylight savings time, as applicable) on January 25, 2017. Bids submitted after this date and time may be considered based on the needs of the County .

Bids will be publicly opened at 2:00 P.M. on JANUARY 26, 2017.

STATEMENT OF PURPOSE: Jefferson County is seeking competitive Bids from qualified firms who can provide Printing and Copy Services as outlined in this Invitation to Bid. The qualified firm is expected to provide fast, efficient and cost-effective production and distribution solutions.

This ITB provides interested parties with sufficient information to enable them to prepare and submit a response for consideration by the Jefferson County Commission. By submitting a response, you are affirming that you (in the case of individuals) and/or your organization are interested in biding with the County to provide services covered herein. This document serves a two-fold purpose in that it is the County’s document of record showing our specifications, terms and conditions, besides the purchase order, that will be executed with regard to the purchase of the services requested herein.

Included with this ITB is a cover sheet that lists current members of the Purchasing Association of Central Alabama (PACA), a purchasing cooperative, hosted by the Jefferson County Commission who will be entitled to utilize this ITB when awarded. Firms who submit Bids are thereby agreeing to provide the product and services included in any resulting bid to present and future members of the Purchasing Association of Central Alabama (PACA).

BACKGROUND INFORMATION: In June 2011 the County closed its in-house Print Shop located in Tarrant, AL. Currently, Jefferson County utilizes multiple bided vendors to meet their printing and copying needs. The printing needs of the County are diverse and include print and copy services. Some examples of printing requests include flyers, brochures, envelopes, letterhead, forms, business cards, newsletters, etc. Requests vary in quantity from a few hundred to thousands. The type of paper varies as well.

TERM OF BID: Any bid resulting from this ITB will become effective upon ITB award (or within 30 days of award notification, approval of the County Commission).

BID PERIOD: One to Three (1-3) year bid with 30 day cancellation provision based on the needs of the County.

NOTIFICATION OF INTENT: All recipients of this ITB are asked to return a letter of Notification of Intent indicating that they intend to submit a proposal. Only those vendors submitting the Notification of Intent will be advised of any clarifications, addendum, answers to inquiries, etc. pertaining to this ITB. Notification of intent must be e-mailed no later than January 18, 2017 to Dorothea Robinson.

SUBMISSION INSTRUCTIONS: All costs incurred by the company to respond to this solicitation will be wholly the responsibility of the Bidder. All copies and contents of any proposal, attachment, and explanation thereto submitted in response to this ITB, except copyrighted material, shall become the property of the Jefferson County Commission regardless of the selected vendor or individual. Any materials submitted in response to this solicitation shall not be returned.

Failure of any Bidder to receive or examine any form, instrument, addendum or other document shall in no way relieve any Bidder from any obligation with respect to their proposal or to any bid resulting from this proposal. The submission of a proposal shall be taken as conclusive evidence of compliance with this condition. Failure to meet this condition may result in rejection of any offering on the proposal.

1. Submittal Instructions Pricing: Offer/Price Instructions- Price sheet must be submitted in a separate, sealed envelope marked (price sheet ITB 47-17 and (Provider name) See Pages 8-12 of ITB. Bidder are asked to provide two cost Bids 1) for one year with the option to renew for two additional years (one year at a time) and 2) 3 years bid with 30 day cancellation provision.

SCOPE OF PRODUCT AND SERVICE: Ordering - Proposers should list all methods of ordering provided.

 Orders resulting from this bid will be placed directly with the awarded vendor(s) by the individual purchasing entity. The vendor will ship and bill as requested by the ordering agency. The ordering agency will remit payment directly to the vendor.  All printed orders must be shrink wrap at no additional charge.  Describe your process for handling hard copy orders  No minimum dollar or item count is allowed in the bid.

2. Experience and Geographic Coverage: Proposers must provide a brief history and description of their company including but not limited to the following:

 Company ownership (sole proprietor, partnership, etc.) – Incorporated companies must identify the state in which the company is incorporated and the date of incorporation. The selected vendor(s), prior to doing business, must be appropriately licensed.  Company background/history – why proposer is qualified to provide the services described in this ITB.  Time Frame-Length of time proposer has been providing services described in this ITB to the public and/or private sector.  Reference – Vendor must provide a minimum of three (3) references from customers who have obtained similar products and services from the vendor within the last two (2) years. At least three (3) of the customer references must be from a state agency, political subdivision, or institution of higher education. Relationship of customer reference to vendor –references provided by the vendor must not be from a person, company or organization with any interest, financial or otherwise, in the vendor’s organization. References that do not originate from a client in an arms- length relationship with vendor will be rejected.

3. Customer Service: Jefferson County and PACA Members customers expect high service standards from all bidders.

 Product Delivery A. Penalties may be imposed on bidders that have continual late deliveries. These penalties may include but are not limited to cancellation of orders, request for discounted pricing, non-use of an offending bidder. B. Partial deliveries may be determined to be acceptable by the procuring organization. However, payment will not be authorized until the entire order is received. 1) No additional charges as a result of bidder error shall be incurred by procuring organizations. 2) Prices for all items associated with this bid are to be FOB Destination, freight prepaid anywhere within the geographic area offered.

 Turn-around Time The successful vendor will make every effort to accommodate the deadline request of customers. A. Turnaround times on copy center projects will depend upon the size and complexity of the request. Jobs will be completed within a time frame that meets mutually agreed upon deadlines set at the time the request was made. Standard jobs (duplexed, collated, shrink wrap and stapled if requested) should have a maximum turnaround time of 48 to 72 hours. 1) Detail the service guarantees and turn-around time that you are willing to meet as a provider for Jefferson County and PACA members 2) Detail performance guarantees that your company will provide Jefferson County and participating PACA members. B. Service representatives shall be available by telephone, at a minimum, from 8:00 am to 5:00 pm in EACH time zone, Monday through Friday.

4. Pricing: Pricing proposed by Vendor shall exclude sales tax, and shall include all vendor costs (labor, paper, shipping etc.) related to performing the tasks set forth in this ITB. Customers will not pay for any overages. The expectation is for deliverance of quantities ordered. Price proposal requirements:

 Each subsection of Pricing Proposal must be addressed in the vendor proposal. Any vendor who fails to provide all the information requested in the subsection, will be found to be non responsive and the proposal rejected.  Pricing capabilities of the supplier should also include the ability to provide consistent “bid” pricing across all channels (delivery & retail footprint).

After written Bids have been reviewed, discussions with prospective companies may or may not be required. If scheduled, the oral interview will be a question/answer format for the purpose of clarifying the intent of any portions of the proposal. The individual from your company that will be directly responsible for carrying out the bid, if awarded should be present at the oral interview.

A notification of intent to award may be sent to the vendor selected. Award is contingent upon the successful negotiation of final bid terms. Negotiations shall be confidential and not subject to disclosure to completing vendors unless an agreement is reached. If bid negotiations cannot be concluded successfully, the County may negotiate a bid with the next highest scoring vendor or withdraw the ITB.

TAX: Jefferson County is exempt from all tax. Successful Proposer is responsible for all Federal, State, and Local taxes that are due as a result of this transaction; these taxes are not deducted from monthly payment.

CANCELLATION: Failure to deliver as specified and in accordance with the ITB submitted, including promised delivery will constitute sufficient grounds for cancellation of the order at the option of the County Commission.

NON- DISCRIMINATION POLICY: The Jefferson County Commission is strongly committed to equal opportunity in solicitation of ITB’s and RFP’s. The County encourages bidders and proposers to share this commitment. Each bidder/contractor submitting a proposal will not discriminate against any employee or applicant for employment because of race, color, religion, sex, national origin, age, disability or veteran status. The Bidder/Contractor will ensure that qualified applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, national origin, age, disability or veteran status. Such action shall include, but not be limited to the following: employment, promotion, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship.

GENERAL: The Jefferson County Commission expressly reserves the right to reject any or all ITBs, or parts of ITBs, or to re-bid and to make the award or awards as the best interest of the County appears.

NEGOTIATIONS: Jefferson County reserves the right to enter into bid negotiations with the selected Bidder. If the County and the selected Bidder cannot negotiate a successful bid, the County may terminate negotiations and begin negotiation with the next selected Bidder. This process will continue until a bid has been executed or all Bids have been rejected. No Bidder shall have any rights against the County arising from such negotiations.

COMPLIANCE WITH LAWS: The Bidder agrees to comply with all applicable federal, state and local laws and regulations.

GUARANTEE: Bidder certifies by bidding that he is fully aware of the conditions of service and purpose for which the services included in this ITB/ITB are to be purchased, and that his offering will meet these requirements of service and purpose to the satisfaction of the Jefferson County Commission and its agent.

INSURANCE: The successful Bidder will maintain such insurance as will protect him and the County from claim under Workmen's Compensation Acts, and from claims for damage and/or personal injury, including death, which may arise from operations under this bid. Insurance will be written by companies authorized to do business in Jefferson County, Alabama and shall include Jefferson County, Alabama as Added Additional Insured By Endorsement including a thirty (30) day(s) written cancellation notice. Evidence of insurance will be furnished to the Purchasing agent not later than seven (7) day(s) after Purchase Order/bid date. Successful Bidder is also required to include the ITB number on the evidence of insurance. Insurance Minimum Coverage: Biding party shall file the following insurance coverage and limits of liability with the County's Human Resource Department and Purchasing Department before beginning work with the County. The Bidder declares that, as of the date of this bid, neither the County nor any County Commissioner nor any Director nor any other Jefferson County Government official is directly or indirectly interested in this bid or any bid with the Bidder for which compensation will be sought during the period of time this bid is being performed, and, furthermore, the Bidder pledges that he/it will notify the Purchasing Manager in writing should it come to his/its knowledge that any County official becomes either directly or indirectly interested in the bid or any bid with the Bidder for which compensation will be sought during the aforesaid period. In addition, the Bidder declares that, as of the date of this bid, neither he/it nor any of his/its officers or employees have given or donated or promise to give or donate, either directly or indirectly, to any official or employee of the Jefferson County

Commission, or to anyone else for the County’s benefit, any sum of money or other thing of value for aid or assistance in obtaining this bid with the County under which compensation will be sought during the period of time this bid is being performed and, furthermore, that neither the Bidder nor any of his/its officers or employees will give or donate or promise to give or donate, directly or indirectly, to any official or employee of the Jefferson County Commission, or to anyone else for the County’s benefit, any sum of money or other thing of value, for aid or assistance in obtaining any amendment to this bid with the Bidder for which compensation will be claimed during the period of time this bid is being performed.

STATEMENT OF CONFIDENTIALITY: Bidder agrees that any information accessed or gained in performance of those duties will be maintained in absolute confidence and will not be released, discussed, or made known to any party or parties for any reason or purpose whatsoever, except as required in the conduct of duties required, or where the disclosure is required by law or mandated by a court of law

TERMINATION OF BID: This bid may be terminated by either party with a thirty (30) day written notice to the other party regardless of reason. Any violation of this agreement shall constitute a breach and default of this agreement and shall be cause for termination. Upon such termination, the County shall have the right to immediately terminate the bid and withhold payments that are in excess of fair compensation for work completed or Bidder shall immediately refund to the County all amounts paid by the County pursuant to this agreement. Such termination shall not relieve the Bidder of any liability to the County for damages sustained by virtue of a breach by the Bidder.

HOLD HARMLESS AND INDEMNIFICATION: Biding party agrees to indemnify, hold harmless and defend Jefferson County, Alabama, its elected officers and employees (hereinafter referred to in this paragraph collectively as “County”), from and against any and all loss expense or damage, including court cost and attorney’s fees, for liability claimed against or imposed upon County because of bodily injury, death or property damage, real or personal, including loss of use thereof arising out of or as a consequence of the breach of any duty or obligations of the biding party included in this agreement, negligent acts, errors or omissions, including engineering and/or professional error, fault, mistake or negligence of Integrator, its employees, agents, representatives, or sub-bidders, their employees, agents or representatives in connections with or incident to the performance of this agreement, or arising out of Worker’s Compensation claims, Unemployment Compensation claims, or Unemployment Disability compensation claims of employees of company and/or its sub- bidders or claims under similar such laws or obligations. Company obligation under this Section shall not extend to any liability caused by the sole negligence of the County, or its employees. Before beginning work, bid party shall file with the County a certificate from his insurer showing the amounts of insurance carried and the risk covered thereby. Liability insurance coverage must be no less than $1,000,000. During performance the company must effect and maintain insurance from a company licensed to do business in the State of Alabama. The award may be made on all or none basis. The County shall award this contract to the lowest responsible and responsive bidder who best meets the terms and conditions of this bid. The County expects to award contract for secured pricing and services for a minimum of 12 months. Bidders are asked to submit pricing for 1 year and 3 year agreements (with available discounts). The county will award based on what is in the best interest of the County.

SINGLE BID: If a single bid response is received for this ITB, the bid will be rejected in accordance with Title 41-16-50-a-1 of the Alabama Code. The bids will be opened, and read publicly. We will proceed with negotiations for a lower price with the rejected Bidders and other Bidders by means of sealed quotes. The rejected Bidders initial offer will not be disclosed to other Bidders, prior to the awarding of a contract. GOVERNING LAW/DISPUTE RESOLUTION: The parties agree that this bid is made and entered into in Jefferson County, Alabama and that all services, materials and equipment to be rendered pursuant to said Agreement are to be delivered in Jefferson County, Alabama. The interpretation and enforcement of this Agreement will be governed by the laws of the State of Alabama, without giving effect to the conflict of laws rules thereof. The parties agree that jurisdiction and venue over all disputes arising under this Agreement shall be in the Circuit Court of Jefferson County Alabama, Birmingham Division.

STATEMENT OF COMPLIANCE WITH ACT 2016-312 PROHIBITION AGAINST BOYCOTTING: Contractor certifies that it is not currently engaged in, and for the duration of this agreement will not engage in, the boycott of a person or an entity based in or doing business with a jurisdiction with which this state enjoys open trade.
