Annex VII Copyright Transfer Commitment Agreement of the Bidding Works of the 2007 Special Olympics World Games Mascot, Theme Song and Poster

To participate in the solicitation activities of the mascot, the theme song and the poster of the 2007 Shanghai Special Olympics World Games, the individual or legal entity signed blow

(hereinafter the signatory) hereby makes the following commitments, under the precondition of full understanding the Notice on Solicitation of the Mascot, the Theme Song, and the

Poster for the 2007 Special Olympics World Games and its appendixes (hereinafter the evaluation rules) to the Executive Committee of the 2007 Shanghai Special Olympics World

Games:

Article 1 The signatory pledges that the entries and other materials contributed to the

Solicitation Office of the 2007 Shanghai Special Olympics World Games Executive

Committee are completed by the signatory on his/her own accord and independently. The signatory owns the complete, and exclusive copyright of these entries and materials.

Article 2 The signatory transfers, as of the date of completion of the entries and the materials, the copyright and all other derivative rights of these entries and materials to 2007

Shanghai Special Olympics World Games Executive Committee free of charge, exclusively, once for all.

Article 3 In case that any of the copyright or the related derivative rights of the

- 1 - contributed entries and materials is not transferable, as stipulated in pertinent laws, the signatory pledges to make the following arrangements for them:

1. The signatory grants exclusive rights to the Executive Committee to legally publicize

and use, and revise and protect the integrity of the contributed entries and materials.

2. The Executive Committee shall present the name or title of the signatory when using

the contributed entries or materials, though it is free to decide by itself, if necessary,

whether to make such presentation or not.

3. The signatory affirms and agrees that the exclusive permit it grants includes exclusive

of the signatory his/her self from exercise of any of the rights involved, and that the

Executive Committee is entitled to transfer the rights described in Section 1 and

Section 2 to any third party at any time.

Article 4 The signatory is entitled to withdraw his/her pledges made in Article 2 and

Article 3 as of the date of its official knowledge of the fact that its contributed entries and materials are not accepted as the final choices or candidates of the mascot, the theme song or the poster of the 2007 Shanghai Special Olympics World Games on the notification, in written form, of the Office of the Solicitation Office of 2007 Shanghai Special Olympics World

Games Executive Committee. The signatory whose contributed entries or materials are accepted as candidates for the mascot, the theme song or the poster of the Games shall not, however, withdraw any of its pledges herein at any time.

Article 5 The signatory is obliged to participate, when demanded by the Committee, in all the publicity activities organized during the solicitation campaign, and separately conclude necessary contracts that are acceptable to the Committee in terms of form and content. The signatory agrees that should it fail to conclude on its own accord or ask parties concerned to conclude the said contracts, the failure shall be counted as voluntary giving up of the qualification of its contributed entries and materials for continuation of participation in

Article 6 The signatory pledges:

(1). That all the information provided to apply for participation in the campaign is integral, authentic and accurate.

(2). That the signatory owns the complete right, power and authorization to sign this pledge and fulfill the obligations herein.

(3). That all the entries and materials submitted to the Solicitation Office are original and have never been published, presented or demonstrated in any form before, and do not fall into the category of publicized works.

(4). That no part of the entries or materials contributed to the Solicitation Office infringes upon the copyright, trademark or other IP or patent rights of a third party, contains any slanderous, pornographic or unlawful materials, or infringes upon any other rights of a third party in any other form.

Article 7 This Pledge is governed by and shall be interpreted according to Chinese laws.

- 4 - 1. Since entries are solicited as a whole, applicants shall also withdraw them as an integral part. If any of the entry is worked out jointly, its withdrawal shall be applied by all the participants. In case of any divergence of opinions among the authors about the withdrawal, please consult with each other to reach consensus, file one Quit Application each, and send them together to the Solicitation Office.

2. The Solicitation Office shall not accept any Quit Application in electronic form. The applicant can, however, download the Application, complete it in regular script with a blue or black-ink pen, and send it in registered mail to:
