Fagioli S.p.A., a company of the Fagioli Group, have accumulated a vast experience in the field of specialised transports and packing services through the direct utilisation of their own equipment and the hands on operations performed by its employees. In addition to operating its own fleet of hydraulic trailers Fagioli S.p.A also own and operate heavy lift river barges. All operations are backed up by in- house engineers working both in Italy and Houston.

The scope of work to be performed on the TRANSPORT AND PACKING operations will be carried out and co-ordinated by qualified Fagioli employees both in Italy and locally through our Houston office. All of our qualified technical staff and employees operate to the highest standard of professionalism.. Fagioli invites the LBT to review the attached Reference List that gives an overview of the Fagioli Group’s activities in recent years.

Our present offer is based on the information included in the R.F.P. documents and is in accordance with the details, conditions and information indicated in the present offer. In detail, the present tender is in accordance with follows document :  Request For Proposal (RFP) document dated 22/01/2001.  Attachment A : Statement of work.  Attachment B : Specimen contract.  Packing and shipping specifications..

Our technical and commercial proposal is based on the information received and available at the date of our proposal presentation, it has been prepared in consideration of the packing specifications for which a copy is enclosed in our proposal. At the time of making our proposal details of the packing specifications for the material to be packed by Ansaldo was not available.

Our offer is based on arranging two main shipments utilising suitable conventional vessels. Additionally further shipments by container of smaller and urgent lots have been forseen, such as the Azimuth rings I.D.1.1. We intend to utilise port of Houston for the discharge of materials destined to Safford base camp and Mount Graham.

The local operations in the U.S.A will be controlled by Fagioli inc Houston were necessary working with established and well known professional subcontractors.

Fagioli will provide once per month (or on clients request) a status report showing the progress and position of all items.

07/04/18 With regard to the operations at the Ansaldo factory there will have to be a close liason between all parties to ensure there is a timely flow of materials from the production hall to the packing area. Any delays on agreed schedules will result in additional costs due to Man power and equipment standing by.

SECTION A

PACKING METHOD STATEMENT

07/04/18 1. INTRODUCTION

The packing operation will be carried out directly by qualified packers of the Fagioli group.

Our proposal has been prepared in compliance with the requirements of the LBT technical packing specification and following meetings held with Eng Miglietta and representatives of European Industrial Engineering at the Ansaldo factory where strong concerns were raised on the following aspects .

 The fragility of the items.  Corrosion to items due to humidity or salt water corrosion  Packing operation to include the supply of de-humidifying agent or desiccant to eliminate condensation.  The movement of the items.  Stacking during the transport period.

During the meeting at Ansaldo we raised the subject of covered space to perform the packing operations. Clearly without cover, items will become wet and work cannot be carried out during the rainy periods. We were advised that a very limited amount of space could be provided within the hall where the items where being manafactured. However at the begining of the dismantling operation only a very limited of indoor space could be made available.

It is our conclusion that some kind of temporary cover will have to be supplied outside. This cover should be mobile to enable the items to be shifted using the outside gantry crane. The cost for the supply of such cover has not been included in our offer.

Ansaldo advised that the capacity of their gantry crane in the open area was 35 tons.

Our proposal for the packing of all items excluding the four major items (see point B below) is the utilisation of wooden boxes is as follows:

07/04/18 2. PACKING METHOD STATEMENT

A/ Packing in closed wooden boxes in compliance with the requirements relating to UNI 9151 (parts 1-2-3 see regulations attached).

All cases will be supplied with suitable lifting points.

If containers are to be utilised the same packing materials and specifications will be utilised. Any cases loaded into the containers will be secured to avoid any movement.

All cases to be marked in accordance with LBT packing requirement (see item 4.5).

The items are to be packed in their cases taking into consideration the solicitations of movement during the transport and storing.

Transporter to supply a detailed packing list in compliance with LBT requirement (SEE 4.8). A copy of packing list to be placed inside the case with a further copy attached to the case in a water proof envelope.

Should the storage period in the U.S.A. exceed six months then material put inside the cases to control the humidity will have to be replaced.

During the meeting held at Ansaldo we were advised that items 15.12 and 15.13 could be dismantled. Accordingly we have calculated the packing requirement on the broken down dimensions.

Transporter will prepare Packing list, container labels Bills of Lading and certificates of Insurance (if required) in accordance with industry standards and in accordance with LBT specifications.

B/ For the four major items : M1 Cell left + M1 Cell right, Dummy cell and Aluminizing Jar.

In view of the fact that during one of our meetings, special concern was brought to our attention regarding possible damage to these items. We are proposing two solution to pack and transport these items. With the first solution we propose a solid wooden base with steel bar connecting between the flanges.

With the second solution we propose to construct four steel transport brackets (see design) to which the items will be bolted. Transporting and shipping the items by this means will result in the items remaining slightly raised from the level of the ground , truck or ships hold. Should the client feel that this alternative could be beneficial clearly a deeper

07/04/18 investigation with your technical people will have to be made to establish the points where the securing can be made and who is to perform the bolting operation. Whichever solution is chosen will not change the packing rate as we have established that the costs are the same.

07/04/18 3. TECHNICAL INFORMATION PACKING

Anti-corrosive direct protection.

The worked mechanical parts to be protected by using suitable preservatives.

All of the painted parts will be embalmed by using suitable products the type of which to be agreed with the LBT representatives. The same product will have to be removed at destination, the cost for this operation is not included in our offer.

Anti-corrosive protection indirect.

In view of the diverse climatic conditions that will be encountered and due to the period of time that will be involved with the transport where necessary the items will be enveloped utilising a vacuumed thermal lining. These materials to comply with the requirements of MIL-B 131-CL. To prevent dehydration silicone crystals will be used and in accordance with MIL-D-343.

Fixing of items within the cases

This operation will be performed utilising wooden struts, wedges, bolts, metal wires. Taking into consideration the stress factors. in conformity with U.N.I.requirements (also ISO) being :

 Longitude acceleration 1.5G  Transversal acceleration 0.3G  Vertical acceleration 0.5G

Waterproofing of the lids of the cases will be carried out by fixing to the outside of the lid a layer of zinc coated metal.

Preparation and protection of the large items.

In view of the large dimensions of these items and in order not to increase them for the transport operations. We intend to cover the items with timber phenolic plywood. This type of covering only offers protection against scratching and a shield against possible light damage caused by equipment used during the movement of the items.

TRANSPORT METHOD STATEMENT

07/04/18 1. PROPOSAL FOR THE TRANSPORT OF THE MAJOR OUT OF GAUGE ITEMS :

For the transport of the above items we will use hydraulic flatbed trailers with 8 axle lines. As these items cannot be moved by road directly to any port. We will transport these items from the Ansaldo works to the river port of Cremona where they will be loaded onto river barges.

Attached transport drawings.

In order to reduce the dimensions the lifting hangers are to be removed during the road transport operation.

Our offer includes application to all local authorities for road transport permits.

In order to obtain such permits a minimum pre advice will be required (see relevant section)

Police and civil escorts will be supplied and the cost for same are included in our offer.

Due to the fact that a lot of street furniture such as traffic lights, road signs etc will have to be removed during the transport of these major items. In order to reduce the costs for these interventions we will perform together as many transports as possible considering the time and the permissions obtained from the various official authorities involved..

During one of our meetings at Ansaldo concern was raised that the underside of these items should not come in contact with any objects or surfaces during the transport and storage. To avoid these contacts our engineering department have designed four structures which can be used for each of the transports. In bolting the items to the structure they will remain fixed but suspended from the surface during the road transport, storage and seafreight operations. These structures apart from adding 3,000 kilos to the transport weight will not affect the road transportation operation (this point also raised under packing)..

We confirm that all transport operations will be carried out in Italy complying fully with all applicable laws,statutes,rules and regulations.

07/04/18 2. PLACE OF LOADING

In our present offer we have included the activities within the Ansaldo area to relocate all parts of the telescope from the disassembly shop to the external packing area provided by Ansaldo within their facility.

The area should be prepared by Ansaldo in such a way to allow safe and free transit of our equipment.

We forsee to position at the factory the necessary road transport equipment to perform the internal movements, the trailers will consist of conventional as well as hydraulic trailers which will be connected to the required number of prime movers.

The components of the dismantled (by others) telescope will be loaded on our equipment by means of bridge cranes operated by Ansaldo manpower at their cost and risk.. We will provide the necessary fastening and dunnaging materials to allow for safe loading, correct weight distribution and securing to our trailers. We will perform the internal transport from the dismantling hall to the outside packing area..

At the outside packing area the smaller items will be offloaded by the means of cranes which we will mobilised to the factory for this operation.. Heavy and particularly oversized material (c-rings, cells, etc) will be offloaded at the packing area utilising the trailers hydraulic system which will lower the items on to wooden or steel supports which we will supply. In this way the packing operations can be carried out however on completion the trailers can be re-positioned again under the packed items ready for road transport.

During the various phases of the internal transports Fagioli will have on site a co-ordinator available to act as an interface with the Ansaldo personnel and our packing team.

In our present offer we have included

Ansaldo confirmed at a meeting that the capacity of the overhead gantry crane at the proposed packing area has a capacity of 35 tons. This crane to be operated by Ansaldo personnel.

Outside overhead crane usage and personnel to be supplied free of charge as required..

07/04/18 3. BARGE OPERATION The below listed six items due to their width cannot be transported by road from The Ansaldo factory to any Italian seaport. Transport will be arrange from the factory to the inland river port of Cremona where the items will be loaded onto the heavy lift barge.

4.1 2 items Rolling sectors Left/Right. 7.1 1 item M1 Cell Left. 7.2 1 item M1 Cell Right. 8 1 1 item M1 Dummy Cell. 15.1 1 item Aluminizing Bell Jar.

We propose to load on the first barge for the first conventional sailing to Houston the two Rolling secotrs ID 4.1.is forseen that one barge transport in July of the 2 items 4.1 and a second barge load with the four remaining items in October .

The road transport will be carried out following a tried and tested itinery from the Ansaldo factory to the inland river port of Cremona.

On arrival of the convoy at Cremona the Fagioli owned heavy lift barge “Ticino” will be positioned alongside the jetty.. Prior to loading the items the barge will be prepared with suitable fastening and wooden stowing materials. On completion of the loading operations the items will rest on the wooden dunnaging.

The items will be loaded onto the barge utilising a heavy lift crane which we will mobilise to the port.

The waterflow on the river is generally smooth however all river fastenings will be carried out in accordance with the requirements of the river navigation authorities.

On arrival at the port of Venice we intend to tranship the items directly from our barge to the deep water vessel destined to Houston by means of the ships gear or suitable shore cranes.

Experienced Fagioli personnel will be present at all of the previously described. Operations.

Our barge has been specifically constructed to carry heavy and oversize items along the River Po, amongst its characteristics is its own 22 metre long ro/ro ramp together with a ballast system that enables the barge to be trimmed according to the water height of the river.

07/04/18 We wish to point out that in certain periods of the year and especially during the summer months the water flow and resulting river height becomes very critical. During these high water periods it becomes very difficult to predict the water draft on the river and this may affect the navigation of the river.

07/04/18 4. INTERMEDIARY STORAGE AREA ITALY

Should sufficient storage space not be made available at the Ansaldo works, Fagioli can supply an intermediary storage area at their group port storage facilities at Porto Marghera.

Should there not be sufficient space in order to enable a clear working area for the packing operation at Ansaldo we would propose to move some of the packed items to our Port warehouse.

In all instances and prior to and movement a storage and subsequent shipping plan to be agreed with the LBT representative.

Not knowing the quantities that may have to be stored or the time period involved , the storage and redelivery charges have not been included in our proposal. We could supply a tariff proposal or the costs could be agreed separately on a items by item basis.

The facilities

 5,000 sq m of covered area together with 46,000 sq.m of uncovered areas.  Forlift capacities from 2 upto 25 tonnes  Self propelled cranes for weights from 15 to 35 tonnes.  Bridge and gantry cranes for weight upto 150 tonnes.  Hydraulic and worn screw tretaux with lifting capacity upto 800 tons  Lifting stations,hydraulic jacks and traverse equipment with lifting capacity of upto 1,000 tonnes.

07/04/18 5. TIME FRAME TO OBTAIN PERMITS

To obtain the transport permits for any oversize items (excluding the 6 major items) destined to the intermediary storage area or directly to the export port. A pre-advice period of approx 40 days will be required.

For the transport of the 6 major items to Cremona for loading onto the barge. A pre-advice period of 90 days will be required. In addition to obtaining the normal transport permits, this longer period is required in order to obtain all necessary authorisations to remove street furniture on the transport route.

In order to present our requests to the authorities we will require from the LBT or Ansaldo a declaration (a copy of which must be submitted to the authorities) of weights and dimensions .

07/04/18 6. RESTRICTIONS ON DATES FOR TRANSPORT AND PUBLIC HOLIDAYS.

Heavy and out of gauge transports are not permitted on Sundays and most Saturdays.

In addition transports are restricted on the following fridays :

 June 22nd  July 6th -13th-,20th -27th  August 3rd – 10th – 17th – 24th – 31st  September 7th It will not be possible to transit on .  August 15th

In all cases out of gauge transports are subject to Permits and Police escorts.

Public Holidays in Italy :  August 15th  November 1st  December 8th – 25th – 26th.

As you can see from the above we have broken each item down into the quantities.

Our proposal is based on organising two main conventional shipments with dates to be mutually agreed. We have also calculated for some smaller shipments by container.

As there are no regular liner services from the port of Marghera to the U.S.A. we will have to arrange to charter space on the two conventional vessels.

We have based our calculations of the following minimum quantities being available for shipment :

Shipment one forseen in August – 600 tons / 2500 cbm

Shipment two forseen in November 200 tons / 1100 cbm

Freight rates are based on current Bunker adjustment factors.

07/04/18 Should the LBT decide to request transporter to arrange for only one large conventional shipment. Transporter will be prepared to discuss any eventual freight saving that could be made due to the larger quantity.

OPERATIONS IN U.S.A.

07/04/18 1) SCOPE OF WORK

Fagioli through their Houston office, will arrange and provide at the port of Houston, during the transport and at final delivery points, professional supervision, skilled Labour and all equipment. Included in the scope of work are the following operations :

 Supervision at the port of Houston.  Supervision at the Safford base camp site.  Transport to following points as specified in LBT packing list doc 401e050 to : Safford base camp. Mount Graham items via Safford base camp. Tuscon Mirror Lab. Columbus Ohio.  Unloading of all items over Lbs 30,000 at Safford base camp.  Organising escort pilot cars and transport permits. All loads over 8 foot wide require escorts and Arizona class C permits on Hwy 366.  Organising Police, Sheriff or State Patrol personnel. All loads over 8.0’ wide are required to have State Patrol escorts from the base camp to the summit.  Route surveys.  Traffic controls which will be required on highways AZ 191 and AZ 366 for loads with a width of over 20 feet.

All items will be transported to the base camp at Safford where the items will be re-loaded onto special equipment in order to complete the transport by travelling the 27 mile route of very steep, winding roads with the hairpin bends close to the summit.

The local inland costs have been put together in a way to minimise costs. Some items are forseen to be transported together such as items 5.1-,6.3-,-6.16-,6.20-,6,30- 6,31-,6,32-,9.3-,10.1-,10.2-,,31.1 Therefore The rates are based accordingly.

07/04/18 2) TRANSPORT METHOD STATEMENT

Item 4.1 - 2 x Rolling sectors,left and right to Safford Base camp. Item 7.1 – 1 M1 Cell (left) to Tuscon mirror lab. Item 7.2 – 1 M1 Cell (right) to Safford Base camp.

The above items will be transported on a steerable 9-axle trailer with the height of the flatbed at 58 inches, at this height there will be sufficient height to clear the guard rails and signs. (see drawing 001)<

Item 2.1 -- 2 x Lateral frame structures Item 2.2 – 1 x Central frame structure

The above items will be transported to Safford base camp using a 9 axle steerable double drop trailer with a 44 foot long deck. This trailer layout is required due to the height of the items (see drawing 002)

From the base camp to the top of the mountain a similar trailer set up will be used with the exception of the puller truck being shorter. The steerable dolly will steer at each end with a shorter spread between axle groups and a hydraulic load levelling system will be mounted in the rear header beams and a full oscillating turn table mounted at the front header beam.

The transit of the largest items from Houston to Safford base camp is expected to take a total of nine days. The convoy will transit the State of Texas which will take seven days, then one day through the state of New Mexico and then one day in the state of Arizona.

The transit time for the small oversize items from Houston to Safford will take three days.

The journey time for the legal loads will be two days.

For the major items 8.1. Dummy Cell and 15.1 Aluminizing Bell jar destined to Colombus Ohio. it is transporters intention to move these major items through the port of Houston and by barge to Cincinnati. The deck barge has a length of 195’ x 35’x10.5’. Transporter reserves his right to review this routing and propose an alternative should he see fit.

07/04/18 3) EXCLUSIONS FROM OPERATIONS IN U.S.A.

 Any fees for rights of public facilities.  Any storage fees  Any duty/customs fees or clearance charges or customs inspections.  Any demurrage on containers.  Any storage fees at Houston or alternative port of entry.  Any local or interim haulage at the port of Houston should it be requied..  Any loading of items on iterim transport trailers at the port or storage facility.  Any additional packing or re-packing of items.  Any unloading or loading of any items under Lbs30,000 at Safford Base camp.  Any unloading at Mount Graham (top site) or Tuscon Mirror Lab.  The transport of hazardous materials is specifically excluded from the offer.  No contingency has been to cover Liquidated and consequential damages therefore liability for same is excluded.

Client to supply sufficient cranage to perform the discharging of the Mirror Cells at Steward Observatory mirror Lab.

At discharge points 3 hours unloading time is allowed should these period be exceed for reasons outside of transporters control then customer will be billed additional time at the regular hourly rate.

Transporter assumes no responsibility for the site preparation and/or site damage. Client to supply reasonable access for equipment and a safe place to work, complying with Federal OSHA requirements. Client to supply firm, level, all weather roadways, access roads, ramps and working areas for the cranes and transporting equipment. A clear, level compacted working area also to be supplied by the client.

If labor is supplied by the customer to assist at loading or unloading, they are to be qualified Transporter assumes no liability whatsoever for these labors.

The proposal is based on receiving the required permits and approval from all State and Local authorities. The rates are quoted according to current regulations .Any changes in routing and/or regulations may affect the rate.

Overhead and underground obstructions and facilities will be removed or made safe by others. Transport will not be held responsible or liable for damages to underground structures, voids, or utilities, or for damage to concrete or asphalt not specifically identified in advance. Protection of identified underground items, concrete or asphalt must be agreed to by all parties in advance in writing.

07/04/18 Not having in our possession the lay out or any technical information on the sites and points to where the items will be put to ground . We reserve the right to review cranage requirement and cost should it be found that the lay our calls for an increase in the requirement for the discharging operation.

A. From F.O.T. Ansaldo factory to FOB port of loading :

B. From F.O.B. Port of loading to F.O.T. and/or discharged job sites as specified :

= USD 1.071.000,00

C. Containers from FOT Ansaldo factory to FOT base camp Safford :

40’ box : = USD 2.800,00 each 40’ open top = USD 3.800,00 each

Should we be successful in our proposal we wish to reserve the right to discuss at a subsequent meeting with you the final terms and conditions of the contract.

07/04/18 Insurance cover is not included in the offer however as requested in RFP we confirm that insurance can be covered at the following terms and conditions :

INSURANCE ALL RISKS 0.33%

Insurance if requested to cover all operations as requested and quoted for.

Should the LBT decide to arrange their own Insurance cover the same should include a waiver of subrogation issued in the name of Fagioli or its sub-suppliers.

 Costs for removing street furniture, such as road traffic lights, road signs, raising electrical cables, power shut downs etc, All of these charges to be recovered at cost with an uplift of 5% to cover administration charges. Traffic.  Customs clearance operation in the USA.  Local Duties and taxes in the USA  Harbour maintenance dues (if applicable).  Transport of any hazardous materials without pre-agreement.  Transporter assumes no liability or responsibility for the design, construction of any of the lifting lugs supplied with the items.  The proposal is based on a validity of months and thereafter is subject to equipment and resource availability .Should the work be carried beyond the period quoted the transporter reserves the right to negotiate possible equitable escalation.  The following list of ID. numbers shown on LBT orignal packing list have been excluded from our offer : . 10.5 14.0 24.1 24.2 24.3 25.1 25.2 29.1 29.2 29.3 29.4

 The Italian inland haulage is subject to route approval of local authorities.  Transporter assumes no liability for lifting lugs, embedded or attached to any items by the manufacturer.
