Trustee Role Description 1. Trustees’ Legal Duties To ensure that Depaul UK complies with its governing document, charity law, company law and any other relevant legislation or regulations.

To ensure that the organisation pursues its objects and ensures that it uses its resources in pursuance only of those objects being:  the prevention and relief of poverty, homelessness and financial hardship;  the advancement of education;  such other exclusively charitable objects or exclusively charitable purposes as the Trustees may from time to time decide can usefully be pursued for the public benefit, nationally and internationally and by such exclusively charitable means as the Trustees may determine (the “Objects”).

To ensure that the charity’s resources are managed to:  safeguard the reputation and manage all risks associated with Depaul UK’s work;  provide for the effective and efficient administration of Depaul UK;  provide financial sustainability for Depaul UK, maintaining an appropriate financial reserve in line with the agreed policy;  provide compliance with the Fundraising Regulator’s standards;  adhere to the Depaul Group Agreement (the memorandum governing the relationship between Depaul UK, Depaul International and other Depaul subsidiary charities);  protect and manage the property of the charity and to ensure the proper investment of the charity’s funds; and  appoint the Chief Executive Officer and monitor his/her performance.

2. Commitment Trustees will commit to:  attendance at all meetings (usually five meetings a year including a strategy weekend) with absences agreed with the Chair in advance, if at all possible;  scrutinising board papers;  leading discussions, highlighting key issues and providing guidance in their area of expertise; and  promote and, where appropriate, participate in the fundraising activities of Depaul UK

3. Strategic Leadership Trustees will provide the strategic leadership for Depaul UK by:  providing entrepreneurial leadership to Depaul UK;  working with the Chief Executive, to set the strategic aims and objectives;  maintaining a strategic role;  constantly keeping the needs of beneficiaries as paramount; and  making decisions in step with Depaul UK’s Vincentian values.

Other Board/ Committee Memberships Trustees are normally expected to be a member of at least one Committee and possibly also of ad hoc groups, as required. The standing Committees are:

 Finance, Audit and Risk Assurance  Fundraising and Business Development Committee

 Services Committee

 Staffing and Remuneration Committee

 Depaul Housing Services (Registered Provider)

5. Trustee Support Depaul UK will provide the following for all Trustees:

 out of pocket expenses in line with the Trustees’ expenses policy (no Trustee receives remuneration for their voluntary roles with Depaul UK)  access to the Depaul UK Governance Manager for help and support in their role as Trustee  equal opportunity to participate regardless of gender, marital status, race, religion, colour, age, disability or sexual orientation.

We are looking for persons who have:

Desirable In addition, we encourage applicants with one or more of the following skills and experience:

 Social housing, preferably supported housing or housing development

 Social enterprise or social finance  Fundraising  Human Resources  Children and young people
