1 Memorandum of Understanding Between African Centre for Meteorological Applications for Development And University Corporation for Atmospheric Research Acting on Behalf of UCAR Community of Programs On 1 MayJuly 1 2012

This Memorandum of Understanding (MOU) effective as of 1 May July 2012, ("Effective Date"), is entered into by and between the University Corporation for Atmospheric Research acting on behalf of the UCAR Community of Programs (UCP), having a mailing address of 1850 Table Mesa Drive, Boulder, Colorado 80307 and the African Centre for Meteorological Applications (ACMAD) for development having a mailing address of 85 Av. des Ministères, BP:13184, Niamey, NigerXXX. UCP and ACMAD may be alternately referred to herein as party, individually, or parties, collectively.

1 –Objectives:

This MOU outlines our intent to work together to build upon ongoing efforts within ACMAD toand enhance implement a prototype decision-informing system to provide actionable information that can be used to contain the spread of meningitis epidemics in the Meningitis Belt of Africa. We propose to work with ACMAD to implement and improve existing tools and techniques and produce reliable humidity forecasts based on the output of existing global models. Our collaboration would be in alignment with ACMAD’s mission to develop and deliver values-added meteorological services, and the tools and technology we implement and develop shall be freely leveraged for new and ongoing research and development efforts at ACMAD.

2 - Cooperative Activities:

Subject to the availability of funds, personnel and the mutual agreement of both parties, cooperative activities for specific projects between ADCMAD and UCAR, and may be undertaken in the following general areas:

A. Activities that support the Objectives in Section 1, including:  Co-designing a prediction system that leverages the current and anticipated technical capacity at ACMAD  Augmenting the technical capacity as appropriate and subject to availability of funds, personnel  Installing Unidata software  Enabling ACMAD to regularly access or receive the data that provide the basis for the production of humidity forecasts using proven statistical techniques.  As desired, enable the regular delivery of data for regional models.  Implement quantile regression techniques for the generation of humidity forecasts at ACMAD.  Enhance ongoing ACMAD efforts, with further dDevelopment and implementation of a “decision-informing system” that would provide humidity forecasts for meningitis decision makers, in a graphical form.  Co-hosting appropriate, stake-holder oriented meetings  Disseminating research and project results  Participating in training  Designing and delivering training

B. Other cooperative activities as mutually agreed upon by both parties.

Actual collaborative activities shall be specified in subsequent proposals or contracts, which provide detailed description of actual tasks to be performed, the funding requirements and the amount of staff devoted to support specific tasks from both parties.

4 - Term of MOU/Extensions:

The Term of this MOU shall be for a period of 2 (two) years from the Effective Date, unless earlier terminated under the termination provisions of Article 9. If the parties mutually agree that it would be to the benefit of the parties to extend the Term of this MOU, the parties shall execute an amendment, which extends the Term under the same terms and conditions as recited herein. No amendment or modification of this MOU shall be valid unless made in writing and signed by duly authorized representatives of ACMAD and UCAR. ACMAD and UCAR further acknowledge that facsimile signatures are fully binding and constitute a legal method of executing this MOU.

5 - Laws/Regulations:

This MOU and the respective performance of the parties hereunder, shall be subject to all applicable export control laws and regulations of the United States of America and the Republic of Niger.

6 – Hold Harmless

Hold Harmless. This Agreement does not bind the U.S. Government or the National Science Foundation (NSF), an independent agency of the U.S. Government. Consequently ACMAD shall hold the U.S. Government and the NSF harmless from any liability as a result of any activities conducted under this Agreement.

7 - Responsibility of Each Party: Subject to the availability of funds and personnel the activities as outlined in Article 3, shall be supported by both parties and each party shall be responsible for providing facilities, and other mutually agreed upon support.

8- Other Agreements:

In the event any additional understandings such as, but not limited to, those related to the licensing of technology for research or commercialization purposes, or the need to enter into a separate agreement for the transfer of funds, the parties shall in good faith enter into negotiations to reduce to a mutually agreeable writing the obligations and terms associated with such understandings.

9 – Termination:

Either ACMAD or UCAR may terminate this MOU, at any time during the term stated herein without cause provided the terminating party gives the terminated party 30-days notice.

10 – Notices

All written notices between UCAR and ACMAD with reference to this MOU shall be sent to the respective address of the party, or to such other individuals as the parties may designate in writing from time to time, as follows:
