12 PRESIDENT/CEO EVALUATION MATRIX PROCESS

(TO BE COMPLETED BY HUMAN RESOURCES COMMITTEE CHAIR)

13 PRESIDENT/CEO EVALUATION MATRIX INSTRUCTIONS

After all Board members have prepared and updated their individual President/CEO Evaluation Forms, the Chair of the HR Committee copies the data from the Performance Rating column into the Evaluation Matrix Excel Sheet in order to calculate the overall rating of the President/CEO’s performance.

The Chair of the HR Committee will then review the entries to determine if there are any discrepancies in the matrix, or if there is any perceived positive or negative bias regarding any director’s evaluation of the President/CEO.

The following sample Excel sheets show the various recalculations that might take place.

Note that in the matrix, Director A has rated the President/CEO with a ‘3’ in all categories. This might indicate that Director A either didn’t take time to do a true evaluation, or perhaps is a new director who hasn’t had enough time to accurately evaluate the President/CEO’s performance.

Director F on the other hand has rated the President/CEO with a ‘1’ in all categories. This might indicate a positive bias due to friendship or some external influence.

Sheet 1 shows the overall President/CEO evaluation with all directors’ inputs.

Sheet 2 shows how the evaluation might look if Director A’s comments were not included.

Sheet 3 shows how the evaluation might look if Director F’s comments were not included.

Sheet 4 shows how the evaluation might look if comments from both Directors A and Director F were not included.

When the matrix is finalized, the average ratings are rounded off, and the results are entered into the Consolidated President/CEO Evaluation Form.
