AMY F. SPENCE Exercise, Care, & Training Agreement

This EXERCISE, CARE, TRAINING AGREEMENT (“Agreement”) is made by and between Amy F. Spence, hereinafter referred to as “Trainer” and ______, hereinafter referred to as “Owner”. Trainer agrees to accept Owner’s horse ______for training, care, and/or exercising at Cambridge Equestrian Center, 2000 Cambridge Way, Santa Maria, California 93454. Trainer and Owner agree as follows:

Upon Owner’s order of services, Trainer and Owner agree that daycare and/or exercising fees per day are as follows:

See Exhibit A attached hereto.

1. Fees.

In addition to specific fees in Exhibit A, Owner shall pay the Trainer the fee of $______per month for each horse. All fees for training and other incidentals are due each month prior to training. Changes in monthly rates or other charges are subject to alteration upon thirty (30) days written notice to Owner. All expenses incurred for veterinarians, shoeing, or other out-of-pocket cost shall be billed after the incurrence thereof upon the next billing by Trainer.

2. Risk of Loss and Standard Care.

During the time that the horse is in the custody of Trainer, Trainer shall not be liable for any sickness, disease, estray, theft, death, or injury which may be suffered by the horse, except in the event of negligence on the part of the Trainer, her agents, and/or employees.

Trainer cannot and does not guarantee the effect of the training program or that any particular results will be achieved, since this depends a great deal on the individual physical and mental ability of each horse.

Owner has inspected the premises and has satisfied themselves that the condition of the premises and the facilities will provide an adequate and reasonable level of safety for Owner’s horse and Owner’s family, guests and visitors who enter the premises.

The standard of care applicable to Trainer is that of ordinary care of a prudent horse owner.

Trainer shall carry insurance public liability, accidental injury, theft, or equine mortality insurance $2,000,000 all risk.

3. Risk of Loss & Indemnification.

Trainer shall not be liable for accident, injury, disease, theft or death of any Horse while in Trainer's custody.

4. Emergency Care.

Trainer agrees to attempt to contact Owner should Trainer determine veterinary treatment is needed for said horse. If Trainer is unable to contact Owner, Trainer is authorized to secure emergency veterinary, and farrier care required for the health and well-being of said horse. All costs of such care secured shall be paid by Owner within fifteen (15) days from the date Owner receives notice thereof.

5. Rules and Regulations.

The Owner agrees to abide by all the rules and regulations of the Cambridge Equestrian Center, 2000 Cambridge Way, Santa Maria, California 93454.

6. Independent Contractor.

Trainer is engaged as independent contractor providing services and has and will all Federal, State and local laws regarding business permits, sales permits, licenses, reporting requirements, tax withholding requirements, and other legal requirements of any kind that may be required to carry by Trainer.

7. Enforceability of Contract and Severability.

This Agreement represents the entire agreement between the parties. No other agreements, promises, or representations, verbal or implied, are included herein unless specifically stated in this written agreement. This Agreement is made and entered into in the State of California, and shall be enforced and interpreted in accordance with the laws of said State.

8. Termination of this Agreement.

This agreement shall commence on date above and terminate upon 24 hours email notice to the other party.

9. Amendment of Agreement.

This Agreement may only be amended by writing signed by both parties.
