The Trustees present their report and the financial statements of the charity for the year ended 31 May 2020.

The financial statements have been prepared in accordance with the accounting policies set out in note to the financial statements and comply with the charity's Rules and Bye-Laws, the Charities and Trustee Investment () Act 2005, the Charities Accounts (Scotland) Regulations 2006 (as amended) and ment of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Rep 9).

OBJECTIVES AND ACTIVITIES Since the abolition of certain exclusive trading privileges within the Burgh of Glasgow in 1846, the objects of the Incorporation have assumed an entirely benevolent character. These are primarily the support of indigent Members and the widows, orphans and children of Members. The Incorporation also pursues educational projects connected with horticulture. In addition, under the heading of the "Let Glasgow Flourish" presentation, the Incorporation encourages, by way of awards, horticulture and gardening displays by commercial bodies within the City of Glasgow.

ACHIEVEMENTS AND PERFORMANCE The Incorporation continues to support our aims and objectives in charitable and good causes. We aim to provide encouragement to schools, colleges and organisations that are actively encouraging people to garden and hope that some of them will go on to take part in other horticultural events and to spread the word that gardening is fun.

This year, because of circumstances, I had to continue as Deacon for a second year and what a difficult time it has turned out to be.

It started well with my Choosing Dinner, when our speakers were Craig Bryce, aut ry of the Trades House, OBE, Master of the Worshipful Company of Gardeners of London, and , a well-known figure in the horticultural industry.

During the evening we received an impromptu talk from , a young Horticulturalist and recipient of The Andrew Count McMillan Scholarship. He was given a very warm reception.

All other events went well until March when we were hit by the Covid-19 pandemic, which has changed many lives through lock down, self-isolation, furlough and redundancy. However, I managed to carry on as normal in the early part of the month when I attended a reception at Erskine Hospital where I was asked to visit a veteran pilot, aged 96.

He was a very interesting man and although I had difficulty with his speech, I did manage to understand him.

He showed me some of the aircraft he had flown, from his first twin-winged plane and then a Spitfire, to several others he eventually flew for BA. The sad part of this is that he passed away just recently, with the virus I believe.

ACHIEVEMENTS AND PERFORMANCE (cont d) Not to be disheartened the Incorporation has continued to support our objectives in charitable causes. Our aim is to encourage young people in those schools, colleges and organisations where an interest in gardening is fostered in the hope that some of them will go on to take up horticulture as a career.

Our Trustees continue to visit our beneficiaries to ensure they get the help and support they may need and to assist with their living expenses.

The Incorporation will continue to support the Trades House educational events, although as of this time we do not know when or what we will be able to organise.

After months of discussion, advice was sought from OSCR on expenses for trustees. I quote from OSCR:

The Master Court decided that it could justify payment of expenses in the future.

From October until March I attended many events including: a reception at Maryhill Barracks on the invitation of the 6th battalion of the Royal Regiment of Scotland and the annual Kirking of the Trades House at Glasgow Cathedral.

Along with the Clerk and Officer, I accepted an invitation to dinner in Basel, held by the Guild of Gardeners whose hospitality and friendship were exceptional. I discussed training with their Master, . He explained that they were not themselves involved with horticultural training, but he gave me the name of a training provider. He also sent me a letter from his friend who wished to hold an exhibition of environmental landscapes during the proposed Glasgow Climate Change Conference which I passed on to Glasgow Galleries, but with no success as they were booked up to two years in advance. I have now passed it on to of Museums and Galleries at Glasgow Life.

My wife and I, the Clerk and the Officer were invited to the annual dinner of the Worshipful Company of Gardeners of London. It was a most enjoyable dinner in the splendor of the Mansion House and allowed me to catch up with friends.

I again discussed training and was invited down to London to talk over training schedules. Unfortunately, due to lock down, managed to get down. I must

The Trades House Burns Supper is always an entertaining evening and I always look forward to the separate Burns Festival. This year there were record numbers of participants, all of them children full of enthusiasm and excitement. One young lad was asked to give the Address to the Haggis at the Scottish Parliament Burns Supper.

The Evening with the Gardeners is another event I enjoy as all the attendees are gardening enthusiasts. This ye which is now recognised as being harmful to the environment.

ACHIEVEMENTS AND PERFORMANCE (cont d) We also had an entertaining singer who had the whole company singing dancing and, during a great evening, we collected £487. 50 for Kinship Care, and separately a further cheque for £100 was sent direct by direct to the House.

The Japanese garden at is now complete. The Consulate General honoured us by coming to the school to hand the boys certificates of their accomplishments.

I undertook another project at Govan High School, sponsored by the RHS, where two teams of six, one of boys and one of girls, were challenged to design and build a scale model of the garden and present it to the RHS at Glasgow Botanic Gardens. They were runners up on this occasion.

During the year the Incorporation gave funding to Friends of Victoria Park for restoration of the Fossil Grove, which has been neglected for years and was so overgrown that visitors could not enter the area. It has now been cleaned up and is being restored to its former glory.

The next project is a garden at High School, which I am helping to design with the support of the Incorporation, is yet another amongst many visits and projects that have been undertaken through a year that has been both rewarding and challenging and I wish the incoming Deacon, , my best wishes in these lock down times.

FINANCIAL REVIEW

Results for the year Per the Statement of Financial Activities on page 10, the Incorporation reported Net Expenditure (i.e. a Deficit) of £152,579 (2019 Deficit £63,391) after unrealised and realised losses of £155,894 and £5,537 respectively. At 31 May 2020, the Incorporation had total funds of £1,462,677 of which £68,649 related to Restricted Funds.

Reserves policy The policy of the Trustees is to hold a level of investments in order to generate a return sufficient to meet the Incorporation's annual staff, running and governance costs.

There is also an Old Members' Fund which was originally constituted many years ago by a legacy from a late Member. The income is at the disposal of the Deacon for the distribution amongst friends and relatives of Members being in need by reason of age, ill health, disability, financial hardship or other disadvantage.

Risk management The Trustees have identified and considered the major strategic, financial and operational risks to which the charity is exposed and have established systems to enable those risks to be mitigated. Page 5

Grant Making policy Grants are awarded at the discretion of the Trustees in accordance with the objectives of the charity.

Investment policy The Trustees have the power to invest in terms of Rule 30. In both the Equity and Fixed Interest portfolios of the General Fund and also in the Old Members' Fund, the investment objective is to maintain a balance between Capital Growth and Income with an emphasis on maintaining or enhancing the current income levels. The Trustees engaged the services of Tilney Bestinvest who advised the Incorporation on their investments during the accounting year.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document About the year 1605, on an application from a number of practical gardeners, the original Charter of the Incorporation was granted by the Lord Provost, Magistrates and Council of the Royal Burgh of Glasgow, conferring rights and privileges similar to those granted to other Incorporations. This Charter was lost in 1646, and a new Charter was not obtained until 1690. The present Rules and Bye-Laws were adopted at various meetings of the Incorporation commencing on 24th June 1902. The Incorporation is a recognised Scottish charity, No. SC004606.

Trustees The Trustees serving during the year and since the year end are detailed on page 1.

Appointment of Trustees Each year the Deacon is entitled to appoint a Trustee (the Deacon's Master) in terms of the Rules and Bye-Laws. Such Master is eligible for subsequent election by the Incorporation, again in terms of the Rules and Bye-Laws. The appointment of other Trustees is through election by the Incorporation as aforesaid. New Trustees undergo instruction to brief them of their legal obligations under charity law.

Organisational structure The affairs of the Incorporation are managed by the Trustees with duties being delegated to the Clerk and Deputy Clerk. The Trustees meet quarterly.

Key Management Personnel Given their involvement as described above, the Trustees consider themselves as the charity's key management personnel, in charge of directing and controlling the charity and overseeing its daily activities. All Trustees give of their time freely and no Trustee remuneration was paid in the year. Details of Trustees' expenses and related party transactions are disclosed in Notes 18 and 20.

Covid-19 In March 2020, the World Health Organisation declared Covid-19 a pandemic. The Trustees have considered the impact of Covid-19 on the charity and have concluded that any adverse effect will be relatively low.

The valuation of the investments decreased by 10.5% as at 31 May 2020 compared to the prior year. However, at the date of signing the financial statements, the stock market had shown signs of improvement with the value of the investments at 10 August 2020 having increased by 1% since 31 May. The Trustees have assessed that no assets held at the Balance Sheet date are permanently impaired.

The impact of a lower level of investments during the year ending 31 May 2021 is likely to be lower dividends. Based on recent years' financial results, the Trustees believe that even a reduced level of dividends is still likely to exceed grants awarded and running costs. The Trustees feel that they can be reactive to the implications of Covid-19 should this mean fewer meetings during the current accounting year and a smaller amount of grants being disbursed.

The Trustees do not consider that the Covid-19 pa going concern.

STATEMENT OF TRUSTEES' RESPONSIBILITIES The Trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in Scotland, the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 and the provisions of the charity's Rules and Bye-Laws requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the Trustees are required to:

select suitable accounting policies and then apply them consistently; observe the methods and principles in the Charities SORP; make judgements and estimates that are reasonable and prudent; state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 and the provisions of the charity's Rules and Bye-Laws. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner The Trustees recommend that C.A., a Partner in Alexander Sloan, Accountants and Business Advisers, remains in office as Independent Examiner until further notice.

Independent Examiner's Report to the Trustees on the Unaudited Financial Statements of The Incorporation of Gardeners of Glasgow

I report on the financial statements of The Incorporation of Gardeners of Glasgow for the year ended 31 May 2020 which comprise the Statement of Financial Activities, the Balance Sheet and the related Notes.

Respective responsibilities of Trustees and Examiner The charity's Trustees are responsible for the preparation of the financial statements in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 ("as amended"). The charity's Trustees consider that the audit requirement of Regulation 10(1) (a) to (c) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the financial statements as required under Section 44(1)(c) of the Act and to state whether particular matters have come to my attention.

Basis of Independent Examiner's Statement My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements and seeks explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the financial statements.

Independent Examiner's Statement

In the course of my examination, no matter has come to my attention

1. which gives me reasonable cause to believe that in any material respect the requirements:

to keep accounting records in accordance with Section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and

to prepare financial statements which accord with the accounting records and comply with Regulation 8 of the 2006 Accounts Regulations

have not been met, or

2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the financial statements to be reached.
