It is expected that the subject parcel of land will not significantly impact TRCA’s maintenance costs at this location.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT WHEREAS Toronto and Region Conservation Authority (TRCA) is in receipt of a request from Sawmill Sid Inc. to enter into a lease agreement for operation of a sawmill located at 1352 Lakeshore Road East, City of Mississauga, Regional Municipality of Peel;

AND WHEREAS it is in the opinion of TRCA that it is in the best interest of TRCA in furthering its objectives, as set out in Section 20 of the Conservation Authorities Act, to cooperate with Sawmill Sid Inc. in this instance;

THEREFORE LET IT BE RESOLVED THAT TRCA enter into a lease with Sawmill Sid Inc. for the use of 0.4 hectares (1 acre), more or less, said land being part of Part Lot 5, Concession 3 SDS, located at 1352 Lakeshore Road East, City of Mississauga, Regional Municipality of Peel;

THAT the lease with Sawmill Sid Inc. be subject to the following terms and conditions:

(i) that the term of the lease be for five years together with one renewal option for a further five year period at the sole option of TRCA;

(ii) that consideration be $20,000 per annum with an annual increase of $1,000 throughout the term of the lease plus HST;

(iii) that Sawmill Sid Inc. is to be responsible for all approvals required for construction and operation of a sawmill and associated equipment;

(iv) Sawmill Sid Inc. shall be solely responsible for any and all costs associated with the construction and operation of a sawmill and associated equipment;

(v) any other terms and conditions deemed appropriate by the TRCA staff and solicitor;

THAT an archaeological review is to be completed at the expense of Sawmill Sid Inc. with any mitigative measures being carried out to the satisfaction of TRCA;

AND FURTHER THAT the authorized TRCA officials be directed to take the necessary action required to implement the lease, including obtaining any necessary approvals and the signing and execution of documents. CARRIED

103 BACKGROUND TRCA was approached by Sawmill Sid Inc. in November 2015 to utilize a portion of TRCA’s premises located to the rear of the Small Arms Building located at 1352 Lakeshore Road East, for the operation of a sawmill and associated equipment. It was agreed that a one-year trial would take place between January 1 and December 31, 2016. An agreement for the period was executed with a rental consideration requirement of 10% of gross income over the term. This generated a rental income of $18,600 for 2016.

The original operation was installed directly behind the Small Arms Building, however during 2016, the City of Mississauga requested that the Small Arms Building along with 10 acres of land be transferred to the City of Mississauga for nominal consideration. As a result of this, Sawmill Sid Inc.’s operation has been relocated to the southwest corner of the subject lands behind the lands being sold to the City of Mississauga.

Sawmill Sid Inc. provides wood recovery and repurposing services for species that would typically be chipped or ground and sent to area landfills. In 2016, they recovered in excess of 6,200 cubic metres within the Greater Toronto Area. Their proposal to develop a “Tree and Wood Recovery Centre” will provide a location for community members, businesses, arborists and public agencies to deposit wood and wood debris, purchase repurposed products as well as allowing for individual and group educational tours and workshops.

Lease Agreement The area subject to this lease consists of approximately 0.4 hectares (1 acre) of fenced tableland.

The following are the key terms and conditions of the proposed lease arrangement: 1. Lease Payment: $20,000 per annum together with an annual increase of $1,000 plus HST; 2. Initial Term: five years, together with one extension option for a further five-year term, at TRCA’s sole option; 3. Insurance: Sawmill Sid Inc. will provide $5,000,000 in commercial general liability insurance; 4. Taxes and Utilities: Sawmill Sid Inc. will be responsible for all applicable taxes and utilities; 5. Further Approvals: Sawmill Sid Inc. will comply with any applicable laws, directions, rules and regulations;

Attached is a sketch of the leased area.

RATIONALE Entering into a lease agreement with Sawmill Sid Inc. would allow for the continued development and operation of a wood and debris repurposing centre servicing the Greater Toronto Area. To date Sawmill Sid Inc. has saved over 2,257 tonnes of carbon through the salvaging, recycling and repurposing of wood that would have otherwise been chipped and deposited into landfills. Sawmill Sid Inc. also has partnered with the Ministry of Natural Resources and Forestry to provide educational workshop opportunities to local school boards. Once a year, Sawmill Sid Inc. hosts “The Urban Forestry Youth Initiative.” This program allows students from across the GTA to join together at Sawmill Sid’s to observe the sawmill in action, learn the role of forests in climate change as well as provide hands-on skills in the fields of arboriculture, urban forestry and community engagement to prepare for employment and/or post-secondary education.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT WHEREAS Toronto and Region Conservation Authority (TRCA) is in receipt of a request from Watershed Realty Inc. to enter into a lease agreement for operation of a plant nursery and garden centre, located at 8712 Claireville Conservation Road, City of Brampton, Regional Municipality of Peel;

AND WHEREAS it is in the opinion of TRCA that it is in the best interest of TRCA in furthering its objectives, as set out in Section 20 of the Conservation Authorities Act, to cooperate with Watershed Realty Inc. in this instance;

(iv) Watershed Realty Inc. shall be solely responsible for any and all costs associated with the construction and operation of a plant nursery and garden centre;

THAT an archaeological review is to be completed at the expense of Watershed Realty Inc. with any mitigative measures being carried out to the satisfaction of TRCA;

BACKGROUND The property was vacated by a residential tenant in 2005. After numerous unsuccessful attempts to repurpose the existing home, TRCA staff reviewed the building and it was subsequently scheduled for demolition. In 2009 TRCA submitted a demolition permit application. In December 2009, as part of City of Brampton’s demolition permit review process, the home received heritage listed status from the City of Brampton. As part of this listing, a request to repurpose the building was received by TRCA, thereby suspending any demolition proceedings pending further investigation into potential uses. Consultations between TRCA staff, members of Brampton Heritage and City of Brampton staff yielded a consensus that the home could be repurposed and restored by a commercial or other private user. A request for proposal was issued in August 2011 and distributed to potential user groups and area real estate offices. This request for proposals received no formal submissions. In August 2013, the request for proposals was updated and re-distributed, again receiving no formal submissions.

TRCA was approached by Watershed Realty Inc. on February 8, 2016, initiating negotiations to utilize approximately 1.62 hectares (4 acres) of its premises at Claireville Conservation Area including a heritage listed home known as the” Robinson House” located at 8712 Claireville Conservation Road for the operation of a plant nursery and garden centre that would be accessible to the general public.

TRCA staff met with City of Brampton Planning staff in May 2016 to discuss zoning and acceptable uses for the site. A plant nursery and garden centre was a supported use, however, will require a minor variance application. This use would also complement TRCA’s nursery initiatives and planting programs. In February 2017, Watershed Realty Inc. staff met with TRCA Restoration and Infrastructure staff to discuss possible synergies and future planting needs. This use and initiative is supported by Restoration and Infrastructure staff due to its complimentary nature.

Lease Agreement The area subject to this lease consists of a heritage listed home together with approximately 1.62 hectares (4 acres) of land. The following are the key terms and conditions of the proposed lease arrangement: 1. Lease Payment: $1.00/month, plus HST; 2. Capital Investment: $400,000; 3. Initial Term: 10 years; with two renewal options of five years each at TRCA’s sole option and subject to a fair market rent valuation; 4. Insurance: Watershed Realty Inc. will provide $5,000,000 in commercial general liability insurance; 5. Taxes and Utilities: Watershed Realty Inc. will be responsible for all property taxes and utilities; 6. TRCA will have exclusive right of ingress and egress across the lands for use by TRCA employees, their equipment and machinery.

Within the first two years of the lease the tenant shall restore the subject building to a weatherproof and useable condition. The following represents the items that Watershed Realty Inc. ensures and commits to complete within the first year of the lease agreement:

1. Repair all structural areas associated with the roof. 2. Repair or replace all existing troughing, soffit and downspouts in a professional and workmanlike manner. 3. Repair all stucco and wood areas to conform to the existing exterior. In the event that certain materials are not available due to the age of the premises, the Tenant will use its sole discretion in choosing a compatible replacement. 4. Repair or replace windows and/or frames in order to create an airtight environment. 5. Arrange to have all electrical services inspected by a qualified electrician. In the event that there are deficiencies, Tenant agrees to repair all areas of concern. 6. Repair or replace the heating system as required. 7. Repair or replace all plumbing and plumbing fixtures throughout the premises. 8. Provide millwork in the kitchen area. 9. Repair all damaged and worn out foundation, both on the exterior and interior of the home. 10. Install central air conditioning throughout the premises.

The following represents the items that Watershed Realty Inc. ensures and commits to complete within the second year of the lease agreement:

1. Installation of greenhouses. 2. Placement of bin blocks (aggregate storage). 3. Installation of an equipment storage facility. 4. Installation of a 30 X 80-foot shelter. 5. Installation of a 30 X 40-foot shelter. 6. Installation of an entrance and sitting area. 7. Installation of a parking area. 8. Installation of security fencing. 9. Installation of electrical and water conduits. 10. Repair and paint the interior of the premises.

112 BACKGROUND The Regional Municipality of Peel, Credit Valley Conservation (CVC), and TRCA, are collaborating in the development of a new natural waterfront park amenity along the eastern waterfront in the City of Mississauga, known as the Lakeview Waterfront Connection. The project goals and objectives are to: provide public access to and along the waterfront, recreate lost coastal wetlands, allow fish access to Serson Creek, re-establish extensive new meadow and forest coastal habitats, and to soften the existing shoreline by increasing the amount of beach habitat within the area.

The Lakeview Waterfront Connection Project is being constructed in various stages. Construction of the first rubble confinement cell, located west of Serson Creek to the existing east Ontario Power Generation (OPG) pier, commenced in November 2016 with completion expected by March 31, 2017. Closing of the first confinement cell will provide capacity for approximately 190,000 cubic metres of fill material and construction of approximately 150 linear metres of armourstone revetment west of the future outlet of Serson Creek. Work is scheduled to commence in July 2017 following opening of the warm fisheries window for in-water work.

As Atlantis Marine Construction Canada Inc. is a new supplier to TRCA, staff contacted references and verified they are able to meet material specifications and delivery requirements. Furthermore, TRCA will be conducting quarry inspections to verify that the material is of good quality and meets contract specifications. The licenses of the quarries which the lowest bidders will use to supply the aggregates have been verified to be legitimate and fully licensed using the Ontario government’s “find pits and quarries” online tool at the following URL address: https://www.ontario.ca/environment-and-energy/find-pits-and-quarries. One of the three quarries that is to be used by Glenn Windrem does not contain a license number and is not subject to the Aggregate Resources Act or its predecessor the Pits and Quarries Control Act as per letter by the Ministry of Natural Resources and Forestry.

This project to create a new park along Lakeview’s shoreline is in line with TRCA’s 10-Year Strategic Plan Objective #3, which is to rethink greenspace to maximize its value, and Objective #7 which seeks to build partnerships and new business models. The Lakeview Waterfront Connection Project helps TRCA achieve these strategic objectives by creating new greenspace along the waterfront, and through strengthening TRCA’s partnership with the Region of Peel and its neighbouring conservation authority, Credit Valley Conservation.

CARRIED BACKGROUND Leslie Elgin Developments Inc. approached TRCA to negotiate a permanent easement required by the Town of Richmond Hill. The proposed stormwater pond outfall will service a stormwater facility required as part of the adjacent development lands owned by Leslie Elgin Developments.

In accordance with TRCA review guidelines ''Use of Authority Owned Lands for Stormwater Management Facilities" approved at Authority Meeting #11/92, held on January 22, 1993, the proponent has demonstrated that the proposed location on TRCA-owned land is reasonable and all technical requirements of TRCA staff has been satisfied. A detailed design will be carried out prior to construction of the stormwater pond outfall, and a permit will be required under Ontario Regulation 166/06, as amended.

Extensive public consultation has taken place throughout the planning process for this development including the North Leslie Secondary Plan, Master Environmental Servicing Plan, Environmental Management Plan and the approved draft plan of subdivision.

The subject lands are part of a larger parcel acquired from Riotrin Properties (Richmond Hill) Inc. on June 28, 2007 under the Greenlands Acquisition Project 2006-2010.

Plantings: All lands disturbed by construction will be stabilized and, where deemed appropriate by TRCA staff, revegetated with native woody and herbaceous plant material in accordance with existing TRCA landscaping guidelines. A landscaping plan was prepared and form part of the permit pursuant to Ontario Regulation 166/06, as amended.

A sketch illustrating the permanent easement location is attached.

CARRIED BACKGROUND Metrolinx has requested a permanent easement required for a new culvert and embankments for the Go Barrie Double Track Project construction planned to expand rail and commuter capacity.

The Go Barrie Double Track Project proposes to add a second track segment at various points throughout the Barrie rail line. The construction of the extra track requires the replacement of the existing culvert located in proximity to the West Don River. The new culvert will support a new rail bed for the second track.

Metrolinx has submitted a voluntary review package for comment to TRCA Environmental Assessment staff. Metrolinx is an agency of the Province of Ontario and is therefore not subject to Ontario Regulation 166/06, as amended. TRCA Environmental Assessment staff has reviewed Metrolinx’s submission and have no concerns.

Nominal consideration for the easement is considered reasonable and fair as the granting of this easement is beneficial to public transit initiatives in the Greater Toronto Area which support TRCA’s strategic plan by promoting sustainable living and developing sustainable communities.

The subject property was acquired from Metrus Industrial Parks Ltd. on May 30, 1978 and Von-land Corporation Ltd. on January 29, 1979 and on June 27, 1984 under the Don River Flood Plain Lands Project.

THAT Contract #10002859 for the engineering services required to complete the floodplain mapping update for the Humber River watershed in the Region of Peel be awarded to Cole Engineering at total cost not to exceed $97,126, plus HST, Cole being the highest ranked proponent resulting from the evaluation criteria set out in the Request for Proposals (RFP);

THAT Toronto and Region Conservation Authority (TRCA) staff be authorized to approve additional expenditures to a maximum of $19,500 (approximately 20% of the project cost) in excess of the contract cost as a contingency allowance if deemed necessary;

CARRIED BACKGROUND TRCA has identified the need to update the hydraulic modelling and floodplain mapping for the Humber River watershed in the Region of Peel. The project will involve a comprehensive hydraulic model update of the West Humber and Main Humber River subwatersheds within the City of Brampton and the Town of Caledon, resulting in approximately 65 updated floodplain map sheets within the study area.

Currently, the floodplain mapping for the Humber River watershed in Peel Region consists of hydraulic modelling and topographic mapping that was last updated in the early 2000’s by various consulting teams using the HEC-RAS (Hydrologic Engineering Center River Analysis System) computer model. It is TRCA’s best practice to update floodplain mapping (hydraulic models and topographic mapping) every 10-15 years to incorporate land use changes, hydrology modelling updates, new data and new modelling technologies.

Since the previous floodplain mapping updates, TRCA has completed a comprehensive hydrology modelling study of the Humber River watershed (2015) which established new Regional Storm (Hurricane Hazel) flow values using up to date land use, meteorological and stream flow monitoring information. The updated Regional Storm flow estimates and recently acquired LiDAR topographic information will be utilized for this floodplain mapping update. The project will involve developing a comprehensive subwatershed scale hydraulic model utilizing the HEC-RAS hydraulic model to provide flood elevation estimates for the 2-350 year and Regional storms throughout the Humber River watershed in the Region of Peel. HEC-RAS is well suited for this assignment as it is the industry standard for hydraulic modeling of river systems, and is used broadly across TRCA and the Province of Ontario. Once completed, the

123 model will be used to update TRCA’s floodline mapping, flood forecasting and warning systems and flood emergency response plans.

The project will take approximately 10 months to complete, with an anticipated completion date of January 2018.

RATIONALE Engineering Services staff completed a public prequalification process through biddingo.com and identified seven firms to invite to the formal bidding process based on the following:  corporate profile;  project manager qualifications and experience;  relevant project experience;  staff qualifications;  GIS expertise; and  experience in hydraulic modelling and mapping.

Request for Proposal #10002859 was sent to the following seven engineering firms on February 2, 2017:  AMEC Foster Wheeler;  Civica Infrastructure;  Cole Engineering;  J.F. Sabourin & Associates;  Greck & Associates Ltd.;  KGS Group; and  WSP Canada.

TRCA’s Engineering Services undertook a digital submission process utilizing biddingo whereby only digital submissions would be provided to TRCA. TRCA staff collected digital submissions of the technical and financial proposals from biddingo, on February 24, 2017 with the following fee results:

Members of the selection committee, consisting of Engineering Services staff (Nick Lorrain, Rob Chan, Wilfred Ho and Ying Qiao), reviewed the proposals based on a weighted scoring system consisting of the following:

Based on the evaluation of the bids, it was concluded that the combined technical and fee proposal valued at $97,156 submitted by Cole Engineering offered the best service for value among the engineering firms whose technical capacity matched the project needs. Although KGS Group provided a lower bid price, their combination of lack of experience in the project area resulted in lower technical scores. Furthermore, KGS Group, who had the lowest bid, allocated the least amount of time to work on the project (approximately 22% less time than Cole Engineering).

Cole Engineering has extensive knowledge of hydraulic modelling, specifically modelling for floodplain mapping purposes and has completed a number of projects of similar size and scale. The fee schedule provided in Cole’s proposal was deemed reasonable and consistent with past fee estimates provided for similar types of projects. Staff is confident that Cole Engineering will provide TRCA with the desired product within the specified schedule and budget and therefore recommend that Contract #10002859 be awarded to Cole Engineering for the base cost of $97,156, plus HST, as they are able to provide the valuable technical experience required and have a clear understanding of the scope of work as defined in the RFP.

Authorization to extend the contract with WeirFoulds LLP for legal services regarding the acquisition of a permanent easement from TRCA by TransCanada Pipelines Limited in the Nashville Conservation Reserve.

THAT the contract previously awarded to WeirFoulds LLP for legal services for acquisition of a permanent easement from Toronto and Region Conservation Authority (TRCA) by TransCanada Pipelines Limited be extended by a total cost not to exceed $40,000.00 plus HST, bringing the total contract value to $60,000.00 plus HST. CARRIED BACKGROUND TRCA is currently finalizing negotiations with TransCanada Pipelines Limited (TCPL) in accordance with a notice received pursuant to Section 87(1) of the National Energy Board Act (NEBA). TCPL is federally regulated pursuant to the NEBA and is not subject to Ontario expropriation procedures. Initial compensation negotiations were interrupted by a Section 104 order being issued by the National Energy Board allowing TCPL access to the required TRCA easement lands and extending negotiation timelines and associated legal costs. There are procedures available under Section 104 of the NEBA that permit the compulsory acquisition of land interests required for the Vaughan Mainline Expansion Pipeline Project, with compensation determined separately pursuant to the negotiation and arbitration processes described in Section 88 to 103 of the NEBA. Section 99(1) provides for all legal, appraisal and other costs determined to have been reasonably incurred to be paid by TCPL.

RATIONALE WeirFoulds LLP is generally recognized as an industry leader on expropriation and National Energy Board proceedings and regulations. The firm was assigned the file originally due to its expertise and that of Sean G. Foran who holds extensive experience as counsel in expropriation and large-scale infrastructure projects. He is a past president and current director of the Ontario Expropriation Association.

Negotiations have been extended due to a section 104 order having been issued by the National Energy Board, allowing TCPL access to the required TRCA easement lands for construction. This order allows for an arbitration process to determine compensation and standardizes contract and easement language. Both parties have agreed to forego arbitration at this point and continue to negotiate contract and easement language. TCPL's current requirements differ from past precedents and therefore require additional legal review and advisory. Contract and easement terms and conditions are being negotiated in good faith by both parties.

Therefore, staff recommend that contract with WeirFoulds LLP be extended to provide legal services in relation to the acquisition of a permanent easement from TRCA by TransCanada Pipelines Limited on a preferred source basis as per Section 9.3.3 of TRCA’s Purchasing Policy as follows:

The required goods and services are to be supplied by a vendor or supplier having specialized knowledge, skills, expertise or experience that cannot be reasonably provided by any other supplier.
