TENDER NOTICE FOR SECURITY SERVICES

Tenders are invited under TWO BID SYSTEM (Technical Bid and Financial Bid) from Security Man Power Service Providers of repute registered under the Companies Act and having their office in Jaipur for providing Security Guards (With Arms and Without Arms) at Life Insurance Corporation of India, Divisional Office, Branch Offices, Satellite Offices and Investment Buildings under Divisional Office - 1, Jaipur.

Tender forms can be obtained from Manager (Estate), Life Insurance Corporation of India, Divisional Office-1, ”Jeevan Prakash”, Bhawani Singh Road, Jaipur - 302005 () on all working days (except Holidays, Sundays and II & IV Saturdays) during cash hours (10 AM to 3 PM) on paying non refundable amount of Rs.500/- (Five hundred only) + GST as per rules. Tender Forms can also be downloaded from our website www.licindia.in by clicking Tenders need to be additionally accompanied by a demand draft of Rs. 500/- + GST as per rules as Tender Fee.

a) Technical Bid : The Service Providers fulfilling the Eligibility Conditions (Refer to page No. 9) and agreeable to the set Terms and Conditions are to submit Technical Bid as per application form Annexure-I. b) Earnest Money Deposit : The application Form along with documents and a Demand Draft for applicable EMD to be put in a closed envelope super-scribed as “ Technical Bid”. c) Financial Bid : Financial Bid as per Annexure-VII duly filled up in all respects to be put in a separate closed envelope without any deviation. The envelope is to be super- scribed as “Financial Bid”. d) Both Bids are to be put in a third closed Envelope and Super-scribed as “Tender for Security Services” duly completed and sealed should be placed in the Tender Box, after proper noting of the submission in the Register by the designated official at Estate Department, Life Insurance Corporation of India, Divisional Office-1, ‘Jeevan Prakash’ Bhawani Singh Road, Jaipur - 302005 by 03.00 p.m. on 28.12.2020. e) The existing service providers fulfilling eligibility criteria also need to apply afresh. The tenders (directly or indirectly) from existing / past Service Providers whose services have been found to be unsatisfactory are liable to be rejected at Technical Bid stage. f) Mere submission of Application does not confer the right for accepting Tenders. Life Insurance Corporation of India reserves its right to accept or reject any /all Tenders or cancel the Tendering process without assigning any reason thereof for which Life Insurance Corporation of India shall neither be liable nor under obligation to inform the applicant the grounds of any such action. However in such case the EMD will be refunded without interest within a specified period. g) Last date for receipt of Tender is 03.00 PM on 28.12.2020.

INSTRUCTIONS REGARDING SUBMISSION OF TENDER

The Companies i.e. the Service Providers are requested to note that non-compliance of the following instructions are liable to be considered the Tender as non-bonafide.

1. Submission of BID : The Tender is under TWO BID SYSTEM (i) TECHNICAL BID (ii) FINANCIAL BID

(i) TECHNICAL BID :

The Service Providers fulfilling the eligibility conditions and agreeable to the set Terms and Conditions are to submit Technical Bid as per application form Annexure-I. One Technical Bid is to be submitted which will consist of: (a) Application Form as per Annexure-I duly filled up in all respect (b) EMD of Rs. 100000/- (Rs. One lakh only) in the form of a Single Demand Draft /Pay Order favouring “LIFE INSURANCE CORPORATION OF INDIA” payable at JAIPUR must be enclosed. Downloaded Tender form need to be additionally accompanied by a Demand Draft of Rs. 500/- as non-refundable Tender Fee. (c) Tender document duly signed on each page of Terms & Condition and submitted along with the Technical Bid. (d) Bank and other Particulars as per Annexure-II (e) Statement of EMD as per Annexure-III duly signed with stamp. (f) Other relevant documents as specified. (g) A letter containing the documents submitted (h) All above documents are to be put in a closed envelope super-scribed as “Technical Bid”. (i) Self attested documentary proof in support of relevant pre-qualification criteria.

(ii) FINANCIAL BID

(a) The rate is to be quoted in the Financial Bid of Tender as per Annexure-VII . (b) The rate quoted should exclude GST and other taxes but include all other charges (TDS will be deducted as per rule). GST shall be payable as per prevailing rates. (d) Financial Bid is to be put in a closed envelope super-scribed as Financial Bid. No other documents are required to be attached along with this BID.

Tender Forms duly completed in all respects should be submitted in the Tender Drop Box kept at Estate Department, Life Insurance Corporation of India, Divisional Office-1, ‘Jeevan Prakash’, Bhawani Singh Road, Jaipur - 302005 by 28.12.2020 up to 03.00 PM, after getting the submission noted in the Register kept with the Designated Official of LIC of India. It may further be noted that:

1. Companies should fill in all the relevant blanks wherever mentioned. 2. No alterations and/or additions are to be made by the Service Providers in the Tender papers. 3. If there are differences between the rates given by the Service Provider in words and figures or in the amount worked out by him, the following procedure shall be followed: (i) When there is a difference between the rates in figures and words, the rates which correspond to the amounts worked out by the Service Provider, shall be taken as correct. (ii) When the amount of an item is not worked out by the Service Provider or it does not correspond with the rate written either in figures or in words, then the rate quoted by the Service Provider in words shall be taken as correct. (iii)When the rate quoted by the Service Provider in figures and in words tallies but the amount is not worked out correctly, the rate quoted by the Service Provider shall be taken as correct and not the amount. 4. Companies should put their Seal & signature on each page of the Tender Document/Terms & Conditions as token of acceptance . 5. The Service Provider has to submit EMD in the form of a Single Demand Draft /Pay Order favouring “LIFE INSURANCE CORPORATION OF INDIA” payable at JAIPUR. Downloaded Tender form need to be additionally accompanied by a Demand Draft of Rs. 590/= as non-refundable Tender Fee. Without EMD, the tender will be deemed to be rejected. 6. If Tender is rejected, the EMD shall be refunded without interest. 7. Single Tender must be given for all the locations given in Schedule-III for all security services as mentioned in Schedule- II, otherwise Tender will be treated as ' non-bonafide'. The Tender submitted for partial work or providing security services at a few locations will be rejected. “The Service Provider” shall not appoint any sub-contractor to carry out any obligations under the agreement. 8. The duty hours of a Security Guard will be 8 hours a day and 26 days in a month. The actual time slot will be mentioned in the Work Order/Contract document. 9. Tenders must be given, as per the prescribed format signed by the Director/Manager/ Authorised person of the Company and should be legible . The tender should be sent so as to reach this office ON OR BEFORE THE DATE SPECIFIED . Tenders received after last date will be rejected. 10. The successful Tenderer will have to deposit 10% of the accepted contracted value (amount for 12 months period) as security deposit or Bank guarantee in the format given in tender documents which will remain with LIFE INSURANCE CORPORATION OF INDIA up to three months from date of the completion of the contract period. The EMD amount of successful Tenderer can be converted into part of Security Deposit, if desired so by the Tenderer. The Security deposit will be refunded without any interest after three months from completion of the contract period . The Bank Guarantee shall be prepared from a scheduled commercial Bank in India, with its branch located in Jaipur as per format of the Bank Guarantee given in the Tender document. performance security deposit/Bank Guarantee @ 10% of the contemporary contract value in force, with LIC of India at all the time. 11. The word 'Principal Employer' will mean L.I.C. of India, the Authority having statutory power to do the work under reference and/or its authorized representative i.e., the Sr. Divisional Manager or his sub-ordinate officers. 12. The Corporation reserves the right to call for missing / additional requirement/s or otherwise from the bidders at the time of analysis of the applications received in response to the advertisement. 13. The Corporation will hold a Pre-Bid meeting on 24.12.2020 at 2.30 p.m. at the address given in the Tender Schedule with the intending tenderers in order to clarify any points raised by the tenderers or to give any relevant information / clarification in case the same is omitted inadvertently. Any Addendum/ Corrigendum to the Tender shall be uploaded on the Website of LIC of India and shall not be released in newspaper or any other form. 14. This document is meant for the specific use by the Company interested to participate in the current tendering process. The bidders or any person acting on behalf of the bidders to strictly adhere to the instructions given in the document and maintain confidentiality of information. The bidders will be held responsible for any misuse of the information contained in the document and liable to be prosecuted by the Corporation. 15. Any dispute arising out of or relating to this tender shall be deemed to have arisen in JAIPUR and shall be under adjudication of a Court in JAIPUR City only. 16. Any tender not in compliance with the above terms and conditions will liable to be rejected.

ELIGIBILITY CONDITIONS

Eligibility Conditions to participate in the tender: -

1 The Service Provider should be in profession for at least 3 years. 2 The Service Provider should be providing services to at least two reputed organisations in Rajasthan. The Service Provider should be registered under Companies Act and should have a PAN No. of Income Tax Department, GST Registration and Contract Labour License as also registered under Employees Provident Funds and Miscellaneous Provisions Act 1952 and under Employees State Insurance Act 1948. The Service Provider should have EPF and ESI Codes of its own. It should also have registration under other relevant law relating to Contract Labours. (Copies of proof to be enclosed) 3 The Company should be complying with all the statutory requirements such as payment of wages, Bonus and remittance of EPF, ESI, PF etc. and any other requirement as per law. 4 Average Minimum Annual Turn Over for last 3 Financial Years should be Rs.5 Crores (Five crores) and at least one client with contract worth Rs.30 LAKH (Thirty Lakh only) will be in force (Name and addresses of such clients along with average payment received should also be furnished). 5 The Service Provider should have a valid Contract Labour License. 6 Security Service Provider should preferably be an ISO certified. 7 The Security service provider should have a valid license in terms of PSARA-2005. 8 The company should provide 24 x 7 services. 9 The Company should have its office at Jaipur (Raj.) 10 The Company should have at least one client from PSU/BANK/ GOVT/SEMI GOVT /BIG REPUATED FIRM/enterprises. 11. The Company should have at least one client in Rajasthan.

TERMS & CONDITIONS

1. DEFINITIONS AND INTERPRETATION:

1.1 Definitions: In this Agreement, unless the context otherwise requires, the following expressions shall have the following meanings: • “Corporation” shall mean Life Insurance Corporation of India. • “Service Provider” shall mean the “Company” selected for providing specified service and vice versa. • “Effective Date” shall mean the date on which this Agreement becomes effective. • “Law” shall include any rule, bye-law, notification, regulation, act, ordinance, administrative order, directive, order or instruction having the force of law, enacted or issued by the Central Government, the State Government or any other Government or Regulatory Authority or Political Subdivision or Government Agency. • “Quality and Schedule Specifications” shall mean the minimum quality standard and the time schedule specified by the Corporation in relation to the “Services, as set out in Schedule III hereto; and • “Personnel” /”Workman”/”Attendant”/ “Security Guard” shall mean any person/s employed by the Service Provider for the purpose of fulfilling its obligations under this Agreement. 1.2 Unless the context otherwise requires, this Agreement shall be construed as follows: (a) Words using the singular or plural number also include the plural or singular number, respectively, (b) The terms “herein”, “hereby” and derivative or similar words refer to this entire Agreement. (c) The terms ”Recital”, “Section”, “Clause”, “Sub-Clause”, “Schedule”, “Attachment” and “Annexure” wherever appearing shall be respectively considered to be pertaining to this Agreement; (d) References in this Agreement to statutory provisions shall be construed as reference to those provisions as modified or re-enacted from time to time (whether before or after the date of this Agreement) and to any subordinate legislation made under such provisions and shall include references to any repealed statutory provisions which has been so enacted (whether with or without modification.); and (e) Headings, bold, italicized and other stylized typefaces are only for convenience and shall not be considered for the purposes of interpretation/construction of this Agreement.

2. TERMS OF THE AGREEMENT :

This Agreement shall remain in force for an initial period of 24 months from the Effective Date and it may be extended as per tender provision, unless terminated

sooner in accordance with the provisions of this Agreement. The Effective Date for this Agreement shall be 01.02.2021 Not-withstanding what is stated hereinabove, this Agreement shall, unless terminated earlier in accordance with the terms hereof, continue to be operative in full force and effect, even after the expiry of 24 months, on a day to day basis until renewed in writing by mutual consent of the Parties, or terminated on written notice being given by either Party. During such continuation of the Agreement the terms and conditions as set out herein shall be validly subsisting and remain binding on both Parties.

3. PROVISION OF SERVICES :

3.1 The Service Provider agrees to provide to the Corporation and the Corporation agrees to avail from the Service Provider the Services, at or pertaining to the places/offices/branches set out in Schedule III hereto, on the terms and conditions set forth in these provisions. 3.2 The Corporation may, by written notice, advise the Service Provider for any addition to or deletion from the list of places/Offices/Branches and/or modification in duty hours contained in Schedule-III hereto and the parties shall agree on the terms and conditions for such addition or deletion, as the case may be, by exchange of letters. 4. CONSIDERATION : The Service Provider shall be solely liable for the payment of all Central, State and local levies, taxes, duties, fines and penalties (including without limitation taxes, if any), by whatever name called, as may become due and payable in relation to the Services, and any amounts payable by the Corporation to the Service Provider shall be subject to any tax required to be deducted at source (including TDS, if any) in accordance with the applicable laws and regulations. 5. OBLIGATIONS OF THE SERVICE PROVIDER The Service Provider: (a) Shall provide the Services set out in Schedule-II hereto in accordance with the quality and Schedule Specifications and at the provisions set out in Schedule-III hereto (b) Shall at all times perform the Services in accordance with all Laws, the Corporation's instructions, and the terms and conditions set out in this Agreement. (c) Shall provide such suitably qualified, experienced and competent personnel as may reasonably be required for the performance of the Services. If so requested by the Corporation the Service Provider shall provide evidence of the previous experience, qualifications and competence of any Personnel engaged in the performance of such Services. (d) Shall withdraw or bar any of its employee/s or personnel from the provision of the Services if, in the sole opinion of the Corporation:

(i) the quality of Service rendered by the said employee or personnel is not in accordance with the Quality and Schedule Specifications; or

(ii) it is not in the interest of Corporation that such employee or personnel of the Service Provider continues to be involved in the provision of Services; (e) Subject to the terms of this Agreement, shall be responsible for the selection, hiring, assigning and supervision of the Personnel and shall employ sufficient number of Personnel to provide the Services in a prompt and efficient manner. The Service Provider agrees that the Personnel shall work under the supervision, control and direction of the Service Provider. The Service Provider shall be responsible for all negotiations with Personnel relating to salaries and benefits, and shall be responsible for assessments and monitoring of performance and for all disciplinary matters (f) 1. Shall not engage any person with a criminal record/conviction and shall bar any such person from participating directly or indirectly in the provision of Services under this Agreement: 2. The service provider shall provide civilian security guards preferably from local area, not over 55 years of age with minimum educational qualification 8th pass. They should physically fit be avoid of any disease or aliment. NO guard suffering from any disease, aliment and handicap should be deployed. (g) It shall be the sole responsibility of the Service Provider to verify and confirm the antecedents of the persons/employees deployed/engaged by the Service Provider at the Corporation’s premises. The Service Provider shall ensure that its employees obtain a clearance certificate from the Local/Regional CID office. The Service Provider shall ensure regular screening of its employees at regular intervals. If at a later stage it is found that the Service Provider had employed any person with criminal record and prior conviction, then Corporation shall have the option to terminate this Agreement including claiming damages or losses suffered if any. (h) Shall at all times use all reasonable efforts to maintain discipline and good order amongst its Personnel. (i) shall not exercise any lien on any of the assets, properties, documents, instruments or material belonging to the Corporation and in the custody of the Service Provider for any amount due or claimed to be due by the Service Provider from the Corporation and interchange of shifts between the guards of same premises. (j) shall regularly provide updates to the Corporation with respect to the provision of the Services and shall meet with the personnel designated by the Corporation to discuss and review its performance at such intervals as may be agreed between the Parties; and (k) The management of the Service Provider Company shall have proper supervision and shall take care of the services and personnel deployed to provide the services. The Service Provider unconditionally agrees and confirms that the Corporation shall have no liability either direct or indirect in dealing with the said employees of the Service Provider and they shall be under the direct supervision of the said employees of the Service Provider. The said employees shall not approach the Corporation or its officials for any reason whatsoever.

(l) There shall be periodic interchange of personnel deployed in the different premises and interchange of shifts between the guards of same premises. (m) In the event of the premature termination by either party to the contract or expiry of the contract, the Service Provider shall be obliged to continue providing the services on the same terms and conditions as provided in the contract, till such time as LIC is able to make any alternative arrangement or LIC, has agreed in writing to allow the contractor to discontinue earlier. (n) Payment of Salaries and Wages: Service Provider is required to pay salaries/wages of contracted staff deployed at different locations first i.e. on their own and then claim from LIC of India along with all statutory documents like PF, ESIC etc. as well as the bank statement of payment done to staff. Payment to workman should be made through ‘NEFT’ only (transfer to individual’s bank a/c only). Statement of the wages/amount transferred to the workman’s bank a/c (along with particulars) should be submitted to LIC of India every month along with the bills/invoices. Except statutory deductions, no extra deductions should be made and full wages must be paid to workman. Service Provider should ensure that Invoices/bills are raised in the name of LIC of India with GSTIN of LIC of India. (m) In terms of provisions of section 33(3) & 33(4) of the insurance act ,1938, as amended by the insurance laws (amendments) Act, 2015, the Insurance Regulatory Authority of India (IRDAI) is authorised to verify all such books of account, register, other documents and the data base in the custody of contractor in respect of service outsourced by the LIC OF INDIA. It shall be the duty of the contractor to provide such documents /statements /information as may be required by IRDAI with in such time as may be specified by the IRDAI. 6. REPRESENTATIONS AND WARRANTIES :

6.1 The Service Provider hereby represents and warrants that: (a) It is duly incorporated and validly existing under the laws of the place of its incorporation; (b) It has taken all necessary action to authorize the execution and consummation of this Agreement and will furnish satisfactory evidence of the same upon request. An authenticated list of the officers of the Service Provider who are authorized to sign and/or execute this Agreement and/or other related documents and writings shall be provided to the Corporation. (c) It has taken all action necessary (or will have by the Effective Date) steps to execute and deliver and to perform its obligations under this Agreement; (d) The execution, delivery and performance of this Agreement by the Service Provider in accordance with its terms shall not: (i) Violate or conflict with its articles or memorandum of association or any other organizational/constitutional documents (ii) with or without the giving of notice or the passage of time or both, conflict with, result in the breach or termination of, or constitute a default under, any agreement or arrangement to which it is a party or by which it or any of its properties or assets may be bound; (iii) constitute a violation of any law, regulation, order, writ, judgment, injunction or decree applicable to it or any of its properties or assets, or violate any license,

permit, authorization, agreement, undertaking or other obligation to which it is bound; or (iv) result in the creation or imposition of any lien, charge or encumbrance upon the capital stock, properties or assets of it; and (v) there are no judicial or administrative actions, proceedings or investigations pending or, to the best of its knowledge after due inquiry, overtly threatened against it, which would have a material adverse effect on its capacity to perform its obligations under this Agreement and each of the other documents referred to in this Agreement to which it is a party. 6.2 The Service Provider hereby represents and warrants to the Corporation that it shall not violate any proprietary and intellectual property rights of any third party, including without limitation, confidential relationships, patent, trade secrets, copyright and any other proprietary rights. 6.3 The Service Provider further warrants to the Corporation that, during the term of this Agreement, the services to be delivered or rendered hereunder, will be of the kind, quality and timeliness designated as per the Quality and Schedule. Standards shall meet specifications as well as manners as determined in the Corporation’s sole and exclusive discretion and communicated to the Service Provider from time to time. 6.4 The workmen of the Service Provider shall continue to be the workmen of the Service Provider and work under its direction and shall not become or claim any employment from the Corporation by virtue of providing the Services, irrespective of the location of their work. 6.5 The Service Provider agrees, represents and warrants that no employee of the Corporation, or immediate family member thereof has received or will receive anything of value of any kind from the Service Provider or its officers, Directors, employees or agents in connection with this Agreement; and that none of them has a business relationship of any kind with the Service Provider, it's Personnel or any of its other officers.

7 INDEMNITIES AND OTHER PROVISIONS

7.1 The Service Provider shall indemnify the Corporation and keep the Corporation indemnified fully and without limit against all costs, claims, damages, expenses, fines, losses, liabilities and penalties including attorney's cost, expenses accruing, incurred or suffered by the Corporation directly or indirectly arising on account of: (a) Failure by the Service Provider to perform any of its obligations under this Agreement, in Accordance with the provisions of this Agreement; (b) any claim from any statutory authority or any employee/s or agent or employee/s of the Service Provider with respect to the terms of service of the employee/s, agent/s, or employee/s of the Service Provider, arising in relation to non- compliance by the Service Provider with any matter set out in Section-5 hereinabove; (c) any act, commission or omission, negligence, fraud, forgery, dishonesty, misconduct or violation of any of the terms and conditions of this agreement by the Service Provider/its employees/agents/sub-contractors;

(d) any robbery, theft, extortion, misappropriation or accident in relating to any assets or properties or documents or instruments of the Corporation which are, or are deemed to be, in the custody of the Service Provider, and (e) any and all adverse claims of whatsoever nature made on the Corporation by the personnel.

7.2 The Service Provider shall be liable to pay the amount to the Corporation, as determined by the Corporation in its sole discretion under this provision, on demand and the Corporation shall be entitled to adjust the amounts so determined to be due from the Service Provider against the future payments due by the Corporation to the Service Provider.

7.3 The Service Provider shall cooperate fully in defending any claim/s by any local, state or central authority against the Corporation with respect to any levies, taxes, duties, fines and/or penalties etc. due and payable by the Service Provider and shall indemnify the Corporation fully and without limit, against the same. This provision shall survive the termination of this Agreement.

7.4 The Service Provider hereby agrees to indemnify and hold the Corporation harmless from any loss, claim, damage, costs or expense of any kind including reasonable attorney’s fees, to which the Corporation may be subjected by virtue of a breach of any of the representations and/or warranties set out in Section 6 hereto. 7.5 Notwithstanding any other provisions of this Agreement, in no event shall the Corporation be liable to the Service Provider for loss or profits of revenues, indirect, consequential or similar damages arising out of or in connection with the Services, materials or assistance provided under this Agreement.

8. TERMINATION:

8.1 Subject to the provisions of this Agreement, either Party shall have a right to terminate this Agreement, at any time by giving not less than 30 days prior written notice on the part of LIC and 120 days prior written notice on the part of the Service Provider of its intention to do so, to the other Party. 8.2 The Corporation shall have a right to terminate this Agreement with immediate effect without assigning any reason thereto, if at any time during the term of this Agreement the LIC is informed or information comes to the attention of Corporation, or if it is so decreed or adjudged by any court, tribunal or other authority, that the Service Provider is or may be in violation of any laws. 8.3 Notwithstanding anything herein contained, the Corporation may by giving Thirty (30) days’ notice in writing to the Service Provider, terminate this Agreement under any one or more of the following circumstances : (a) If the Service Provider fails to perform the Services under this Agreement or to observe any of its obligations or breaches all or any of the terms of this Agreement. (b) If the Service Provider becomes insolvent or goes into liquidation, whether voluntary or compulsory , or is unable to pay its debts as they become due or (c) Proposes or makes a general assignment or arrangement or composition with or for the benefit of its creditors or a receiver is appointed to take possession of 20 Signature of Authorized Signatory (with seal)

all or substantially all of its assets or a petition for insolvency is filled against the Service Provider and such petition is not dismissed within 90 (Ninety) days after filing. (d) If in the opinion of the LIC, the interests of the LIC are jeopardized in any manner whatsoever.

8.4 It is hereby agreed and understood by the Parties that the provisions of this Section shall not limit or restrict nor shall they preclude the Corporation from pursuing such further and other legal actions against Service Provider for any breach or non-compliance of the terms of this Agreement.

8.5 On the expiry or termination of this Agreement, the Service Provider shall hand over or cause to be handed over all the information (as defined in Section 12.1 hereunder) assets, documents, instruments, keys and/or properties of or relating to the Corporation and all other related materials in possession of Service Provider to an authorized official of the Corporation.

9. COMPLIANCE WITH LAWS:

9.1 The Service Provider confirms that it has a license under the Contract Labour (Regulation and Abolition) Act, 1970 and shall comply with the provisions thereof and shall defend/indemnify the Corporation or its employees against any actions that may be initiated for non-compliance of the said Act and the Rules and shall also liable to such action as the Corporation may deem fit and proper.

9.2 The Service Provider agrees that it shall comply with all applicable union, state and local laws, ordinances, regulations and codes in performing its obligations hereunder, including the procurement/renewal of licenses, permits and certificates and payment of taxes where required. If at any time during the term of this Agreement, the Corporation is informed or it is brought to the notice of the Corporation that the Service Provider is or may be in violation of any law, ordinance, regulation or code (or if it is so decreed or adjudged by any court, tribunal or other authority), the Corporation shall be entitled to terminate this Agreement with immediate effect without assigning any reasons.

9.3 The Service Provider shall establish and maintain all proper records as required by law, code, practice or corporate policy applicable to it from time to time including records and returns as applicable under the Labour Legislation. Service Provider further agrees that notwithstanding the termination of this agreement either by the efflux of time or otherwise Service Provider shall provide such details as above to the Corporation as and when demanded for submission to the authorities. Any breach of this condition shall entitle the Corporation to claim such damages as the Corporation may suffer in this respect. The Service Provider shall submit the Payment of Wages Register (Form XVII), challans for tax payments, EPF, ESI and other statutory dues remittance evidences to the Estate Dept./BOs. along with unit wise monthly Bills. Minimum wages payable to the personnel to be engaged shall be strictly as per labour laws only .

9.4 Service provider should provide the P.F. A/C No., ESI No. of each and every employee placed at our site and also provide the six monthly statements. Non- submission shall be an event of default liable for termination. 9.5 Non compliance of provision of Central Labour Regulation and Abolition Act-1970 will leads to cancellation of the contract. 9.6 The bidders should ensure and confirm that they have the entire mandatory compliance certificates/registrations/licenses under various applicable laws including labour laws for the place where assigned the contract.

10 INDEPENDENT SERVICE PROVIDER:

This Agreement is on a principal-to-principal basis between the Parties hereto. Nothing contained in this Agreement shall be construed or deemed to create any association, partnership or joint venture or employer-employee relationship or principal-agent relationship in any manner whatsoever between the parties. The Service Provider acknowledges that its rendering of services is solely within its own control, subject to the terms and conditions agreed upon and agrees not to engage an employee, agent or servant of the Corporation or any subsidiary or affiliate thereof.

11 SUB-CONTRACTORS:

The Service Provider shall not assign or subcontract any of its responsibilities contained in this Agreement to any agent, sub-agent or subcontractor without prior written permission of the Corporation, which the Corporation may deny at its absolute discretion.

12 INSPECTION AND RIGHT TO AUDIT:

12.1 The Service Provider shall , upon reasonable notice allow the Corporation, its management, its auditors (both internal and external auditors), any other nominee of the LIC , the opportunity of inspecting, examining and auditing the records. The Service Provider also agrees to provide unrestricted access to the premises and its employees and any other assistance as may be enquired in relation to the inspection and audit as specified herein. 12.2 The Service Provider shall cooperate with the Corporation’s internal or external auditor to assure a prompt and accurate audit. The Service Provider shall also cooperate in good faith with the Corporation and/or its nominee to correct any practices, which are found to be deficient as a result of any such audit within a reasonable time after receipt of the Corporation’s Audit Report.

13 CONFIDENTIALITY AND SECRECY:

13.1 The Service Provider recognizes that in the course of the transactions envisaged by this Agreement, it may be privy to certain confidential information (whether or not the information is marked or designated as “confidential” or “proprietary”) relating to the Corporation and its businesses including legal, financial , technical, Commercial , marketing and business related records, data, documents, reports, client information, the terms of this Agreement and the details of the negotiations 22 Signature of Authorized Signatory (with seal)

between the Parties (the “information”). The Service Provider agrees that it shall keep all information and other materials passing from the Corporation to the Service Provider confidential and shall not, without the prior written consent of the Corporation, divulge such information to any other person or use such information other than for the purposes of carrying out this Agreement. 13.2 The obligations contained in this Section shall not apply to any part of the information in the case where that part of the information that is or has become public other than by breach of this Agreement and shall not restrict any disclosure by the Service Provider if required by law or by any governmental, official or regulatory body which is lawfully entitled to require any such disclosure. In such case, prior to such disclosure, the Service Provider should promptly notify LIC of India of such requirement of disclosure, with a view to providing the opportunity to the Corporation to contest such disclosure or otherwise to agree the timing and content of such disclosure. 13.3 The obligations contained in this Section shall continue to apply after the termination or expiry of this Agreement. 13.4 The Service Provider acknowledges that in the event of any breach or threatened breach of this Section by the Service Provider / its employees / agents / sub- contractors, monetary damages may not be an adequate remedy, and therefore, the Corporation shall be entitled to injunctive relief to restrain the Service Provider / its employees / agents / sub-contractors from any such breach, actual or threatened.

14 INSURANCE:

14.1The Service Provider if deems fit and proper may take at its own costs, insurance policies for adequate amount against injury, death, dishonesty, theft, extortion, robbery, forgery, altered documents, fraud, fidelity and / or any other dishonest acts on the part of Service Provider’s employees or representatives. 14.2 In an event of any loss suffered by the Corporation, the Service Provider shall upon demand within 7 days time make good the loss to the Corporation without any demur, protest, dispute or objection, if not, appropriate action as decided by the Competent Authority will be taken against the service provider.

15 PUBLICITY:

The Service Provider shall not use the name and/or trademark/logo of the Corporation in any states or marketing publication or advertisements or in any other manner without prior consent of the Corporation.

16 PROPRIETORY RIGHTS:

The Service Provider agrees that any product including but not limited to all information, reports, studies, software (including source codes, object codes and executables), flow charts, diagrams and other tangible and intangible material of any nature whatsoever produced by or as result of any of the services rendered hereunder shall be the sole and exclusive property of the Corporation. In furtherance thereof, the Service Provider, hereby irrevocably grants, assigns, transfers to the Corporation all rights, title and interest, of any kind, in and to any 23 Signature of Authorized Signatory (with seal)

such product produced hereunder. The Service Provider shall not be entitled to make any use of any of the said materials except as may be expressly permitted in writing by the Corporation.

17 NON EXCLUSIVE AGREEMENT:

This Agreement is on non-exclusive basis and the Service Provider shall not have any exclusive right to provide the Services to the Corporation. The Corporation shall be free to engage any other service provider/s or may entrust services similar to the services or any part thereof to any other person/s.

18 MISCELLANEOUS:

18.1 RELATIONSHIP OF THE PARTIES:

This Agreement shall not constitute the appointment of either party as the legal representative or agent of the other Party. No Party to this Agreement shall have any right or authority to assume, create or incur any liability or any obligation of any kind, express or implied, against or in the name of or on behalf of the other Party to this Agreement except as may be specifically provided in this Agreement. Neither Party shall assume or be responsible for any liability or obligation of any nature, or any liability or obligation that arises from any act or omission to act of the other party however or whenever arising.

18.2 NOTICES 1. Notices or other communications required or permitted to be given or made hereunder shall be in writing and delivered personally to the intended recipient at its address set out below or to such other address or e-mail address as any Party may from time to time notify to the other Party.

Any such notice, demand or communication shall be in and English shall, unless the contrary is proved, be deemed to have been served, if given or made by e-mail, together with the original being sent by courier service as outlined above on the following business day. If personally delivered, any such notice, demand or communication shall be deemed to have been served at the time it is handed over to an employee or other officer at the recipient’s address. In proving the above, it shall be sufficient to show that the envelope containing the letter was

correctly addressed and handed over by courier service or by personal delivery respectively.

18.3 SEVERANCE :

If any provision of this Agreement is rendered void, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. Should any provision of this Agreement be or become ineffective for reasons beyond the control of the Parties, the Parties shall use reasonable endeavors to agree upon a new provision which shall as nearly as possible have the same commercial effect as the ineffective provision.

18.4 No waiver of any provision of this neither Agreement nor consent to any departure from it by any Party shall be effective unless it is in writing. A waiver or consent shall be effective only for the purpose for which it is given. No default or delay on the part of any Party in exercising any rights, powers or privileges operates a waiver of any right, nor does a single or partial exercise of a right preclude any exercise of other rights, powers or privileges.

18.5 ENTIRE AGREEMENT :

This Agreement constitutes the entire agreement between the Parties hereto with respect to the subject matter of this Agreement and supersedes all prior agreements and undertakings, written or oral, with respect to the subject matter hereof except as otherwise expressly provided herein.

18.6 AMENDMENTS: No modification, amendment, waiver, discharge or termination of any of the provisions of this Agreement shall be effective unless made in writing specifically referring to this Agreement and duly signed by each of the Parties.

18.7 GOVERNING LAW AND JURISDICTION: This Agreement shall be governed by and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of the courts in JAIPUR.

19 NON-WAIVER AND OTHER REMEDIES: No failure or delay on the part of any Party in exercising any right, power or privilege under this Agreement and no course of dealing between the Parties shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, power or privilege hereunder. The rights, powers, and remedies herein expressly provided are cumulative and not exclusive of any rights, powers, or remedies, which the Parties would otherwise have. No Notice or demand in similar or other circumstances constitute a waiver of the rights of any of the other Parties to any other or further action in any circumstances.

20 ASSIGNMENT:

20.1 The Service Provider shall not assign or otherwise transfer, dispose or part with any of its rights or obligations hereunder to any person without the prior written consent of the Corporation. 20.2 The Corporation shall have the right, in its sole discretion to assign this Agreement to any of its affiliates and offices after giving notice of such assignment to the Service Provider.

21 ADMINISTRATIVE 21.1 The Service provider should have effective training of the Guards. 21.2 The Service provider should have credible supervisory infrastructure. Details of Supervisors with qualifications, experience and contact numbers should be given to respective offices. 21.3 The Service provider should have on its payroll at least 50% of the required manpower. (Attach proof like nominal roll, latest salary slip, EPF No. etc.). 22 FURTHER ASSURANCE: Each of the parties hereto shall cooperate with the others and execute and deliver to the other such instruments and documents and take such other actions as may be reasonably requested from time to time in order to carry out, give effect to and confirm their rights and intended purpose of this Agreement. 23 COSTS: The successful Service provider shall execute an Agreement in duplicate on a non-judicial Stamp Paper of appropriate value, as per the format provided by the Corporation and all the expenses incurred in relation to the negotiation, preparation and execution of the Agreement shall be borne by the service provider. A copy of the agreement is to be retained by the Corporation and Service provider. 24 COUNTERPARTS: This Agreement may be executed in any number of counter parts and by the different parties on separate counterparts, each of which when so executed and delivered shall be an original, but all of which shall together constitute one and the same instrument. The English language text of this Agreement shall prevail over any translation thereof. 25 SURVIVAL: The terms and provisions of this Agreement that by their nature and content are intended to survive the performance hereof by any or all parties hereto shall so survive the completion and termination of this Agreement.

SCHEDULE-I ADDITIONAL TERMS AND CONDITIONS:-

1. CONDITIONS: Unless mentioned otherwise the following Clauses shall be applicable where context so requires.

2. SCOPE OF WORKS: This Contract includes for providing any or all services and any extra/deviated services which may be required during the currency of contract, pertaining to subject matter as mentioned in the "NOTICE".

3. DURATION OF CONTRACT: The period of contract will be for 24 Months commencing from and as specified in Work Order, extendable up to maximum of 12 months after completion of two years, considering suitability, performance and at the sole discretion of Life Insurance Corporation of India, Divisional Office-1, Jaipur.

4. PAYMENT OF BILLS, DEDUCTIONS & PENALTY: The Service Provider shall submit its monthly bill, in the prescribed Performa, in triplicate along with supporting documents. The payment of bill/s shall be subject to verification, deductions and penalty as described hereunder. For each day on which there is absence of contractual staff and / or non-delivery of service, there shall be a pro-rata deduction of wages and a penalty of Rs. 500/- (Rs. Five hundred only). The penalty mentioned above shall be separate for each count of absence and / or non-delivery of service on any given day. The basis for determining absence of contractual staff and / or non-delivery of service shall be reports submitted by the authorized persons of LIC and complaints made by occupants of the premises.

5. TERMINATION OF THE CONTRACT & FORFEITURE OF SECURITY DEPOSIT OR BANK GUARANTEE : The Competent Authority may due to adequate reason as he deems fit; terminate the Contract by giving a notice of 30 days. The “Service Provider” should then leave the premises in a decent and workable condition. Any defect or damage found shall be made good at his cost or otherwise the defects will be rectified through some other means and the cost involved will be deducted from his bill and/or Security Deposit or Bank guarantee lying with LIC of India. In the event of the Service Provider terminating the contract prematurely or committing any breach of the terms and conditions of the tender or the agreement or in the event of LIC prematurely terminating the contract on account of breach of the terms and conditions of the tender or the agreement by the Service Provider, the security deposit shall be forfeited or Bank guarantee shall be invoked by the LIC. 6. 7. TAXES, DUTIES, LEVIES AND DEDUCTION AT SOURCE: a) The Service Provider shall be responsible to pay all statutory levies imposed by the State and Central Government such as Income Tax/ GST/ other applicable Taxes etc. on works contract and the rates quoted in the tender shall allow for the same. No reimbursement, whatsoever, shall be made to the Service Provider on account of any taxes or duties or increase in the taxes/duties by act of any legislation. b) Deduction of Tax at source of Income on works contract etc. shall be made by LIC of India as per the provisions prevailing from time to time from Bills and remitted to the concerned Taxation Authorities. c) All the Service Providers have to submit the details of GST Registration no. The GST will be payable (if applicable ) subject to production of GST Registration no. and proof of payment made. 8. Quoted rate will be inclusive of all charges but excluding GST. 9. The successful Company will have to deposit 10% of the accepted contracted value (amount for 12 months period) as security deposit or Bank guarantee in the format given in tender document which will remain with LIFE INSURANCE CORPORATION OF INDIA up to three months, after completion of the contract period. 10. To keep close watch so that (i) no repair/construction work is carried out in the building without written permission of LIFE INSURANCE CORPORATION OF INDIA (ii) No tenant/occupant should be allowed to take in or take out bulk items/fixtures without written permission of LIFE INSURANCE CORPORATION OF INDIA. 9. To patrol the entire building including rooftop, terraces periodically. 10. To be vigilant regarding Fire and take Fire Safety measures immediately on noticing any outbreak of fire. 11. To inform immediately to Police, Fire Brigade, Supervisors OS & ESTATE Department in case of outbreak of Fire. 12. To keep close watch on overall security of the Building / premise. 13. Requirements are to be complied by the Service Provider after commencement of Service

(i) The list of persons to be engaged in along with their address is to be informed and changes , if any , afterwards are also to be informed to LIFE INSURANCE CORPORATION OF INDIA (ii) The Service Provider must inform LIC the name and mobile no. of staff for security services under a contract for Tender. (iii) The Guards should confirm to the following norms:- a) 50% of the Armed Guards should be ex-servicemen / ex-paramilitary force. b) Age should not be above 55 years for all categories of guards. c) Should be physically fit in all respects, (iv) Armed Guards deployed in the Branches should be ex-servicemen and armed with 12 Bore Double Barrel Gun, with a valid gun license and UIN. (v) It shall be the responsibility of the Service Provider to provide full uniform (summer and winter both), shoes, cap, etc. along with the name plate/identity card to the security staff deployed to perform their duties. The identity cards shall be produced on demands by the any authority of the Corporation or of Government. After finalization of agreement, colour and pattern of uniform shall be decided by the corporation, Service Provider will have the logos and branding. (vi) All essential items for security purposes like torches, lathi, whistle, shoes/rain boots, raincoats, first aid arrangement etc. shall be provided by the Service Provider at their own cost. (vii) The Service provider will produce the security guard for interview before the authorized officer/ committee of the corporation for their verification and satisfaction before deployment and the service provider shall furnish the complete particulars / Bio-data of security guards with passport size colour photo duly attested before deployment including the copy of arm license, wherever applicable. (viii) The Corporation reserves the rights to ask the service provider to remove any guard found not discharging his duties satisfactorily or of doubtful character and will immediately be removed and suitable replacement will be made available. (ix) The Corporation shall not provide any residential accommodation in the premises or elsewhere for the security guards deployed by the service provider. (x) It may be distinctly understood that there shall not be any absenteeism by the security guards and in case of absenteeism, if any guard’s replacement deputed by the service provider is unable to join his duty within two hours, failure to do so would render the service provider liable to pay the damages at double the rate of the wages and suitable deductions will be made from monthly bills of the service provider, such replacement guard shall also be subject to meeting the standards. (xi) The Service Provider must submit proof of compliance of all Statutory Payments containing the Name of Beneficiaries, wherever applicable, along with the monthly Bill. (xii) The Service Provider must ensure to provide all services as specified without fail (xiii) The payment to the persons engaged is to be made through electronic mode only (xiv) The “Service Provider” must have adequate manpower to provide additional workmen at a short notice and also in emergency at any time of the day. The payment to such additional workmen will be made as per item rate which has been quoted in “Schedule Item Rate”. In case, any enhancement in manpower for Security Services, the same is to be intimated to the Service Provider and the payment to such increased workmen, will be made as per item rate which has been quoted in “scheduled Item Rate”. future if any reduction of “manpower” for Security Services, the same is to be intimated to the Service Provider. (xv) Payments to the personnel engaged by the Service Provider are to be made directly to the respective Bank Accounts and documentary evidence is to be furnished after each payment. (xvi) The Wages for a month to the workers engaged by the Service Provider need to be paid on or before of 7th of the next month and Register of Payment Wages (Form XVII as specified in the Contract Labour Act, 1970) for each month is to be submitted to LIFE INSURANCE CORPORATION OF INDIA along with Bill and attendance of guards every month. The payment of the contractual amount by LIC of India to the Service Provider will be in the nature of reimbursement i.e. the wages to the contractual staff shall be paid by the service provider in the first instance without linking it to the settlement of the service provider’s bills by LIC. The settlement of bill is to be made by respective branch office where services are to be provided. (xvii) The overall supervision of the contractual work and keeping close liaison with LIFE INSURANCE CORPORATION OF INDIA Officials is to be arranged by the Service Provider. (xviii) Adjustment shall be made by the service provider regarding addition / deletion of premises or addition / deletion of security personnel / whenever such contingency may arise on written request by LIC. (xix) The service provider will make arrangement of first aid kit for security guards. (xx) The service provider will make arrangement to obtain the ESI card for security guards.

DUTIES OF SECURITY GUARDS

1. Safeguarding Corporation’s property against theft, damage, misuse and keeping a watch over the cars, scooters, cycles etc. parked inside the premises/compound. 2. Preventing unauthorized persons, vehicles etc. or animals from entering the premises 3. Taking charge of personal property found in the Corporation’s premises and handling over the same to the office. 4. Watching the entire premises and patrolling the same frequently during the period of duties. 5. Observing carefully, while on patrol pipelines, electrical fittings, drainage and safety installations and taking action against damages, or wastage, wherever possible and bringing them to the notice of the superiors for further remedial action. 6. Preventing additions or alterations in the premises being carried out by outsiders or tenants or employees unauthorisedly and reporting the matter to the supervisors. 7. Keeping the special order and instructions’ given by the superiors confidential, whenever specifically told. 8. Checking that all the doors, windows, ventilators in the case of office building are properly closed after office hours. Locking of main door at night, checking that the electrical lights and air-conditioners electrical gadgets are properly off, whenever necessary. 9. In case of theft or damage by any person to the property or any untoward incident or unusual occurrence, informing Head of the department/Security Officer. 10. Taking care of keys under his custody and handing them over to the relieving watchman or to any other authorized person/s. 11. 12. Taking the following precautions against fire. a) To switch off electrical heaters and other equipments. b) To switch off gas cylinders, kerosene stove or other such appliances used in the office premises including canteen. c) To see that all waste papers is removed from the office and stored properly in the place meant for it. 13. Taking the following action in case of fire. a) To raise alarm and muster assistance from neighboring buildings/passers by. b) To contact immediately fire brigade and the police. c) To try to put out the fire by using the fire extinguishing appliances available. d) To inform immediately the Head of the Office or the Head of the Establishment and the security officer. 14. Observing strictly and instructions/orders regarding the security and watch ward as would be given from time to time by the authorized persons oral or written.

Life Insurance Corporation of India, Divisional office-1, Jaipur through its Manager (Estate), (hereinafter referred to as “The Corporation)” which expression shall mean and include its Managers, Successors, Assignees etc. AND ……………………………………………………………….. (hereinafter referred to as “The Service Provider), a Company incorporated under the Companies Act and having its registered office at ------(Address of the Service provider)

WHEREAS “The Corporation” is a Body Corporate Established by enactment in Parliament know as L.I.C of India Act, 1956 having one of its Divisional office-1, Jaipur.

AND

WHEREAS “The Corporation” requires Security Guards and security Services for managing/guarding buildings and internal security, services for open area and covered area of different buildings under Divisional office-1, Jaipur (list of building/properties as in schedule-III).

WHEREAS “ The Service Provider“ who is doing business of providing security services through its security guards, on the assurance given by “The Service Provider” that it will be able to provide proper security arrangements as desired by the “The Corporation”, the latter pursuant to finalization of the Tender floated for the purpose in which “The Service Provider” has been approved as the successful Tenderer, undertakes to engage the services of “The Service Provider” for providing Security Services through its security guards in the buildings of the Corporation Under Divisional office-1, Jaipur.

NOW THIS AGREEMENT WITNESSES AS UNDER

1. “The Service Provider” undertakes to provide security in 8 hourly duties for security services at different location of Corporation’s Buildings/ properties under Divisional office-1, Jaipur through its security guards as mentioned in the tender.

2. “The Service Provider” undertakes to provide the services through its security guards. at its own cost, expense and work and the “The Corporation” Shall not make any payment whatsoever by way of emoluments to such security guards.

3. The entire responsibility for taking security measures though its own security guards shall be of “The Service Provider” and the “Corporation will not be liable to pay anything for such security guards except as provided.

4. For providing Security Services “The Service Provider” shall provide the security guards for 8 hours duty at the following rate constituting the consideration amounts as per minimum wages for security guards with Arms/ without Arms.

5. It is however expressly agreed that during the subsistence of this agreement, if the rate of Minimum wages payable to the security guards deployed by the “The Service Provider” increases and if the increase extends beyond the above agreed rate, then “The Corporation” shall increase the above accepted rate to the extent of the difference amount only and the above agreed rate shall modified accordingly changes in minimum wage of security guards with Arms/ without Arms as prescribed by central govt. / state govt. whichever is higher.

6. “The Corporation” shall pay the consideration amount to “The Service Provider” after scrutiny of the submitted bills/ enclosed documents (ESI/PF/GST ETC) to its satisfaction.

7. The consideration amount payable by “The Corporation” to the “The Service Provider” may vary depending upon the number of security guards/ deployed during a month, the increase or decrease of which shall depend upon the written letter of requirement of “The Corporation”. The consideration amount for increase or decrease in security will be calculated and settled as per rates finalized at point no. 4 above .

8. “The Service Provider” shall ensure that all security guards deployed by it at building/properties of the “The Corporation” shall be efficient, devoted, honest and capable.

9. “The Service Provider” shall provide Uniforms to Security Guards deployed at building/properties of “The Corporation” and should ensure their neatness and cleanliness. The security guards shall also be provided Identity Card by “The Service Provider” and will ensure that the uniform and Identity Cards are worn by them.

10. It is clearly understood and agreed that by this Agreement no relationship of Employer or employee is created between “The Corporation” and the security guards engaged and deployed by “The Service Provider”. It will be the responsibility of “The Service Provider” to pay minimum wages to its security guards and to ensure compliance of all the Labour Laws and other laws applicable.

11. “The Corporation” will have contract only with the “The Service Provider” and will give instructions to “The Service Provider” only and will have nothing to do or concerned with the conditions of employment of the security guards deployed by “The Service Provider”.

12. “The Corporation” will not have any control, supervision or the manner of the discharge, dismissal or retrenchment of the security guards engaged and deployed by the “The Service Provider”.

13. “The Corporation” will not have any connection with the security guards engaged and deployed by the “The Service Provider”.

14. “The Service Provider” shall be strictly liable/ responsible for complying all statutory obligations, such as Provident Fund, E. S. I, GST, Bonus etc. for its security guards deployed on the building/premises/properties of “The Corporation”

15. In the event of any liability of any nature whether relating to statutory compliances or the payment of wages or otherwise is not saddled on “The Corporation” with regard to security guards engaged and deployed by “The Service Provider”, “The Service Provider” undertakes to indemnify and to make good the loss to the full extent to “The Corporation”, failing which “The Corporation” shall be within its right to take appropriate action in law for recovery of the said amount. It is particularly agreed that “The Corporation” shall in no way be held responsible for any bodily injuries sustained or death of any security guards of “The Service Provider”. “The Service Provider” shall alone be liable to pay all statutory compensations which may be awarded or payable to such security guards or his/her dependent. If under any circumstances “The Corporation” is made liable to pay any such compensation, “The Service Provider” will indemnify/reimburse the same to “The Corporation” to full extent.

16. “The Service Provider” shall produce forthwith documents in proof of the statutory compliances and payment of minimum wages to the deployed security guards on being whenever demanded by “The Corporation”.

17. The wages to security guards to be paid by service provider on or before 7 th of the every month.

18. “The Service Provider” will provide the names of the persons who would be deputed to undertake the jobs of security guards with the copies of their photo I. D. proof and address proof duly attested by the authorized representative of the “The Service Provider” and will get the police verification of these security guards done before deployment and submit the same to the “The Corporation”. Payments to “The Service Provider” will be made only in respect of the number of security guards whose police verification and copies of their photo I.D. Proof and address proof duly attested by the authorized representative of “The Service Provider” is submitted in the office of “The Corporation”.

19. “The Service Provider” undertakes to change the security guards with the prior knowledge and information given to “The Corporation” and also the change of the security guards shall be made at the directive of “The Corporation”, if the security guards deployed in the opinion of “The Corporation” are not efficient, diligent, honest and sincere.

20. If the deployed security guards are directly or indirectly involved in any incident resulting in loss of property and/or money to “The Corporation”, “The Service Provider” shall indemnify to full extent all such losses occurred to “The Corporation”. In addition, “The Corporation” shall also have the right to take appropriate legal action against the engaged/deployed security guards involved and also against “The Service Provider”.

21. If in any manner any loss or harm is caused to the property and / or to the employees of “The Corporation” during the duty hours of the deployed security guards belonging to “The Service Provider”, “The Service Provider” shall fully indemnify by making good the loss occurred to “The Corporation”. In addition “The Corporation” shall also have the right to take appropriate legal action against the security guards and also against “The Service Provider”.

22. “The Service Provider” will be free to work anywhere else or to undertake any other contract but it will remain responsible to “The Corporation” for efficient execution of the duty and related obligations entrusted to it by this agreement.

23. “The Service Provider” and the security guards deployed by it will have no right or lien whatsoever upon the premises belonging to “The Corporation” and “The Service Provider” and its security guards will move out of the premises/buildings/properties at the instance of “The Corporation”.

“The Corporation” will not in any manner be responsible for any act, omission or commission of the security guards engaged and deployed by “The Service Provider” and no claim in the respect will lie against the “The Corporation” by any security guards. or his heirs engaged and deployed by “The Service Provider” which “The Corporation” is obliged to discharge by virtue of any statute or any provision of Law and Rules due to mere fact of the security guards of “The Service Provider” working at the premises of “The Corporation” or otherwise, “The Service Provider” will be liable to indemnify/reimburse the “The Corporation” all the money paid in addition to the expenses incurred. 24. The duration of the agreement is for a period of two years from 01.02.2021 to 31.01.2023 extendable by one year depending on satisfactory review.

25. LIC can terminate this Agreement by giving 30 days written notice to the Service provider without assigning any reason and without payment of any compensation, thereof and Service provider can terminate this agreement by giving 120 days’ notice However, “The Corporation” shall have the right to give only a 24 hours’ notice for termination of this agreement to “The Service Provider” when there is a major default in compliance of the terms and conditions of the Agreement or “The Service Provider” has failed to comply with its statutory obligations. In the eventuality “The Service Provider” will move out of the premises of “The Corporation” with its men immediately.

26. If “The Service Provider” commits breach of any covenant or any clause of this agreement, the “The Corporation” may send a written notice to “The Service Provider to rectify such breach within the time limit specified else, the Agreement shall forthwith stand terminated and the “Service provider of the Second Part shall be liable to “The Corporation” for losses of damages on account of such breach. It shall additionally be entitled to remove/blacklist “The Service Provider” from the list of empanelled service provider.

27. In the event of any dispute or difference arising out of operation of this agreement, the same shall be referred to the sole arbitration and the sole arbitrator will be appointed by the Sr. Divisional Manager, LIC of India, DO-1, Jaipur and decision of the arbitrator shall be final and binding on both the parties. The venue of arbitration shall be in Jaipur. The Provisions of Arbitration and Conciliation Act, 1996 shall apply to the arbitration.

28. “The Service Provider” shall not appoint any sub-contractor to carry out any obligations under the agreement.

29. Tax at source will be deducted as per the Income Tax Rules applicable from time to time from the payment made to “The Service Provider”

30. “The Service Provider” will follow in letter and spirit the guidelines /rules given vide the PRIVATE SECURITY AGENCY (REGULATION) ACT, 2005 and the Rajasthan Private Security Agency (Regulation) Rules, 2006.

31. “The Service Provider” shall maintain all registers required under various Acts, which may be inspected by “The Corporation” and the statutory authorities at any time.

32. “The Service Provider” has to ensure presence of all the sanctioned number of Security guards at the specified locations. “The Corporation” has a right to carry our surprise checks/ inspection at any time and in case the sanctioned number of security guards are not present then the penalty may be imposed on “The Service Provider” and the security deposit may also be forfeited or Bank guarantee may be invoked at the discretion of the Sr. Divisional Manager, LIC of India, Divisional office- 1, Jaipur.

33. “The Service Provider” should ensure all the deployed security guards are able bodied, medically fit for the job concerned, police verified, with age between 18-55 years.

34. “The Service Provider” will get them registered with the Labour Commissioner as per the provisions of the Labour Act and submit a copy of the Licence issued by the above authorities.

35. “The Service Provider” will submit proof of ESIC and Provident Fund contributions deposited by them in the accounts of personnel with the above authorities and submit the same along with the bills for the previous month and only then the bills of wages etc. will be passed by “The Corporation”. The Registration of ESI and EPF of The Service Provider being…………………… and …………………… respectively.

36. Scope of Work: The Scope of work to be performed by “The Service Provider” is as per tender conditions.

37. The location where services are to be provided along with the area specifications and security guards requirements will be as per tender conditions.

38. Obligation of “The Service Provider”: - “The Service Provider” shall be obliged and required to provide the Security Service to “The Corporation” in accordance with the clauses enumerated in the contract herein and

Terms and Conditions and Additional Terms and Conditions, which were also a part of the Tender Document, shall form an integral part of this agreement (Enclosed –Terms and Conditions, Additional terms and conditions ) 39. “The Service Provider” shall deposit an amount of Rs …………………….(10% of the accepted contracted value for 12 months period as security deposit ) as interest free security deposit or Bank Guarantee with “The Corporation” and maintain the same for entire duration of the agreement and also for further period of THREE months after expiry/termination of the agreement or final settlement of all bills whichever is sooner. “The Corporation” shall be entitled to make deduction from the security deposit or invoke Bank guarantee in accordance with the aforesaid terms and conditions.

FORM OF BANK GUARANTEE IN LIEU OF SECURITY DEPOSIT

1. 2 We, the said Bank further agree that the Corporation shall be the sole judge of and as to whether the said contractor has committed any breach or breaches of any of the terms and conditions of the said contract and the extent of loss, damage, costs, charges and expenses caused to or suffered by or that may be caused to or suffered by the Corporation on account of thereof and the decision of the Corporation that the said contractor has committed such breach or breaches and as to the amount or amounts of loss, damage, costs, charges and expenses caused to or suffered by or that may be caused to or suffered by the Corporation from time to time shall be final and binding on us.

3 The Corporation shall have the fullest liberty without affecting in anyway the liability of the Bank under this Guarantee or Indemnity, from time to time to vary any of the terms and conditions of the said contract or to extend time of performance by the said contractor or to postpone for any time and from time to time any of the powers exercisable by it against the said contractor and either to enforce or forbear from enforcing any of the terms and conditions governing the said contract or securities available to the Corporation and the said Bank shall not be released from its liability under these presents by any exercise by the Corporation of the liberty with reference to the matters aforesaid or by reason of time being given to the said contractor or any other forbearance, act or omission on the part of the Corporation or any indulgence by the Corporation to the said contractor or of any other matter or thing whatsoever which under the law relating to sureties would even for this provision have the effect of so releasing the Bank from its such liability.

4 It shall not be necessary for the Corporation to proceed against the contractor before proceeding against the Bank and the guarantee and Indemnity herein contained shall be enforceable against the said bank not withstanding any security which the Corporation may have obtained or obtain from the contractor shall at the time when proceedings are taken against the Bank hereunder be outstanding or unrealised.

5 Notwithstanding anything to the contrary hereinbefore contained the Bank’s liability hereunder shall not exceed Rs / (Rupees ______only). The Guarantee shall remain in force till the ______day of the year unless a claim or demand under this guarantee is made or presented to the Bank within 6 months from the expiry date i.e. on or before ______.
