ANSWER NO . 1: I have been Chairman and Chief Executive Officer during the relevant period of January I, 1992 to the present.

OUESTION NO. 2: Identify each person from whom you solicited a contribution for Mark Sharpe for Congress. Include in your identification the method used in soliciting each person, whether by telephone call, written document, in person, or any other method. Produce all documents which relate in any way to your solicitation of contributions to be made to Mark Sharpe for Congress. ANSWER NO . 2: I recall making several solicitations during telephone calls to friends and associates for the Sharpe Campaign. These solicitations sometimes arose during the course of my conversations with these various individuals and, in other instances, as the direct purpose of my telephone call. I cannot recall by name or otherwise who these individuals are now, more than three years after the fact.

I have produced a list that I gave to Joseph Kadow of potential contributors to the Gingrich fund-raising event. I did not personally solicit these people, but I imagine that invitations to the event were sent to them. Six Ex. A.

ANSWER NO. 3: 1 was familiar with Sharpe from his 1992 campaign. My first meeting with him and another Outback officer, Kadow, in the relevant time period occurred in the Spring of 1994 at the Cheval Country Club in Tampa, Florida. We had only informal discussions about politics, the golf tournament, and his campaign against Congressman Gibbons.

On September 17, 1994 I was with Mark Sharpe at Bob Basham's house for a fund- raiser with then House Minority Whip Newt Gingrich and other guests including Kadow and Basham. On November 4, 1997, Kadow and I attended a Jack Kemp fund-raiser for Sharpe at the Hyatt in . More than one hundred people were in attendance including. I imagine, many of Sharpe's staff. Finally, I was also with most of Sharpe's staff, and many of his friends and supporters on election night. At all of these events, our discussions centered current events and particularly the Sharpe Campaign.

ANSWER NO. 2: I recall soliciting the following people by phone for contributions to the Sharpe Campaign: Me1 Danker, my brother; Dennis Hood, Outback Joint Venture Partner (“JVP”) (North Carolina); Sidney Colen, friend (Maryland); B.J. Stone 111, JVP (Virginia); Bruce Attinger, JVP (Louisiana); Chris Bliss (Maryland), my personal broker; Chuck Angelopulos, franchiset. (Massachusetts); and Eugene Speni (New Jersey), my college fraternity brother and stock broker. I also contacted Louis Chiavacci (Florida), my personal broker, to invite him to my house for a fund-raiser with then House Minority Whip Newt Gingrich.

I also gave Joseph Kadow some names of potential contributors for the Gingrich fund- raising event. I did not personally solicit these people, but I presume that invitations to the event were sent to them.

Specifically, 1 recall a brief chance encounter at the Outback headquarters with him, but I do not remember the date. ,.. si. Our discussion amounted to little more than exchanging greetings. ,;.. ::.. I also recollect running into Sharpe at various political events. Specifically, on September 17, 1994 I was with Sharpe at my house for a fund-raiser with then House Minority Whip Newt Gingrich and other guests including Kadow and Sullivan. I was also with most of Sharpe’s staff. and many of his friends and supporters on election night. Finally, on two different occasions I recall running into a young woman and a young man associated with the Sliarpe Campign at my office after work. I am unable to remember the dates of these meetings or even their names. The topic of discussion at all of these encounters centered around the status of the Sharpe Campaign and other general political small talk.

Finally, my ca!endar shows the following events. On October 26, 1994. I have ”Mark Sharpe” noted between five and seven p.m. I believe that it was some sort of fund-raising event, but I cannot recall any details or even if 1 attended whatever it was. On November 1, 1994. I have a Phil Grahm fund-raising event noted. I did not attend that event. Likewise, on November 4, 1994, I have a Jack Kemp Fund-raising event noted. I did not attend that evenf. &Ex. A.

1. Preliminary Statement I am making every effort to hlly comply with the Subpoena and will continue making reasonable efforts to investigate information relevant to the Subpoena. I will also continue to cooperate with any further requests from the Federal Election Commission (the “Commission”) regarding this or any other matter. The following response is based upon my best efforts to recollect the events surrounding the subject matter of the Subpoena. I have attempted to provide specific information whenever possible, however, because the events took place over three years ago and because I do not maintain an organized calendar, I am, at times, forced to offer more generalized information. To the extent 1 am able to provide greater specificity, I will provide the same.

OUESTION NO. 1: ldentiijr each person from whom you solicited a contribution for Mark Sharpe for Congress. Include in your identitication the method used in soliciting each person, whether by telephone call, written document, in person, or any other method. Produce all documents which relate in anjj way to your solicitation of contributions to be made to Mark Sharpe for Congress.

ANSWER NQA: I focused my solicitation efforts on friends and acquaintances that were primarily associated with the food service industry. These were individuals who worked for or invested in companies (includirrg Outback) and other businesses that I felt would be impacted by the Clinton Health Care Plan. In addition, I solicited well-known Republican contributors.

My personal commitment to the Sharpe campaign, as an advisor and fund-raiser, is a direct result of Congressman Sam Gibbons’ (then Chairman of the House Ways and Means Committee) support for the Clinton Plan. While Outback has a health insurance plan for its employees, it simply could not afford the coscs mandated by the Clinton Plan. By some estimates, the Clinton Plan would have reduced Outback’s profitability by one-half (1/2) to two-thirds (2/3).

As my compensalion (bonus and stock options) from Outback is directly related to profitability, I had a significant persorial stake in the matter. Franchisees, as owners of their Outback , would similarly suffer the same loss of protitability as Outback. Our joint venture partners are partnus in each Outback restaurant in their territory and receive a monthly distribution of irine pelcent (9%) of each restaurant’s cash flow. The Clinton Plan would have directly reduced their distributions. Other restaurants and retailers could be expected to suffer a loss similar to Outback’s projected losses.

In early summer 1994, I attended a meeting with Gibbons along with a roomful of fearful and angry restaurateurs (only three of whom were from Outback) regarding his support of the Clinton Plan. At this meeting, and at a meeting a few days later in Gibbons’ office, I clearly explained the devastating impact the Clinton Plan would have on restaurants, retailers, and other businesses that are low profit per employee. Gibbons remained firm in his support ... of the Clinton Pian and indeed eventually passed the Clinton Plan out of the Ways and Means Committee.

My solicita~ionefforts for Sharpe’s campaign focused on individuals who I believed had a significant stake in the restaurant business. Any success I had in fundraising was frankly not due to Sharpe’s notoriety (he is a school teacher who has never held elective office), but rather in the concern restaurateurs and others felt over the Clinton Plan and Gibbons’ support of it as Ways and Means Chairman.

While engaging in what 1 considered to be personal political activity, I used my best efforts to comply with applicable law regarding my minimal use of corporate resources. Accordingly, the vast majority of my volunteer efforts on behalf of the Sharpe Campaign were conducted after work and on weekends on my own time.

Exhibit A is a list of all persons I recall soliciting for contributions to Mark Sharpe for Congress and the method of solicitation. Not all of the people I solicited actually contributed. I solicited by telephone almost all Outback Joint Venture Partners and Franchisees, other restaurateurs I knew, and other well known Republican contributors. Lists of contributors to other local Republican campaigns were given to me by the Sharpe campaign and I was asked to call any that I knew.

Exhibit B are various lists of invitees tu the Gingrich event. 1 am sure that I contacted many of these individuals to encourage them to attend the event.

Exhibits C-I are documents relating to my solicitations.

0 Exhibit C is an invitation list produced by officers of Outback in anticipation of the Gingrich event.

-2- Exhibit D is a national list given to me by the Sharpe Campaign. I am unsure whether I ever made solicitations off of this list.

* Exhibit E is a list produced by the Hillsborough County Finance Team that I had in my possession and may have used in formulating an invitation list for the Gingrich event.

Exhibit F is a list used hy the Sharpe Campaign. It is not my list and I do not remember making any solicitations off of this list.

Exhibit G are letters printed from a computer disc that 1 reprinted in my efforts to respond to this MUR. The 1996 and 1997 dares appearing at the top of these documents represent the reprinting date and therefore do a signify the dates these letters were actually written. I can not recall whether I actually sent these letters or, if I did send letters, whether these drafts represent what I sent.

Exhibit H is a Jeb Rush for Governor list of contributors. I may have looked through this to find people I could call for contributions for Sharpe.

Exhibit I is a Sharpe contributor list given to me by a Sharpe campaign staff member. Ir appears to have been current as of Monday, October 10, 1994.

Only three of the above trips had anything to do with the Sharpe Campaign. All three of these trips were paid for in advance. They are as follows: (1) 9/17/94 (the Sliarpe Campaign reimbursed Outback $331 for this flight on September 14, 1994), Ex. K; (2) 10/8/94 (note that the flight log is wrong, I was not on this flight, just Congressman Dick Armey; the for Congress Committee reimbursed Outback $304 on October 6, 1994), Ex. L; and (3) 10/30/94 (note that the flight log improperly lists this as 10129194- the Sharpe Canipaign reimbursed Outback $806 on October 28, 1994 and then increased (he reimbursement by $568 on November 4, 1994), Ex. M. Outback paid the costs (accommodations and transportation) of all other trips listed above as they were all business trips made on behalf of Outback.

I also made the following trips (all of which were wholly unrelated to the Sharpe Campaign) via commercial airlines:

1. April 26, 1994. I took a one day trip to Cincinnati, Ohio, to investigate investment possibilities for Nereus Audio International, Inc. My expenses were paid for by Nereus.

2. May 20. 1994. 1 took a five day trip to San Francisco, California to attend Ourback's annual Partner's Conference. My expenses were paid for by Outback.

3. July 20, 1994. I took a one day trip to Washington, D.C. for an Association of Publiciy Traded Companies Meeting. Myexpenses were paid for by Outback. 4. July 27-28, 1994. I took an overnight trip to Washington, D.C. to attend a Florida Republican Party sponsored event, "Victory '94." My expenses were paid for by Outback.

5. September 20-21, 1994. I took an overnight trip to Washington, D.C. for a government relations meering sponsored by Berman & Company. My expenses were paid for by Outback.

I also took several weekend trips to Orlando by automobile. These were, with one exception. all personal trips. We primarily took these trips because our family moved from our home in Orianda in April of 1994 and sold it in late June or early July. The only business trip was on August 2, 1994. I took this trip to participate in a lawsuit mediation proceeding between O~tbackand Eastern Foods.

Finally, I may have taken other personal or family .vacations, but I an1 unable to recall any specifics. If it is deemed necessary, I may be able to find or request old credit card statements that may provide more specific informatiofi.

ANSWER NO. 3: 1 understand the question to be asking for all meetings in which 1, Sharpe or his representative[s], & any other Outback officer[s] were present. To this question, I can recall the following times that I, Sharpe, and another Outback otficer were present.

The firs! occurred in the Spring of 1994 at the Cheval Country Club in Tampa, Florida at a Charity Golf Tournament, where I was first introduced to Sharpe. We had a very general introductory conversation. something about his 1992 campaign and particularly his prospects in 1994. Predictably, Shnrpe was concerned with his rieed to raise a lot of money because of Representative Gibbons’ fund-raising ability as an entrenched incumbent arid the then Chairman of the Mouse Ways and Means Committee. I cannot recall with certainty whether anyone else was there for the introduction, but I believe that Chris Sullivan and Bob Basham were at the Club that day.

Another sucli “meeting” occurred some time during October of 1994. Sharpe came over to my office to discuss the campaign and I introduced him to some of my colleagues after we had briefly discussed various campaign matters. E do not remember which employees and officers of Outback Sharpe actually met because many of them were not in their offices when we came by.

We also had other chance encounters at various political events. Sharpe and I were together on September 17, 1994 at the home of Bob Basham for a Newt Gingrich fund-raising dinner. Besides Basham, Sullivan, and myself, other people associated with Outback attended along with many other invitees not connected to Outback. Sullivan, Sharpe, and I were all present at a Jack Kemp fund-raising event at the Hyatt in downtown Tampa. Undoubtedly,

-6- other Sharpe volunteers were present at some or all of these events, but 1 cannot recall any of their names.

Finally, I recall seeing Sharpe arid other Outback officers at fund-raising events for Jeb Bush, Florida‘s Republican gubernatorial candidate in 1994 and for , a Republican candidate for the Florida State Senate. As you might imagine, the discussions centered around raising money for the Republican candidates listed above and other political gossip.

Missy Shorey, a Sharpe Campaign worker, also came by my office five or six times to drop off invitations and to pick up contribution checks that had been sent to my office instead of directly to the Sharpe Campaign office. Ms. Shorey also participated heavily with the Gingrich fund-raiser and came by my office in conjunction with that event. We rarely had discussions beyond exchanging greetings and discussing upcoming campaign events. She may have chatted with other Outback officers in the process of coining and going from my office.

1 would also like IO hrietly describe my relationship with Sharpe even if it entails listing a few meetings io which another Outback officer was not present.

As I already mentioned, I was first introduced to Sharpe in the Spring of 1994 at the Cheval Country Club. I do not remember having any contact with Sharpe again until June of 1994. At that time Sharpe and John Coley came by my office to request that I serve on the Sharpe Campaign Finance Committee. We discussed the campaign and my responsibilities and commitment as a member of the Finance Committee.

After this meeting, Sharpe andlor John Coley came to my office on several occasions after business hours to discuss Sharpe’s campaign, but no other Outback officers were part of these meetings.

Finally, as a member of the Finance Committee, Sharpe and 1 met on numerous occasions. We met in a variety of places, including campaign headquarters, in restaurants, and in the parking lot outside of campaign headquarters. We also talked on the telephone numerous times. In the final weeks of the campaign I went to Sharpe’s campaign headquarters almost every evening after work and on weekends. As one of Sharpc’s closest advisors I spent a substantial part of my personal time on his campaign. We discussed all aspects of the campaign, including: Rep. Gibbons’ ads, Sharpe’s ads, Sharpe’s speaking engagements, the status of our fund-raising, and various other campaign and policy issues. 1 also attended various fund-raising events with Sharpe, but, with the exception of the meetings listed above, I cannot recall whether any other Outback oftkers were present.

Exhibit N are pages from a calendar kept my secretary. I note only that July 27, 1997 inaccurately lists “Connie Mack.” As stated above I was in Washington at that time to attend Victory ’94.

I am writing to I our company's Political Action Committee for the candidacy of Ma lung, conservative Republican who believes in less government, lesr is a former Naval Intelligence Officer and is currently a school tei ecommended by Berman & Company.

Mr. Sharpe is runtung against incumbent Sam Gibbons, acting chairman of the House Ways and Means Committee. Mr. Gibbons has been in Congress over 30 years. He is a tax and spend liberal of the first degree. In May of this year, Mr. Gibbons agreed to meet with representatives of the restaurant industry in Tampa. Approximately 60 people attended and explained to Mr. Gibbons in detail how devastating an employer mandated health care requirement would be to the restaurant industry. We followed up with a second meeting with a smaller group of four including myself, a representative of Brinker International and a representative of Steak & Ale.

As you now know, despite hearing our opposition Mr. Gibbons has been the leading proponent in Congress of a Clinton-style health care reFonn plan which includes an employer mandate requiriig employers to pay 80% of &e health insurance cost of their employees. Indeed, Mr. Gibbons is quite proud of having pushed this bill through the Ways and Means Committee.

In Tampa, we believe that Mr. Sharpe has an excellent chance of beating Gibbons. In 1992, Mr. Sharpe ran against him and held him to 52% of the vote. Mr. Sharpe did this with no name recognition and almost no money.

Outback Steakhouse is committed to the Sharpe campaign and has provided him with the maximum allowable contribution from our PAC. I urge you to support the Sharpe campaign to the full extent that your resources allow. I believe that if we are able to avoid an employer mandate during this Congress, a defeat of Mr. Gibbons would be seen as a defeat of employer mandates, thereby diffising this issue for some time to conie. Clearly this is a race of nationwide significance and will receive national attention.

Thank you for your previous contribution to Mark Shave's campaign. As you know, Mark is running against Sam Gibbons, a 32-year Democratic incumbent. Mr. Gibbons is acting Chairman of the Ways and Means Committee, and according to Waste Watch had a tax and spend record in 1994 worse than Ted Kennedy's.

As a significant investor in the restaurant industry, you should be aware that Mr. Gibbons was one of the leading proponents of Bill Clinton's employer mandate health care pian and pushed it through the Ways and Means Committee. Mr. Gibbons did this despite the vocal opposition of all the restaurwt companies in the including Brinker International. Chuck Winship and I had a face-to-face meeting with Mr. Gibbons on this issue and our position was ignored.

Mark Sharpe is a fine candidate, being a former Naval intelligence officer and school teacher. Mark believes in reduced government, reduced government spending and reduced taxes and regulation on business. Mark understands that tax increases and regulation increases just eliminate jobs.

This race is benefiting from the anti-incumbent mood and Mark's ability to point out the true tax and spend liberal nature of Sam Gibbons' record. I believe this is now a race which is either a dead heat or showing Sharpc slightly ahead. I hope you will support Mark and be part of sending a Republican majority to Congress. ... As I mentioned to you over the July 4th holiday, Outback is headquartered in the Congressional district of Sam Gibbons. Mr. Gibbons, a Democrat, has been in Congress for over thirty years and has recently risen to the post of acting chairman of the House Ways and Means Committee.

Myself, together with other reprzsentatives of the restaurant industry, met with Mr. Gibbons in April of this year and impressed upon him how a mandate. requiring empioyers to pay the cost of health insurance for their employees would be devastating to the restaurant industry. As you know, the Tampa area is home to the corporate headquarters of Outback, Shells, Hops, Checkers, and numerous other smaller restaurant companies. Although the restaurant industry is a significant employer in Mr. Gibbons' district, our arguments fell on deaf ears. Chuck Winship was with me at one of these meetings.

Despite this, Mr. Gibbons now remains one of the last holdouts pushing the Clinton plan with the employer mandate on health care. Mark Sharpe is a bright, young Republican who is seeking to unseat Mr. Gibbons. Mark ran against Mr. Gibbons in 1992, and with only $13.000 and an army of volunteers, held Mr. Gibbons to 52% of the vote. In fact, Mark won Mr. Gibbons' home precinct.

We believe that Mark has an extremely good chance of unseating Mr. Gibbons. If Mr. Gibbons were to be umeated, we believe that the employer mandate on health care would be diffused for some time to come. I urge you and all of your associates in the restaurant industry to make contributions to Mark's campaign. I hope that you will make the maximum contribution of $1,OOO. 1 There were undoubtedly other airplane staff employed by Outback during the relevant period. However, many were independent contractors and I have been unable to locate their names and addresses at the time of this filing. If the Commission deems this information necessary I will make every efforr to produce it. As reference, the following pilots were listed in the Aircraft Logs listing my name: Breen (identified), fluberman (identified), Lloyd, Montgomery, Spivey (identified), Slacter (identified), and Thomas (identified).

4. A list of all Outback restaurants, categorized by the controlling JVP or franchisee as of October 31, 1997. Of these approximately 450 restaurants, approximately 250 were open in 1994. SgEx. F.

Joe and I discussed Clinton’s proposed health plan, Representative Gibbons’ involvement in moving that legislation forward, and the repercussions of the health plan on our business i f it was passed. The result of that conversation was that, my wife, Dearing McRae Hockman aad I each made a contribution to the Sharpe campaign. The only relevant documents that I am aware of are the two canceled checks which I am unable to locate at this time. Question Two.

I did not consult any documents to answer these questions. No other individuals would have knowledge concerning these questions.
