In the last Annual Report your Directors made refer- ence to the general financial and commercial depression then existing, which condition was much intensified through the outbreak of the war in Europe in July last, necessitating the exercise of unusual care in administrating the affairs of the Bank. It has been our endeavor to fully provide for the requirements of deserving borrowers, particularly those engaged in producing and marketing the food-stuffs of the country, at the same time maintaining strong cash reserves and liquidity of assets-this policy has been satisfactorily carried out. The earnings were somewhat smaller than in 1913, but justified the declaration of the usual dividends and bonus after ample provision had been made for all accounts of a doubtful character and for possible depreciation in the value of assets. The Directors feel that you will approve of certain unusual disbursements that were made from the profits of the year, namely, contributions to the Canadian Patriotic Fund, the Canadian Red Cross Society and the Belgian Re- lief Fund, reported in detail in the statement. It will be observed that the issue of new Capital Stock of the 15th of February, 1913, is now fully paid up, the Capital Account standing on 31st December, 1914, at $6,000,000, and the Reserve Fund at $7,000,000. A notable event in the history of the Bank has taken place since the Shareholders last met, in the completion of the new Head Office Building, which was occupied in November last. The results obtained may be considered highly satisfactory - allowance has been made for the natural growth of the Bank's business, and every facility has been provided for the convenience of its customers; further- more, considerable revenue will be derived from the space rented by the various tenants of the Building. During the year Branches were opened at Fort Frances, Ont., and in Toronto at Yonge & Hayden Streets, and at the corner of McCaul & St. Patrick Streets. Including cash balances due by other Banks and Banking Correspondents, of over $3,500,000, the total Cash Assets-that is, cash or its equivalent-reached the substantial sum of $15,343,000 at the end of the year. The immediately available Assets, which include the Bank's various Investments ($5,8OO,3 12.71 )-these under the new Bank Act must be entered at amounts not exceed- ing the market value-and call and short loans in Canada and elsewhere ($6,160,000), amounted to $27,300,000, or 40 per cent. of the total public liabilities. The Investments to which I have made reference are of a generally excellent character, and although they depreciated considerably in value in 1914, are now carried on our books at conservative figures. The Bank's advances on call are to responsible borrowers, against standard securities of a readily market- able class under ordinary conditions. Current Loans and Discounts in Canada, $47,196,000, have contracted during the twelve months which we are now reviewing by $1,300,000-the natural result of business de- pression and the consequent lessening of the demand for Banking accommodation. Amongst these advances is the usual large amount loaned against grain and other staple products, greatly increasing the percentage of liquid assets. A recent analysis of these commercial advances reveals the interesting fact that the Dominion Bank is assisting prac- tically every form of legitimate business in Canada-having, THE DOMINION BANK 27 of course, due regard to the integrity and financial responsi- bility of the various borrowers-including the following classes: Grain, dairy products, dressed meats, flour, lumber, hardware, furs, drygoods and clothing, hides and leather, groceries, boots and shoes, iron and steel products, brew- eries, agricultural implements and vehicles, drovers, farm- ers, municipalities and school districts, qtocks and bonds, rubber goods, builders and contractors, hospitals and churches, transportation, metal dealers, coal and wood, fur- niture, woodenware, fish, stationery, etc. In so far as this Bank is concerned-and doubtless the same conditions exist in our sister Institutions-these facts should be a refutation of the unjustified criticism that has arisen to tlie effect that when financial clouds appeared on the horizon our Banks locked their vaults and refused accommodation to those deserving it to the detriment of the community. It may be taken as a fact that the Canadian Ilanks are giving substantial aid to every legitimate business and enterprise entitled to it : it is also the case that our finan- cial institutions possess ample resources to conduct the busi- ness of the country through a troublesome period, the end of which is not yet in sight. Our Bank Premises Account shows a considerable expansion, largely accounted for by the expenditure on the new Head Office Building. As the President has stated in his preliminary Report, the completion of this Building is an important event in the history of tlie Bank. Speaking for the Executive Staff, I may say that for a number of years we have been under many disadvantages, owing to the limited space at our disposal, and without the means to properly organize the various Departments of the Institu- tion. Our present Offices are of the most complete and commodious character, relating both to the space provided for the public and that occupied by our own Staff. We are now working under the most favorable conditions, better organization is possible, and we feel sure that the results will be beneficial to your interests. It is with pleasure that vie welcome such a large num- ber of the Shareholders to-day on the occasion of the first Annual General Meeting beneath this roof. Commenting a few moments on the public liabilities of the Bank, you will observe that the Note Circulation is THE DOMINION BANK 29

$4,143,000, as against $4,631,000 on the 31st December, 1913 -a shrinkage of $488,000. Such a shrinkage is always an unfailing barometer of adverse trade conditions, and may be largely accounted for by the curtailment of the operations of employers of labor-those customers of the Bank engaged in various manufacturing enterprises who have been obliged, through force of circumstances, to cut down the number of their employees. Our Deposits not bearing interest show little change. The Deposits bearing interest have decreased about $2,000,- 000, but this has been occasioned in part by the withdrawal of certain special amounts, and is not particularly significant. At the same time, I may venture the prediction that owing to the large number of unemployed in Canada and the neces- sity ior many of them existing on their wisely accumulated savings of the past few years, the Deposits in the Canadian Banks will not continue to show the steady growth of recent years-on the contrary, they are likely to decline until after the cessation of the war and pending a gradual change to more favorable and normal conditions. The recent exhaustive reports and analysis of the situa- tion in Canada made by the heads of our leading financial institutions leave little room for amplification. What must appeal to us particularly, however, is the paramount fact that Canada occupies an enviable position through her won- derful resources and the advantages she enjoys in the matter of agricultural products. Already we learn of a large in- crease in acreage for 1915, and with higher prices for our food-stuffs and an increasing demand for them from the mother country, her allies and our neighbors to the south of us, we can reasonably look forward to the receipt of large sums in payment of our products during the closing months of 1915. May I, in conclusion, suggest that Canadians would do well to adopt the following policy during the trying period through which we are passing: the increasing of our pro- ducts, the practise of economy and the determination to meet with courage any unfavorable situation that may yet arise." ADDRESS BY THE PRESIDENT. In moving the adoption of the Report, the President, Sir Edmund B. Osler, N.P., made the following remarks : "The General Manager has covered the ground very fully in so far as the figures of the Statement are concerned -one important ieature on which I can congratulate the Shareholders is the fact that the Directors had no hesitation in again declaring a 2 per cent. bonus in 1914, as was done the last few years. I think you all understand, however, that the policy of the Board is not to make this a fixed annual distribution, but-as the profits of the Bank warrant it-to give the Shareholders as large a return on their invest- ment as can reasonably be done. U7e have contributed to the Officers' Pension Fund, the Canadian Patriotic Fund, the Canadian Red Cross Society and the Belgian Relief Fund-a total of $53,500,- and I am quite sure there is no Shareholder of the Bank who will not approve of our action. Mr. Bogert has referred to the new Head Office Build- ing, and I think has said all that is necessary on that subject. We all feel pleased at being in these splendid new quarters, and while the relative expenditure may seem large, it is, under all the circumstances, quite justified, and will, I am satisfied, be approved by the Shareholders. While the war is blamed for much of the depression in trade, it cannot rightly be said to be wholly responsible- anything we may have suffered from this cause has to a large extent been offset by the higher prices we have ob- tained for our products and the extensive orders which have been placed in Canada for war material. The country had gone mad over speculation in real estate which nothing ap- parently could stop-everywhere people were dividing farm lands into town lots-more especially in the West-selling, in some instances, a half-acre lot at the price of a good farm in Ontario, usually receiving only a small payment down and leaving an obligation on the purchaser to pay the bal- ance, which, in most cases, he has been unable to do. This has been the cause of great distress in Canada, and I think that we should not try to attribute our hard times entirely to the European situation. I do not believe there will be any immediate return of prosperity, but there is no doubt that from year to year these will be a steady improvement-no one questions the THE DOMINION BANK 33 future of Canada and the progress it is bound to make. V'e must bear in mind, however, that most of the great under- takings of late years are now nearing completion, and the expenditure of vast sums of money in this connection will consequently cease. The accusation has been made in some quarters that the Banks have been too conservative, with-holding money from commercial operations and trade generally, but this, I think, is entirely unfounded. Speaking for this institution, I believe I can say without fear of contradiction that no customer has been refused reasonable accommodation for the past twelve months. There is another point which the public do not seem to appreciate-that the first duty of the Directors is to see that the deposits which are entrusted to the Bank are prop- erly protected ; for this purpose it is necessary to keep a large proportion of the assets in cash or on call which might other- wise be used for the accommodation of borrowers. You will remember that at our last Annual General Meeting Auditors were appointed-in accordance with the requirements of the new Bank Act; they have since exam- ined the assets of the Institution and have checked up prac- tically every security held and scrutinized every large account. In addition to this, the Directors have, as hereto- fore, formed sub-committees-one to look into the securities of the Bank, another to investigate the various large accounts, and so on. The Dominion Bank is in a sound position-what its prospects are for earnings this year no one can foretell, but I know that the Directors uill do all they can, first, to keep the funds entrusted to them safe, and secondly, to give to the Shareholders a fair return on their stock. I have much pleasure in moving the adoption of the Report."

REMARKS BY THE VICE-PRESIDENT. Mr. \IT.D. Matthews, the Vice-president, in seconding the adoption of the Report, said :- "During the past year conditions have arisen in Canada that are without precedent. This has been a matter of such general discussion in the press and amongst the public that 1 am sure all who are present to-day fully appreciate the seriousness of the situation and the difficulties with which we have had to contend.

It was well that our financial institutions had adopted a conservative policy considerably in advance of the out- break of the war-in some quarters they were very much for their attitude, but conditions seemed to indi- cate that a change in the business affairs of the country was approaching-more particularly were they warned by the widespread speculation which the President has referred to, and which was apparent all over the Dominion. It was necessary for the Banks to curtail loans to all except those engaged in sound commercial or manufacturing enterprises and agricultural pursuits. All funds for speculative ventures were therefore withdrawn; but never during the year 1914 was there any difficulty in obtaining proper assistance from the Banks for legitimate business purposes. Great Britain is very fortunate in having her affairs under the control of such men as those who are directing her policy to-day. Their method of handling the financial situation has been followed very closely by our own Finance Minister, and as a result the panic which might otherwise have ensued after the declaration of war was avoided. Not that the Banks were unprepared to meet the emergency in a natural way, but the sudden outbreak of hostilities made the situation so acute as to necessitate drastic action. Under the circumstances, therefore, your Directors are very well pleased that they can submit such a satisfactory Report, and I know you will receive it with as much gratification as they feel in being able to present it. Although business conditions on the whole are dull, there are features that give cause for congratulation and afford encouragement for the future. Ours is essentially a country of natural products-the development of the resources throughout Canada has been satisfactory in the past and we are convinced from reports that have come to hand, which may be accepted as reliable, that a greatly increased acreage of land has been prepared under favorable conditions for the sowing of grain for the 1915 crop. The farmers at present are realizing very high prices, and the bigger yield which is to be expected from the greater acreage should bring prosperity to a large portion of the Dominion. It has always been maintained that the crop is the mainstay of this country, and if that is the case, as I am sure it is, the prospect of high prices for all the products of the farm, taken in conjunction with the increased areas which will be cultivated, should mean large returns THE DOMINION BANK 37

and much more money set in motion than we have ever before experienced. This is a source of great satisfaction because the farmer's prosperity quickly extends to the manu- facturer and the retail and wholesale merchants, providing increased buying power all round. The operations of war are having an appreciable effect upon manufacturing, and the various factories engaged in supplying material for its requirements are running full time and deriving very substantial benefits therefrom. This, with the strict economies that prevail at the present time, must result to advantage, and when the war is ended the country will be ready for renewed activity and progress. I think we can also look forward to a revival of interest with regard to the lands in the North-West-conditions were never better for farming and ranching and are likely to remain favourable for some years to come. It is well to remember that the steel plants, cement works, the lumber mills, railroads, etc., will all benefit when immigration to the Dominion is resumed by people who purpose settling in the present unoccupied territory in the West. I have great hopes that we shall see brighter times and that after the war we shall again have the satisfaction of realizing that Canada is attracting the attention of the world. I have very much pleasure in seconding the adoption of the Report." Carried. Mr. Cawthra Mulock: "I have much pleasure in mov- ing that Mr. Geoffrey T. Clarkson and Mr. Robert J. Dilworth, the retiring Auditors, be and they are hereby appointed Auditors to hold office until the next Annual General Meeting, and that their remuneration be fixed at a sum not to exceed $5,000." The President has requested me, as a resident of Win- nipeg-for thirty-two years-to touch upon conditions in the Prairie Provinces. I think the situation has improved considerably of late in Manitoba, Saskatchewan and Alberta, through which my business-agricultural implements-takes me frequently. Our wholesale houses have during the past year been cur- tailing their sales, restricting credits, cutting down their stocks, looking carefully after collections and reducing their liabilities. The country merchants have also very materi- ally curtailed their credits, and the farmers are beginning to appreciate more and more the value of the dollar and what the creation of a new liability means-the beneficial results of which policy are now being felt. Regarding crop prospects for 1915, I had occasion recently to write to the Ministers of Agriculture for the Provinces just mentioned, enquiring as to what additional acreage over normal was ready for the 1915 crop, and I am glad to be able to inform you that their reports stated that in Manitoba it would amount to about 33 per cent. over that of 1914, in Saskatchewan about 32 per cent., and in Alberta approximately 40 per cent. Furthermore, our early harvest last year gave the farmers a good opportunity to do plowing arid to do it well.
