Recent years have averaged only one letter. So why is there this sudden interest in a statement of the Antitrust Division’s enforcement intentions with respect to proposed business conduct? Concerns about how the Antitrust Division might view coordination to address the COVID-19 pandemic explains some of this interest. Four of the seven letters issued so far in 2020 were pursuant to the Justice Department temporaryreview procedure responding to the COVID-19 pandemic. Under this policy, businesses can obtain antitrust enforcement intentions on an expedited basis, generally within seven days. The Antitrust Division admits that usually it has taken months after all necessary information was received to provide its view. In light of the expedited turnaround, companies might just be more open to requesting a business review letter concerning COVID-19 business practices. Operating in a pandemic is also new territory for everyone. Three of the 2020 letters, however, have been outside the scope of cooperation to take on the pandemic. These three involved group purchasing activities, online bidding platforms, and patent pooling. What explains this? Perhaps, there is more uncertainty about current antitrust enforcement or, perhaps, there is a desire to obtain the blessing of an agency that might be perceived as more business-friendly than the one that is coming down the road. Of course, the business review letters do not provide immunity. The Justice Department always reserves the right to bring an enforcement action in the future if the actual operation of the proposed conduct proves to be anticompetitive in purpose or effect. Below are brief summaries of the seven U.S. business review letters issued so far this year: In a July 28 business reviewletter to counsel for Avanci LLC, the Justice Department concluded Avanci’s new platform for licensing Fifth Generation or 5G telecommunications technology in the automotive industry was unlikely to harm competition. The platform Avanti proposed is a joint patent-licensing pool, pursuant to which Avanci would license patent claims that have been declared “essential” to implementing 5G cellular wireless standards for use in automobile vehicles and distribute royalty income among the platform’s licensors. The government noted that Avanci’s 5G Platform may make licensing standard essential patents related to vehicle connectivity more efficient by providing automakers with a “one stop shop” for licensing 5G technology. The platform also has the potential to reduce patent infringement and ensure that patent owners who have made significant contributions to the development of 5G “Release 15” specifications are compensated for their innovation. The Justice Department stated on July 23 that it has no present intention to challenge proposed efforts by Eli Lilly and Company, AbCellera Biologics, Amgen, AstraZeneca, Genentech, and GlaxoSmithKline to exchange limited information about manufacturing facilities that could expedite the production of monoclonal antibody treatments that may safely and effectively treat COVID-19 patients. The Justice Department expressed its position in the fourth expedited business review letter pursuant to the temporary review procedure responding to the COVID-19 pandemic. In a May 15 letter to the National Pork Producers Council, the Justice Department said that it would not challenge the proposed collaborative efforts of the council to work with the U.S. Department of Agriculture to address certain hardships facing hog farmers as a result of the COVID-19 pandemic. The council submitted its business review request pursuant to the expedited, temporary review procedure. On April 20, another expedited business reviewletter expressed the Justice Department’s position that it had no present intention to challenge collaborative efforts of AmerisourceBergen Corporation to identify global supply opportunities, ensure product quality, and facilitate product distribution of medications and other healthcare supplies to treat COVID-19 patients. The Justice Department determined that a proposal by the Association of Independent Commercial Producers to operate an online bidding platform did not warrant an antitrust challenge. The AICP planned on operating the online platform for advertisers to solicit bids from companies that provide production services for commercial advertisements. The Antitrust Division cleared the proposed conduct in an April 16 business review letter. The first expedited letterbusiness review letter concerning a response to the pandemic was issued on April 4. The Antitrust Division gave medical supply distributors McKesson Corporation, Owens & Minor Inc., Cardinal Health Inc., Medline Industries Inc., and Henry Schein Inc. the okay to collaborate on manufacturing, sourcing, and distributing personal-protective equipment or PPE and coronavirus-treatment-related medication. Lastly (or firstly), in thefirst business review letter issued in 2020, the Antitrust Division explained that it did not intend to challenge a proposal by the American Optometric Association to expand the Association’s group purchasing organization to include the purchase of optometric products for resale to consumers. The proposed safeguards would likely reduce the risk that the expanded purchasing arrangement would result in price fixing or other anticompetitive conduct, according to the government. The Broiler Chicken Civil Litigation/Criminal Indictment On June 3, 2020, a grand jury in Colorado returned an indictment charging executives from Pilgrim’s Pride Corporation and Claxton Poultry Farms with fixing prices and rigging bids nationwide for broiler chickens [I wonder how the grand jury met? Zoom?] The case was filed in the District of Colorado, where Pilgrim’s Pride is headquartered. The individual defendants are Pilgrim’s President and CEO, Jayson Penn and former Vice President, Roger Austin. Claxton’s President, Mikell Fries, and Vice President, Scott Brady were also named in the indictment. The DOJ Press Release [which did not use the companies’ names] stated: “According to the indictment, from at least as early as 2012 until at least early 2017, Jayson Penn, Roger Austin, Mikell Fries, and Scott Brady conspired to fix prices and rig bids for broiler chickens across the United States. Penn is the President and Chief Executive Officer, and Austin is a former Vice President, of a chicken supplier headquartered in Colorado Claxton[ Poultry Farms. Pilgrim’s Pride]. Fries is the President and a member of the board, and Brady is a Vice President, of a broiler chicken producer headquartered in GeorgiaPilgrim’s [ Pride Claxton Poultry Farms].” See also, Wall Street Journal, June 3, 2020, Chicken Industry Executives, Including Pilgrim’s Pride CEO, Indicted on Price-Fixing Charges The chicken industry is dominated by a handful of companies after decades of consolidation. The five largest companies control 61% of U.S. chicken production, according to Watt Global Media, an industry publication. Pilgrim’s Pride, majority owned by Brazilian meat conglomerate JBS SA, is the nation’s second-largest chicken producer. Claxton Poultry Farms may have as little as less than 1% of the market. The largest producer, with approximately 21% of the market, is Tyson Foods Inc. On June 10, 2020, Tyson released a statement saying the company “has been fully cooperating with the DOJ as part of its application for leniency under the DOJ’s Corporate Leniency Program.” Tyson noted that on April 26, 2019 the company was served with a grand jury subpoena from the Antitrust Division, and “Tyson uncovered information in connection with that investigation, which we immediately self-reported to the DOJ.” The statement added: “”Our swift and decisive actions demonstrate our steadfast commitment to treating suppliers, customers and partners with integrity and to fostering a free and fair competitive environment.” (emphasis mine).     The Donald Trump-Rupert Murdoch relationship in the United States When Donald Trump ran as a candidate for the Republican presidential nomination, Rupert Murdoch was reported to be initially opposed to him, so the Wall Street Journal and the New York Post were too.1 However, Roger Ailes and Murdoch fell out because Ailes wanted to give more positive coverage to Trump on Fox News.2 Soon afterwards, however, Fox News turned more negative towards Trump.3 As Trump emerged as the inevitable winner of the race for the nomination, Murdoch’s attitude towards Trump appeared to shift, as did his US news outlets.4 Once Trump became the nominee, he and Rupert Murdoch effectively concluded an alliance of mutual benefit: Murdoch’s news outlets would help get Trump elected, and then Trump would use his powers as president in ways that supported Rupert Murdoch’s interests. Over the last year and a half, Fox News has been the major TV news supporter of Donald Trump. Its coverage has displayed extreme bias in his favour, offering fawning coverage of his actions and downplaying or rubbishing news stories damaging to him, while also leading attacks against Donald Trump’s opponent in the 2016 presidential election, Hillary Clinton. We thank the U.S. Department of Justice (DOJ) for devoting resources to the health care sector. We are writing to provide our views regarding the proposed merger of CVS Health Corporation (CVS), the largest retail pharmacy chain and specialty pharmacy in the U.S. and one of the two largest pharmacy benefit managers (PBM), and Aetna, Inc. (Aetna), the third largest U.S. health insurer. The AMA has studied this merger, an analysis that started almost as soon as the merger was officially announced. The AMA has sought the views of prominent health economists, health policy and antitrust experts—some of whom testified in a California Department of Insurance hearing on this merger. After very carefully considering this merger over the past months, the AMA has come to the conclusion that this merger would likely substantially lessen competition in many health care markets, to the detriment of patients. Accordingly, based on the mutually confirming analyses and conclusions presented by the nationally recognized experts and other experts, as well as extensive research, the AMA is now convinced that the proposed CVS-Aetna merger should be blocked. No small amount of competitive spirit helped drive the Founders’ efforts to design and to establish “a more perfect Union”2—a unique political structure intended to improve upon what the world had observed to date. That competitive spirit drove us to push and to expand boundaries of all sorts over the last (nearly) 250 years. It manifests in scientific, mathematic, medical, and technological developments and other academic endeavors; in ubiquitous athletic programs; and even in our art and entertainment, including in the lyrics to Broadway musicals. It is perhaps unsurprising, then, that competition has also been a foundational principle guiding the American economy since its inception.3 Competition has been the primary code by which firms live and die, succeed and fail, win and lose.
