LIMITED OBJECTION OF , INC. TO DEBTORS’ AMENDED NOTICE OF POTENTIAL ASSUMPTION AND ASSIGNMENT OF EXECUTORY CONTRACTS AND UNEXPIRED LEASES AND CURE AMOUNTS

Simon Property Group, Inc. on behalf of itself and its affiliated entities (collectively

“Simon”), by its undersigned counsel, hereby files its Limited Objection to Debtors’ Amended

Notice of Potential Assumption and Assignment of Executory Contracts or Unexpired Leases and

Cure Costs ( D.I. 45, 266, 271 and 295) (collectively, the “Notice”). In support of the same,

Simon respectfully states as follows:

BACKGROUND

1. The Debtors commenced these above-captioned cases by filing voluntary petitions

for relief under chapter 11 of the Bankruptcy Code on December 3, 2020 (the "Petition Date")

in the United States Bankruptcy Court, District of Delaware (the “Court”). Pursuant to Sections

1107(a) and 1108 of the Bankruptcy Code, the Debtors are operating their businesses and

managing their affairs as debtors-in-possession.

2. As of the Petition Date, the Debtors were lessee under one hundred twenty-six

(126) leases of non-residential real property with Simon (individually, “Lease” or collectively,

“Leases”).

3. The Notice lists the Leases as potentially assumed and assigned as part of a sale process and asserts the amounts required to cure monetary defaults under each Lease; however,

Simon is not in agreement with the cure amounts asserted. For the Leases the Debtor is either (i) in default of its monetary obligations under the Lease(s); (ii) the Notice fails to compensate Simon for any actual pecuniary loss resulting from the default and/or bankruptcy filing; or (iii) fails in both (i) and (ii) herein.

4. In connection with the potential assumption and assignment of the Leases, the

Debtors or the Successful Bidder must be required to pay the cure amounts set forth in the column titled “Total SPG Cure Amount” which includes the portion of the cure amounts related to the

Stub Rent Period as set forth in the column titled “SPG Stub Rent” on Exhibit A, for the Leases, attached hereto (collectively, “Actual Cure Amounts”). Documentation supporting the calculation of the Actual Cure Amounts will be provided upon request and Simon will make its personnel available to work with the Debtors to reconcile the cure amounts in good faith.

5. Simon anticipates resolving the issues raised herein with the Debtors consensually, but in the event these issues are not resolved, Simon files this Limited Objection and reserves its rights.

OBJECTION TO CURE AMOUNTS

6. Pursuant to the Notice of Stalking Horse Asset Purchase Agreement (D.I. 280), the

Debtors propose to sell substantially all of their assets to Francesca’s Acquisition, LLC, an affiliate of TerraMar Capital, LLC and Tiger Capital Group, LLC (the “Stalking Horse Bidder”). In the

1984 Amendment to the Bankruptcy Code, Congress added Section 365(b)(3) (A-D), which specifically defines adequate assurance of future performance of a lease of real property in a shopping center includes adequate assurance as follows:

11 U.S.C. § 365 (b)(3) (A-D) (A) of the source of rent and other consideration due under such lease, and in the case of an assignment, that the financial condition and operating performance of the proposed assignee and its guarantors, if any, shall be similar to the financial condition and operating performance of the debtor and its guarantors, if any, as of the time the debtor became the lessee under the lease;

(B) that any percentage rent due under such lease will not decline substantially;

(C) that assumption or assignment of such lease is subject to all the provisions thereof, including (but not limited to) provisions such as a radius, location, use, or exclusivity provision, and will not breach any such provision contained in any other lease, financing agreement, or master agreement relating to such shopping center; and

(D) that assumption or assignment of such lease will not disrupt any tenant mix or balance in such shopping center.

7. Further, Section 365(b)(1)(B) includes compensation to the landlord for sums incurred for attorneys’ fees in connection with the bankruptcy case.2 Simon requests $500.00 per

lease as reasonable attorneys’ fees associated with the bankruptcy and possible assumption of each

Lease.

8. Simon also objects, in part, to the assumption of any of the Leases not subject to any charges accrued, but not yet billed, including, but not limited to, common area maintenance, real estate taxes, utilities, overage rent or percent rent.

9. Simon reserves the right to supplement this Limited Objection prior to any sale hearing and/or final determination by the Court regarding assumption and assignment of the

Leases, including the amount and payment required for purposes of cure under Section 365, as rent, attorneys’ fees and other charges continue to accrue.

10. To the extent that it does not conflict with anything stated herein, Simon joins in the objections filed by Debtors’ other landlords.

WHEREFORE, Simon objects to the amounts set forth in Debtors’ Notice and reserves all rights and remedies available. Simon respectfully requests that the Court enter an order requiring Debtors’ payment, including, but not limited to, the amounts required to cure outstanding defaults under the Leases, reasonable attorneys’ fees incurred in connection with this Limited Objection, and other charges that continue to accrue.
