  • For Immediate Release Thursday, January 10, 2019 Contact: Ryan
For Immediate Release Thursday, January 10, 2019 Contact: Ryan Hornaday, EVP/CFO & Treasurer [email protected] 317.266.0100 Emmis Announces Third Quarter Earnings Outperforms markets both quarter and year-to-date Indianapolis...Emmis Communications Corporation (NASDAQ: EMMS) today announced results for its third fiscal quarter ending November 30, 2018. Emmis’ radio net revenues for the third fiscal quarter were $28.7 million, down from $34.0 million in the prior year. Sales of radio stations (KPWR in LA in August 2017 and four radio stations in St. Louis on April 30, 2018) make Emmis’ reported results not comparable year-over-year. Pro forma for all radio station sales, Emmis’ third quarter radio revenues, as reported to Miller Kaplan, which excludes barter and certain other revenues, were up 5% in markets that were up 2%. “With this quarter’s strong performance, Emmis is now outperforming its markets through the first nine months of this fiscal year– quite an achievement,” said Emmis Chairman and CEO Jeff Smulyan. “Political revenues certainly helped, but we also saw growth in our core advertising categories, all of which contributed to Emmis having its strongest quarter in four years. New York and Indianapolis both outperformed their markets and continue to produce strong ratings, which should help sustain Emmis’ revenue growth. That certainly appears to be the case in January and February, where both months are pacing up mid-to-high single digits.” A conference call regarding earnings will be hosted today at 9 a.m. Eastern today by dialing 1-517-623-4891 with passcode Emmis.

As federal regulations of those stations loosen and fewer owners increase their holdings across the country, however, local community needs are subjugated by corporate fiduciary responsibilities. Business practices reveal rampant consolidation of ownership, newsroom job description convergence, skilled human labor replaced by computer automation, and economically-driven downsizings, all in the name of profit.

  • COMPLAINT Plaintiff, Tribune Media Company (“Tribune”), by and Through Its Undersigned Attorneys, Files This Verified Complaint Against Defendant, Sinclair
EFiled: Aug 09 2018 12:05AM EDT Transaction ID 62327554 Case No. 2018-0593- IN THE COURT OF CHANCERY OF THE STATE OF DELAWARE Tribune Media Company, a Delaware corporation, Plaintiff, C.A. No. 2018- _____-_____ v. Sinclair Broadcast Group, Inc., a Maryland corporation, Defendant. VERIFIED COMPLAINT Plaintiff, Tribune Media Company (“Tribune”), by and through its undersigned attorneys, files this Verified Complaint against Defendant, Sinclair Broadcast Group, Inc. (“Sinclair”), and alleges as follows: Introduction 1. Tribune and Sinclair are media companies that own and operate local television stations. In May 2017, the companies entered into an Agreement and 1 Plan of Merger (the “Merger Agreement”) pursuant to which Sinclair agreed to acquire Tribune for cash and stock valued at $43.50 per share, for an aggregate purchase price of approximately $3.9 billion (the “Merger”). 1 A true and correct copy of the Merger Agreement is attached as Exhibit A. The Merger Agreement is incorporated herein by reference. Unless defined herein, all capitalized terms in this Verified Complaint have the meanings ascribed to them in the Merger Agreement. RLF1 19833012v.1 2. Sinclair owns the largest number of local television stations of any media company in the United States, and Tribune and Sinclair were well aware that a combination of the two companies would trigger regulatory scrutiny by both the United States Department of Justice (“DOJ”) and the Federal Communications Commission (the “FCC”). Because speed and certainty were critical to Tribune, it conditioned its agreement on obtaining from Sinclair a constrictive set of deal terms obligating Sinclair to use its reasonable best efforts to obtain prompt regulatory clearance of the transaction.
