7 THE EVOLUTION OF NORTH HOLLYWOOD

2014 Hackybox Pictures, founded by Cody Hackman, releases Tapped Out. Produced for $850k, the film grosses over $4 million without a theatrical release. The core team consists of Cody Hackman, Allan Ungar and Bruno Marino. Capital for Tapped Out was raised in 2013 through a small group of investors. All investors are repaid their principal in 2014 and a profit distribution in 2015 for a total return on investment of approximately 32%.

2015 North Hollywood Films, co-founded by Marino Kulas and Cody Hackman, acquires the media library of Hackybox Pictures. Hidden in the Woods and Gridlocked are completed. To ensure timely repayment to investors, Gridlocked is sold to Netflix for exclusive distribution worldwide. Investors in these properties are repaid the majority of their principal in 2015, with the balance, and a profit distribution, to be paid in 2018 for a projected annualized return of approximately 20%.

2016 North Hollywood co-produces The Sound and Beyond Skyline for release in 2017. In order to fully exploit their recent success with Gridlocked, the Company positions itself for significant growth. MARINOKULAS – CEO & Executive Producer LOCATION: TORONTO Co-founder and CEO of North Hollywood Films, Marino’s entertainment industry experience began in 1992 when he produced and hosted a TV show filmed in Toronto, Canada. He was then responsible for helping to secure financing for Hollywood based production companies, and for negotiating foreign distribution deals. Prior to forming North Hollywood, Marino spent 10 years as founder and CEO of a publicly traded company. To NOHO, Marino brings his entertainment experience and business expertise to position North Hollywood Films as a leading provider of high-value content. His focus remains on building strategic industry alliances and assembling a top-tier team to ensure the production of properties with broad box office appeal for profitable distribution worldwide.

CODYHACKMAN – VP & Producer LOCATION: TORONTO Founder of Hackybox Pictures and Co-founder of North Hollywood Films, Cody began his entertainment career in 2007 when he moved from Toronto to Los Angeles. After having the opportunity to meet and work with many of Hollywood’s leading producers, he returned to Toronto in 2012 to apply his knowledge. In 2013, by capitalizing on Canadian tax incentives and overall lower production costs, Cody produced the highly regarded action drama Tapped Out, which was sold to Lionsgate Entertainment in 2014. Also in 2014, he produced Gridlocked, an award winning action drama which was sold to Netflix for global distribution. For NOHO, Cody's vision remains to produce commercially viable, high-quality films while remaining budget-mindful through innovative film making.

ALLANUNGAR – Creative Director LOCATION: TORONTO Allan is a director, screenwriter and producer. After graduating from the Film Academy in Los Angeles, he wrote and directed Tapped Out, an action drama starring Michael Biehn and UFC Superstar Anderson Silva. The film was released in 2014 by Lionsgate and premiered in over 100 countries. Allan also wrote and directed, Gridlocked, which won Best Action Film at Toronto After Dark in 2015 and was nominated for Best Action Film at the 2016 Shanghai International Film Festival. He serves as a producer on the upcoming psychological thriller The Sound as well as a screenplay writer for Gridlocked 2. For NOHO, Allan is responsible for project development and creative oversight.

BRUNOMARINO - Producer LOCATION: TORONTO Bruno is a film and television producer who has produced over 30 movies. He is a member of the Producer’s Guild of America and the Canadian Media Producer’s Association. For North Hollywood, in addition to his role as producer, he will oversee the management of film budgets, tax credits and production scheduling to help ensure that film projects are delivered on time and under budget.

NICKBATEMAN – Chief Marketing Officer LOCATION: LOS ANGELES In addition to acting and modeling, Nick has established himself as a leading authority in the field of social media marketing. In under two years, he was able to build his personal brand by attracting over 10 million social media followers, making him one of the top 500 most followed people in the world. Consequently, he has been involved in social media campaigns for numerous brand conscious companies such as Tag Heuer, Guess, Hugo Boss, Sephora, Sony Pictures and BMW. In addition to his acting role in The Neighbor, Nick will serve as NOHO’s Chief Marketing Officer, bringing his new-age scientific approach to branding and fan acquisition to the Company’s slate of films.

TONYMANDICH – Artist Relations Advisor LOCATION: LOS ANGELES For over 25 years, Tony worked with the Atlantic Recording Corporation, a wholly owned subsidiary of Time Warner. As Vice President of Artist Relations & Development, Television and Touring his responsibilities included major artist development, the strategic coordination of tours, television appearances, and soundtrack recordings. He provided talent for television shows and awards ceremonies such as the Academy Awards, the Grammys and the American Music Awards. He maintained excellent relations with film studios such as Warner Bros, Disney, Sony, Paramount and Universal. He was instrumental in the development of hundreds of artists including Genesis, Yes, Led Zeppelin, Rush, U2, Eric Clapton, AC/DC, The Rolling Stones, The Bee Gees, Stone Temple Pilots, Foreigner, Julian Lennon, Alice Cooper and Phil Collins. For North Hollywood, Tony will be responsible for artist relations and the development of film soundtracks and music related biopics.

JEFFRICE – Executive Production Partner LOCATION: LOS ANGELES Jeff is a producer with over 90 feature films to his credit. Based in Los Angeles, Jeff has been involved in the production of box office successes such as Two Guns, Lone Survivor, Escape Plan and End of Watch. For North Hollywood, Jeff provides opportunities with respect to content, co-production and co-financing arrangements. His firmly established industry relationships, which include major Hollywood studios, will be beneficial to North Hollywood on a go-forward basis. In addition, Jeff will provide consultation on sales and distribution and will deliver for consideration by North Hollywood a consistent flow of film projects.

TOMDeSANTO – Production Partner LOCATION: LOS ANGELES Tom is a writer and producer with film credits that include two of the most successful film franchises in history, X-Men and . His Transformers films have grossed more than $4.47 billion worldwide with a per film average of over $746 million at the box office. They have also grossed billions in home video, video games and merchandising. As a Producer, Tom provides extensive expertise in the areas of production and creative direction. His proven ability to identify commercially viable properties with franchise potential is an invaluable asset to North Hollywood.

SAMRAIMI – Producing Consultant LOCATION: LOS ANGELES Sam has produced and/or directed over 75 films including blockbuster franchises such as Spiderman and Evil Dead. He first became acquainted with North Hollywood when he was a judge at the Shanghai International Film Festival where North Hollywood’s film Gridlocked was nominated for Best Action Film in the prestigious Jackie Chan action movie category. After taking notice of the film’s quality and fan appeal, Sam offered to work with North Hollywood on certain properties through his respected firm Ghost House Pictures. Collaborations with Sam could include co-productions and distribution arrangements. Sam’s extensive industry expertise also makes him an integral asset for vetting genre specific North Hollywood film opportunities.

RISK MITIGATION IS OUR #1 FOCUS The Company’s primary objective is to mitigate any potential risk associated with the production of films. The company has adopted a disciplined, formulaic approach to the evaluation, production and distribution of entertainment content. We secure 60 – 100% of the budget in tax credits and pre-sales on each film before starting production!

DISCIPLINED CONTENT EVALUATION PROCESS Every aspect of an opportunity is vetted through an extensive evaluation process to ensure its commercial viability. The analysis includes estimates of international sales by territory, foreign and domestic distribution strategies, the relationship between budget, promotional dollars, release dates, film rating and other variables that contribute to a successful release. Once the evaluation is complete, a project will only be pursued if there exists a realistic expectation that the film will generate profit.

SIGNIFICANT GOVERNMENT SUPPORT & FUNDING

Strategically, the Company will produce the majority of its films in Toronto, and certain other areas in , in order to capitalize on Canadian film tax credits, which range from 20% - 40% of production dollars spent in the jurisdiction. Along with Hollywood and New York, Toronto is considered one of the top three locations for the film industry with over 700 productions hosted in 2016.

WE MAKE SALES BEFORE WE EVER PICK UP A CAMERA To guarantee a portion, or all, of its production investment in advance, North Hollywood will elect to pre-sell its film to certain territories at any stage during the production cycle. The amount received is largely dependent on the timing of sale, with sales later in the cycle commanding more money. In most cases, North American production companies release their films through established sales, marketing and distribution channels. Typically, a film experiences a sales cycle that begins with international pre-sales, domestic (US and Canada) distribution arrangements for theatrical release, followed by distribution channels such as video on demand, pay per view, digital media, packaged media and basic cable. NOHO releases will follow a similar pattern but will also include a tactical combination of platform-based selective pre-selling, revenue sharing, self-distribution and minimum guarantee strategies, all designed to minimize risk while maximizing returns.
