Software License Agreement

atvise® Software License Agreement atvise® Software License Agreement Please read this Software License Agreement (SLA) carefully before ordering, downloading or installing atvise® Software (as defined below).

1. General This SLA is an agreement between Bachmann Visutec GmbH, Kasernenstrasse 29, A-7000 Eisenstadt, Austrian VAT number ATU62240738 ("Bachmann Visutec"), and you ("Licensee"). Licensee refers to the individual or entity (acting through an authorized individual) that has ordered, downloaded, installed, opened and/or used atvise® Software. The term "Software" refers to all atvise® software products (incl. program documentation) owned or distributed by Bachmann Visutec. Licensee acknowledges that Licensee has read and understood this SLA and agrees to be fully bound by its terms and conditions.

2. Ownership and Copyright The Software is exclusively owned by Bachmann Visutec and protected by national copyright laws and international copyright treaties. Bachmann Visutec shall own all right, title and interest including all intellectual property rights in and to the Software except those described in Appendix A. Licensee acknowledges such rights and will not jeopardize, limit or interfere in any manner with Bachmann Visutec’s ownership or rights with respect to the Software. Licensee will adequately inform third parties of Bachmann Visutec’s ownership of those rights. This agreement does not authorize Licensee to use any Bachmann Visutec or atvise® name, trademark or logo without Bachmann Visutec’s prior written consent.

3. Grant of License Bachmann Visutec is willing to license the Software to Licensee only on the condition that Licensee accepts all of the terms in this agreement. If Licensee does not accept these terms, then Bachmann Visutec does not grant any license to the Software. Licensee agrees that the Software is not sold but only licensed to the Licensee. Therefore, Licensee does not own the Software or any part thereof or any third-party software incorporated in the Software. The Software may be protected by a lock and may only be used in conjunction with a valid product key issued by or on behalf of Bachmann Visutec. Bachmann Visutec retains ownership of the product key and has the right to trace hardware codes of the product keys at any time without prior notice. The Licensee shall only use the product key to operate the Software in accordance with the terms of this agreement. Download and use of the following software products are governed by these additional conditions 3.1 to 3.6:

3.1 atvise® builder Bachmann Visutec grants Licensee, and Licensee accepts, a free-of-charge, non-exclusive and non-transferable License to use the atvise® builder and associated documentation to engineer exclusively atvise® webMI compliant (certified by Bachmann Visutec) web servers and all other atvise® products listed in this SLA. The use of atvise® live is additionally subject to the special Terms and Conditions laid down in Appendix D.

3.2 atvise® scada server and webMI servers Subject to payment of the applicable license fees, Bachmann Visutec grants Licensee, and Licensee accepts, a non- exclusive and non-transferable License to use an atvise® scada server or an atvise® webMI server.

3.3 atvise® scada options Subject to payment of the applicable license fees, Bachmann Visutec grants Licensee, and Licensee accepts, a non- exclusive and non-transferable License to use an atvise® scada option only in conjunction with an atvise® scada server.

3.4 atvise® webMI Subject to payment of the applicable license fees, the acceptance of the “License Protection System Agreement” and a valid “webMI Distribution Agreement”, Bachmann Visutec grants Licensee, and Licensee accepts, a non- exclusive and non-transferable right to distribute his own atvise® webMI compliant (certified by Bachmann Visutec) web servers. Licensee must include a valid copyright notice for the atvise® webMI specification (described in Appendix B) on his web servers.

3.5 atvise® Software Development Kit/SDK Subject to payment of the applicable license fees, Bachmann Visutec grants Licensee, and Licensee accepts a non- exclusive and non-transferable License to use the atvise® SDK only for the purpose of development of atvise® webMI compliant web servers and/or engineering tools for those web servers. Licensee must comply with all of the following:  Licensee shall not be allowed to build toolkit or developer tools from the SDK.  The SDK may be used by being compiled into, linked or bound to Licensee’s applications.  Redistributables, if any, shall be licensed to Licensee's customers "as is".  Licensee shall indemnify and hold Bachmann Visutec, its officers and employees, affiliates, contractors, and suppliers, harmless from and against any claim or liability arising out of the use, reproduction or distribution of his applications.  Licensee must include a valid copyright notice for the SDK (described in Appendix C) in his software products.

3.6 atvise® elements Subject to payment of the applicable license fees, Bachmann Visutec grants Licensee, and Licensee accepts, a non- exclusive and non-transferable License to use the atvise® elements option only in conjunction with the atvise® builder. The images in this library are based on the “Symbol Factory 2.0” from Software Toolbox Inc. and were modified, adapted and parameterized by Bachmann Visutec for the optimized usage with the atvise® builder.

3.7 Test License If Licensee intends to use the Software for testing and/or demonstration purposes, Licensee agrees to the following:  The Software shall only be used for testing and/or demonstration purposes for a period not exceeding 30 calendar days.  Licensee must not use the Software in productive applications or in any other environment other than reasonably considered as test and/or demonstration environment.  Licensee must not make the Software accessible to third parties.  The Software may contain a disabling mechanism that will prevent it from being used after the test period. Licensee must not tamper with the Software’s disabling mechanism.  After the test period, Licensee must return and/or destroy the Software without delay.  Software licensed for testing and/or demonstration purposes is provided “as is” and Bachmann Visutec does not provide technical support or offer any warranties in this context.

 Software licensed for testing and/or demonstration purposes contains demo images and thumbnails from “atvise® elements”. These demo images must not be used in any way other than for the testing and/or demonstration of the Software.

4. Restrictions Bachmann Visutec retains all ownership and intellectual property rights to the Software delivered to you under this agreement. Licensee may make a sufficient number of copies of each program for his licensed use and one copy of each program media. Without Bachmann Visutec’s prior written consent Licensee may not:  make the Software in whole or part available in any manner to any third party;  remove or modify any program markings or any notice of Bachmann Visutec’s proprietary rights;  translate, reverse engineer, decompile, disassemble or modify the Software;  lease or rent the Software or a part thereof to a third party;  disclose results of any Software benchmark tests. The Software is not designed, manufactured or intended for use in a system requiring fail-safe performance (e.g. control or navigation of aircraft, air traffic, aircraft communications; design, construction, operation or maintenance of any nuclear power plants, etc) in which the Software’s failure could lead directly or indirectly to harm including environmental damage, personal injury or death (“High Risk Activities”). Bachmann Visutec specifically disclaim(s) any express or implied warranty of the Software’s fitness for such High Risk Activities. Licensee agrees that it will not use or redistribute the Software for such purposes and Bachmann Visutec will not be liable for any claim or damage arising from the Software’s use in such applications.

5. Warranty Bachmann Visutec warrants that the Software (excluding third party software) will substantially operate according to its documentation for one year after delivery or download. Licensee must notify Bachmann Visutec of any program warranty deficiency immediately. Bachmann Visutec does not warrant that the Software will perform error-free or uninterrupted or that Bachmann Visutec will correct all Software errors. To the extent permitted by law, the before-mentioned warranties are exclusive and there are no other express or implied warranties, including warranties of merchantability, fitness for a particular purpose and/or non-infringement of third party rights. For any breach of the above warranties, Licensee’s exclusively remedy, and Bachmann Visutec’s entire liability, shall be the correction of the Software’s error or if Bachmann Visutec cannot substantially correct such breach in a commercially reasonable manner, Licensee may terminate his license and recover the fees paid to Bachmann Visutec for the Software license minus an appropriate amount for the use of the Software until such termination.

6. End of Maintenance / End of Support From time to time, Bachmann Visutec releases new versions of the Software. After the expiration of a period of four years after the release date, the End of Maintenance (EOM) for a specific version of the Software is reached. Upon such date, no more development, updates or patches will be provided for this version of the Software. However, Bachmann Visutec will continue to provide Support for one additional year after the EOM date marking the End of Support. No notification regarding the EOM or EOS will be provided by Bachmann Visutec. If a third party discontinues support for an operating system other software component or database, Bachmann Visutec may not be able to provide Support for longer than what is provided by the third party.

7. Limitation of Liability In no event shall Bachmann Visutec be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, or data use, and regardless of the legal or equitable theory (contract, tort or otherwise) upon which the respective claim is based. In case Licensee claims that the Software has caused damage by Bachmann Visutec’s gross negligence, the burden of proof for such gross negligence shall remain with the Licensee. Bachmann Visutec’s maximum liability for all damages arising out of or related to this agreement, whether in contract, tort or otherwise, shall be limited to the fee that Licensee paid to Bachmann Visutec for the concerned Software.

8. Indemnification If someone addresses Licensee claiming that the Software infringes any copyright, patent or any other intellectual property right of a third party, Bachmann Visutec will indemnify the Licensee against the claim if the Licensee does the following:  gives Bachmann Visutec written notice of any such claim within 30 days after Licensee becomes aware of such claim (or sooner if required by applicable law),  gives Bachmann Visutec sole control of the defense and any settlement negotiations,  gives Bachmann Visutec the necessary information, authority and assistance to defend against or settle the claim. Upon receipt of notice of alleged infringement Bachmann Visutec shall have the right to terminate this agreement and retract the Software or to modify or replace the Software or to obtain a license for continued use. Bachmann Visutec will not indemnify Licensee if:  the infringement results from modifications to the Software or from the use or combination of the Software with any other software, hardware or materials; or  the infringement claim could have been avoided by using a current and unaltered version of the Software; or  the infringement results from the negligence of Licensee or any party other than Bachmann Visutec. This section provides Licensee’s exclusive remedy in case of any infringement claim.

9. Force Majeure Neither of the parties shall be responsible for failure or delay of performance if caused by:  an act of war, hostility, or sabotage,  electrical, internet, or telecommunication outage that is not caused by the obligated party,  government restrictions (including the denial or cancellation of any export license or other license),  other event outside the reasonable control of the obligated party. Both parties will use reasonable efforts to mitigate the effects of a force majeure event. For the avoidance of doubt, the lack of financial liquidity and/or one’s own or third party (transient or permanent) insolvency shall under no circumstance constitute Force Majeure.

10. Export Control Licensee acknowledges that the Software may be subject to export control restrictions in various countries. Licensee shall fully comply with all applicable export restrictions and requirements as well as with all laws and regulations relating to the importation of the Software or applications developed using the Software and shall procure all necessary government authorizations, including without limitation, all necessary licenses, approvals,

permissions or consents, where necessary for the re-exportation of the licensed Software or applications developed by using the Software.

11. Other Upon 30 days written notice, Bachmann Visutec may audit Licensee’s use of the Software. Licensee agrees to cooperate with Bachmann Visutec’s audit and provide reasonable assistance and access to information. Licensee agrees to pay within 30 days of written notification any unpaid fees applicable to the use of the Software. If Licensee does not pay, Bachmann Visutec may terminate this agreement with immediate effect. Licensee agrees that Bachmann Visutec shall not be liable for any of Licensee’s costs incurred in cooperating with the audit. Bachmann Visutec may create updated versions of the Software. Licensee shall be entitled to receive updates for the Software only in case of a valid maintenance contract for this Software. Bachmann Visutec delivers the Software without any additional documentation other than the Online Help and Tutorial incorporated into the Software. Any reference to documentation within this agreement refers to the Online Help or Tutorial which is available with the Software being installed. In the event that Licensee has obtained a license pursuant to section 3.2, 3.3, 3.4 or 3.5, Bachmann Visutec reserves the right to reference Licensee as one of Bachmann Visutec’s customers by mentioning Licensee's company name in documents such as, but not limited to product/company brochures, pages of Bachmann Visutec’s websites, e-mails originating from Bachmann Visutec’s employees, publicity brochures and fact sheets, unless agreed otherwise with Licensee.

12. Termination If Licensee breaches a material term of this agreement and fails to correct the breach within 30 days of written specification of the breach, Bachmann Visutec may terminate this agreement. If Bachmann Visutec terminates this agreement, Licensee must pay within 30 days all amounts which have accrued prior to termination and Licensee agrees to return and/or destroy the Software and all copies thereof from Licensee’s systems and discontinue using the Software. Terms that survive termination or expiration include those relating to limitation of liability, indemnification and others which by their nature are intended to survive.

13. Entire Agreement Licensee agrees that this agreement and the information which is incorporated into this agreement by written reference (including reference to information contained in a URL), are the complete agreement with regard to the agreement’s subject matter. Licensee agrees that the terms of this agreement supersede all prior or contemporaneous agreements and all terms in any purchase order or other non-Bachmann Visutec ordering document. No terms included in any such purchase order or other non-Bachmann Visutec ordering document shall apply. If any term of this agreement is held to be invalid, unenforceable, legally ineffective or unworkable, the remaining provisions will remain effective. If in Bachmann Visutec’s opinion deletion or amendment of any provision of this agreement unreasonably compromises the rights or increases the liabilities of Bachmann Visutec and/or its licensors, Bachmann Visutec reserves the right to terminate this agreement in its entirety. This agreement shall only be governed by the laws of Austria (excluding its rules and regulations on conflict of laws and the UN Convention on the International Sale of Goods). All disputes arising out of or in connection with this agreement and all amendments to it, if any, shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with the most recent version of said rules. The place of arbitration shall be in Zurich, Switzerland, and the language of the arbitration proceedings shall be German. Any change or addition to this agreement (in particular any promises regarding properties, features or quality of the Software) are considered invalid unless made in written form and approved by Bachmann Visutec.

Appendices All Appendices are part of this agreement and must be followed by the Licensee. In case of a contradiction between an Appendix and any provision of the main body of this agreement, the latter shall prevail.

Appendix A - Third Party Software The Software uses third-party and open source software subject to the following licenses A.1 – A.45. Any third party software may be provided as a part of the Software and is licensed to the Licensee only for use as a part of the Software. Third party software is provided “as is”. Bachmann Visutec makes no warranties, neither expressed nor implied, of any kind (including but not limited to merchantability, fitness for a particular purpose or noninfringement of third party rights) with respect to any third party software.
