SECTION A. Programme Title

Orb Energy Solar Program in Version 5.0 19/06/2016

SECTION B. Programme description

1) PoA description a) Policy/measure or stated goal that the PoA seeks to promote; The purpose of this Gold Standard Program is dissemination of solar thermal (water heating) and electrical (lighting and other needs) systems in rural and urban/semi-urban areas in various states of India. The proposed Program through dissemination of solar water heaters (SWH) and solar photovoltaics based electrical systems (SPV) will utilize the energy from the sun and convert it into thermal and electrical energy respectively to replace the fossil fuel that would have been used otherwise to meet equivalent energy demands in the baseline. The households/SMEs in India meet their energy needs from grid electricity, kerosene, LPG, diesel and wood (non-renewable) for electrical and thermal energy needs. The energy baseline is the fossil/non renewable fuel consumption that would have been used in the absence of the project activity to generate the equivalent quantity of energy needed for electric and thermal applications per household/facility. Thus, replacement of fossil fuel usage will contribute towards reducing equivalent GHG emissions. By 2020, Orb envisages an installation target of more than 500,000 households/facilities

b) Framework for the implementation of the proposed PoA The Coordinating/Managing Entity (CME) of the PoA is Orb Energy Private Limited (hereinafter referred as ‘Orb’). Orb shall serve as the focal point of contact for communications with Gold Standard.

Orb operates through a network of direct branches and franchisee stores. Sales are carried out through these centers. Orb and its technicians are responsible for sales and installation of SWH and SPVs. Local sales team members book the order and after necessary checks the logistics department dispatches the installation kits to the concerned branch. Branch receives the installation kits and the branch technicians install the system at the relevant customer location. Each unit is assigned with a unique serial number for easy identification and avoidance of double counting. At the time of unit installation, customer information is collected on a sampling basis to determine factors for calculation of emission reductions.

To ensure customer satisfaction, Orb gives a total system warranty on SWHs and SPVs and 3 free preventive maintenance visits in the first year. Preventative maintenance visits in the first year are essential to improve customer understanding of the operation and necessary maintenance of the system. This preventative measure by Orb Energy is required to ensure that systems work properly over time. After one year from the date of installation, Orb then offers customers an annual maintenance contract (AMC) for regular preventive maintenance and overall up-keep of the system.

The technicians are recruited for each centre from local areas. Upon joining, technicians receive extensive training at Orb Energy’s head office in Bangalore, and regular refresher training on an on-going basis. These technicians ensure optimal installation of the solar system and provide essential after-sales service to the customer in the form of preventive maintenance or complaint handling. Orb Energy’s marketing and customer care division in head office, Bangalore tracks and processes service visits and complaints centrally. They allocate all required service calls to the Operations Executive (administrator) in each branch, and then follow up to ensure that the relevant technician has completed the required visit and service. Senior management in Orb Energy head office receives regular reporting on complaint visits addressed and those outstanding.

In addition to providing the highest quality installed solar systems, and essential after-sales service, Orb also

The Gold Standard POA - Passport GS Version 2.2 2

helps customers arrange a loan. Orb has agreements with multiple banks, MFIs etc that offer customers up to 5- year loans for solar systems. This enables increased access to clean and affordable energy services to customers to enjoy the benefits of solar energy technology.

All the data related to sales, installations, after sales services, complaint redressal, preventive maintenance visits is collected and archived at the branches and then transferred to the head office using an ERP system.

SECTION C. Proof of programme eligibility

C.1. Location of the Programme of Activities (Physical/Geographical boundary)

The boundary of the PoA in terms of a geographical area is defined as India. All VPAs associated with this PoA will be implemented within the geographical boundary of the PoA covering the states highlighted in black colour shown below.

The first VPA under the PoA is a small scale PoA which has commenced operations in 06 July 2008. The boundary of the subsequent VPAs shall be determined by the location of the households/facilities where the project devices are installed, limited to territorial boundary of India.

At present the PoA is spread significantly across six states in India i.e. , Andhra Pradesh, Telengana, Kerala, Tamil Nadu and Maharashtra. Besides, initial sales have taken places in 4-5 other states where the PoA expects to grow substantially in future.

Pre Announcement Yes No

Was your programme previously announced? ü

Explain your statement on pre announcement

Revenue stream from carbon has been considered since the initial stages of program inception. Orb has already registered and issued a small scale project under GS Standard for the same technology /measure covering state of Karnataka. This PoA is an extension of the same to cover for regions outside Karnataka as well as include SPV and SWH installations scaling beyond the small scale limit. Although, Orb desired to develop the PoA earlier, but the state of carbon markets (absence of PoA framework, issues raised by the validating DoE for GS 696 made Orb to limit the project Boundary to Karnataka and focus solely on registration and issuance from the same initially. Once the small scale project was registered and proceeds from sale of carbon credits were realized by Orb, it decided begin the GS documentation for extension of existing project to PoA. The chronology of events depicting carbon consideration is given below:

Date Event Comment Reference1 29 May Executive Summary prepared by Orb The Executive Summary therefore https://db.tt/QkWO9SL 2006 Energy for starting business in India. The strongly substantiates that Orb A summary on page 1 clearly mentions an Energy had a clear vision of doing intention to start business in India: a pan-India business since “In light of above, now is the time for a conceptualization with carbon sizeable investment to capture and credits as inherent part of realise the opportunity in India.” business for not only Karnataka but for India as a whole. Further the summary on page 3 clearly mentions the following, substantiating that even before entry into business in India the company had a clear focus on having a pan-India operations: “The business will concentrate on developing its channel in Karnataka…………. Once established we will review which states to enter next (high potential are Andhra Pradesh and Kerala). The aim is to have a nation-wide channel in 5 years.”

Page 6 of the summary mentions carbon credits as upside of solar business and the fact that the price of CERS for CO2 have increased after signing the Kyoto. 17 June Investor Presentation on doing business in The presentation to investors https://db.tt/zjXpWzQc 2006 India. again substantiates the carbon The presentation on page 5 mentions the credits were important part of following: business strategy since beginning “The Investment Proposition in India of Orb’s business in India and not

Date Event Comment Reference1 Gain an early position in startup limited to VPA 02 solar company in India Ambition to build strongest channel in India for supply of solar energy solutions”

The presentation on page 28 mentions the following: “There are three areas of potential upsides not included in projections 1……. 2. Sale of CERs/VERs Agree with customers to buy Aggregate and sell 3……”

The presentation on page 39 mentions the following: “The company needs to identify a way to monetize and sell the emission reductions generated by its customer” 25 July Initial discussions started between The These emails concretely https://db.tt/KzP3ZEEC 2006 – 03 Carbon Neutral Company (TCNC) and Orb substantiate that even before Orb August Energy to discuss the potential of Energy Pvt. Ltd was incorporated, 2006 developing a carbon offset project the discussions for securing covering Asian business. carbon credits, not only for Karnataka but for the entire Asian The email dated July 25, 2006, from CEO Business, was effected. of TCNC mentions the following: “………….. your Asian rural solar venture, These emails also confirm that and asked me to send you a brief carbon credits from both lighting description of how we can support your and water heating elements were development, by enabling you to trade considered at very senior carbon credits arising from your management levels (involving projects.” CXO level)

The email dated 03 August 2006 from CEO, Orb Energy mentions the following: “The LoI will basically say that we intend to work together………. The consultant would be assigned to establish the likely baseline, so we know how much carbon we could claim per Wp PV installed, and per litre of solar thermal installed.”

The Gold Standard POA - Passport GS Version 2.2 7

Date Event Comment Reference1 4 August Email dated 04 August 2006 from Thus, through these emails as https://db.tt/KzP3ZEEC 2006 – 10 Operations Director, TCNC mentions the well it is substantiated that August following: agreement with TCNC was for 2006 “TCNC will be investing time and money Asian business (including VPA 01 upfront and at risk to identify the carbon and VPA 02) and not Karnataka potential for the Asian Solar Business.” alone.

In the email dated 10 August 2006 Also, the fact that information exchanged between Orb Energy and has been requested till 2012 TCNC, the following points have been including western grids as well as made: southern grid substantiates that “our consultant and he has committed to the carbon was being considered getting the feasibility work done within for the entire business initiative 15 business days of receiving the (including both VPA 01 and required information VPA02) and not for Karnataka 1. Roll-out plan until 2012 of PV and alone. Solar Thermal units………… 2. Location of units for grid connected units so that we can understand whether they are on the southern or western grids” 30 August Incorporation of Orb Energy Pvt. Ltd. Thus, even before Orb Energy https://db.tt/1n25zb63 2006 was incorporated serious carbon consideration actions pertaining to their proposed business were taken. 5 October Feasibility studies done by TCNC for Solar Thus, both these carbon https://db.tt/NEMUMC 2006 Thermal and Solar PV by TCNC feasibility assessments done by kv As per the Feasibility study report titled TCNC covered installations “Solar Photovoltaic Project, India”, the outside Karnataka and hence is project has been defined as follows: deemed applicable to VPA 01 and “Under the proposed project activity, Orb VPA 02 alike. Energy will promote solar photovoltaic systems in rural south India.”

As per the Feasibility study report titled “Solar Thermal Project, India”, the project has been defined as follows: “Under the proposed project activity, Orb Energy will promote solar thermal systems in the south of India.”

Besides, the solar unit sales projections given in the feasibility study are much higher than the numbers for Karnataka alone implying that the feasibility study was considered pan India operations.

The Gold Standard POA - Passport GS Version 2.2 8

Date Event Comment Reference1 01 PP in his email dated 01 Nov 2006, to This further substantiates that https://db.tt/KzP3ZEEC November TCNC has asked for text that needs to be the carbon credits were covering 2006 inserted in the purchase order / invoice entire sales and not only for the purpose of transferring carbon Karnataka as this feature was credits from end users to Orb Energy. The being incorporated into the core email clearly mentions that the business element (invoicing) installation of systems were to start in few which remains standard across days since then. entire business. The fact that every unit installed under VPA 01 also carries carbon credit transfer disclaimer (including those outside Karnataka) on invoices further substantiates that carbon credits were considered for VPA 01 and VPA 02 alike. 28th Term Sheet signed between Orb Energy Thus, the ERPA makes it clear https://db.tt/QZzIvBAZ November Pvt Ltd and Pioneer Carbon Limited-Start that the PP had considered 2007 date of PoA. The ERPA refers to carbon seriously for VPA 01 and installations made in India. VPA 02 alike as the project boundary defined as per ERPA Page 1 of Term Sheet, section “Parties, covered VPA 01 as well. Transactions and Definitions” defines the project titles as follows:

“Project 1: Solar electricity and water heating for households, enterprises and institutions in India, including but not limited to the states of Karnataka, Maharashtra and Kerala.” 08 August ERPA between Orb Energy Pvt. Ltd. and Thus, the second ERPA also https://db.tt/AIGAaUM 2008 J.P. Morgan Ventures Energy Corporation included India as the project k (which took over Pioneer Carbon) for sale boundary as well as project title of VERs from India. substantiating that both VPA 01 and VPA 02 were covered under This ERPA mentions the following in ERPA. section 1 of the Project Term Sheet: “Project Description: The seller would like to use carbon finance for the sale, installation and service of solar energy and energy efficiency technology in India……….”

Project Title: Project 1: Solar Electricity and water heating for households, enterprises, and institutions in India.

The Gold Standard POA - Passport GS Version 2.2 9

Date Event Comment Reference1 13 Mar Completion of first version of PDD for GS Thus, it is clear from the first https://db.tt/p0fVhqm 2009 696 which encompassed entire India as Version of the GS 696 PDD d project submitted to GS for PFA (08 May submitted for GS for pre– 2009). feasibility assessment, that originally the project intended to Refer Section A.2 of the PDD which cover both VPA 01 and VPA02 in mentions the following: itself. “Orb Energy (‘Orb’) has proposed a VER project to increase access and However, later due to reasons penetration of solar PV and solar thermal not completely under the control systems in India.” of the PP (as discussed below), the boundary of GS 696 was Section ‘A.4.1 Location of the small scale reduced to the state of project activity’ of the PDD for GS 696 Karnataka, and VPA 01 has been mentions the following: construed to cover the sales “State: 5 states in the South (Karnataka, outside Karnataka under the PoA. Kerala, Maharashtra, Andhra Pradesh, and Tamil Nadu) will be covered”

Section A.4.1.4 listed the proposed plan of Orb Energy locations. As per the table listed in the section, presence in states other than Karnataka was listed as early as 2009 (same as the start year of VPA 01) 26 – 28 Validation interviews with stakeholders by Based on the PFA findings from https://db.tt/lJ66CnPr August the DoE for project GS 696. (refer GS 696 GS, the PDD was revised and 2009 validation report by BV, section 2.2) version 2 of the PDD was submitted to DoE to initiate validation Sep 2009 - Multiple discussions with BV (Validating This also substantiates that the https://db.tt/lJ66CnPr Nov 2011 DoE), JPM and Orb Energy on project project initially submitted issues. included the sales outside Karnataka which was resulting in Refer page 11 and page 60, section A.2.7 the project not meeting the 15 of the validation report by BV for project MW methodology threshold limit. GS 696. The comment by Validation team mentions the following: “Based on the information, provided by project participant, the project is a small- scale activity with a capacity of <15 MW. However, the growth projections, provided by the project participant, exceed the limit of small-scale project by 2012………..”and raised CAR 02 against this comment.

Page 69 of the FVR also refers to same issue under CAR 07.

The Gold Standard POA - Passport GS Version 2.2 10

Date Event Comment Reference1 5 Nov Refer PDD version 5 dated 20 Nov 2011 It is worth noting that the rate of https://db.tt/4MMyFD 2011 with Karnataka as project boundary. the solar unit installation had an been very slow in states outside Karnataka due to challenges associated with selling solar products (pricing vs purchasing power capacity, un-established brand value, competitive market and user perceptions / acceptability issues). From 2008- 2011, Orb was struggling to establish itself as a quality solar technology provider competing with giants like Selco, TATA Solar etc. Not more than 10% of the installations included under VPA01 were installed till end of 2011 (i.e. within first 4 years since the start date). As compared to the same, In Karnataka the sales were much higher (~66% of total sales in GS 696 were achieved by 2011). Thus, the project boundary was limited to Karnataka as most appropriate option in response against CAR 02 and CAR 07 to meet the methodology threshold of 15 MW.

The Gold Standard POA - Passport GS Version 2.2 11

Date Event Comment Reference1 Nov 2011 The DoE still did not accept the restriction The validation report clearly https://db.tt/lJ66CnPr - 10 of project boundary to Karnataka as this mentions on page 86 and 87 that March was still resulting in the project crossing the DoE did not approve the 2013 – the 15 MW limit over the later part of the application of small scale Closure of crediting period based on expected sales. methodology to the project validation activity as the project size was marked Refer page 10, 86 and 87 of the FVR by BV exceeding the 15 MW limit during by issue of (for project GS 696). These clearly the crediting period based on FVR mention that the DoE is of the opinion future projections. Later on this that the application of the small scale point was resolved after methodology to the project activity is not intervention from JPM and Gold in line with EB requirements, as the Standard. project was not limited to 15MW for its entire crediting period. Hence, the restriction of GS 696 was to Karnataka was on account However, based on telephone call of limited of rules/regulations between JPM, DOE and GS and email from available at the time of validation technical director GS clarifying the of GS 696. Hence it is confirmed applicability of small scale methodology that carbon benefit was and restriction of sales forecast to considered for VPA 01 and VPA Karnataka only that too till 2013 allowed 02 together as one project the project GS 696 to remain within small however applicable scale limits and hence the DoE closed the methodological restrictions / findings finally. CDM rules resulted in them getting disintegrated into two VPAs subsequently. 11 July Initial discussions with Climate Secure Please refer email that refers to https://db.tt/ANciKYJ4 2014 Services for developing PoA/upgrading GS the proposal shared between CSS 696 to a PoA and Orb Energy to develop a PoA covering all scopes outside GS 696. 31 May Submission of PoA documents to GS for https://db.tt/0KVymF3 2015 PFA. K

Thus, while carbon credits were envisaged for the entire set of operations since its very beginning, the challenges involved with developing carbon offset documentation (limit of SSC meth, absence on PoA framework to support pan India boundary) proved prohibitive towards successfully registering the documentation at pan India scale.

Thereafter, the PP always wanted to expand the GS 696 to a pan India level. However, depletion of carbon markets and separation of JP Morgan as a project sponsor (and carbon credit buyer) affected the plans to develop the same. In Jan 2014 the first issuance of the project took place post GS registration and the negotiations on developing /upgrading to PoA started soon after that (email dated 11 July 2014) wherein the first version of the service agreement between Orb and CSS was exchanged.

Therefore, aforesaid chronology of events shows credible and serious prior carbon consideration for the business as a whole and shall not be deemed as being specific to VPA 02 only.

SECTION E. Outcome of the stakeholder consultation process at PoA level

E.1. Assessment of stakeholder comments

The PoA is retroactive in nature. As per clause VIII.b.4 GS requirements 2.2:

Project Representatives submitting a project for retroactive registration shall NOT conduct a LSC per se but instead must apply for a Pre-feasibility Assessment in accordance with the procedure provided in Toolkit section T.2.5. The outcome of the pre-feasibility assessment provides information on what complementary stakeholder consultation shall be conducted.

Orb has conducted one physical Local stakeholder consultation for the already registered GS project. As this PoA is an extension of the project (GS 696) hence a new LSC is not required to be conducted. PP shall conduct a virtual SFR as per GS PFA review findings.

E.2. Stakeholder Feedback Round (in case LSC is done at PoA level)

Consultation method

The SFR was conducted at the PoA as well as VPA level by contacting stakeholders via email and phone. The feedback round involved inviting reviews/feedback from various stakeholders’ including, but not limited to the following: • Host country DNA • Gold Standard Representatives • GS NGO Supporters • Local NGOs, Self Help Groups, MFIs involved in the VPAs • Representatives of private institutions / Corporate houses involved in the VPAs • Local people impacted by the project During SFR, a non-technical summary for the VPAs (in Five languages i.e. English, Hindi, , Telugu and Marathi) including the link to VPA-DDs and VPA passports was circulated to all stakeholders along with a feedback questionnaire. Feedback was invited from relevant stakeholders on 10 November 2015 providing a period of 60 days for submitting reviews and feedback. Reminders were sent to the identified stakeholders on 08 December 2015 subsequently. A final reminder was sent on 4 January 2016 as an active measure to extract maximum response from stakeholders. Finally, a SFR closure notification was sent to all stakeholders on 11 January 2016. Refer below the snapshots of emails / reminders sent to relevant stakeholders. During the SFR round, phone calls were made to actively involved stakeholders in the PoA / VPAs to give their feedback. In total 111 stakeholders provided their feedback during the SFR round.

Non Technical Summary distributed:

The non-technical summary was distributed in 5 languages. For details refer the following annexure:

3. Annexure 1: Non technical summary in English 4. Annexure 2: Non technical summary in other languages

Summary of comments received

In total 111 stakeholders responded to the feedback request due to the comprehensive follow up efforts and reminders raised by Orb Energy. In general the stakeholders were appreciative of the PoA and its features and acknowledged the reduction in GHG, employment generation features of the PoA. The stakeholders liked the fact that the PoA sought detailed and comprehensive feedback on various features of the PoA.

Some users specified too much information in the Non Technical summary; however that was deemed appropriate to keep the stakeholders well informed about programme features and technology.

Few stakeholders recommended using online, electronic; SMS based monitoring systems for monitoring SD indicators. Orb Energy has implemented state of the art data management systems (ERP) to manage and record data collection at the time of installation as well as after sales services and other continuously monitored parameters. For parameters that are to be monitored on a sampling basis, field visit / telephonic interviews shall be conducted as deemed appropriate.

One particular stakeholder (supplier) i.e. Southern Batteries recommended monitoring of proper disposal of lead acid batteries as improper disposal can create environmental hazard. For this purpose, the disposal of batteries has already been developed as a SD monitoring parameter. The users are encouraged to return the damaged / expired batteries back to Orb Energy against which new battery is issued against some discount. Orb has an understanding with the battery supplier wherein all such batteries received are either salvaged or replaced with new batteries (at a price). Thus, the SD monitoring plan adequately covers this feedback

For details refer the following annexure: 1. Annexure 3: SFR feedback forms suppliers 2. Annexure 4: SFR feedback forms others
