Transwestern Commercial Services New York, LLC and its affiliate Transwestern Commercial Services L.L.C. (collectively “Transwestern”) is the exclusive listing broker for 180 Old Hook Road, Westwood, New Jersey (“Property”). You have expressed a serious interest in evaluating the purchase of the Property from Rockland Coaches Inc. (“Seller”). In order to facilitate your review and evaluation of the Property and to enable you to make a decision whether to present a proposal for the purchase of the Property, Seller is furnishing to you with certain information concerning the Property. All information provided to you regarding the Property, and any and all information developed therefrom by or for you or any of your Representatives (as hereinafter defined), whether in written, electronic, verbal or other form, are collectively referred to as the “Evaluation Materials”.

By executing this agreement, you hereby acknowledge that the Evaluation Materials are confidential and proprietary in nature and further agree as follows:

1. The Evaluation Materials will be used solely for the purpose of determining whether you wish to submit to the Seller a proposal to purchase the Property and shall not be used in any way for your own private or commercial purposes or otherwise in a manner detrimental to the Seller.

2. The Evaluation Materials shall not, directly or indirectly, be disclosed to, or discussed with any individual, corporation, partnership or other person or entity, except for your directors, officers, employees, if applicable, and/or your financial and legal advisors (collectively “Representatives”) whose knowledge of such Evaluation Materials is necessary to enable you to evaluate the Property; provided, however, that you shall first obtain the specific approval of the

Confidentiality Agreement 1 180 Old Hook Road, Westwood, New Jersey Seller before disclosing any Evaluation Materials to any Representative other than a director, officer or full-time employee of your company.

3. Prior to disclosing any Evaluation Materials to any of your Representatives, you shall obtain their agreement and undertaking to maintain and preserve the confidentiality of such Evaluation Materials and to comply with each of the terms and provisions hereof and, in the event of any breach of those agreements and undertakings by any of your Representatives, you hereby agree to be bound thereby and responsible therefor.

4. Except as required by law, neither you nor any of your Representatives shall disclose to any third party that the Evaluation Materials have been made available to you or that the Property is for sale and prior to any disclosure required by law you shall notify the Seller of the proposed disclosure, the person or entity to whom the proposed disclosure is to be made and the contents thereof in sufficient time to permit the Seller to obtain an appropriate protective order or other satisfactory assurance of confidential treatment of the information or materials to be disclosed.

5. If at any time you or the Seller decide to terminate your evaluation of the Property, upon request of the Seller, you shall promptly return to the Seller or destroy all Evaluation Materials, including all notes, reports and other materials prepared by or for you or any of your Representatives relating to the Property, whether in your possession or in the possession of any of your Representatives; and you shall certify to the Seller in writing that all such Evaluation Materials and other materials have been so returned or destroyed.

In addition to the foregoing, you acknowledge and agree that all Evaluation Materials are the exclusive property of the Seller, and that the Seller may be harmed irreparably by violation of this agreement; that the use of the Evaluation Materials for Property purposes by any person or entity in violation of this agreement could enable that person or entity to compete unfairly with the Property. In the event that you become aware of any breach of the confidentiality of, or any misappropriation of, any of the Evaluation Materials, you agree to give prompt written notice of such circumstances to the Seller. You also agree that the Seller shall be entitled to injunctive relief, to enforcement of this agreement by specific performance and to damages in the event of any such breach.

Although the Seller has endeavored to include in the Evaluation Materials only information concerning the Property that is believed to be reliable and relevant for purposes of your evaluation, the Seller and Transwestern make no representation or warranty as to the reliability, completeness or accuracy of the information contained in the Evaluation Materials. You hereby agree that neither the Seller or Transwestern, nor any of its officers, directors, partners, employees or agents shall have any liability to you or to any of your Representatives arising from any use by you or your Representatives of the Evaluation Materials.

Anything herein to the contrary notwithstanding, the term “Evaluation Materials” shall not include any information which (i) is or becomes generally available to the public other than

Confidentiality Agreement 2 180 Old Hook Road, Westwood, New Jersey as a result of any disclosure by you or any of your Representatives in violation of this agreement, or (ii) was or becomes available to you on a non-confidential basis from a source, other than the Seller or its representatives, who is not otherwise bound by any confidentiality agreement with the Seller or any of its representatives or is not otherwise prohibited from disclosing that information to you or to any of your Representatives.

In the event you proceed to acquire the Property, you shall be solely responsible to pay your representatives, if any, including any real estate broker who represented your interests as the buyer of the Property. Neither the Seller, nor Transwestern, shall have any liability to any of your representatives.

This agreement shall survive any termination of your evaluation of the Property; shall be binding upon you and your successors and assigns; and shall be governed by and construed in accordance with the laws of the State of New Jersey.
