November 19, 2015 iii Abstract MODERATING EFFECTS OF INSTITUTIONAL LOGICS ON STRATEGIC RESPONSE TO COERCIVE INSTITUTIONAL CHANGE Leon Weeks, PhD The University of Texas at Arlington, 2015 Supervising Professor: Susanna Khavul Using institutional theory, the study examines the relationship between compliance behaviors and attitudes of small business owners and managers toward external coercive institutional change pressures. Organizations can experience conflicting institutional pressures (Pache & Santos, 2010). Variation in change pressures suggest heterogeneous impacts from institutional demands for change (e.g. Herremans, Herschovis, & Bertels, 2009). This study traces Internal Revenue Service regulatory, normative and cognitive-cultural changes targeting the tax preparation industry and examines the relationship between owner/manager attitudes about the changes and their compliance behaviors. Additionally, this study traces the historical development of commercial and professional institutional logics in tax preparation and further examines the moderating effect of the two logics on the Hickman* & Gerald Kerska† Should Treasury regulations and IRS guidance documents be eligible for pre-enforcement judicial review? The D.C. Circuit’s 2015 decision in Florida Bankers Ass’n v. U.S. Department of the Treasury puts its interpretation of the Anti-Injunction Act at odds with both general administrative law norms in favor of pre-enforcement review of final agency action and also the Supreme Court’s interpretation of the nearly identical Tax Injunction Act. A 2017 federal district court decision in Chamber of Commerce v. IRS, appealable to the Fifth Circuit, interprets the Anti-Injunction Act differently and could lead to a circuit split regarding pre-enforcement judicial review of Treasury regulations and IRS guidance documents. Other cases interpreting the Anti-Injunction Act more generally are fragmented and inconsistent. In an effort to gain greater understanding of the Anti-Injunction Act and its role in tax administration, this Article looks back to the Anti- Injunction Act’s origin in 1867 as part of Civil War–era revenue legislation and the evolution of both tax administrative practices and Anti-Injunction Act jurisprudence since that time.   • Taxes, Investment, and Capital Structure: a Study of U.S
    Taxes, Investment, and Capital Structure: A Study of U.S. Firms in the Early 1900s Leonce Bargeron, David Denis, and Kenneth Lehn◊ August 2014 Abstract We analyze capital structure decisions of U.S. firms during 1905-1924, a period characterized by two relevant shocks: (i) the introduction of corporate and individual taxes, and (ii) the onset of World War I, which resulted in large, transitory increases in investment outlays by U.S. firms. Although we find little evidence that shocks to corporate and individual taxes have a meaningful influence on observed leverage ratios, we find strong evidence that changes in leverage are positively related to investment outlays and negatively related to operating cash flows. Moreover, the transitory investments made by firms during World War I are associated with transitory increases in debt, especially by firms with relatively low earnings. Our findings do not support models that emphasize taxes as a first-order determinant of leverage choices, but do provide support for models that link the dynamics of leverage with dynamics of investment opportunities. ◊ Leonce Bargeron is at the Gatton College of Business & Economics, University of Kentucky.     DID CONSTITUTIONS MATTER DURING THE AMERICAN CIVIL WAR? SUKRIT SABHLOK Monash University, Australia Abstract: The question of why the Confederate States of America lost the American Civil War has been extensively discussed, with scholars such as Frank Owsley and David Donald arguing that constitutional text and philosophy – and a preference for local over central government action – constrained the CSA’s options and therefore prospects for victory. While Owsley and Donald’s portrayal of a government hindered by constitutional fidelity has been countered by Richard Beringer, Herman Hattaway and William Still, who have pointed out that the Confederate government grew in size and scope during the war in spite of apparent legal restrictions, there has been limited examination of the factual basis underlying the thesis that constitutions functioned as a restraint. This paper addresses the US Constitution and the Confederate Constitutions (provisional and final) with special attention to how certain provisions and interpretive actions may have constrained the central government in the realm of economic policy. I find that both documents were not clearly relevant due to being inconsistently obeyed. The Confederacy disregarded provisions relating to fiscal, monetary and trade policy, even though it is likely that adhering to its Constitution in these areas could have strengthened its position and allowed it to supply its armies more adequately. It is likely that non-constitutional discretionary factors primarily account for the Confederacy’s defeat.     THE FIRST NATIONAL INCOME TAX 1 The First National Income Tax, 1861–1872 SHELDON D. POLLACK* ABSTRACT During the first months of the American Civil War, an important political debate played out in the U.S. Congress over how to restructure the nation’s system of public finance and taxation. The fiscal crisis occasioned by the mili- tary conflict forced Republican leaders (who dominated our national political institutions) to adopt drastic and controversial measures including the expan- sion of public borrowing, the issuance of a national paper currency (so-called Greenbacks), and the adoption of a national income tax. To be sure, there was widespread resistance within the Republican Party to all of these proposals— most particularly, the income tax. Unsurprisingly, conservative Republicans from the Northeast adamantly opposed the impost. Despite this opposition, a majority of Republicans eventually acquiesced to this “odious” tax based on the need to fund the Union war effort. A number of key Republican leaders in Congress preferred this impost over the alternatives (in particular, a national land tax), casting their arguments in favor of the income tax in terms of “equity,” “justice,” and “fairness.” Based on their support, Congress approved a national income tax, signed into law by President Lincoln on August 5, 1861. While the war effort was largely funded by public borrow- ing and increases to tariff rates, the income tax made a modest contribution to financing the Northern military campaign and emerged as an important component in the reconstituted wartime fiscal system. Although the impost was allowed to expire soon after the resolution of the military conflict, the Civil War income tax served as the model for the modern income tax enacted by Congress more than 40 years later.

    1861 *I865 Financing the Civil War The Civil War marked a pivotal period in the history of the Committee of Ways and Means: With the end of the war, the overburdened com- mittee’s jurisdiction over appropriations and banking also came to an end. The chairman during this period, Republican Thaddeus Stevens of Pennsylvania, was the dominant leader in the House. He delegated authority within the committee to subcommittees on revenue and on banking and currency, while the chairman retained personal control over appropriations matters. The committee originated most of the important tax, appropriations, and currency bills in the two war Con- gresses. In the process, the committee reported legislation that raised the protective tariff to its highest levels ever to that time, that institut- ed the first federal income tax, and that authorized the first national paper currency.
