Publication Template REPORT The Law Reform Commission is an independent statutory body established by the Law Reform Commission Act 1975. The Commission’s principal role is to keep the law under review and to make proposals for reform, in particular by recommending the enactment of legislation to clarify and modernise the law. This includes the Legislation Directory (an electronically searchable index of amendments to Acts and statutory instruments), a selection of Revised Acts (Acts in their amended form rather than as enacted) and the Classified List of Legislation in Ireland (a list of Acts in force organised under 36 subject- matter headings). Since it was established, the Commission has published over 190 documents (Working Papers, Consultation Papers, Issues Papers and Reports) containing proposals for law reform and these are all available at www.lawreform.ie. Most of these proposals have contributed in a significant way to the development and enactment of reforming legislation. The Commission’s role is carried out primarily under a Programme of Law Reform. Its Fourth Programme of Law Reform was prepared by the Commission following broad consultation and discussion. In accordance with the 1975 Act, it was approved by the Government in October 2013 and placed before both Houses of the Oireachtas. The Commission also works on specific matters referred to it by the Attorney General under the 1975 Act. The Commission’s Access to Legislation project makes legislation in its current state (as amended rather than as enacted) more easily accessible to the public in three main outputs: the Legislation Directory, the Classified List and the Revised Acts. The Legislation Directory comprises electronically searchable indexes of amendments to primary and secondary legislation and important related information. The Classified List is a separate list of all Acts of the Oireachtas that remain in force organised under 36 major subject-matter headings. Revised Acts bring together all amendments and changes to an Act in a single text. The Commission provides online access to selected Revised Acts that were enacted before 2006 and Revised Acts are available for all Acts enacted from 2006 onwards (other than Finance and Social Welfare Acts) that have been textually amended. ii MEMBERSHIP The Law Reform Commission consists of a President, one full-time Commissioner and three part-time Commissioners. Bulgaria There is a general reference to the Contracts and Obligations Act and the Commercial Act as to the conclusion of contracts, offer and acceptance and other general civil/commercial law rules. Art.184 Code for the Insurance: An insurance contract shall be concluded in writing in the form of an insurance policy or of another written act. The written proposal or request addressed to the insurer concerning the conclusion of an insurance contract or written replies of the insured to queries made by the insurer with regard to circumstances of importance to assessing the nature and amount of risk, shall form an integral part of the insurance contract. The written form is deemed observed in cases where the contract has been drawn up in the form of an electronic document. The insurance contract may also be concluded through the means of long distance communication if this has been provided for by law. Art.261, para.1 Code for the Insurance: Compulsory third party motor insurance contract has the form of an insurance policy and a mark issued by the Guarantee fund. The insurance policy is a special form printed in accordance with the procedure for printing securities. Croatia Pursuant to Article 925 of the Civil Obligations Act the insurance contract shall be concluded only when the application concerning the insurance has been accepted. The contract shall be concluded by consensus of both parties, and after the conclusion of the insurance contract, the insurer shall immediately provide the policyholder with a clearly written up and signed insurance policy or any other document relating to insurance (covering note, etc.) Only exceptionally a written form of the insurance contract is required, since the contract shall be considered concluded when signed by the insurer and the policyholder.

Business groups exist in developed markets also: Britain since 1850 Geoffrey Jones Harvard Business School November 2015 Abstract Diversified business groups are well-known phenomenon in emerging markets, both today and historically. This is often explained by the prevalence of institutional voids or the nature of government-business relations. It is typically assumed that such groups were much less common in developed economies, and largely disappeared during the twentieth century. This working paper contests this assumption with evidence from Britain between 1850 and the present day. During the nineteenth century merchant houses established business groups with diversified portfolio and pyramidal structures overseas, primarily in developing countries, both colonial and independent. In the domestic economy, large single product firms became the norm, which over time merged into large combines with significant market power. This reflected a business system in which a close relationship between finance and industry was discouraged, but were there few restrictions on the transfer of corporate ownership. Yet large diversified business groups did emerge, which had private or closely held shareholding and substantial international businesses. The working paper argues that diversified business groups added value in mature markets such as Britain.

    August 31, 2016 Insurance Recovery and Counseling Practice The U.K. Insurance Act of 2015: An Update By Matthew L. Jacobs On August 12, 2016, the Insurance Act of 2015 (“the 2015 Act”)[1] went into effect for new insurance contracts or variations to existing policies made within the United Kingdom (“U.K.”).[2] It covers all “non-consumer insurance contracts,” meaning any contract that is either taken out by a non-individual policyholder or that is “entered into wholly or in significant part for trade, business[,] or professional reasons.”[3] The 2015 Act comes after a corollary reform of consumer insurance contract law in 2012 and implements many of the Law Commission’s recommendations regarding the non-consumer insurance sector.[4] With the exception of a flat ban on “basis of the contract” clauses, as discussed below, the 2015 Act provides a default regime that permits parties to contract out, subject to the statute’s transparency requirements. I. Background The 2015 Act is an integral step in the United Kingdom’s efforts to update and codify insurance law in a way that both respects longstanding common law principles and reflects the needs of the modern era. It builds from and refines the Marine Insurance Act 1906 (“the 1906 Act”), which has been applied over time to provide the foundational common law principles for insurance law in the United Kingdom.[5] As part of its effort to offer a stable, yet flexible statutory baseline that courts may continue to develop in coming years, the 2015 Act both adds new provisions and amends parts of the 1906 Act as well as other related statutes.[6] II.
