RESOLUTION NO. _____ OF 2020 2 Town of New Scotland,

RESOLUTION APPROVING AMENDMENT TO INTERMUNICIPAL AGREEMENT REGARDING STORMWATER MANAGEMENT

A meeting of the Town Board of the Town of New Scotland, Albany County, New York was convened in public session at the Town Hall located at in 2029 New Scotland Road, Slingerlands, New York 12159 on January 8, 2020 at 7:00 o'clock p.m.

WHEREAS, the Town is subject to the Municipal Separate Storm Sewer Systems (MS4)

SPDES General Permit administrated by the New York State Department of Environmental ATTACHMENT Conservation; and

WHEREAS, the municipalities have negotiated and executed an inter-municipal cooperative agreement pursuant to General Municipal Law Article 5-G, effective January 1, 2018 to terminate December 31, 2022; and

WHEREAS, the municipalities support a shared services approach to MS4 Permit compliance; and

WHEREAS, the Coalition Board of Directors has determined that amendments are necessary to the existing inter-municipal cooperative agreement;

NOW, THEREFORE, BE IT RESOLVED, that the Town hereby authorizes the Town Supervisor to execute the amended inter-municipal agreement attached as Exhibit A to this Resolution on behalf of the Town of New Scotland. This Resolution will take effect immediately.

ALBANY COUNTY INTER-MUNICIPAL AGREEMENT AND MEMORANDUM OF

UNDERSTANDING TO CONTINUE AN EXISTING COALITION FOR COOPERATION ON

ISSUES RELATED TO STORM WATER MANAGEMENT

1.0 Purpose and Authority

This Agreement is authorized pursuant to Article 5-G of the General Municipal Law, as it applies to municipalities. For those regulated Non-Traditional MS4s which are not municipalities, this

Agreement serves as a memorandum of understanding between municipal and non-municipal signatories. Its purpose is to foster cooperation and to provide for the provision of joint services related to compliance with the requirements of the MS4 program established under state and federal law specifically, and for matters related to protecting water quality and managing storm water more generally.

2.0 Definitions

For purposes of the Agreement, the following terms are defined:

2.1 “Additional Services” shall mean services in addition to the Basic Services which are approved by the Board of Directors; these are provided to interested Members for the duration of this Agreement.

Such Members pay separately for these services and the services are provided by an Additional Services dedicated Coalition staff person. At this time, the present interested Members in securing additional services are: (1) the City of Cohoes, (2) the Village of Menands, (3) the City of Watervliet, and (4) the

Town of New Scotland.

2.2 “Basic Services” shall mean those services available to all Members.

2.3 “Board of Directors” shall mean the governing board of the Coalition, comprised of one (1) representative from each Member.

2.4 “Coalition” or “Stormwater Coalition of Albany County” shall mean the group of municipalities

and other governmental entities that are parties to this Agreement.

2.5 “Coalition Account” shall mean the account which holds all funds of the Coalition.

2.6 “Coalition Stormwater Program Director” shall mean the staff person responsible for the day-to-

day business of the Coalition and implementing the Work Plan.

2.7 “Director” shall mean an individual serving on the Coalition Board of Directors.

2.8 “Grant Account” shall mean any account which is created by the Chief Fiscal Officer of the

County to maintain funds provided to the Coalition through grants to the Host.

2.9 “Host” means Albany County.

2.10 “Host Liaison” shall mean a person appointed by the Host’s Chief Executive Officer who attends

Board of Director meetings and serves as a liaison between the Host and the Coalition.

2.11 “MS4 Program” shall mean the municipal separate storm sewer system program established

under federal and state law.

2.12 “Member” or “Members” shall mean any dues paying entity which serves on the Coalition Board

of Directors.

2.13 “Membership Fee” shall mean the total amount of annual dues paid by a Member.

2.14 “Municipality” shall mean any village, town, or city within Albany County.

2.15 “Non-MS4 Municipality” shall mean any municipality in Albany County that is not subject to the

MS4 Program.

2.16 “Non-Traditional MS4” shall mean any government entity wholly or partially in Albany County

subject to the MS4 Program that is not a Traditional MS4, including state and federal prisons,

office complexes, hospitals, state transportation agencies, university campuses, public housing

authorities, schools, other special districts.

2.17 “Signatory” shall mean the individual authorized by each Member or Supporter to enter into

contracts.

2.18 “Staff Support Supplement” shall mean discretionary sums provided to the Coalition by Albany

County from the General Fund for Basic Services so that the Coalition’s compliance programs

can continue uninterrupted. The amount is not to exceed one hundred thousand and 00/100

($100,000) annually.

2.19 “Statement of Intent” shall mean a written statement from an individual Member indicating

their commitment to continue as a paying Member at the amount approved by the Board of

Directors for the upcoming fiscal year.

2.20 “Supporters” shall mean an entity not subject to the MS4 permit who wishes to join the

Coalition upon its own initiative.

2.21 “Traditional MS4” shall mean any city, town, or village in Albany County subject to the

requirements of the MS4 program and the County of Albany.

2.22 “Working Group” shall mean the group of representatives appointed by individual Members to

implement the Work Plan.

2.23 “Work Plan” shall mean the annually prepared document approved by the Coalition Board of

Directors which shows projected services and related activities for the upcoming fiscal year.

3.0 Parties to the Agreement

3.1 Current Members.

Traditional MS4s who participated in the fully executed inter-municipal agreement titled

“ALBANY COUNTY INTER-MUNICIPAL AGREEMENT AND MEMORANDUM OF

UNDERSTANDING TO CONTINUE AN EXISTING COALITION FOR COOPERATION ON

ISSUES RELATED TO STORM WATER MANAGEMENT” effective June 25, 2019, are current

Members of the Coalition. Current Members include: Albany County, City of Albany,

Town of Bethlehem, City of Cohoes, Town of Colonie, Village of Green Island, Town of

Guilderland, Village of Menands, Town of New Scotland, Village of Voorheesville, City of

Watervliet, and the University at Albany—SUNY.

3.2 Additional Members.

Membership in the Coalition will also be available to Non-Traditional MS4s which are

not municipal corporations, newly regulated MS4s, and Non-MS4 Municipalities. Any such

entity desiring to become a Member will present a statement indicating their interest to

become a Member of the coalition and commitment to abide by the terms of this Agreement.

For Non-Traditional MS4s, the statement is signed by the individual authorized to enter into

contracts and the individual (by job title) who signed the MS4 Permit Notice of Intent. For

Traditional MS4s, the resolution is authorized by a majority vote of the voting strength of its

governing body, and then signed by the Chief Elected Official, or their designated

representative. Upon receiving a majority vote of the Coalition Board of Directors, such an

entity will then execute the Agreement and become a Member.

3.3 Rights of Members.

All Members will have the following rights under the Agreement:

a. Access to all Basic Services on the same basis.

b. The Option to secure Additional Services

c. Attendance and participation in all meetings of the Coalition and of its Working

Groups, committees, and subcommittees.

d. Access to all financial information concerning the operation of the Coalition.

e. The ability to cast a single vote on all issues before the Board of Directors.

3.4 Non-Traditional MS4s Not Eligible For Membership

If, for whatever reason, a Non-Traditional MS4 may not be eligible to participate as a

voting Member serving on the Board of Directors, to the extent that such a Non-Traditional MS4

and Coalition can enter into contracts, the Board of Directors may contract with a Non-

Traditional MS4 upon such terms and conditions as it determines appropriate.

3.5 Participating Entities Not Subject to the MS4 Program.

At the request of an entity that is not subject to the MS4 Program or on its own

initiative, the Board of Directors may invite any such entity to participate in some or all of the

Coalition’s activities upon terms it determines appropriate. Such terms may involve charging a

fee to participate in Coalition activities, with participation and fees both subject to approval by

the Board of Directors. The purpose of these fees is to cover the direct and indirect costs of the

activity, and the activities must be a component of the adopted Coalition Work Plan. Such

entities may also contribute tangible, non-monetary support to the Coalition.

4.0 Basic Services of the Coalition.

4.1 The Parties agree that the Coalition will perform the following Basic Services:

a. Serve as a clearinghouse for information concerning the MS4 Program and stormwater

management by conducting Working Group Meetings, preparing and maintaining the

Coalition’s website, and facilitating the routine sharing of stormwater experiences and

expertise.

b. Contract for the provision of services and the purchase of goods in support of its purposes.

The procurement of any services will comply with the requirements of General Municipal

Law.

5 c. Subject to the approval of the municipal sponsors: apply for, administer, and implement

grants on behalf of its Members related to the MS4 Program or stormwater management

more generally. d. Assist in the preparation and submission of a joint annual report to NYSDEC as allowed in

the most current MS4 permit. e. Provide for the development, distribution, and annual review of a joint stormwater

management program documents which may describe Best Management Practices and

Measurable Goals pertaining to the MS4 permit compliance. f. Implement MS4 permit requirements collaboratively for the purpose of individual MS4

permit compliance. g. Implement MS4 permit requirements for individual Members provided the services do not

impact the delivery of Basic Services for all Members. h. Represent Members’ interests. i. Provide support for regulatory audits. j. Develop long term, sustainable funding mechanisms for all aspects of the MS4 Program. k. Identify issues of growing concern and recommend approaches to investigating and

addressing them. l. Support CSO permit implementation where mandated Best Management Practices shall

duplicate or be similar to mandated MS4 permit Best Management Practices. m. Support MS4 program implementation based on watershed boundaries. n. Manage Coalition operations. o. Support shared stormwater and related water infrastructure mapping across Member

jurisdictional boundaries.

p. Support the collection and analysis of stormwater program inspection data across Member

jurisdictional boundaries.

5.0 Board of Directors.

5.1 A Board of Directors will be established consisting of one (1) representative of each Member,

each such representative being known as a Director. The governing board of each Coalition

Member, if a Traditional MS4 or Non-MS4 municipality, shall designate a permanent

representative and one (1) or more alternates (as it shall see fit) to serve on the Coalition for a

period of one (1) year or such other period determined by the Member. In the event no

permanent representative or alternate has been designated, or no designated permanent

representative or alternate is able to act, the supervisor of the town, or mayor of the village or

city, or the Chief Executive Officer, as the case may be, or their designee shall serve as the

representative to the Coalition. If a Non-Traditional MS4, the individual responsible for signing

the MS4 Permit Notice of Intent shall designate a permanent representative and one or more

alternates (as it shall see fit) to serve on the Coalition for a period of one (1) year or such other

period determined by the Member.

5.2 The Host will appoint a representative to serve in an advisory capacity to the Board of Directors

and Coalition Stormwater Program Director. They will be appointed by the Host Chief Executive

Officer and their title shall be Host Liaison.

5.3 Each Director shall have one (1) vote. A majority vote of the total number of Directors will be

necessary to pass any resolution.

5.4 At the first Board Meeting of the fiscal year, the Board of Directors will select a chairperson and

alternate chairperson of the Coalition. The chair will help guide Coalition operations, address

personnel issues, facilitate Board meetings, and assist the Coalition Stormwater Program

Director as needed. When the chairperson is absent, the alternate chairperson will provide

these services.

5.5 A majority of the total number of Directors will constitute a quorum and no business of the

Board of Directors will be conducted without a quorum.

5.6 Meetings of the Board of Directors will be subject to the Open Meetings Law.

5.7 The Board of Directors will keep and provide minutes of its meetings.

5.8 Approval of the Board of Directors is needed for the following actions by the Coalition:

a. Adoption of the annual Work Plan and budget.

b. All personnel decisions.

c. Application for grants.

d. Adoption and amendment of bylaws.

e. Approval of contract awards.

f. Authorization to make a contract and purchase payments in excess of five thousand

($5,000.00) dollars.

g. Provision of policy direction and oversight for the Coalition Stormwater Program Director.

h. Approval of Members receiving Additional Services.

i. Permit entities that are not eligible for Coalition Membership to participate in Coalition

activities.

j. Any other action for which this Agreement requires Board of Directors approval.

6.0 Coalition Stormwater Program Director and Other Employees.

6.1 The Board of Directors will appoint the Coalition Stormwater Program Director, subject to

consensus with the Host. The Coalition Stormwater Program Director will be responsible for the

day-to-day business of the Coalition under the direction of the Board of Directors.

6.2 The Board of Directors may appoint such other part-time and full-time employees of the

Coalition as may be funded in the Annual Budget, subject to consensus with the Host. The

Staffing Support Supplement provided by the County of Albany shall be used to provide for

additional personnel employed to provide Basic Services to the Members

6.3 All such employees will be entitled to the same benefits as non-union employees of the County

of Albany, including the making of employer’s contributions for retirement, social security,

health insurance, worker’s compensation, and other similar benefits.

6.4 The cost of all salary and benefits for any such employee will be an expense of the Coalition.

6.5 Additional Services shall be provided to Members who choose to pay additional fees to the

Coalition for those services. These services shall be provided by an Additional Services

dedicated Coalition staff person and managed by the Coalition’s Stormwater Program Director.

6.6 All such employees will be deemed employees of the County of Albany. The Coalition will

establish any such position through the Department of Civil Service of Albany County, to be

updated as needed.

7.0 Finances of the Coalition.

7.1 The Chief Fiscal Officer of the County of Albany will have custody of all funds of the Coalition.

7.2 Funds of the Coalition shall be deposited in a separate account which shall only be used for

Coalition expenses, referred to as the Coalition Account.

7.3 Funds provided to the Host as detailed in grant contracts may be deposited into a separate

account which may only be used for grant expenses, referred to as the Grant Account.

7.4 The Chief Fiscal Officer of the County of Albany has the authority to dispense funds from the

Coalition Account for all personnel expenses, all non-personnel expenses of five thousand

($5,000) or less upon the review and audit of proper documentation for such expenses and all

non-personnel expenses in excess of five thousand ($5,000.00) upon the authorization of the

Board of Directors. No funds will be dispensed unless they are within the overall budget

expenditure adopted by the Board of Directors and unless the obligation was incurred in

accordance with applicable procurement policies, if any.

7.5 All funds collected as Membership Fees or fees for Additional Services are the property of the

Coalition. They will be delivered to the Chief Fiscal Officer of the County of Albany for deposit

into the Coalition Account. The Staffing Support Supplement is managed administratively by the

Chief Fiscal Officer of the County of Albany and the Commissioner of Management and Budget.

7.6 The Coalition will not incur any obligations which cumulatively exceed the budget allocations for

any given fiscal year.

8.0 Budget and Work Plan

8.1 The fiscal year of the Coalition will be from January 1 to December 31.

8.2 On or before June 25 of each year, the Coalition Stormwater Program Director will provide a

proposed budget to the Board of Directors together with a proposed Work Plan.

8.3 The proposed budget will show the projected cost of all Coalition activities for Basic Services and

Additional Services for the upcoming fiscal year, the projected amount of grant funds that will

be received during the upcoming fiscal year, any other non-local income, the projected amount

of the Staffing Support Supplement, and the amount of local income to be raised through

Membership Fees. The Membership Fee will be itemized by Coalition Member, to include fees

from Other Non-Traditional MS4 Not Eligible for Membership (3.4).

8.4 The proposed budget will separately show the in-kind services to be provided by the County of

Albany pursuant to Section 9.4 of this Agreement.

8.5 The proposed Work Plan will show the projected services and related activities for the upcoming

fiscal year and projected costs for each such activities where possible and appropriate.

8.6 The Board of Directors will approve the proposed budget and Work Plan as submitted or make

such modifications as it determines are necessary.

8.7 When the proposed budget is approved, the Coalition Stormwater Program Director will finalize

the amount of fees owed by each Member for the Basic Services pursuant to Article 9.0 of this

Agreement and for all Additional Services requested by a Member. The Coalition Stormwater

Program Director will send a letter to the Chief Executive Officer of such Member on or before

July 15 with such information, or as soon as possible thereafter.

8.8 On or before August 15, the governing body of each Member will send a Statement of Intent to

the Coalition indicating whether it intends to continue its Membership for the upcoming fiscal

year.

9.0 Membership Fee.

9.1 The Members will make payments to the Coalition on the following basis, subject to change as

adopted by the Coalition Board of Directors:

Base Fee for Traditional MS4 other than Albany County $3,500.00

Base Fee for Albany County $7,000.00

Base Fee for Non-Traditional MS4 $3,500.00

Base Fee for Non-MS4 Municipalities $1,750.00

Members may pay a supplemental fee. If so, the supplemental fee will be paid by the Members

based on the following point system and formula.

Each Traditional MS4 except Albany County is designated a number of points based on the

following system:

Total Population. In the case of Towns that have Villages that are separate Current

Members, the population will be based on the population of the Town, excluding that

Village.

Population is based on the most recent census figures.

50,000+ 3 points

25,001 to 50,000 2 points

7,501 to 25,000 1 point

Up to 7,500 0 points

Total Square Mileage in MS4 Designated Areas. In the case of Towns that have Villages that are separate Current Members, the total square mileage will be based on the square mileage in the MS4-designated area of the Town, excluding that Village.

30 sq. miles+ 2 points

10-30 sq. miles 1 point

Up to 10 sq. miles 0 points

Additional Points. For the purpose of funding Basic Services, Members may agree to a

Member-wide increase of equal point value to be assigned to all Members. These additional points are added to the Traditional MS4 “points” system to calculate total points for a given budget year. The value of each point will be calculated by reducing the budget by the amount of the total base fees paid by all Members. The remainder will be divided by the total number of points associated with all methods for determining points. This is the price per point.

The supplemental fee for each Member will be the price per point times the number of

points for each Member.

The annual Membership Fee for each Member is the base fee plus any supplemental

fee, plus Additional Service fees for Members identified in Definitions and approved by

the Board of Directors.

9.2 Membership Fees for all Members will be due on January 31 of each year. A one percent (1%)

surcharge will be added to the fees due that are a month or more overdue. Such surcharge will

accumulate at the rate of one percent (1%) of each month or part thereof for which the fees are

overdue.

9.3 If a Member fails to pay its fees in full within six (6) months after such fees are due, the Board of

Directors may suspend the rights of such Member until payment is made in full, including any

surcharge.

9.4 In addition to its base fee and any supplemental fees, Albany County agrees to provide the

Coalition with the following in-kind services, such services to constitute a non-monetary portion

of its total Membership Fee:

Office space, furniture, and storage for Coalition records

Payroll and benefits support

Computer services

Legal support for grants, contracts, and minor questions of law

Purchasing services

Telephone and office equipment

County fleet

Budgeting

Legislative support

10.0 Role of the Host

10.1 The Host will assign to various County departments the delivery of in-kind services. The Host

Liaison as described in Section 5.2 will facilitate the delivery of these services.

10.2 Routine payroll and purchasing support services will be provided by the Albany County

Department of Public Works. Legislative action initiated by the Coalition will be communicated

and coordinated with the Host Liaison. For the purpose of communicating routine deadlines and

other matters related to County operations, the Coalition Director will be included in

Department level email lists as determined by the Host Liaison.

11.0 Working Group and Subcommittees.

11.1 Each Member will appoint one or more representatives who will participate in the Working

Group of the Coalition. That representative may also be a Director.

11.2 The Working Group will meet on a periodic basis to be determined by the Coalition Stormwater

Program Director but not less frequently then once every two months.

11.3 The Working Group will establish and abolish such subcommittees as may be needed from time

to time to handle the business of the Coalition. The Members agree to participate in good faith

on the subcommittees on which they serve.

11.4 The Coalition Stormwater Program Director will coordinate the activities of the Working Group

and its subcommittees, providing administrative support directly or through other employees of

the Coalition.

12.0 Miscellaneous Provisions

12.1 All records of the Coalition are subject to the Freedom of Information Law.

12.2 Each Member shall indemnify and hold harmless the other Members, their officers, agents, and assigns, from all liability arising as a result of its own acts and omissions regarding the activities under this Agreement.

12.3 This Agreement will be governed by and construed in accordance with the laws of the State of

New York.

12.4 This Agreement will become effective upon the execution of this Agreement by all of the interested Traditional MS4s after authorizing resolutions have been duly adopted by their governing bodies or, if not executed by all of the Traditional MS4s by September 30, 2017, the Agreement will become effective when executed by a least ten of the Current Members, after authorization resolutions have been duly adopted by their governing bodies, so long as Albany County is among those who have executed this Agreement. Any Current Member that has not executed this Agreement when it becomes effective may renew their status as a Current Member thereafter when that Current Member executes this Agreement after being duly authorized by the governing body.

12.5 Whenever an entity is admitted to Membership in the middle of the Coalition’s fiscal year, the

Board of Directors may decide to prorate the Membership Fee for such new Member and charge an administrative fee to cover the cost of updating relevant Stormwater Coalition documents.

12.6 Any Member may withdraw from the Coalition upon sixty (60) days written notice to the

Coalition Stormwater Program Director. The withdrawal of a Member will not entitle that Member to the refund of any Membership Fee.

12.7 Should an existing Member or Non-Traditional MS4 Not Eligible for Membership (See Section

3.4) choose to leave in the middle of the Coalition’s fiscal year, then return within a two (2) year period, their Membership Fee or contractual annual fee for a Non-Traditional MS4 Not Eligible for Membership, is the full amount as itemized in the budget adopted by the Board of Directors at the time of departure.

This fee is an annual charge for each fiscal year of their absence, to compensate for benefits that continued to be derived during that absence, excluding the fiscal year of their departure, due within thirty (30) days of their date of re-entry, with that date determined and approved by the Coalition Board of Directors. The Board of Directors may decide to charge an administrative fee to cover the cost of updating relevant Stormwater Coalition documents.

12.8 This Agreement may be executed in duplicate originals.

12.9 This Agreement may be amended upon the written consent of a majority of all Members, such consent to be given by their respective governing bodies in the same manner as the initial approval of this Agreement.

Legal documents include those documents pertaining to recordkeeping requirements noted in past and current NYSDEC SPDES General Permits for Stormwater

Discharges from Municipal Separate Storm Sewer System (MS4s) and documents named in grant contracts where the Host is the contractual party and the Coalition implements grant deliverables.

12.12 If not terminated earlier, this Agreement will remain in effect until December 31, 2022.

BE IT RESOLVED, by the Town Board of the Town of New Scotland, Albany County, New York (the “Town”) (by the favorable vote of not less than two-thirds of all the members of the Board) as follows:

SECTION 1. The specific purpose (hereinafter referred to as “purpose”) to be financed pursuant to this resolution is the acquisition of one (1) 2020 Mack dump truck with plow and related equipment. The maximum cost of said purpose will not exceed $206,000.

SECTION 2. The Town Board plans to finance the maximum estimated cost of said purpose by the issuance of serial bonds and/or bond anticipation notes in an amount not to exceed $206,000 of said Town, hereby authorized to be issued therefor pursuant to the Local Finance Law.

SECTION 3. It is hereby determined that the acquisition of one (1) 2020 Mack dump truck with plow and related equipment, is an object or purpose described in subdivision 28 of paragraph (a) of Section 11.00 of the Local Finance Law, and that the period of probable usefulness of said purpose is fifteen (15) years.

SECTION 4. Current funds are not required to be provided prior to the issuance of the bonds authorized by this resolution or any notes issued in anticipation of the sale of said bonds.

SECTION 5. It is hereby determined that the proposed maturity of the obligations authorized by this resolution will not be in excess of five years.

SECTION 6. The faith and credit of said Town are hereby irrevocably pledged for the payment of the principal of and interest on such bonds as the same respectively become due and payable. An annual appropriation shall be made in each year sufficient to pay the principal of and interest on such bonds becoming due and payable in such year. There shall annually be levied on all the taxable real property of said Town a tax sufficient to pay the principal of and interest on such bonds as the same become due and payable.

SECTION 7. Subject to the provisions of this resolution and of the Local Finance Law, pursuant to the provisions of Section 30.00 relative to the authorization of the issuance of bond anticipation notes or the renewals of said notes and of Section 21.00, Section 23.00, Section 50.00, Sections 56.00 to 60.00, Section 62.00, Section 62.10, Section 63.00, and Section 164.00 of the Local Finance Law, the powers and duties of the Town Board pertaining or incidental to the sale and issuance of the obligations herein authorized, including but not limited to authorizing bond anticipation notes and prescribing the terms, form and contents and as to the sale and issuance of the bonds herein authorized and of any bond anticipation notes issued in anticipation of said bonds, and the renewals of said notes, are hereby delegated to the Town Supervisor, the chief fiscal officer of the Town.

SECTION 8. The temporary use of available funds of the Town, not immediately required for the purpose or purposes for which the same were borrowed, raised or otherwise created, has been authorized by a “Notice of Intent” approved by the Town Board at a meeting held on December 17, 2019 and is therefore authorized pursuant to Section 165.10 of the Local Finance Law, for the capital purposes described in Section 1 of this resolution. The Town then reasonably expects to reimburse such expenditure with the proceeds of the bonds or bond anticipation notes authorized by Section 2 of this resolution. The “Notice of Intent” approved by the Town Board on December 17, 2019 shall constitute the declaration of the Town’s “official

-2- 044543.00000 Business 19218101v1 intent” to reimburse the expenditures authorized by Section 1 hereof with the proceeds of the bonds and notes authorized herein, as required by United States Treasury Regulation Section 1.150-2.

SECTION 9. The Town Supervisor is further authorized to take such actions and execute such documents as may be necessary to ensure the continued status of the interest on the bonds authorized by this resolution, and any notes issued in anticipation thereof, as excludable from gross income for federal income tax purposes pursuant to Section 103 of the Internal Revenue Code of 1986, as amended (the “Code”) and to designate the bonds authorized by this resolution, and any notes issued in anticipation thereof as “qualified tax-exempt bonds” in accordance with Section 265(b)(3)(B)(i) of the Code.

SECTION 10. The Town Supervisor is further authorized to enter into a continuing disclosure agreement with the initial purchaser of the bonds or notes authorized by this resolution, containing provisions which are satisfactory to such purchaser in compliance with the provisions of Rule 15c2-12, promulgated by the Securities and Exchange Commission pursuant to the Securities Exchange Act of 1934.

SECTION 11. The Town hereby determines that the acquisition of one (1) 2020 Mack dump truck with plow and related equipment is a “Type II action” that will not have a significant effect on the environment; and therefore, no other determination or procedures under the State Environmental Quality Review Act (“SEQR”) is required.

SECTION 12. The validity of said serial bonds or of any bond anticipation notes issued in anticipation of the sale of said serial bonds may be contested only if:

(1) (a) Such obligations are authorized for an object or purpose for which said Town is not authorized to expend money, or

(b) The provisions of law which should be complied with at the date of publication of this resolution are not substantially complied with, and an action, suit or proceeding contesting such validity is commenced within twenty days after the date of such publication; or

(2) Said obligations are authorized in violation of the provisions of the Constitution of New York.

SECTION 13. The Town Clerk is hereby authorized and directed to publish this resolution, or a summary thereof, together with a notice in substantially the form provided by Section 81.00 of said Local Finance Law, in the official newspaper or newspapers of the Town.

SECTION 14. This resolution is not subject to permissive referendum pursuant to Section 35.00b.(1) of the Local Finance Law and shall take effect immediately.

Stantec Consulting Services, Inc., (Stantec) is pleased to submit this Task Order Request, in accordance with our Town Designated Engineer Master Services Agreement, for services including providing a preferred recommendation of fiberglass tank repair, preparing a brief technical specification, requesting/evaluating quotes from qualified contractors, and providing an award recommendation.

PROJECT UNDERSTANDING:

Stantec was notified of an approximate 3-foot long vertical crack in the 25-year old underground 18,000 gallon fiberglass tank in the Northeast Water District. Town forces discovered the leak when noticing unusual high master meter readings at the booster station. The Town has since switched over to the Village of Voorheesville interconnect, shutting down the wells at the Northeast Water District and relying on the Village of Voorheesville to supply the Northeast Water District with potable water. This switch has resulted in a substantial increase in the cost of water supplied to the Northeast Water District. The financial burden has made this a top priority to assess the current tank condition, provide repair options, repair the tank and switch the Northeast Water District back to their own supply wells.

SCOPE OF SERVICES:

Tasks to be undertaken for Northeast Water District Underground Tank Repairs:

 Generate one technical specification for a fiberglass repair contractor to assess the existing tank condition and to repair the known vertical 3 foot crack just above the outlet pipe of the existing 18,000 gallon underground tank;

From source water identification to grant and loan development for project funding, Stantec provides full- service engineering for potable water treatment, storage and distribution. Stantec has completed design of water treatment, storage, and distribution systems including hydraulic analysis, preliminary and final design through the construction phase of the project.

Knowledge/History with Town of New Scotland

Stantec with the acquisition of Vollmer Associates has represented the Town of New Scotland from the late 1990’s to the present. We have been heavily involved with the DPW and each of the Town’s Water and Sewer Districts. In particular to this task order request, Stantec was involved with prior Northeast Water District Improvements, including treatment design to improve water quality within the cracked underground tank in 2012. Also, Stantec was the Town Designated Engineer that reviewed the Kensington Subdivision from the beginning of planning through the construction of the wells, water storage tank, and water infrastructure. This background knowledge enables us to minimize review time already knowing characteristics of both Water Districts and allows us to focus our efforts on the design task at hand.

We have provided a brief overview to demonstrate our history and prior involvements with this project and with the Town. If the Board would like any additional information regarding Stantec’s involvement, experience, or history we can provide supplemental details upon request.

Scope

Review of available town records and maps

As stated above Stantec has been involved with the Northeast and Kensington Water District for the past 20 years. Anticipated review will be to compile and organize data from previous reports and documents for option number 3 interconnecting the Northeast and Kensington Water Districts.

Feasibility Report

The Town has requested that three options be reviewed to bring the Northeast Water District back on Town of New Scotland Water Supply and a report generated comparing these three options. The options requested are as follows:

Option 1: Repair the Underground Fiberglass Tank (Northeast Water District supply and treatment system maintained)

Stantec has proceeded with preparing a technical specification and obtaining quotes from contractors at the Board’s request. This report will summarize the information obtained from the previous Task Order.

Option 2: Replace the Underground Fiberglass Tank (Northeast Water District supply and treatment system maintained)

Stantec’s approach to this option will be to obtain a quote from 2 local suppliers to provide a tank cost. Stantec assumes a replace in kind and will provide our recommendation as to whether the Town should install adjacent to the existing tank or remove and replace the existing tank.

Option 3: Connect and permanently supply the Northeast Water District via the Kensington Water District (Northeast Water District merged with Kensington Water District)

Given our familiarity with this project two possible interconnection locations will be assessed. One from Kensington to Smith Lane crossing the rail trail. The other connecting along Hilton Road where the Town has already installed a section of pipe for a future water main beneath the rail trail when Hilton Road was lowered.

o Review hydraulic model, evaluate compatibility of existing pipes and distribution system in NE for connection to Kensington

o Suitability of existing fire hydrants in NE for connection to Kensington

o Kensington tank capabilities to support full buildout of Kensington and Northeast Water District

 Potential funding options and requirements

 Summary will include a do nothing option (stay with Village of Voorheesville supply) and abandon the Northeast Water District. This will include an option at 1.25 the Voorheesville rate and an option at 2 times the Voorheesville rate.

Fee

This proposal is a lump sum fee and will be billed as percentage of completion. Reimbursable expenses associated with lump sum tasks are included within the stated budgets.

Assumptions

1. The underground fiberglass tank has one known deficiency a crack extending vertically from the outlet pipe approximately 3 feet in length and ¼ inch to ½ inch wide. Additional deficiencies will not be accounted for in this study.

2. Construction costs, schedules and associated costs such as observation and administration will be included as estimates for the 2020 season. These estimates will rely heavily on the competency of the contractor selected and will assume construction in non winter conditions.

3. Size of the Existing underground storage tank is 18,000 gallons. The replacement option will be replacing with the same tank capacity. No design drawings or sketches to be included, only basic diagram of existing conditions.

4. It is acceptable to coordinate interconnection efforts with regulating agencies on behalf of the Town such as NYSDEC and ACDOH.

5. The Town will renew Stantec’s Master Service Agreement for the year 2020 as submitted on December 6, 2019 with the updated 2020 Rate Table.

6. Efforts are anticipated to commence after the January Town Board Meeting.

7. The Town will provide the Intermunicipal Agreement with Voorheesville and the associated 2020 rates.

8. The budget estimates included above are based on our understanding and assumptions and the scope of work described previously. Invoices will be issued monthly for all services performed during that month, and are payable upon receipt.

Relevant Experience

Kensington Woods Cluster Development Review New Scotland, New York

One of our most significant contributions to the community during our technical review of the site plans, engineering reports, and environmental impact statement for this proposed 169-unit cluster development was working collaboratively with the developer to come up with water and wastewater solutions that would not only benefit the development but also provide for the community’s long-term goal of consolidating the proposed water district with an existing adjacent district and another approved subdivision.

Because the municipality had a future, long-term objective to consolidate the proposed Kensington Woods Cluster Development (KWCD) water system with the existing Northeast Water District (NEWD), we prepared a preliminary WaterCAD hydraulic model of the proposed water system to assess its capacity.

We also conducted a hydrogeologic review of the proposed production well for use as source of supply for the KWCD project as well as the future consolidated district. Protection to the existing Northeast Water District aquifer was also evaluated. We provided review and assistance on development of primary and secondary wellhead protection zones. Our work also included review of an RBC package wastewater treatment plan, sanitary pump stations, roadway design, and storm water management systems.

The developer included all of our suggestions in the plans, and those plans have been approved, giving the community the ability to enhance water quantity and quality into the future.

New Salem Water District New Scotland, New York

Creating a self-sufficient municipal water district to provide healthful, consistent, and affordable water for a community that previously had experienced low water pressure, poor quality, and uncertain availability was a challenge we eagerly undertook and a goal we skillfully achieved.

Our engineering design and funding assistance were critical elements in the consolidation of two antiquated water systems into a new public water system. Some customers had been served by a substandard groundwater spring, others by low-production private wells, while others were served directly from a 90-year old waterline owned by Bethlehem Water District. They often experienced low water pressure and poor water quality.

Our conceptual design included replacing the aging infrastructure of half the service area and providing new service to those on failing private wells. The system included over 18,000 linear feet of main, a booster pump station, and finished storage tank.

Design wasn’t the only thing we did. Because the cost of constructing and operating the new district would be prohibitively high for future users, we assisted in submitting an application to the New York Drinking Water State Revolving Fund (DWSRF), resulting in DWSRF approval for Hardship Assistance and a zero- interest loan. In addition, we assisted the Town of New Scotland in its negotiations with Bethlehem for a mutually beneficial water rate package.

Village of Rhinebeck Water Improvements Rhinebeck, New York

Stantec was contracted to perform a system-wide analysis of the Village of Rhinebeck’s aging water system and prepare Construction Documents and funding applications for Phase 1 of the improvements. The improvements consist of the replacement of approximately 2,500 lf of 6” watermain with a new 12” watermain and approximately 5,150 lf of 8” watermain will replace 4” watermains. The work will include the installation and connection of water services and restoration. Stantec worked diligently with the Village to gain WIIA Grants and DWSRF low interest loans for the Phase 1 project.

Overall, this project is exceeding expectations due to: continuous communications with the Village, foresight to hydraulically model the entire Village Water system finding additional areas of need and gaining additional funding, timely delivery of submissions, and plans to meet minority goals through our quality subcontractors.

Camp Cass Water Improvements Albany County, New York

The NYS Parks Police Academy, formerly known as Camp Cass or Cass Residential Center or Forestry Camp No. 1, was opened in 1962 and has been host to several programs. Currently, this facility supports the NYS Parks Police as a training academy during the winter months and other state agencies during the

summer months. The existing water system consisted of two wells, a 41,400 gallon welded steel standpipe, and a well pump pressure control system. Issues with water system included freezing and inadequate mixing of stored water in the standpipe, a damaged bubbler system with a repetitive history of failure, inadequate metering of water being supplied to the system making appropriate disinfectant injection rates difficult to calculate, sediment buildup on the bottom of the tank, and a failing roof system on the standpipe.

Stantec's presence during this project was in three phases: Programming Phase, Design Phase and Construction Phase. During the Programming Phase, Stantec attended orientation meetings and performed field surveys of the existing water system in addition to a structural inspection of the 10'x80' welded steel standpipe and assessment of roof damage. Condition and Performance evaluations of well pumps, treatment systems, tank bubbler system, and controls and electrical systems were also performed. At the conclusion of the Programming Phase, a Cost Opinion was created for repairs and upgrades which included recommendations for tank repair and rehabilitation, tank mixing for increased water quality and freeze protection, new meter installations and replacements, water quality treatment systems for Iron and Manganese conditions, and upgrade of tank level and well pump startup controls.

The Design Phase included the continued evaluation of system failures and water quality sampling. The alternative solution that was designed was a VFD controlled Booster Pressure System with Hydropnuematic tank storage, upgraded well controls with new gravity storage tank inside facility, and new 3" distribution water main to existing facility piping. This design required evaluation of Expected Water Demand (Fixture Based vs. Occupancy Based) and special considerations for abnormal peak periods related to Police training or facility occupancy had to be taken into consideration. Stantec also performed a Cost Benefit assessment with NYS Parks to compare existing system repair and upgrade options versus the Alternative Booster System option. Once the plans were fully developed for the Booster System option, a Request for Quotations was developed in accordance with NYS Parks procurement policies and an Albany County Department of Health Approval acquired. The Construction Phase included assisting NYS Parks with submittal review, RFI responses, and design support throughout construction.

TOWN DESIGNATED ENGINEER MASTER SERVICES AGREEMENT

THIS MASTER SERVICES AGREEMENT (the “Agreement”) dated as of January 1, 2020, is between Stantec Consulting Services Inc., with its place of business located at 3 Columbia Circle, Suite 6, Albany, NY 12203 (the “Engineer”), and the Town of New Scotland, New York, with its place of business located at Town Hall, 2029 New Scotland Road, Slingerlands, New York 12159 (the “Owner”).

RECITALS

A. Owner anticipates requesting Engineer to provide consulting and/or professional engineering services (hereafter referred to as “Special Projects Services”) based on individually 7 agreed upon scope of services and fees.

B. Engineer is willing to perform consulting and professional engineering services pursuant to the terms and conditions set forth herein.

TERMS

NOW, THEREFORE, in consideration of the matters recited above and of the mutual representations, warranties, covenants and agreements set forth in this Agreement, the parties agree as follows:

ATTACHMENT 1. General. This Agreement sets forth the general terms and conditions under which Engineer will perform consulting and/or professional engineering services for Owner. Services are to include Special Project Services as generally described in Exhibit A of this Agreement. The specific scope of Special Project Services to be performed by Engineer for Owner will be fully described and set forth in a written Task Order to be signed by Owner and Engineer prior to the Engineer undertaking any particular service or to enter into a Task Order. In the event of any inconsistency between this Agreement and a Task Order, the terms of this Agreement will prevail unless the provision in the Task Order specifically states that it is to take precedence over this Agreement.

2. Term. This Agreement is effective from the date set forth above for a period of one year unless otherwise terminated as provided hereafter. Either party may terminate the Agreement at any time upon 30 days written notice to the other party so long as there are no outstanding Task Order(s) in effect at the time of termination. If there are obligations remaining to be performed under an outstanding Task Order, this Agreement (and the Task Order) may only be terminated by a party following a default by the other party in the performance of its duties or obligations under this Agreement or the Task Order and such default has not been remedied within 30 days after notice thereof has been given to the defaulting party. Following any such termination, Engineer shall be entitled to compensation for all Service performed prior to the date of termination. However, the Owner shall at all times reserve the right to direct the Engineer to suspend or discontinue work on any and all Task Orders.

3. Duties of Engineer. Engineer shall perform the Service in a customarily accepted manner in accordance with generally accepted professional standards and the terms of an applicable Task Order. Accordingly, the Engineer will:

(a) Furnish the management, technical and other personnel required to perform the Service;

(b) Furnish such supplies, equipment and apparatus, if any, as may be specific to perform the Service;

(c) Deliver to the Owner all reports, drawings, specifications, summary of analysis and recommendations, and other deliverables, if any, required to be furnished as in delivery of the Service.

(d) Provide the Owner with prompt notification of anticipated and/or recommended changes in the necessary scope of services related to a Task Order, and any anticipated adjustments of the cost and/or delivery schedule in the performance of the Service.

(e) Designate one or more individuals to act on behalf of the Engineer with respect to the Service and with whom Owner may confer with respect to the Service.

4. Duties of Owner. Owner will:

(a) Provide Engineer with such facilities, utilities and space at the work site as may be required to provide the Services;

(b) Designate one or more individuals to act on behalf of the Owner and with whom Engineer may confer with respect to the Service.

5. Ownership of Documents. Original notes, memorandum, outlines, calculations, tracings and drawings prepared by or for the Engineer, except those furnished directly to the Engineer by the Owner, are and shall remain the property of the Engineer until paid for by the Owner. It is also agreed that direct copies or other representations of the content of said original materials, being instruments of service, shall be considered the property of the Engineer until paid for as herein set forth, and the rights to same shall not pass from the Engineer until all payments agreed to hereunder have been fully made.

6. Compensation.

(a) Special Project Services. Owner shall pay Engineer for the performance of Special Project Services at the rates and in the manner set forth in each Task Order. Methods of compensation are set forth in Exhibit B. Standard billing rates are set forth in Exhibit C.

(b) Expenses. Owner shall reimburse Engineer for expenses incurred by Engineer in the course of performing the Service in accordance with Engineer’s standard schedule of Billing Rates, which is part of Exhibit B. Standard billing rates are set forth in Exhibit C.

The Engineer’s standard hourly rates and the rates of compensation for reimbursable expenses are set forth in Exhibit C. The rates may be adjusted, subject to mutual agreement at the beginning of each calendar year. Owner will be notified of any such proposed modification of Engineer’s compensation basis at least 45 days prior to the date that the Engineer intends for the modification to take effect. However, there will be no increase in billing rates on individual projects once a Task Order has been accepted by the Engineer for that project unless otherwise specified in the Task Order.

7. Not Used/Intentionally Deleted.

8. Changes in the Service. The parties acknowledge that it may be necessary to make changes in the scope of the Service after a Task Order has been executed. Before undertaking any changes in the Service, Engineer will provide Owner with a detailed description of the impact the proposed changes will have on the schedule and costs of completion. If both parties agree to the proposed changes, they shall execute an appropriate change order setting forth the changes to the Service and to the schedule and costs of completion, which change order shall constitute an amendment to the applicable Task Order.

9. Taxes. Charges for Services and any materials or items to be provided under this Agreement do not include local, state or federal sales, use, excise, value added, personal property or similar taxes or duties, and any such taxes shall be assumed and paid by Owner. In the event taxes based on this Agreement, other that taxes based on net income, are payable or paid by Engineer that amount shall be an additional charge and shall be paid by Owner to Engineer upon thirty (30) days’ written notice.

10. Payment. Charges for Services will be invoiced at a monthly interval. Invoices are payable within 30 days of receipt by the Owner unless the Task Order specified an alternate payment schedule. If any invoice(s) are not paid promptly within the 30-day period, Engineer reserves the right to cease all Service under this Agreement until such time as the invoice(s) are paid in full.

11. Personnel. The personnel assigned by Engineer to perform the Services will be qualified to perform the assigned duties and will be licensed to perform such duties if required by the law of the jurisdiction in which the Service is performed. Engineer reserves the right to determine which of its personnel shall be assigned to provide any particular portion of the Services and to replace or reassign such personnel during the course of the Service. Should any personnel of Engineer be unable to perform assigned Services because of illness, resignation, inclement weather, or other causes beyond Engineer’s control, or because of scheduling conflicts, such failure to perform shall not be considered a breach of this Agreement so long as Engineer uses reasonable efforts to replace such personnel. Engineer will be responsible for the payment of all employment taxes, social security and workers compensation for its employees.

12. Not Used/Intentionally Deleted.

13. Confidentiality. Engineer and Owner agree that:

(a) neither party nor any of their employees or authorized representatives will disclose, sell, transfer or make available to third parties any Confidential Information (as defined below) of the other party except to employees, agents or subcontractors who need to know such Confidential Information in the performance of their duties;

(b) each party will use the Confidential Information solely for the purposes of carrying out their responsibilities and obligations under the terms of this Agreement;

(c) each party will take those precautions reasonably necessary to maintain the confidentiality of the other party’s Confidential Information; and

(d) the Engineer will destroy or return any proprietary information supplied by the Town or the Developer at the conclusion of the project at the request of the Town. The Engineer may retain one complete copy of the Confidential Information for archival purposes.

For purposes of this Agreement, Confidential Information shall mean all trade secrets, proprietary information, know-how, processes, and other information and any tangible evidence, record or representation thereof, financial information, business information and documents, the intellectual property of each party and other information, not generally known to the public which is confidential or proprietary. The use and disclosure of the confidential information shall not apply to information which (a) was known to the Engineer before receipt of same from the Town; or (b) is disclosed pursuant to the requirements of a governmental authority or judicial order.

14. Insurance. The Engineer shall maintain in force insurance policies issued by reputable insurance companies providing the minimum coverage’s set forth on Exhibit D through completion of the Service. If requested by Owner, prior to the commencement of any Service, Engineer will furnish certificates of insurance evidencing the existence of the required insurance policies. Each certificate of insurance shall provide that Owner will receive at least 30 days prior notice in the event of any cancellation of coverage and shall name Owner as an additional insured with respect to each policy of general liability insurance.

15.

16. Severability. The provisions of this Agreement and any Task Order are severable and if any provision(s) is held to be illegal, void or invalid under applicable law, such provision(s) may be changed to the extent reasonably necessary to make the provision(s), as so changed, legal, valid and binding, and to reflect the original intentions of the parties as nearly as possible in accordance with applicable law. This Agreement shall be construed according to its fair meaning and not strictly for or against either party.

17. Notices. All notices and communications under this Agreement shall be in writing and

shall be given by personal delivery or by registered or certified mail, return receipt requested, to the address for a party appearing at the beginning of the Agreement or such other address as may be designated by a party from time to time. Notice shall be deemed given upon personal delivery or upon receipt.

18. Standards of Performance. The standard of care for all service performed under each Task Order will be the care and skill ordinarily used by members of the Engineer’s profession practicing under similar circumstances at the same time and in the same locality

19. Not Used/Intentionally Deleted.

20. Independent Contractor. Engineer is a “Town Designated Engineer,” but shall be an independent contractor with respect to performance of the Service. Neither Engineer nor its employees or subcontractors shall be deemed to be a servant, employee, partner, or agent of Owner.

21. Force Majeure. Any delays in or failure of performance by Owner or Engineer, other that payment of money, shall not constitute default hereunder if and to the extent such delays or failures of performance are caused by occurrences beyond the control of Owner or Engineer, as the case may be, including but not limited to: acts of God or the public enemy; expropriation or confiscation of facilities; compliance with any order or request of any governmental authority; act of war, rebellion or sabotage; storms or other inclement weather; fires, floods, explosion, accidents, riots or strikes or other concerted acts of workers, whether direct or indirect; or any causes, whether or not of the same class or kind as those specifically above named, which are not within the control of Owner or Engineer respectively and which by the exercise of reasonable diligence, Owner or Engineer are unable to prevent.

22. Governing Law. This Agreement shall be governed by and enforced in accordance with laws of New York State. Any action, or legal proceeding between the parties arising from this Agreement shall be venued in the federal or state courts sitting in Albany, New York.

23. Entire Agreement. This agreement, and each Task Order entered into hereunder, represent the entire Agreement between Engineer and Owner and supersede all prior agreements, oral or written, and all other communications relating to the subject matter thereof.

24. Assignment. Neither this Agreement nor any rights or obligations hereunder may be assigned by either party without the consent of the other party, which consent shall not unreasonably be withheld.

25. Non-Waiver. No delay or failure by a party to exercise any right under this Agreement, and no partial or single exercise of that right, shall constitute a waiver of that or any other right, unless otherwise expressly agreed to in a signed writing by that party.

26. Counterparts. This Agreement may be executed in counterparts, each of which shall be an original and all of which collectively shall constitute but one document.

EXHIBIT A

SERVICES TO BE PROVIDED BY THE ENGINEER

Special Project Services:

Special project services will include projects with a specifically defined individual scope, such as but not necessarily limited to:

 Site design and layout of vehicular and pedestrian circulation, parking and loading  Highway design, including street and sidewalks plans and profiles  Utility design, including municipal water and sanitary sewer service plans and profiles  Drainage and storm water management design, with particular attention to Phase 2 compliance  Grading and erosion control plans  Landscape, planting and lighting plans  Geotechnical investigation and slope stability analysis  Wetland delineation  Construction administration and observation  Facility Services, including structural, architectural, electrical and mechanical engineering services  Survey (boundary, easements, topographic, etc.)  Environmental impact analysis and ecological assessments  Project reviews (in a TDE capacity), including reviews to include compliance with the following: o SEQR review, including compliance with SEQR procedural requirements o State and federal environmental laws o Traffic Studies and Evaluations o Local zoning, subdivision and related land use regulations o Town and generally accepted design and engineering standards Consistency with the Town’s Comprehensive Plan and other significant Town Planning initiated reports

EXHIBIT B

METHODS OF COMPENSATION FOR SPECIAL PROJECT SERVICES

Method of Payment

A. Owner shall pay Engineer for Special Project Services in accordance with one or more of the following methods as identified in each Task Order:

1. Method A: Lump Sum

2. Method B: Standard Billing Rates

Explanation of Methods

A. Method A – Lump Sum:

1. Owner shall pay Engineer a Lump Sum amount for the specified Scope of Services, which lump sum amount and scope of services will be mutually agreed to in writing prior to the Engineer commencing the Services.

2. Engineer’s total compensation shall not exceed the total lump sum amount for the specified scope of Services unless approved in writing by Owner.

3. The Lump Sum will include compensation for Engineer’s services and services of Engineer’s Consultants, if any. Appropriate amounts will be incorporated in the Lump Sum to account for labor, overhead, and profit. The Lump Sum amount will include Reimbursable Expenses only if stipulated in the Task Order; otherwise Reimbursable Expenses will be in addition to the Lump Sum amount.

4. The portion of the Lump Sum amount invoiced periodically for Engineer’s services will be based upon Engineer’s estimate of the proportion of the total services actually completed during the billing period to the Lump Sum amount.

B. Method B – Standard Billing Rates:

1. Owner shall pay engineer an amount equal to the cumulative hours charged to the Specific Project by each class of Engineer’s employees times Standard Hourly Rates in effect at the time the service is provided for each applicable billing class for all services performed on the specific project (Task Order), plus Reimbursable Expenses and Engineer’s Consultant’s charges, if any.

2. Standard Hourly Rates include salaries and wages paid to personnel in each billing class plus the cost of customary and statutory benefits, general and administrative overhead, non- project operating costs, and operating margin or profit. 8

3. A schedule of the Engineer’s Reimbursable Expenses included as part of this Exhibit C.

4. The total estimated compensation for Engineer’s services for the Task Order shall be stated in the Task Order. This total estimated compensation will incorporate all labor at Standard Hourly Rates, Reimbursable Expenses and Engineer’s Consultants’ charges, if any.

5. The amounts billed for Engineer’s services under each Task Order will be based on the cumulative hours charged to the specific project during the billing period by each class of Engineer’s employees times Standard Hourly Rates for each applicable billing class, plus Reimbursable Expenses and Engineer’s Consultant’s charges, if any.

Reimbursable Expenses Costs incurred by Engineer in the performance of the Services in the following categories constitute Reimbursable Expenses:

A. Transportation and subsistence incidental thereto (travel time shall be from local office to Town); advertisements, postage, and shipping costs; providing and maintaining field office facilities including furnishings and utilities; and reproduction of reports, Drawings, Specifications, Bidding Documents, the use of other highly specialized equipment and similar Project-related items. Reimbursable expenses shall be paid at rates set forth in the Engineer’s schedule of standard Billing Rates, which is part of this Exhibit C.

Other Provisions Concerning Payment A. Extended Contract Times. Should the Contract Times to complete the Work of a Contractor be extended beyond the period stated in the Task Order, payment for Engineer’s services shall be continued based on the standard Hourly Rates Method of Payment, unless otherwise mutually agreed to in writing.

Estimated Compensation Amounts

1. Engineer’s estimate of the amounts that will become payable for services are only estimates for planning purposes, are not binding on the parties, and are not the minimum or maximum amounts payable to Engineer under the Agreement.

2. When estimated compensation amounts have been stated in a Task Order and it subsequently becomes apparent to Engineer that a compensation amount thus estimated will be exceeded, Engineer shall give Owner written notice thereof. Promptly thereafter Owner and Engineer shall review the matter of services remaining to be performed and compensation for such services. Owner shall either agree to such compensation exceeding said estimated amount or Owner and Engineer shall agree to a reduction in the remaining services to be rendered by Engineer so that total compensation for such services will not exceed said estimated amount when such services are completed. If Engineer exceeds the estimated amount before Owner and Engineer have agreed to an increase in the compensation due Engineer or a reduction in the remaining services,

the Engineer shall five written notice thereof to Owner and shall be paid for all services rendered thereafter. EXHIBIT C

Payment on invoices is due within 30 days from receipt. Should the client fail to make payments within this period, the amount due shall bear interest at the rate of 1% per month. Stantec reserves the right to suspend work if payments are not made and Stantec shall have no liability to the owner/client for delay or damage caused the owner/client because of such suspension of Stantec’s services. Any attorney's fees, court costs, or other related expenses incurred in collecting delinquent accounts shall be paid by the client.

MINIMUM INSURANCE REQUIREMENTS

The kinds and amounts of insurance required of the ENGINEER are as follows:

a) A policy or policies providing protection for employees of the ENGINEER in the event of job-related injuries, generally referred to as “Workers Compensation Insurance”.

b) Automobile Liability policies with a combined single limit of not less than $1,000,000 for each person, or each accident because of bodily injury, sickness, or disease including death at any time resulting therefrom, sustained by any person, and for damages because of injury or destruction of property, including the loss of use thereof, caused by accident and arising out of the ownership, maintenance, or use of owned, non-owned or hired automobiles.

c) Commercial General Liability Insurance shall be furnished with the limits of not less than:

The budget estimates included in the table are based on our understanding and assumptions and the scope of work described previously. PROJECT UNDERSTANDING:

Routinely the Department of Public Works has required consulting and or professional engineering services of a basic general nature for the Heldervale Sewer District.

SCOPE OF SERVICES:

Tasks to be undertaken for basic DPW services for the Heldervale Sewer District:

 Advice to Commissioner of Public Works/DPW on district issues;

 Effort of technical staff to support DPW on district engineering, design or construction issues;

Assumptions:

 Basic water engineering services include up to $1,000 per year. Efforts beyond this will be provided as additional service and will be requested and agreed upon prior to commencing work.

Phase II Stormwater task was established in support of assisting Town staff with ongoing coalition and permit requirements throughout the course of the year.

SCOPE OF SERVICES:

Tasks to be undertaken for “Basic Engineering Services” will typically include:

 Advice to Building Department and DPW.

 Assistance with continued development of Town wide Plan. ATTACHMENT  Assistance with engineering issues involved with ongoing coalition efforts.

 Assistance with MS4 permit and Minimum Control Measures 1 through 6.

Assumptions – Basic General Engineering Services include up to $1,000.00 per year effort by technical staff including meetings. Efforts beyond this estimate will be provided as additional service and will be requested and agreed to by the Town.
