Summary

The Europa Treaties database lists 890 bilateral and 259 multilateral international treaties and agreements which the EU or the EU and the Member States have signed and/or ratified. Most have been concluded and signed by the EU and have not needed national ratification. But many are so-called “mixed agreements”, which both the EU and the individual Member States have ratified because they contain some policy provisions which are within the EU’s exclusive competence and others which are within the competence of the Member States. Commons Library Briefing Paper 7792, List of EU trade agreements, 21 November 2016, lists 63 EU trade agreements. Under the Constitutional Reform and Governance Act 2010, mixed agreements requiring ratification in the UK must be laid before Parliament for at least 21 sitting days once they are signed, along with an Explanatory Memorandum. At this point they are published as a Command Paper in the European Union Treaty series. After ratification they are re- published in the UK Treaty Series. A mixed agreement must be defined as an EU Treaty for the purposes of the European Communities Act 1972 (ECA). This is done by secondary legislation: a draft Order in Council is laid before Parliament and may be debated and/or approved by both Houses by the affirmative procedure. There are to date 120 “definition of treaties” Orders. They are listed in Commons Briefing Paper, Legislating for Brexit: Statutory Instruments implementing EU law, January 2017. Opinions differ on the effects of Brexit on external agreements. On balance, most analysts believe that both exclusive and mixed agreements will fall on Brexit day, and will have to be renegotiated after Brexit, or possibly in parallel with negotiations on the withdrawal agreement (could this be achieved within the two-year negotiating period?). There is a view, however, that where the UK has ratified a mixed agreement in its own right, aspects of the mixed agreement will remain in force. This paper considers how Brexit might affect EU external agreements. Sections 2 and 3 list bilateral and multilateral EU agreements as at December 2016, noting whether they are exclusive or mixed competence, and the date of signature. Those marked with an asterisk have not yet entered into force. Based on information on the Europa Treaties website, there are currently 746 exclusive EU agreements and 229 mixed competence agreements.

4 Legislating for Brexit: EU external agreements

1. The EU’s external agreements

EU external agreements can be bilateral (between the EU/Member States and a third party), or multilateral (between the EU/Member States and some or several other parties). The Europa Treaties database lists 890 bilateral and 259 multilateral international treaties and agreements which the EU or the EU and the Member States have signed and/or ratified. Of these, 745 are exclusive EU competence agreements and 230 are mixed agreements.1 EU agreements can have legal effects in the internal law of the EU and Member States, including, in certain circumstances ‘direct effect’, which means that individuals can directly invoke EU provisions before a national or EU court.2

1.1 Exclusive and mixed competence agreements

The Lisbon Treaty expanded the scope of the EU´s competence over external trade policy under the Common Commercial Policy (CCP). Article 207 of the Treaty on the Functioning of the European Union (TFEU) extended the scope of the CCP to include trade in services, the commercial aspects of intellectual property and foreign direct investment, in addition to trade in goods. Under Article 3(1) TFEU the CCP is subject to the EU’s exclusive competence.

For those agreements which fall under the EU’s exclusive competence, the EU (which has ‘legal personality’ under Article 47 of the Treaty on European Union - TEU)3 and the third party or organisation are the only signatories, and will remain bound by them. A simple notification by the EU to the third parties might thus suffice to inform them that the EU no longer consists of 28 but 27 member states”.4

‘Mixed agreements’ contain elements of exclusive EU competence and Member State competence. Both the EU and the individual Member States need to sign and ‘conclude’ it (for the EU) or ratify it (for Member States). Each Member State follows its own domestic procedures for ratification. National ratification is in addition to the conclusion by the EU Council, following the consent of the European Parliament under Article 218 TFEU.

It is not always clear which areas in an agreement fall within the EU’s exclusive competence and which fall within the remit of Member State competence. The European Commission determines on a case-by-case basis whether or not an agreement is “mixed”, depending on its content. Classic free trade agreements have been exclusive EU competence, but with the EU–Canada free trade agreement (CETA) and other recent such agreements, this assumption has been challenged. The issue of competence for such trade agreements is to be clarified by the Court of Justice of the EU (CJEU).5 The CJEU has already established that the EU has exclusive competence where entering into the international agreement “may affect” EU internal legislation.

The EU has negotiated many other trade-related agreements that address specific non-tariff barriers. Mutual Recognition Agreements (MRAs) with third countries, for example, allow goods to be inspected and formally declared in conformity with Single Market rules before they are exported to the EU. MRAs are the exclusive competence of the EU. Almost all Association Agreements are mixed, as are most recent trade and investment agreements.

1.2 UK ratification Under the Constitutional Reform and Governance Act 2010, mixed agreements requiring ratification in the UK must be laid before Parliament for at least 21 sitting days once they are signed, along with an Explanatory Memorandum. At this point they are published as a Command Paper in the European Union Treaty series. After ratification they are re-published in the UK Treaty Series. For mixed agreements which include provisions that need to have effect in UK law, the agreement is specified as an EU treaty for the purposes of section 1(3) of the European Communities Act 1972 (ECA). This means that the ECA applies to it as if it were one of the EU Treaties. It

enables UK courts to recognise any direct effect arising from provisions of the agreement and gives a Minister the power to adopt UK subordinate legislation to implement the agreement in the UK. The specification of an agreement as an EU treaty is via secondary legislation: a draft Order in Council is laid before Parliament and may be debated and/or approved by both Houses by the affirmative procedure. Further UK legislation may be needed to implement an EU agreement. This must be in place before ratification/accession is completed. The bilateral and multi-lateral agreements the UK has signed are available as UK Command Papers in the European Union Series (2013 to present) and their Explanatory Memorandums are on the gov.uk website. 1.3 Effects of Brexit Where the EU has concluded an external agreement in an area in which it has exclusive competence, the UK will not have ratified that agreement separately. Brexit will mean, therefore, that the UK is no longer bound by that agreement. Most EU external agreements include a ‘territorial application’ clause, which restricts the application of the agreement to the territories in which the TEU and TFEU are applied. With Brexit, these will therefore no longer cover the UK and its Overseas Territories.

But the effect of Brexit on mixed external agreements is not clear. In evidence to the Foreign Affairs Committee, Sir Alan Dashwood QC, Emeritus Professor of European Law, Cambridge University, said: Take the example … of the free trade agreement with South Korea, which has been very favourable to the UK. […]. The UK will not be able to—well, it could not—stay as a part. Although it is a free trade agreement, it is still a mixed agreement because it goes a little further than the core area of the common commercial policy. Nevertheless, I don’t believe that the UK could retain the rights and obligations that apply to it under the agreement. We would have to renegotiate … 7 In evidence to the Treasury Committee, Philippe Legrain (LSE European Institute) and Simon Tilford (Centre for European Reform) both thought the agreements would all need to be renegotiated. Roger Bootle (Capital Economics), however, was not sure and said the Committee should investigate the matter further.8

The Treasury Committee’s conclusion on this issue was as follows: Were the UK to leave the EU, it is very uncertain whether it would be able to continue to participate in these agreements. The extent to which the UK would have to enter into negotiations to ensure its continued participation would probably depend on the attitude of the contracting parties, about which little is known.9 The Government said before the EU referendum that the UK would lose access to the trade agreements negotiated by the EU: If the UK withdrew from the EU, we would lose the benefit of all the EU’s existing Free Trade Agreements with third countries. […] The UK would seek to negotiate replacement arrangements …10 Lawyers In for Britain (a pro-EU group) has argued: A number of trade agreements currently binding on the UK have been concluded by the EU alone. Following Brexit, these would all cease to apply to the UK and would have to be renegotiated. Other trade agreements are part of broader mixed treaties to which the UK is a party (along with the EU and other Member States). As a matter of law, these would not continue to apply to the UK automatically following Brexit. Instead, they would also have to be renegotiated. While necessary in legal terms, renegotiation of trade agreements would be a long, complex, and expensive process. The successful conclusion of such renegotiation would depend on the good will of third countries. This may not be taken for granted, as renegotiating trade agreements would involve unraveling existing package deals. The UK has not negotiated such agreements for decades, as competence has been transferred to the EU.11 Using the example of the EU’s free trade agreement with South Korea, Lawyers for Brexit say: There would be no difficulty in the UK continuing to comply with the substantive obligations of this FTA after Brexit; and Korea on a reciprocal basis would have no difficulty continuing to apply these substantive provisions both to the UK and the r-EU. This step would not require any renegotiation of the substantive provisions of the FTA: all that would be needed would be a statement by the UK that it intended after Brexit to continue to operate the terms of the FTA between itself and Korea, and an acknowledgement by Korea that it would likewise continue to do so.12 Lawyers for Brexit concede that South Korea could in theory refuse to roll over the terms of its FTA with the EU to the UK, but argue that it would have little incentive to do so as it would mean re-imposing of tariffs on trade between the UK and South Korea.

Another argument is that, rather than renegotiating substantive provisions of trade agreements, the UK would agree with third countries a ‘rolling over’ of the provisions of existing agreements. But Professor Panos Koutrakos thought this was an over-simplification:

Trade treaties […] are the outcome of long and complex negotiations and of package deals and compromises reached in a very specific policy context. Once the UK relied on the good will of a third country to extend these deals to a completely new context, it could not be certain that the latter party would resist the temptation to unravel specific aspects of the deal. It is difficult to envisage, for instance, the automatic rolling over of an existing trade agreement concluded by the EU without adjusting the quotas already applicable to trade between the UK and the third country concerned. The rolling over of existing trade agreements, therefore, would involve renegotiation of at least some of their provisions.13 In October 2016 Baroness McIntosh asked the Government “what assessment they have made of whether the UK will still be able to trade under the existing EU free trade agreements once the UK has left the EU”. Lord Price answered on 9 November 2016: The UK remains committed to being a world leader in free trade, working with a range of partners to strengthen our economic ties. We recognise the need for a smooth transition which minimises disruption to our trading relationships. We are considering the options for this and will of course work with our EU and international partners in taking it forward. We are taking advantage of all the opportunities available to us to ensure that Britain becomes the global leader in free trade once we leave the EU.14 On 19 December 2016 Lord Price confirmed that while the UK is a member of the EU, it cannot sign free trade agreements, adding: “but we can have exploratory discussions, which we are having at the moment. Once we leave, we will be free to negotiate and sign free trade agreements for the United Kingdom”.15
